About this file

This Bond Counsel Agreement is between the Harlingen Waterworks System, a department of the City of Harlingen, Texas, and an unspecified Bond Counsel firm for providing bond counsel and related advisory services. The agreement is for a five-year term, effective on the date of the last signature, and covers legal services related to potential debt obligations and bond issuances. The Bond Counsel will be responsible for preparing bond opinions, which include providing unqualified legal opinions on the validity, legality, and tax status of debt obligations, as well as ensuring compliance with state and federal regulations.

The contract allows for fees and expenses associated with bond issuances to be paid directly from debt proceeds at closing, with the firm submitting invoices to the Financial Advisor prior to transaction closing. Additional expenses will be invoiced to the Waterworks and processed within 30 days of receipt. The Bond Counsel is required to maintain general liability and professional malpractice insurance to protect the Waterworks and City of Harlingen from third-party claims. The agreement specifies that all work must be performed by or under the direct supervision of a Texas-licensed attorney partner or principal who accepts individual responsibility and liability for the work performed.
