About this file
This document is a Justification and Approval (J&A) for a limited-sources acquisition by the United States Transportation Command (USTRANSCOM) for Environmental Systems Research Institute (ESRI) ArcGIS software license renewals. The Surface Deployment and Distribution Command Transportation Engineering Agency (SDDCTEA) requires these licenses for geospatial data creation, analysis, and dissemination, with a firm-fixed-price contract covering the period from 01 October 2025 through 30 September 2026. ESRI is the sole developer and licensor of ArcGIS, and the agency justifies the sole-source procurement based on the software's critical operational needs, unique licensing model, and the high cost and potential disruption associated with migrating to alternative platforms.
The document details that ESRI software enables advanced 2D and 3D geospatial visualization, data integration, and analysis capabilities crucial for planning and executing surface transportation movements globally. Market research confirmed no alternative sources or resellers for these licenses, and no Enterprise Software Initiative (ESI) agreement exists. The Contracting Officer will determine best value using proposal analysis techniques, comparing proposed prices to historical data and published price lists. SDDCTEA commits to continually monitoring the commercial marketplace for potential alternative solutions that could meet their geospatial information requirements.

2. NATURE AND/OR DESCRIPTION OF ACTION BEING APPROVED.
Surface Deployment and Distribution Command Transportation Engineering Agency (SDDCTEA) requires limited sources for the acquisition of Environmental Systems Research Institute licenses. The contract will be firm-fixed price with a period of performance 01 October 2025 through 30 September 2026.
3. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE
AGENCY’S NEEDS (INCLUDING THE ESTIMATED VALUE).
ArcGIS, ESRI Software is utilized to create, edit, analyze, and share geospatial information, enabling powerful and efficient workflows. ESRI's platform facilitates advanced 2D and 3D visualization, seamless data integration, and comprehensive analysis capabilities allowing SDDC to address complex transportation logistics challenges, extract valuable insights, and ultimately, transform decision-making and improve outcomes. ESRI software is extensively utilized within SDDC and USTRANSCOM to plan and execute surface transportation movements on a global scale.

4. AUTHORITY AND SUPPORTING RATIONALE AND, IF APPLICABLE, A
DEMONSTRATION OF THE PROPOSED CONTRACTOR’S UNIQUE
QUALIFICATIONS TO PROVIDE THE REQUIRED SUPPLY OR SERVICE.
FAR 8.405-6(a)(1)(i)(B) – Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized.
This acquisition requires restriction of competition to ESRI under the authority of FAR 8.405- 6(a)(1)(i)(B), Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized.
SDDCTEA’s critical operational needs mandate the continued use of ESRI ArcGIS software and services for geospatial data creation, analysis, and dissemination, directly impacting our ability to provide geospatial information to the warfighter. ESRI is the sole developer, owner, and licensor of ArcGIS software. Unlike many software vendors, ESRI does not utilize authorized resellers for licensing or maintenance renewals; therefore, direct procurement from ESRI is the only avenue to obtain legitimate, supported licenses. Furthermore, there is no Enterprise Software Initiative (ESI) agreement in place that could provide an alternative source for these licenses. The absence of both resellers and an ESI agreement leaves our agency with no alternative but to procure directly from ESRI to meet our critical geospatial requirements.
Attempting to utilize alternative GIS software platforms would necessitate a complete and costly migration of existing data, retraining of personnel, and a potential disruption of essential operational capabilities. In summary, due to the unique licensing model of ESRI, the absence of an ESI, and the on the ESRI ArcGIS platform and existing data, restricting competition to ESRI is the only viable option to satisfy the agency's requirements.
5. DETERMINATION BY THE ORDERING ACTIVITY CONTRACTING OFFICER
THAT THE ORDER REPRESENTS THE BEST VALUE.
The Contracting Officer will determine the contract represents the best value using proposal analysis techniques at FAR 15.404-1(b) to establish a fair and reasonable price, such as comparison of proposed prices to historical prices paid and published price lists. Based on this approach, the Contracting Officer anticipates that a fair and reasonable price will be obtained.
6. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AMONG
SCHEDULE HOLDERS AND THE RESULTS OR A STATEMENT OF THE REASONS
MARKET RESERACH WAS NOT CONDUCTED.
Market research was conducted for existing supply schedules and government-wide acquisition contracts for ArcGIS. While schedules exist for ESRI products, ArcGIS is not offered by resellers. ESRI is the only source offering the required support as indicated in Paragraph 4.
Accordingly, there is no expectation that offers for this requirement can be made by other entities, including small business concerns. Therefore, the requirement will be solicited directly to ESRI for quotation.
