About this file
This document is a Justification and Approval Notice for a sole source task order issued by the Department of Veterans Affairs (VA) for mail and package delivery services. The VA will award a one-year, firm-fixed-price contract to United Parcel Service (UPS) valued at $370,000.00 for daily package pickup from the outpatient pharmacy and delivery services using overnight, ground, and next-day shipping. The task order is being issued against the existing Indefinite Delivery Contract HTC71123DC025 and requires service compatibility with Script-Pro and UPS WorldShip software.
The justification for sole source procurement is based on FAR 16.505(b)(2)(i)(B), which allows direct award when only one awardee can provide unique or highly specialized services. The VA determined that while Federal Express and UPS both hold national delivery contracts, only UPS can meet the specific technical requirements of existing automation systems. The contract will run from April 1, 2023, through March 31, 2024, with UPS identified as the sole capable provider for this specific VA medical center's package delivery needs. The procurement leverages the Veterans First Contracting Program, which provides authority to directly contract with veteran-owned businesses.

DESCRIPTION
DEPARTMENT OF VETERANS AFFAIRS
Justification and Approval For Exception to Fair Opportunity Memo
Acquisition Plan Action ID: 36C245-26-AP-0329
1. Contracting Activity:
Department of Veterans Affairs, VISN 5, Washington DC VA Medical Center located at 50 Irving Street, NW Washington DC 20422.
2237 for this package: 688-26-1-050-0002.
2. Description of Action:
The proposed sole source task order against Indefinite Delivery Contract HTC71123DC025 is for a one-year firm-fixed price (FFP) effort for mail and package delivery by United Parcel Service, 316 Pennsylvania Ave Suite 300, Washington DC 20003-1173.
3. Description of Supplies or Services:
a. Daily pickup of packages from the outpatient pharmacy, excluding weekends and federal holidays.
b. Delivery as overnight, ground, next-day, or other time frames as designated by the shipping label.
c. The service must be compatible with existing automation, Script-Pro, and UPS WorldShip software.
The total estimated value of the proposed action is $370,000.00.
4. Statutory Authority: The statutory authority permitting an exception to fair opportunity is Section 41 U.S.C. 4106(c) as implemented by the Federal Acquisition Regulation (FAR) 16.505(b)(2)(i):
() FAR 16.505(b)(2)(i)(A): The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
(X) FAR 16.505(b)(2)(i)(B): Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.
() FAR 16.505(b)(2)(i)(C): The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
() FAR 16.505(b)(2)(i)(D): It is necessary to place an order to satisfy a minimum guarantee.
() FAR 16.505(b)(2)(i)(E): For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source”. The statutory authority permitting an exception to fair opportunity for this action is 38 U.S.C. 8127(c), known as the Veterans First Contracting Program which provides the authority to directly contract with a Service-Disabled Veteran-Owned Small Business (SDVOSB) or a Veteran-Owned Small Business (VOSB).
5. Rationale Supporting Use of Authority Cited Above:
The service must be compatible with existing automation, Script-Pro, and UPS WorldShip software.
6. If this is a Brand Name Justification: N/A.
7. Efforts to Obtain Competition: United Parcel Service Co. (UPS), Federal Express Corp (FedEx) and Polar Air Cargo Worldwide Inc. were awarded four-year base Indefinite Delivery/Indefinite Quantity, fixed-price Next Generation Delivery Service-2 (NGDS-2) contract under solicitation HTC711-22-R-C003. Polar Air Cargo Worldwide Inc. is for International only. The task order could be competed between UPS and FedEx, however, for this task order, service must be compatible with existing automation, Script-Pro, and UPS WorldShip software. In accordance with 16.505(b)(2)(i)(B), UPS is the only one is able to perform the service.
8. Actions to Increase Competition:
The Government will continue to conduct market research to ascertain if there are changes in the marketplace that would enable future actions to be competed.
8. Market Research:
Both Federal Express and UPS both hold National mandatory contracts (NGDS). However, FedEx would not be able to meet the needs of this facility listed above because it needs to be compatible with existing automation, Script-Pro, and UPS WorldShip software.
9. Other Facts: N/A
10. Technical and Requirements Certification: I certify that the supporting data under my cognizance, which are included in this justification, are accurate and complete to the best of my knowledge and belief.

11. Determination that Anticipated Cost is Fair and Reasonable: A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
This was competed under solicitation HTC711-22-R-C003.
12. Contracting Officer's Certification (required): I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.
Dan Feng Lu Contracting Officer / NCO5
13. Approvals in accordance with VHAPG Part 816.505 Indefinite Delivery Contracts: Ordering.
a. One Level Above the Contracting Officer (Required over SAT but not exceeding $750K): I certify the justification meets requirements for other than full and open competition.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within one (1) day after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

RATE REFRESH/ PRICE ADJUSTMENT
ANNUAL RATE REFRESH & PRICE ADJUSTMENT: At proposal submission, offerors will propose year one (FY23) base rates and an escalation factor for each of the three remaining years (FY24-26) of the base period, and each of the four years (FY27-FY30) in the option period. Contractors will have the opportunity to request new rates for FY27, and escalation rates for FY28-FY30. Such request shall be submitted by 1 April 2026, and must contain rationale supporting the request for new rates, such as industry-related events, world events, or economic conditions.
The Government will evaluate requests for rate refresh on a lane-by-lane basis to determine if the proposed rates are fair and reasonable, utilizing one or more techniques set forth in FAR 15.404-1(b)(2). Rates shall not exceed Contractor published commercial rates + government Cost Recovery Fee. Proposed rates that cannot be determined fair and reasonable will not be awarded, and the original proposed escalation rates will be applied. The rates in affect for FY30, will be in affect during the 6-month extension (if applicable).
(a) Contract rate adjustments will be accomplished in the following order on an annual basis:
(1) Cost Recovery Fee. The Cost Recovery Fee rate percentage addressed in PWS paragraph 3.0 and sub paragraphs may be adjusted by the Government on an annual basis. If an adjustment is made, all transportation and accessorial rates will be adjusted in an amount equal to the percentage increase or decrease of the new Cost Recovery Fee.
(2) Escalation. Contract rates will be adjusted annually based on application of the applicable escalation percentage identified in Attachment 2b. Annual escalation adjustments will be applied to all transportation and accessorial rates. Upon notification to the Government, the Contractor may choose to forgo the application of the annual escalation percentage.
NOTE: The “Set Escalation Percentage” cell found at the top of the rate sheets is offered as a convenience to carriers as a means of allowing the annual escalation rate to be applied automatically to every current year rate on file by service level (excel spreadsheet tab). This optional field may be used in lieu of requiring the manual entry of new rates each year. If a carrier chooses to utilize the “Set Escalation Percentage” cell when applying the escalation rate after the first year of performance, all carrier rates in Attachment 2 will be U.S. dollar and cent formatted and limited to two decimals utilizing the “set precision as displayed” function in excel. The following year’s escalation will then be applied to the hard-coded two-decimal dollar value displayed in the rate sheet. This pricing methodology will be applied to the four-year base period, and if applicable, the four-year option period.
Example: Assume a per lb. rate of $1.23 for the first year of performance with proposed escalation rates of 1% in year 2; 2% in year 3; and 3% in year 4.
a) After the first year of performance at a rate of $1.23, the year-two rate will be calculated as
$1.23*(1+.01) =$1.2423 and the rate will be hard-coded at the “display value” of $1.24.
b) The year-three rate will be…
