Contractors shall submit a mitigation plan that addresses actual or perceived conflicts of interest related to the services required by this effort for Government review. If any such conflict of interest is found to exist, the Contracting Officer shall conduct an independent assessment review of any submitted OCI Mitigation Plans to determine if any actual or perceived OCI exists and what further actions are necessary, if any. Additionally, the Government will monitor contract performance for emerging areas of conflict of interest and take action considered necessary to avoid, neutralize, or mitigate conflicts. If the Contractor believes there is no OCI, a statement as such shall be included in the Contractor’s quotation.

iii. DD254: Contractors shall have and maintain a valid Facility Security Clearance

(FCL) at the TOP SECRET level at the time of quotation submission. The CAGE code that is to be associated with the task order award shall be the same CAGE code associated with the FCL and the same CAGE code to which the ITES-3S Contract was awarded. The Contractor cannot use another branch, division, or subsidiary CAGE code to satisfy the FCL requirement.

Contractors shall complete block 6 of the DD254 (Attachment 2) and shall have the Contractor’s information, to include their CAGE code, which shall match the CAGE code submitted on the rest of the quotation documents. Failure to demonstrate possession of the appropriate security clearance at time of quote submission shall render the Contractor’s quote ineligible for award.

iv. Attachment 3 contains provisions that apply to this RFQ and clauses that will be applicable to the resulting award. Contractors shall complete and return all applicable provisions found in Attachment 3 as part of their quotation submission.

v. Contractors shall provide a copy of their ITES-3S contract, via email with their quotation. Contractor’s ITES-3S contract may be submitted via email, separate from Volume I.

B. VOLUME II – TECHNICAL CAPABILITY.

i. In this volume, the Contractor shall submit their technical approach for accomplishing the requirements as it relates to the PWS and the Technical Capability Factor, to include all subfactors. The Contractor shall provide as specifically as possible the actual methodology to be used for accomplishing each task as outlined in the PWS.

ii. Contractors shall submit a Staffing Approach, to include Attachment 4, Staffing Matrix, consistent with their written technical approach. The Contractor’s Staffing Approach shall identify the personnel resources necessary to perform the PWS tasks and should only reference the Contractor’s ITES-3S labor categories.

In Attachment 4, the Staffing Matrix, the Contractor shall correlate each labor category by hours to each PWS Task. Contractors shall identify any additional qualifications (security clearances, Information Assurance Certification levels, other certifications, etc.) it will require for each labor category to perform the intended PWS tasks.

C. VOLUME III – PAST PERFORMANCE.

i. In this Volume, the Contractor shall submit no more than three (3) examples of

Government and/or commercial contracts they consider relevant (has logical connection to the effort described in the PWS), which is ongoing or has been performed within the last 3 years of the quotation submission date, and which demonstrate their ability to perform the work identified in the following performance areas:

Performance implementing downward directed cyber security initiatives defending User, Device, Network/environment, Application & Workload, Data, Visibility & Analytics and Automation.

Performance providing Infrastructure as a Service in a GovCloud approved environment (IL4, 5, 6).

Performance in managing and maintaining an enterprise Test and Integration Lab (TIL).

Performance with O&M responsibility of an enterprise of over 5,000 customers in a telework environment.

Performance in consolidating Managed Services from an enterprise level.

Performance in providing IT Service Management Support in accordance with the required subtasks in Task Area 3.

ii. Contractors are responsible for completing the Past Performance Log (Attachment

5) and Past Performance Reference Sheets (Attachment 6), as well obtaining the necessary Letters of Consent, as applicable. Contractors shall also ensure the Past Performance Questionnaires (Attachment 7) are provided to the appropriate representative for each of the Government and/or commercial contracts referenced in the Past Performance Log and in the Past Performance Reference Sheets.

(a) Past Performance Log – Contractors shall provide contact information for each past performance reference to include their phone number and e-mail address. Failure to provide complete information may impact the Government’s ability to evaluate.

(b) Past Performance Reference Sheet – Contractors should provide a clear explanation of the relevance of each reference submitted for the prime and any subcontractors who will perform major aspects of the requirement;

however, the Government will not be bound by those statements in making its own relevance determinations. Contractors should address all six past performance areas noted above; however, each Past Performance Reference submission does not need to reflect experience in all six performance areas. If a performance area does not apply to the Past Performance Reference, “Not Applicable” should be written in the explanation box. Each reference shall not exceed one page per performance area.

a. In this volume, the Contractor shall also identify the major tasks and/or aspects that are to be performed by their proposed subcontractors. This information should correlate to the information identified in the Contractor’s Staffing Matrix submission in Volume II.

b. A past performance reference shall be a single Government or commercial effort. Since an umbrella contract (e.g., IDIQ) does not result in actual performance, it will not be considered as a valid reference. Individual task orders awarded against a basic contract will be considered a single past performance reference. If CPARS reports are only reported at the IDIQ level, this should be annotated.

(c) Contractors shall submit a letter of consent from principal subcontractor(s) to allow discussion of their past performance. Past performance information pertaining to a subcontractor(s) cannot be disclosed to the prime contractor without the subcontractor's consent. With your quote response, provide a letter from your principal subcontractor(s) that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

(d) Past Performance Questionnaires will only be accepted for the three (3) references provided in the Past Performance Log. The Government will only accept questionnaires from and completed by the POC reference in the Past Performance Log.

D. VOLUME IV – PRICE

In this volume, the Contractor shall complete Attachment 8 of the RFQ for the base and all option periods. All quotations must contain only ITES-3S approved labor categories. Contractors are strongly encouraged to provide additional discounts from their ITES-3S contract prices.

All information relating to the proposed price, including all required supporting documentation, must be included in this section of the quotation in a Word or PDF format. Under no circumstances shall this information and/or documentation be included elsewhere in the quotation.

Contractors shall provide a copy of their ITES-3S Price List, via email with their quotation.

The MITS requirement anticipates the need for Other Direct Costs and Travel line items. Contractors are not required to quote these items; rather a Not to Exceed amount will be provided by the Government at task order award.

III. EVALUATION FACTORS AND BASIS FOR AWARD

A. Award will be made to the Contractor whose quotation represents the best value in accordance with the evaluation criteria identified below. Quotations will be evaluated with regard to their Technical Capability, Past Performance record, and Price quotation.

Contractors are highly encouraged to submit their best technical solution and price quotation at the time of initial quotation submission. A Contractor may be removed from consideration without further communication if its quote is not among those considered most advantageous to the Government.

The Government intends to award a task order without further communicating with Contractors; however, the Government reserves the right to communicate with any or all contractors submitting a quote, if it is determined advantageous to the Government. This statement is not to be construed to mean that the Government is obligated to communicate with every Contractor (note that FAR Part 15 procedures do not apply;

therefore, formal discussions are not applicable).

This competitive tradeoff selection will evaluate the Contractor’s Technical Capability, Past Performance, and Price. When combined, the non-price factors are significantly more important than cost or price. Within Technical Capability, subfactors 1 through 6 are of equal importance. Past Performance will be assigned a confidence assessment rating based on the recency and relevancy evaluation. Price will be evaluated to determine if it is fair and reasonable. The following factors will be used as part of the evaluation:

1) Technical Capability Factor

2) Past Performance Factor

3) Price Factor

B. Technical Capability – The Government will evaluate the Contractor’s technical quotation as it relates to the following subfactors:

i. Subfactor 1, Service Operations:

a. Contractor shall detail their logical approach to providing services delivery of operations on-prem and the USTRANSCOM Cloud environment

b. Contractor shall detail their logical approach to managing Service Operations to achieve a proactive and predictive posture

ii. Subfactor 2, Service Support:

a. Contractor shall detail their logical approach to integrating IT service strategy, design, and transition activities to facilitate change to services resulting in increased efficiency and effectiveness.

b. Contractor shall detail their logical approach in providing Service Support within each subtask under Task 3 to include tools, techniques, methodologies, and frameworks.

iii. Subfactor 3, Continual Service Improvement:

a. Contractor shall detail their logical approach to managing Continual Service

Improvement across all task areas as specified in the PWS.

iv. Subfactor 4, Information Technology Infrastructure Library (ITIL) Roadmap:

a. Contractor shall detail their logical approach and an ITIL roadmap detailing maturity levels and timelines to achieve a desired 3.5 maturity level (or higher) at USTRANSCOM by the end of the contract lifecycle (Based on the ITIL Maturity Model, published by Axelos).

v. Subfactor 5, Staffing Approach: Schedule Contractors shall submit a Staffing Approach consistent with their written technical approach (subfactors 1-4). The Staffing Approach shall detail the contractor’s plan to recruit, hire, and retain personnel with the qualifications and skills required of the tasks in the PWS. The Contractor’s Staffing Approach shall identify the personnel resources necessary to perform the PWS tasks and should only reference the Contractor’s ITES-3S labor categories. In Attachment 4, Staffing Matrix, the Contractor shall correlate each labor category by hours to each PWS Task. The number of annual hours used to represent one Full Time Equivalent (FTE) shall also be identified with the matrix. Contractors shall identify any additional qualifications (security clearances, Information Assurance Certification levels, other certifications, etc.) required for each labor category to perform the intended PWS tasks.

vi. Subfactor 6, Mission-Essential Contractor Services Plan: The Government will evaluate the Contractor’s Mission-Essential Contractor Services Plan to determine if it adequately describes how the Contractor will continue to perform the essential contractor services listed in the PWS during periods of crisis pursuant to DFARS 252.237-7024.

For Technical Capability Subfactors 1 through 5, the Government will evaluate each subfactor and assign one of the following ratings:

RATING DEFINITION

Superior

The quote meets all the requirements identified in the PWS as related to the Technical Capability subfactor(s) and exceeds one or more requirements of the PWS. Such additions provide benefit to the Government.

Acceptable The quote meets all the requirements identified in the PWS as related to the Technical Capability subfactor(s).

Susceptible Of Being Made Acceptable

The quote does not meet all the requirements identified in the PWS as related to the Technical Capability subfactor(s);

however, there is reason to believe through revisions, an acceptable quote could result. For award without communications, these quotes are considered “unacceptable.”

Unacceptable* The quote fails to meet one or more requirements in the PWS as related to the Technical Capability subfactor(s).

For Technical Capability Subfactors 1 through 5, the Government will evaluate each subfactor and assign one of the following ratings:

Acceptable The quote meets all the requirements identified in the PWS as related to the Technical Capability subfactor(s).

Susceptible Of Being Made Acceptable

The quote does not meet all the requirements identified in the PWS as related to the Technical Capability subfactor(s);

however, there is reason to believe through revisions, an acceptable quote could result. For award without communications, these quotes are considered “unacceptable.”

Unacceptable* The quote fails to meet one or more requirements in the PWS as related to the Technical Capability subfactor(s).

*If a rating of Unacceptable is assigned, the Contractor will not be eligible for task order award.

C. Past Performance – Past Performance will be evaluated as a measure of the

Government’s confidence in the Contractor’s ability to successfully perform the MITS requirement based on recent and relevant performance efforts.

i. The Government will begin its evaluation by first determining the recency of each past performance effort being evaluated. To be recent, the effort is ongoing or has been performed within the last three (3) years of the quotation due date.

ii. The Government will then determine if the recent performance effort is relevant. To be relevant the effort must have a logical connection to the work described in the performance areas identified in Paragraph II.C.i. The Government reserves the right to obtain information relative to present and past performance on its own, in addition to that provided by the Contractor. Other sources of information include, for instance, the Contract Performance Assessment Reporting System (CPARS), Federal Awardee Performance and Integrity Information System (FAPIIS), and or Electronic Subcontract Reporting System (eSRS). A relevancy rating will be assigned as follows:

Relevant Present and/or Past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires

Somewhat Relevant Present and/or Past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires

Not Relevant Present and/or Past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires

iii. The Government will evaluate past performance information regarding predecessor companies or principal subcontractor(s) when such information is relevant to the acquisition. Past performance regarding predecessor companies or principal subcontractor(s) that will perform major or critical aspects of this requirement will be weighted the same (equally as important) as the past performance information for the Contractor.

While each past performance reference does not need to reflect performance in all areas identified in Paragraph II.C.i., the Government will give more consideration to a reference which reflects relevant performance in multiple performance areas.

While the Government will consider past performance information on relevant efforts performed for state and local Governments, as well as in the commercial sector, past performance conducted within the DoD will receive greater consideration when assigning a past performance confidence assessment rating. Past Performance which cannot be validated by a source other than the Contractor will not be considered in the Past Performance Confidence Assessment. The Government intends to evaluate past performance as follows:

Substantial Confidence

Based on the Contractor’s recent and relevant performance record, the Government has a HIGH expectation that the Contractor will successfully perform the required effort.

Satisfactory Confidence

Based on the Contractor’s recent and relevant performance record, the Government has a REASONABLE expectation that the Contractor will successfully perform the required effort.

Limited to No Confidence

Based on the Contractor’s recent and relevant performance record, the Government has a LOW to NO expectation that the Contractor will successfully perform the required effort.

D. Price – The Government will evaluate the price quotation for reasonableness. The

Government will conduct a price analysis to determine if the total evaluated price is reasonable based on adequate price competition, in comparison with the IGCE and/or commercial price offerings for similar service, or any other price analysis technique determined necessary. FAR clause 52.217-8, Option to Extend Services, authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract up to a period of six months. These prices shall be identical to the proposed pricing in effect on the final day of performance immediately preceding the extension period.

Offerors are cautioned against submitting an offer that contains unbalanced pricing.

Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one (1) or more contract line items is significantly over or understated. The Government shall analyze offers to determine whether they are unbalanced with respect to separately priced line items or sub-line items. An offer that is determined to be unbalanced may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

The total evaluated price will include the sum of the transition period, base period, all option periods, and the six-month extension authorized in FAR 52.217-8. Evaluation of options will not obligate the Government to exercise the option(s). Contractors shall propose fixed price labor rates for both Government Site and Contractor Site. The Government reserves the right to conduct a realism analysis to determine whether the fully burdened rates quoted are too low for the work to be performed and poses a performance risk to the Government.
