About this file
This document is a Justification and Approval (J&A) for Other than Full and Open Competition for the Defense Health Agency's Enterprise Intelligence and Data Solutions (EIDS) program. The document seeks to extend a bridge contract with SpinSys-Dinè, LLC for six months, from 26 July 2024 to 25 January 2026, under the contract HT003824C0005. The services include program management, operations, systems engineering, and cybersecurity activities across multiple product lines such as Data Solutions, Data Science and Innovation, Presentation, Applications, Office of the Chief Engineer, and IT Operations.
The J&A justifies the sole-source extension based on SpinSys being the only vendor with current knowledge and expertise to continue services without interruption. Market research included a pre-solicitation notice and a Request for Information (RFI) that yielded 47 responses from potential vendors, but none were deemed fully capable of meeting the immediate requirements. The extension will provide EIDS time to strategize and implement a competitive procurement approach for the Military Health System Information Platform (MIP) and related services. Critically, the contract extension aims to prevent disruptions in data services that could impact Veterans Affairs claims processing, military medical treatment facilities, and overall end-user readiness.

Control Number: FY25-
Justification and Approval (J&A) for Other than Full and Open Competition Federal Acquisition Regulation (FAR) Part 6
1. Identification of the Agency and Contracting Activity: The Defense Health Agency Contracting Activity, Defense Healthcare Management Systems Contracting Division (DHMS-CD), Enterprise Intelligence and Data Solutions (EIDS).
2. Nature and/or Description of Action being Approved: This J&A is to extend the current bridge contract for six months, increasing the ceiling from by to
3. Description of Supplies/Services and Estimated Value: On 26 July 2024, a Firm Fixed-Price bridge contract, HT003824C0005 Continuity of Operations, was awarded to SpinSys- Dinè, LLC (SpinSys) under the authority of FAR 6.302-1, Only one responsible source, for a total price of
. J&A- was approved on 26 July 2024.
The current action is to support the continuation of services which include program management, operations, systems engineering and cybersecurity activities. Spinsys currently provides the necessary resources to maintain and operate products in the following EIDS product lines: Data Solutions, Data Science and Innovation, Presentation, Applications, Office of the Chief Engineer and Information Technology (IT) Operations.
Period of Performance Estimated Value Type of Funding HT003824C0005 26 July 2024 - 25 July 2025 *Extension of Services 26 July 2025 - 25 January 2026
Total *This denotes the estimated cost and period of performance for the subject request of extension of services.
4. Statutory Authority Permitting Other Than Full and Open Competition:
10 United States Code (U.S.C.) 3204(a)(1) as implemented in FAR 6.302-1 – Only One Responsible Source and No Other Supplies or Services will Satisfy Agency Requirements.
5. Rationale Justifying Use of Authority Cited: SpinSys, performs IT Operations, systems management and engineering support to EIDS Program Management Office (PMO). SpinSys is the only vendor that has the current knowledge and expertise to continue the services without interruption. No other vendor would have the ability to meet the immediate need and continue the services at this time.
Throughout Fiscal Years 24 and 25, EIDS performed a manpower assessment to establish the staffing necessary to perform acquisition activities to accomplish mission need. EIDS PMO conducted an exhaustive review of its product-platform requirements to develop scalable contracts that meet the PMO's evolving needs. This includes consolidating redundant activities, designing contracts that maximize value within each domain, and recompeting existing requirements.
Extending services will provide the EIDS PMO with the time needed to strategize and implement the best approach for contracting the modernization and sustainment of the Military Health System Information Platform (MIP), additional EIDS services and capabilities, and the necessary analytical tools. This extension will also provide EIDS with sufficient time to compete this requirement, effectively eliminating the need for another sole source bridge contract in six months.
The loss of these operation and support services will decrease military, Veterans Affairs (VA) and other end user readiness and patient safety with decreased availability of online information, increased response time for trouble tickets, and potential loss of critical applications. This will also increase the cost to the Government as systems that are due for decommission are continued in sustainment due to the inability of data ingestion into the MIP. The services for CarePoint, Defense Medical Surveillance System, Data Sharing System (DSS), Pharmacy Enterprise Data Warehouse, DAVINCI, Shared Services, Data Solutions and managed system/lifecycle support levering, Development, Security, and Operations implementation are included. During this period of time, decommissioning planning for DSS will be conducted to integrate capabilities into the MIP.
If services are not extended, the VA’s claims processing for Service members and Veterans will be impacted because system data will not be available. Military Medical Treatment Facilities will have reduced capabilities as data systems will not be maintained to provide the most up to date content.
Additional program office functions necessary to manage configuration management, process documentation and management and other functions will be delayed and will negatively impact users.
6. Efforts to Obtain Competition: A pre-solicitation notice was posted to SAM.gov on June 23, 2025 and closed on June 30, 2025. In response, the government received one capability statement from
While capability statement indicated a solid presence in Cybersecurity and Advisory services, the technical reviewers for EIDS determined that their capabilities did not fully align with the requirements for continued services within the MIP. Specifically, the work requires additional capabilities and experienced knowledge of the MIP IT environment and ongoing projects within the MIP. While could potentially meet the need, the transition time and associated learning curve presented an unacceptable risk of disruption to critical services. The Government's determination was based on the need for immediate access to sensitive data, the complexity of the existing system, and the short timeframe between the transition of two contractors.
Therefore, due to the urgent need to maintain continuity of services, it was determined that SpinSys is the only source capable of meeting the Government's requirements within the required timeframe.
To further inform market research efforts, a Request for Information (RFI) was posted on February 11, 2025. Details of the RFI, including responses received and analysis, are found in Sections 8 and 10 of this document. Future requirements for managing and operating the MIP will be competed under a full and open competition.
7. Actions to Increase Competition/Remove or Overcome any Barriers to Competition:
Future contract scope will be reviewed to determine the needs of the program and will not be limited to individual products, applications and services. This strategic planning will reduce duplication of efforts across the portfolio, develop economies of scale and potentially reduce the overall lifecycle cost by performing a full and open competition for all related follow-on work.
Since July 2024, EIDS has restructured and adopted a product-platform operating model. This contract initiated the final transfer of management and acquisition responsibilities from Naval Information Warfare Center Atlantic to EIDS. While this transition enabled a rapid shift, it revealed duplication of services across multiple contracts, complicating management and execution of requirements. This fragmented approach has led to inconsistent service delivery, misaligned team priorities, inefficient resource allocation, and challenges in maintaining cohesive program oversight.
Furthermore, the current contracting model is inadequate for EIDS' new product-platform priorities and lacks the necessary capabilities and roles. The EIDS PMO currently relies on ten separate contracts to supplement staff and support the MIP and its infrastructure. A streamlined support model will improve collaboration, enhance oversight, empower technical teams, and optimize resource use.
8. Market Research:
Market Research Conducted: Yes
When was it conducted: 25 Mar 2024 – 27 Mar 2024; Feb 11, 2025 – March 22, 2025
Searched Government-wide databases (e.g. SAM.gov, FPDS, Interagency Contract Directory, SBA Dynamic Search), reviewed prior acquisition history for similar requirements, and reviewed the results of recent market research to meet similar requirements. Conducted interviews with current EIDS Government task managers to determine if there were other vendors capable of performing the work. The outcome was that multiple large and small businesses would be capable of performing the required work.
Additionally, a Request for Information (RFI) was issued on February 11, 2025, and posted on SAM.gov to gather capability statements and technical responses from industry. The RFI specifically targeted the following service domains:
Data Product Management Technical Data Governance Data Exchange Services Data Solutions Services Cloud Services User Interface/User Experience (UI/UX) Services
The RFI included detailed questions to assess vendors’ capabilities, domain expertise, understanding of DoD environments, and suggested competition strategies. Vendors were also asked to provide input on existing deliverables and propose improvements.
A total of 47 responses were received, including 25 from small businesses and 22 from large businesses, indicating strong market interest and depth of capability across industry. This robust market research report, which supports the EIDS Acquisition Strategy signed on May 25, 2025, confirmed that no single vendor can meet all of EIDS' requirements. This finding reinforces the EIDS plan to re-align requirements into distinct domains as the pivotal point for future procurements, enabling a more effective and competitive approach.
However, while this extensive market research identified numerous potential sources for future requirements, the limited timeframe prevents a competitive award for this immediate action.
Therefore, to avoid a disruption in critical services, the incumbent SpinSys-Dinè is the only contractor that has the extensive knowledge and experience for continuance of the existing work scope within the required timeframe. The EIDS PMO remains committed to leveraging the findings of this market research to enable a more effective and competitive approach for the follow-on procurement, by re-aligning requirements into distinct domains.
9. Other Facts:
a. Procurement History:
(1) Is this a new requirement? No
(2) If 9.a.(1) is No, was the action just prior to this one competed? No
(3) If 9.a.(2) is Yes, what has changed where this action cannot be competed? N/A
b. Additional Information: No additional information.
10. Interested Sources: Yes, there are interested sources. As referenced in the "Market Research" section above, the RFI issued on February 11, 2025, yielded 47 responses (see chart below) from a variety of large and small businesses expressing interest in providing these types of services.
However, due to the limited timeframe to award this extension and the need to avoid a disruption in critical services, the incumbent SpinSys-Dinè is the only contractor with the requisite knowledge and experience to seamlessly continue the existing work scope. This action will be synopsized in sufficient detail to comply with the requirements of FAR 5.207, ensuring we maximize competition for the follow-on procurement, anticipated for release on or about November 15, 2025.
