CDS Procurement Proposed Due Diligence Insert 12 October 2016 Pre-solicitation Announcement draft language for due diligence event.
The term “due diligence” is used in acquisitions to describe the period and process during which an agency affords competitors the time and opportunity to become knowledgeable about its needs in order to propose a competitive solution. Due diligence usually includes meetings with key agency people necessary to develop a competitive solution tailored to agency requirements. Due diligence is based on the belief that the more contractors understand about an agency’s objectives, problems, and constraints, the more likely they will be able to provide a superior solution.
The Government intends to exercise due diligence during this pre-solicitation period to afford industry the ability to learn more about the Government’s needs within the CDS program after reviewing the draft CDS Request for Proposal (RFP) documents and other documentation. Note these documents for the RFP are in draft form and the Government reserves the right to change them. Additionally due diligence shall provide a private space for offerors to have a substantive conversation with the Government without the fear of sharing proprietary information with their competitors during the exchange.
The estimated due diligence timeline is as follows:
· October 12th – Release pre-solicitation notice on FBO with series of available ‘draft’ documents available on the Sharepoint site (See Below)
· October 19th – Offerors notify government to confirm interest and present topics for discussion
· October 21st – Government schedules one-on-one meetings with offerors (30 min time slots)
· October 25-26th – Conduct industry engagement
· November 30th – estimated formal RFP release The Government shall provide access to the following DRAFT documents:

To request access to the draft documents and the Virtual Reading Library, please contact Eugene Luke at Eugene.Luke@fema.dhs.gov and provide the following information:
1. Company Name
2. Company Point of Contact
3. Company POC Email
4. Company POC Phone Number Two (2) days have been set aside for due diligence sessions. Participating offerors shall have a 30 minute time slot assigned to them. Within this time slot, the offeror should have the ability to discuss with the Government approximately 3-5 pre-submitted questions or topics of their choosing. It is the responsibility of the offeror to propose the exact number of questions they wish to discuss, based on the time allotted and the robustness of the content of their questions. A range for the number of questions offerors may submit is proposed to achieve standardization and fairness in the process, while providing flexibility to the offeror. The Government requests the submission of questions or topics in advance of the meeting to prepare responses to make the best use of the 30 minute window and to ensure that responses do not violate the procurement’s integrity. These meetings are voluntary, not participating does not preclude participation in any future RFP, if any is issued.
The basic tenets of due diligence govern this process:
· The Government is not bound by the answers given during the due diligence session.
· Questions and topics shall only pertain to the CDS procurement.
· Questions and answers from individual meetings shall not be shared with other prospective offerors unless information arises that is critical for responding to the requirements of the RFP.
· No documentation shall be exchanged at this meeting.
· The final RFP documents released with the solicitation (if applicable) shall govern.
Offerors interested in participating in due diligence must adhere to the following instructions:
By Tuesday, October 19th at 2:00 p.m. (EST), offerors must contact Mr. Barry Taylor / Michael Sutton, CDS Contracting Officer / Contracting Specialist, by email at Barry.Taylor@fema.dhs.gov / Michael.sutton@fema.dhs.gov and provide the following information:
