JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION
This Justification has been prepared in accordance with 41 U.S.C. 3304(a)(1)
SOLE SOURCE JUSTIFICATION
This Sole Source Justification has been prepared in accordance with 41 U.S.C. 1901 as implemented by Federal Acquisition Regulation (FAR) Subpart 13.5.

1. Contracting Activity: The Defense Counterintelligence and Security Agency (DCSA) Contracting Team in Boyers, Pennsylvania, proposes to enter into an agreement on a basis of other than full and open competition for DCSA Field Operations. This document is a sole source justification.
2. Description of Action: The proposed action is for a new sole source Firm Fixed Unit Price (FFUP) contract for toll aggregation services for the General Services Administration (GSA) lease vehicles in the agency fleet. The Period of Performance (PoP) of the anticipated action will be three (3) years, a 12-month base period and two (2) 12-month option periods. The total contract value, inclusive of option periods, is estimated to be .
3. Description of Services: The Government has a requirement for toll aggregation services.
Currently this requirement is being managed by eight separate purchase orders, and multiple other accounts managed via the Government Purchase Card. The current contracts expire 9/30/2019. The full requirement includes: providing transponder equipment, centralized billing, and customer support.
DCSA currently maintains approximately 2,200 GSA lease vehicles in the agency fleet for use by the Special Agents in order to conduct fieldwork on background investigations.
DCSA requires toll aggregation services to support the DCSA background investigation mission. DCSA conducts over two million personnel security investigations per year with over 900,000 of those requiring varying degrees of fieldwork based on the Federal Investigative Standards (FIS) and other investigative mandates. Due to the mission requirement and to increase efficiency, Special Agents may be required to travel on state toll roads nationwide. Providing a single method to travel on and pay for the use of these toll roads will allow DCSA to streamline the investigative travel process and decrease administrative burden.

4. Authority Cited: Simplified Procedures for Certain Commercial Items, 41 U.S.C. 1901 as implemented by FAR Subpart 13.5.
5. Reason for Authority Cited: Through market research, DCSA determined that there are no vendors other than Bestpass, Inc. that offer the services required by the Government in order to manage toll road expenses for the GSA lease vehicles in the agency fleet. Bestpass, Inc. is the only vendor found to offer toll aggregation services to the Government and currently has three other Government customers to include Army, Navy, and Air Force.
Therefore, based on the rationale provided, the Government intends to solicit only one source (Bestpass Inc.) for this requirement.
6. Efforts to Obtain Competition: Market research found there to be no other vendor that has the capability or provides this service for government fleets. On August 23, 2019, a search of the AbilityOne Procurement list did not yield a vendor/service that could readily perform this activity. A search of GSA on August 23, 2019 did not indicate a Federal Supply Schedule that could meet this need. Additionally, on August 23, 2019, a search of https://www.contractdirectory.gov/contractdirectory/ did not yield an already existing IDIQ that our agency was authorized to order against that could meet the requirement.
An internet search found three other vendors (National Pass, PlatePass, and PrePass) that provide similar services; however, upon contact these three vendors either only cater to a specific type vehicle (semi-trucks, rental vehicles) or their services would not meet those needed by the Government. On August 12, 2019, National Pass was contacted and indicated that National Pass is not a nationwide transponder and does not allow for multiple vehicles on one account, nor did the company allow for commercial fleet or Government accounts.
National Pass was determined to not meet the necessary requirements as the Government wishes to have a toll aggregation services under one account. PrePass and PlatePass were contacted on August 13, 2019. Upon contact, it was found that PrePass uniquely serves Semi-Truck operators and PlatePass is a proprietary service offered only for rental cars owned by Hertz & Enterprise. Neither PrePass nor PlatePass offer services that will fulfill the Government’s requirement.
Bestpass, Inc. has been identified as being able to perform this service and a search of SAM on August 23, 2019, indicated that they are available for "All Awards" with no active exclusions. Bestpass, Inc. has a NAICS code of 488490 with a size standard $8M as a large business.
In addition, for this action, the Contracting Officer will publish the notices required by FAR
5.201 and will consider any capability statements received.
7. Fair and Reasonable Price Determination: The Contracting Officer has determined that the anticipated price to the Government will be fair and reasonable. This determination is based on the existence of historical prices paid for the same or similar services and the Government’s ability to compare proposed prices against the historical data and the prepared independent Government cost estimate. Additionally Bestpass, Inc. has a published price list.
These two comparative price analysis techniques will ultimately drive the Government’s determination of fair and reasonable pricing for any resultant purchase order.
8. Market Research: A thorough search on www.contractdirectory.gov, and on the AbilityOne Procurement list was completed and resulted in no potential sources. The GSA eLibrary website was searched extensively for these services; however, any results found did not fully meet the Government Toll Aggregation Services requirement.
In early 2019, DCSA conducted market research, which included extensive internet searches for means of obtaining toll aggregation services. Several vendors (i.e.; National Pass, PrePass, PlatePass) offered toll aggregation services for unique markets (i.e. semi-trucks operators, rental vehicles) or were not capable of offering services to the Government.
Upon researching Bestpass, Inc. it was ascertained that Bestpass, Inc. could meet the requirements in that they offer transponder options that cover the majority of the areas needed by the Government, a centralized billing system, and customer support. Bestpass, Inc. also provided information on two other Government contracts which already use Bestpass, Inc. services - Army and Navy. Both the Army and Navy contacts indicated that Bestpass, Inc. was the only company found that could meet their necessary requirements for toll aggregation services.
9. Other Facts: By aggregating these services, DCSA will greatly reduce administrative burden by having to manage one contract instead of multiple contracts/accounts. This will also lessen any risk involved in administering multiple contracts/accounts.
10. Interested Sources: No other vendors have expressed an interest in this requirement.
11. Actions to Remove or Overcome Barriers to Competition.
The Government will continue to conduct market research to survey the market in an effort to identify other business that can fulfill the requirements of this acquisition. If other business are deemed to be capable of fulfilling the follow-on acquisition to this requirement, the follow-on acquisition will be competed to the maximum extent practicable.
