Sole Source Justification

1. Agency and Contracting Activity: Office of Secretary of Defense, Defense Microelectronics Activity (DMEA).

2. Nature/Description of Action: Approval is being requested for a new Firm Fixed Price contract to decommission and pack- -ray Nanoscope System.

3. Description of Supplies/Services: In support of DMEA and the United States Government (USG) microelectronics mission, DMEA procured a custom Zeiss XRadia Ultra 800 X-ray microscope to image integrated circuits.

4. Authority Cited: FAR 13.106-1(b), Soliciting from a single source.

5. Reason for Authority Cited: 800 X-ray microscope is a unique tool manufactured and developed by Carl Zeiss USA. Carl Zeiss USA is the developer of proprietary hardware and software components needed for the equipment to operate at Original Equipment Manufacturer (OEM) standard and recommendations. Carl Zeiss USA is the only know company in the market that have access to the proprietary software and hardware information to properly disassemble and crate the X-ray microscope.

6. Efforts to Obtain Competition: Due to the finding from market research, paragraph 8, there were not additional efforts to obtain completion.

7. Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable base on market research and the IGE.

8. Market Research: The OEM does not certify any third-party entities to perform maintenance or service on their tools. Manufacturers of similar specialized imaging tools, like Checkpoint Technologies and EDAX, also do not authorize third parties to maintain or service their equipment.

The Government may reject any or all quotations. The Government reserves the right to cancel this solicitation at any time. The Government will not reimburse any proposal preparation costs or other expenses incurred to respond to this notice.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Invoicing, Receipt, Acceptance and Property Transfer (iRAPT) Submittal Instructions (DMEA #S16-012)

a. The Invoicing, Receipt, Acceptance and Property Transfer (iRAPT) system via Wide Area Workflow (WAWF) is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

b. To access iRAPT, the Contractor shall—

i) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

ii) Be registered to use WAWF at https://wawf.eb mil/ following the step-by-step procedures for self-registration available at this web site.

c. WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through iRAPT. 1.0 SCOPE:

1.1 TITLE: X-ray Nanoscope System Decommissioning

1.2 APPLICABILITY: Defense Microelectronics Activity (DMEA), Semiconductor Assurance Forensics Engineering (SAFE)

1.4 PURPOSE: To purchase a service contract to decommission and pack-up DMEA’s X-ray Nanoscope System in its current location.

3.0 REQUIREMENTS:

3.1 GENERAL REQUIREMENTS:

3.1.1 RESERVED

3.2 PROGRAM MANAGEMENT: None

3.3 TASK REQUIREMENTS:

3.3.1 QUALIFICATION REQUIREMENTS: The contractor shall be fully trained and qualified, according to the Original Equipment Manufacturer (OEM). If the personnel performing the tasks are not doing so on behalf of the OEM, the contractor shall provide a written statement from the OEM regarding the qualifications of the personnel performing the decommissioning. The OEM for the X-ray Microscope is Carl Zeiss X-ray Microscopy, Inc. The OEM for the X-ray Source is Excillum, AB. The contractor shall obtain authorization from the OEM that their performance against this PWS will not affect the status of the Preventative Maintenance Service Contracts that are in place for the Zeiss Xradia Ultra-800 or the Excillum MetalJet D2+, HQ072718C0007 and HQ072718P0027, respectively. The letter of authorization shall state which paragraphs of this PWS the personnel are qualified and authorized to perform.

3.3.2 DECOMMISSIONING REQUIREMENT: The contractor shall evaluate the condition of the X-ray Nanoscope System The contractor shall decommission the X-ray Nanoscope System according to the following sub-paragraphs.

3.3.2.1 Zeiss Xradia Ultra-800 Microscope Decommissioning: The contractor shall disassemble the X-ray Microscope such that it can be re-installed at another location at another date and operate at a level meeting the OEM specifications of the tool. Prior to moving any equipment, the contractor shall remove all hazardous material (Gallium, Beryllium, Indium, etc…) and shall separately store in a suitable handheld container. The contractor shall pack up the X-ray Microscope in a crate

The contractor shall package the Peripherals into ancillary crate(s) or Pelican style boxes.

3.3.2.2 Excillum MetalJet D2+ X-ray Source Decommissioning: The contractor shall disassemble the X-ray Source such that it can be re-installed at another location at another date and operate at a level meeting the OEM specifications of the tool. Prior to moving any equipment, the contractor shall remove all hazardous material (Gallium, Beryllium, Indium, etc…) and shall separately store in a suitable handheld container. If this task involves classified data, the contractor shall deliver classified data in an appropriate manner to only those recipients specifically indicated in the distribution list below. For all other recipients, the contractor shall send only a cover letter in lieu of the classified data. The contractor shall ensure the security of unclassified DoD information on non-DoD information systems in accordance with DoDI 8582.01, 6 Jun 2012.
