This SPECIAL TOPIC Broad Agency Announcement (BAA) is intended to fulfill requirements for scientific study and experimentation directed toward advancing state-of-the-art technologies and/or increasing knowledge and understanding as a means to identify and develop robust innovative concepts, stimulate technology innovation, and exploit breakthroughs in science. This BAA identifies MDA research/exploratory development areas of interest and provides prospective offerors information on the preparation of WPs along with evaluation factors. THIS BAA DOES NOT FOCUS ON SPECIFIC SYSTEMS OR HARDWARE SOLUTIONS.

Ballistic Missile Defense System (BMDS) Advanced Technology Mission Assessment Architecture (BATMAA)
SECTION I: INTRODUCTION:
This publication constitutes a “SPECIAL TOPIC” Broad Agency Announcement (BAA) issued under the provisions of Federal Acquisition Regulation (FAR) 6.102(d) (2), providing for the competitive selection of research proposals. Contracts based on responses to this BAA are considered to be the result of full and open competition and in full compliance with the provisions of Public Law 98-369 sec. 2701, "The Competition in Contracting Act of 1984." Any contracts awarded from this BAA must comply with the International Traffic in Arms Regulation (ITAR) and the Export Administration Regulation (EAR).
The Missile Defense Agency (MDA) will not issue paper copies of this announcement. MDA reserves the right to select for award and fund all, some, or none of the WPs in response to this announcement. The cost of preparing WPs for responding to this BAA is not considered an allowable direct charge to any resulting contract, or to any other contract. However, it may be an allowable expense to the normal bid and proposal indirect costs as specified in FAR 31.205-18. It is the policy of MDA to handle all WPs and proposals submitted under this BAA, as sensitive, competitive information and to disclose their contents only for the purposes of evaluation.
This BAA is intended for proposals related to advanced concept technology development and that part of development not related to the enhancement of a specific system or hardware procurement. Work funded under this BAA may include applied research and advanced technology development that is not related to the development of a specific system or hardware procurement. This BAA is used to fulfill the MDA’s requirement for scientific study and experimentation directed toward advancing the “state-of-the-art” or increasing knowledge or understanding, rather than focusing on a specific system or hardware solution.

Response Date:
This announcement shall remain open until January 31, 2018 unless superseded, extended, canceled or replaced by a successor BAA, whichever first occurs. WPs maybe submitted at any time during the BAA open period (December 6, 2017 through January 31, 2018).
MDA may issue Request for (pricing) Proposals (RFPs) up to six months (July 31, 2018) following the closing date for this BAA announcement only for WPs submitted during the BAA open period.
Anticipated Awards:
Multiple awards are anticipated under this BAA. MDA is under no obligation to make any awards. The number of awards made under this BAA will depend on the quality of the WPs received and the availability of funds.
Total Funding Availability for Award(s):
MDA does not have a specified amount of funding available for BAA awards. No funding has been specifically reserved for this announcement at this time. However, funding may be provided throughout the open period of this BAA to pursue promising and innovative concepts of interest with any and all qualified sources.
Funding of research within MDA areas of interest will be determined by funding constraints and priorities set during each fiscal year budget cycle between June and September. Recommended timeline for this special topic BAA is:
December 2017 through January 2018 – Submit WPs February 2018 – Review/evaluation process March 2018 – Source Selection Authority determination and notification of selections April 2018 – Contract award
Types of Instruments that may be Awarded:
Awards as a result of this announcement, will take the form of a contract, although the government reserves the right to use other types of contractual instruments if deemed more appropriate for the proposed work. Any contract awards resulting from this BAA will incorporate the appropriate FAR, Defense Federal Acquisition Regulation Supplement (DFARS) and local MDA clauses.

Any research conducted on or resulting from contracts awarded from this BAA must comply with United States Laws and regulations on “Export Control,” including the ITAR and the EAR. MDA approval is required prior to any non-U.S. citizen performing on a BAA contract, including classified work.
SECTION III: RESEARCH OPPORTUNITY DESCRIPTION:
A. Background.
The Missile Defense Agency (MDA) is responsible for developing a Ballistic Missile Defense System (BMDS), integrating land, sea, air, and space-based assets to defend the United States, friends and allies, and deployed forces from ballistic missile attack of all ranges and in all phases of flight to include left of launch. MDA works to meet the challenges of the emerging threat as it increases in number and sophistication. In order to utilize and leverage the maximum number of current capabilities, an integrated, all source performance assessment capability is needed to accurately assess the effectiveness of technologies that integrate left and right of launch concepts.
B. Synopsis.
MDA requests WPs from competent U.S. small business offerors for fulfilling a small business set-aside contract award. The specific area MDA is considering in this announcement is an automated / integrated modeling, analysis, and performance assessment capability to assess new technology concepts associated with the complex interactions between left and right of threat missile launch. The Agency envisions the integrated development of models, simulations, and analysis toolsets ranging from quick-turn high-level systems analysis tools to high-fidelity simulations of individual concepts through system-level representations. The WP should also describe in detail how an automated / integrated approach would be used to make assessments across a broad range of potential technologies including but not limited to sensors, weapons, and data-fusion algorithms: Command, Control, Communications, Computers, Intelligence, Surveillance, Reconnaissance (C4ISR), and Processing, Exploitation, Dissemination (PED). WPs may be submitted UNCLASSIFIED, or at the collateral SECRET or TOP SECRET (TS) Special Compartmented Information (SCI) levels. Suppliers should have a TOP SECRET facility clearance with minimum facility storage capability at the SECRET level at the time WPs are submitted.
C. Description.
The Missile Defense Agency (MDA) is interested in an integrated modeling/analysis capability to assess candidate technologies and architectures covering all-source integration of left and right of launch. The capability should be inclusive of all model development and data analysis capabilities required to assess the integration of left and right of launch.
This effort requires a diverse team of analysts and systems, algorithm, software, and simulation engineers to provide research and development (R&D) for innovative engineering and analysis approaches for the design, development, documentation, delivery, support, and sustainment of advanced technology concept models, simulations, visualizations, and tools.
Solutions using innovative approaches for software tools to assess and analyze performance of technology concepts beneficial to future Ballistic Missile Defense System (BMDS) and contribute to an integrated multi-source left/right architecture is requested. Submissions can address end‐to-end concepts as well as concepts that could be inserted.
Reliance on an independent government simulation and assessment laboratory is the foundation for Advanced Technology’s "smart buyer" approach to technology concept assessment; an environment where industry and Government engineering teams work collaboratively. Performers are required to maintain a "TOP SECRET" (TS) clearance with up to SENSITIVE COMPARTMENTED INFORMATION (SCI) and SPECIAL ACCESS PROGRAM (SAP) protocols. The Government’s Modeling, Simulation, Software, and Analysis (MSSA) laboratory primarily located on Redstone Arsenal in Huntsville, Alabama, is the primary development site for all products. The Government provides full-time Information Technology (IT) support for the Lab, administers analysis and simulation workstations connected to a high-performance computing cluster. Workstations currently use RedHat Enterprise Linux 6.8 and Windows 10 Enterprise operating systems. The lab is not required to be staffed 24 hours a day, but is certified for continuous operation and unattended processing.
D. Additional Capabilities.
Topics required to be addressed in the white paper include:
1) Innovative approaches to technology concept analysis using high fidelity, closed-loop, physics-based models. Include previous experience conducting similar high fidelity analysis over the past five years.
2) System and mission-specific analysis capabilities including development, staffing, approval, and maintenance of analysis plans and guidelines. Ability to analyze and aggregate very large data sets into coherent, understandable WPs and briefings for senior leadership.
3) Ability to conduct quick-turn analysis for configuring models, executing simulation runs, aggregating data and developing briefings.
4) Innovative approaches to Model-based systems engineering, simulation and software development. Include in your description; commercial-off-the-shelf (COTS) software, government-off-the-shelf (GOTS) software, and non-developmental simulations immediately available.
5) Weapons system modeling and analysis.
6) Electro-Optical (EO)/Infrared (IR) sensor modeling and analysis.
7) Radio Frequency (RF) sensor modeling and assessment.
8) Threat modeling and analysis.
9) Development of integrated end-to-end simulations of a diverse set of varying sensor and weapon system technologies.
10) Development of tactical representative algorithms for all source control, tasking, tracking, classification, identification and targeting.
11) Development of fast-running simulation testbeds capable of evaluating the performance of government and industry concepts.
12) Ability to benchmark, anchor, and establish uncertainty and confidence levels in models and modeling inputs.
E. White Paper Responses.
1) With the exception of specific submission instructions for this special topic located in paragraphs 4 through 6 below, the WP submission, evaluation, and award selection for this special topic is in accordance with the Section VI Application and Submission Information, Section VII Evaluation Information, and Section VIII Award Selection.
2) The WP submission deadline for this special topic is January 31, 2018.
3) The WP, including any annex(s), shall not exceed 25 pages in length.
4) WP submissions may be UNCLASSIFIED or CLASSIFIED and are acceptable up to and including TOP SECRET, SENSITIVE COMPARTMENTED INFORMATION (TS/SCI), and or SPECIAL ACCESS PROGRAM (SAP) in order to describe the offerors innovative approach. UNCLASSIFIED WPs and questions shall be submitted to the technical point of contact; Mr. Richard Paladino at richard.paladino@mda.mil with a copy to the contracting officer, Mr. Jacob Bierman at jacob.bierman@mda.mil. CLASSIFIED WPs and questions shall be submitted to the technical point of contact at richard.paladino@mda.smil.mil, and to jacob.bierman@mda.smil.mil, in accordance with the National Industry Security Program Operating Manual (NISPOM).
5) If desired, the higher classification level information may be segregated into a separate annex, and submitted separately; or the paper may be submitted as one document at the appropriate classification level.
6) If a responding company intends to submit a WP at a classification level above collateral SECRET, (TS/SCI or SAP), they are to contact Mr. Casey Walton at casey.walton@mda.mil, and Mr. Richard Paladino at richard.paladino@mda.mil to make necessary arrangements.
7) The appropriate Security Classification Guidance (SCG) or derivative classified source document must be followed by those interested parties submitting WPs. Contact the MDA Security Point of Contact (POC) listed below for specific classification instructions for any situation where no clear SCG direction is available or known, and the proposer believes the work, if successful, would merit classification due to either technical and/or quantitative performance or capabilities. Offerors must possess all required personnel security clearances, facility clearances, and other infrastructure requirements necessary to conduct or perform such classified work.
8) If an offeror (if selected) requires additional Government Furnished Information (GFI) for contract performance, refer to information in paragraph G. below. Offerors are requested to identify the GFI in their WP, to include title, description, rationale, date required and impact if not received.
9) Suppliers past performance records indicating relevant expertise within five years should be provided. Include information such as contract number (indicate if your role was a prime or subcontractor), organization supported, contract value, Government points of contact (current telephone numbers and e-mail addresses), and a brief description of how the contract referenced relates to the WP approach.
10) The performance periods are anticipated to vary in duration based on the proposed solution, but will not exceed 5 years in duration. Inclusion of contract options is at the discretion of the Government.
11) The Agency envisions multiple contracts awarded through July 2018.
12) Innovative, proprietary WP submissions will be accepted. However, if chosen, the Government requires unlimited rights, only non-proprietary solutions will be accepted. All models, algorithms, simulations, and/or software used on or developed for this contract will be non-proprietary with unlimited rights in Technical Data as defined in the DFARS 227.7103-5. Exceptions are expected for Commercial-off-the-Shelf (COTS) software (e.g. MATLAB).
F. Marking.
WP submissions must comply with the instructions set forth in this document. Potential sources are responsible for adequately marking proprietary information contained in their response. Offerors MUST mark any proprietary information as such on a page-by-page basis. CLASSIFIED documents must be marked, protected, transmitted, and handled IAW applicable NISPOM requirements.
G. Government Furnished Information (GFI).
The Government has made a significant investment in computing platforms and networks. Contractors will be required to develop all models and conduct all analysis in the government Advanced Concepts and Performance Assessment laboratory. All computer hardware, software and IT services will be provided by the Government. However, GFI will be provided, upon request, to aid in the preparation of WPs. Any technical data furnished by the Government in response to topic inquiries, is in an "as is" condition without warranty as to its accuracy, completeness, or adequacy.
The offerors shall use this technical data at their own risk. The Government assumes no responsibility for such furnished data/documentation, nor will the Government have any liability for a respondent's response should such data/documentation prove to be inaccurate, incomplete, or otherwise defective.
a) The following documents will be made available for WP preparation:
1. BMDS Security Classification Guide (SCG).
2. Network and computer hardware/software descriptions.
b) Most GFI is classified collateral SECRET or TOP SECRET Special Compartmented Information (SCI) level.
To receive the classified GFI, the respondent requires a facility security clearance of no less than "SECRET." A DD Form 254 will be issued with classified information. All requests must be submitted to Mr. Casey Walton at casey.walton@mda.mil using the Document Access Agreement/Request form, Annex 4. The contractor will also include Mr. Jacob Bierman at jacob.bierman@mda.mil.
H. Organizational Conflicts of Interest (OCI):
OCIs can deprive MDA of the independent, objective advice of its supporting contractors. OCIs occur when a contractor may be unable to provide impartial advice or assistance, when its objectivity in performing a contract is impaired, or when it may obtain an unfair competitive advantage. A contractor can obtain an unfair competitive advantage by obtaining access to non-public information or when it is in a position to favor its own products or services.
MDA maintains a strict OCI policy adhering the Federal Acquisition Regulation (FAR) Subpart 9.5. As a matter of general policy, contractors which provide advisory and assistance services to MDA, particularly in the Scientific, Engineering, and Technical Assistance (SETA), acquisition support, management support and quality assurance functional areas, cannot develop or support the development of MDA's research and development (R&D) efforts. This separation of contractual responsibilities is critical to ensuring MDA obtains the independent, objective advice it requires, particularly in establishing requirements for our major R&D efforts and in evaluating the performance of contractors performing those requirements.
All Offerors and proposed subcontractors must disclose in their WP submittal, whether they are providing any of the above mentioned advisory and assistance services or similar support to any MDA technical office(s) through an active contract or subcontract. All facts relevant to the existence or potential existence of an OCI (FAR 9.5) must be disclosed. All disclosures must state which office(s) the offeror supports, identify the prime contract numbers, provide a description of the services being performed and a preliminary non-binding OCI assessment addressing if an actual and/or potential OCI exists. WPs that fail to fully disclose existing and/or potential OCIs will be rejected without evaluation and withdrawn from further consideration for an award.
If a prospective offeror believes that an OCI exists and/or may exist, the offeror should promptly raise the issue with MDA by e-mailing their contact information and a summary of the potential conflict to the BAA Contracting Officer in Section III (I)(2) below for a formal assessment, prior to expending time and effort preparing a WP submittal.
1) MDA Technical, Engineering, Advisory, and Management Support (TEAMS)
Potential OCIs between TEAMS and other MDA acquisitions are highlighted in the MDA TEAMS OCI Memorandum incorporated into each TEAMS draft and final solicitation. Questions related to OCI issues or restrictions specific to a TEAMS solicitation/contract should be forwarded to the applicable TEAMS Contracting Officer by the prime contractor. Subcontractors supporting TEAMS are required to contact their applicable TEAMS prime contractor for any OCI issues or restrictions specific to a TEAMS subcontract.
DFARS clause 252.209-7009, Organizational Conflict of Interest—Major Defense Acquisition Program, is included in all TEAMS systems engineering and technical assistance (SETA) solicitations/contracts. For the purposes of applying the prohibitions identified in DFARS 252.209-7009, efforts for Advanced Concepts and Performance Assessment should be considered part of research, development, test and evaluation (RDT&E).
The MDA TEAMS contracts require attention by the BATMAA BAA Contracting Officers with respect to potential or actual OCIs. Each potential OCI must be examined individually on the basis of its particular facts, so please refer to Section F of this notice for instructions regarding a preliminary, non-binding OCI assessment for BATMAA BAA WP submittals.
2) Preliminary, Non-Binding OCI Assessments:
Individual contractors and contractor teams are invited to submit a request for preliminary, non-binding OCI assessments from date of this notice through submission of a WP under the BATMAA BAA. Please complete ANNEX 1 of this notice (BATMAA BAA OCI Analysis/Disclosure Form w/Instructions) and submit to the applicable POC per the submittal instructions provided in this announcement. The BATMAA BAA OCI Analysis/Disclosure Form once filled in/populated by the contractor will be treated as For Official Use Only (FOUO). Include a proposed Mitigation Plan, if applicable.
Note: It is responsibility of the contractors and contractor teams to ensure OCI analysis and disclosure forms are current, accurate, and updated to reflect any changes or new contract awards that may result in an actual or potential OCI for the BATMAA BAA competitions.
3) BATMAA BAA OCI Points of Contact (POC)
Submit all questions/comments concerning this notice and any requests for a preliminary, non-binding OCI assessment to the POC identified below, via e-mail. As part of the OCI assessment request, complete and submit ANNEX 1 of this notice (BATMAA BAA OCI Analysis/Disclosure Form w/Instructions (ANNEX 2), and include a Mitigation Plan, if applicable. Please annotate the BAA and applicable topic area in the subject line of the e-mail. Questions and comments must be received not later than the date the WPs are due, December 29, 2017.

SECTION IV: AWARD INFORMATION:
The funded amount and period of performance of each WP selected for award may vary depending on the research area and the technical approach to be pursued by the offer selected. In general, awards may consist of a one year (1) base period of performance with the potential for up to two (2) severable option periods, or a multiple year contract for subsequent performance.
Inclusion of options in any contract is at the discretion of the Government. The Government is also not obligated to exercise any options.
Awards may occur anytime during the open BAA period as well as six months after the BAA closing date. The Government reserves the right to select for award any, all, part, or none of the WPs received in response to this announcement. The Government intends to evaluate and recommend awards without discussions based upon its evaluation of WPs; however, the Government reserves the right to hold discussions if deemed necessary. Discussions with the points of contact shall not constitute a commitment by the Government to subsequently fund or award any proposed effort. Only Contracting Officers are legally authorized to commit the Government.
This effort requires the lead Principal Investigator (PI) and/or Program Manager (PM) and team members of offerors submitting a proposal under this program hold U.S. citizenship. Approval is required from MDA for any non-U.S. citizen to perform on MDA research contracts.
The BAA Special Topic may cover export controlled technologies. Research in these areas is limited to “U.S. persons” as defined in the International Traffic in Arms Regulations-22 CFR § 120.1 et seq.
Cost sharing is not expected and will not be used as a factor during the merit review of any WP hereunder. However, the Government may consider voluntary cost sharing if proposed.
SECTION V: ELIGIBILITY INFORMATION:
Eligible organizations for contract award for research in those areas covered in this Special Topic BAA are private industry, small business concerns. No portion of this BAA will be set-aside for Historically Black Colleges and Universities (HBCU) or Minority Institution (MI) participation, due to the impracticality of reserving discrete or severable items of this research.
Teaming partnerships are encouraged and teams may submit WPs in any and all areas. However, offerors must be willing to cooperate and exchange software, data, and other information in an integrated program with other contractors, as well as with system integrators, selected by MDA.
SECTION VI: APPLICATION AND SUBMISSION INFORMATION:
A. Submission Process:
This Special Topic BAA will utilize a two-step process. Step one will be the evaluation of the offerors WP submission. This step will preclude unwarranted efforts on the part of an offeror whose proposed WP is found to be of no interest to the MDA. Step two will be a request to submit a formal proposal for selected WPs that are found to be consistent with the intent of the BAA and which are of interest to the MDA.
Offerors are reminded that this BAA is for the acquisition of advanced technology for scientific study and experimentation directed toward advancing “state-of-the-art” technologies, increasing knowledge or understanding rather than focusing on a specific system or hardware solution. WPs related to the development of a specific system will not be accepted as they are non-conforming with (FAR) 6.102(d) (2).
WPs shall be accepted starting from the date of publication of announcement and continue to be accepted the entire period of time that the BAA is open, from December 6, 2017 through January 31, 2018.
MDA intends to use e-mail for all correspondence concerning HQ0147-17-S-0002. Unclassified electronic (e-mail) questions concerning this announcement shall be sent to the attention of the Contracting Officer, at E-mail: jacob.bierman@mda.mil.
The subject line of the e-mail shall read “HQ0147-17-S-0002 Special Topic White Paper Submission.” The WP must be a Microsoft Word compatible or .PDF format attachment to the e-mail. There is an e-mail size limit of 10MB per e-mail.
If you are interested in this opportunity, please respond to MDA with the following:
1) A WP (no more than 25 pages), which succinctly illustrates the proposed technical approach, as well as its rationale and objectives, methodology, expected results, and potential contribution to the MDA program.
2) WP Rough Order of Magnitude (ROM).
3) A suggested program plan.
4) A description of the offerors technical capabilities, relevant experience, and facilities.

B. Requirements of White Papers:
WPs shall address the entire suggested period of performance, including all options or phases proposed. The Executive Summary and Program Description as described below, shall not exceed the 25 page limit and anything beyond that limit will not be evaluated. The document shall have one inch margins on all sides and use 12 point font.
Offerors may mark their WPs with the restrictive language stated in FAR 52.215-1. It is the offerors responsibility to clearly define to the Government what is considered restrictive data in accordance with DFARS 252.227-7025.

i. Labeled with “BATMAA BAA WHITE PAPER” and include BAA Number HQ0147-17-S-0002.

2) Executive Summary: Describe the proposed program, objectives, and approach. A description of the innovation and benefits to MDA of the proposed approach and relationship to previous efforts should be discussed.
3) Program Description: Describe the techniques, methods, materials, or ideas that will be addressed in this white paper, their innovation, and to what degree they advance the state-of-the-art technologies. Also, describe any potential for commercial application and the benefits expected to accrue from commercialization. The effort shall be easily understandable and clearly severable between base periods and subsequent option periods.
4) Program Plan and Milestone Chart: (not included in page count) Describe in detail, the management plan, technical objectives and how the plan will be executed. Milestones should indicate when specific objectives are expected to be met in the overall schedule of the program and should identify the specific accomplishments necessary to proceed on to the next task. Describe in detail the critical path of activities for the entire research project and define areas of risk with the risk mitigation plan.
5) Description of Relevant Prior Work: (not included in page count) Include a list of both in-house efforts funded by internal research funds and contracts funded by others for the past 5 years. For each such effort, provide a list that includes the title of effort, contract number, funding organization (customer), and a brief summary of results. The PI, PM, and team members resumes should be included as a part of the submission for this area.

The cost of preparing WPs in response to this BAA is not considered an allowable direct charge to any resulting contract or to any other contract. However, it may be an allowable expense to the normal bid and proposal indirect costs as specified in FAR 31.205-18.
SECTION VII: EVALAUTION INFORMATION:
A. Evaluation Process:
The evaluation team will independently evaluate each WP submitted and provide written recommendations for award or non-award to the BAA Selection Official (BSO) based on a peer or scientific review process in accordance with FAR 35.016(d) and (e). Individual WP evaluations will be based on acceptability or unacceptability without regard to other WPs and proposals submitted under this BAA. WPs submitted will be evaluated as they are received.
B. Evaluation Criteria:
The evaluation factors of the WP include Technical Merits, Capabilities, Program Management, and Relevance to MDA as described below. These four factors are significantly more important than cost or price. Technical Merit is equally as important as Capabilities and Program Management combined. Capabilities are slightly more important than Program Management. Relevance to MDA has no relative rating.
1) Technical Merit. Does the proposed research exhibit scientific and technical excellence with relevance and importance to MDA goals and programs? Does the proposed research offer revolutionary concepts, stimulating technology innovation, or exploit breakthroughs in science to offer robust technology improvements to an element of the BMDS? Does the WP succinctly illustrate and clearly identify the proposed technology as well as, its rationale, objectives, methodology, expected results, and potential contribution to MDA?
2) Capabilities. Does the offerors key Principal Investigator and primary team members have previous experience working with the proposed technology or similar technology? Does the WPs demonstrate the availability of adequate facilities and instrumentation to perform the proposed task successfully? If appropriate, are adequate security measures indicated (e.g., controlled facilities, classified storage, personnel clearances, U.S. citizenship, and U.S. persons)?
3) Program Management. Does the proposed management plan and project timeline appear reasonable given the level of proposed work? Does the paper show the critical path of activities for the entire research project and define areas of risk with the risk mitigation plan? Are cost projections reasonable as associated to proposal tasks?
4) Relevance to MDA, priority, and available funding. These criteria will provide the final basis for award selections by the BSO and will be determined directly by the BSO. The ROM Cost will be used to determine if there are sufficient funds available for the proposed effort.
C. Evaluation Panel:
WPs submitted under this Special Topic BAA will be protected from unauthorized disclosure. The cognizant Program Manager and other Government scientific, engineering and technical experts will perform the evaluations and selections of the WPs under this BAA. Restrictive notices notwithstanding, one or more support contractors may be utilized as subject-matter-expert technical consultants.
The Government may use selected Federally Funded Research and Development Centers (FFRDCs), University Affiliated Research Centers (UARCs), non-government contracted support, and other non-governmental personnel to assist in the evaluation and administrative handling of WPs and proposals submitted in response to this announcement. These persons are bound by appropriate non-disclosure agreements and organizational conflict of interest statements to protect proprietary and source selection information.
Submission of WPs under this BAA constitutes the offerors acknowledgment and consent to the use of non-government support contractors during the evaluation process.
SECTION VIII: AWARD SELECTION:
The BSO will make selections for awards or non-awards based on the evaluation criteria noted above and MDA funding and technology priorities. The BSO will forward a list of award or non-award selections to the MDA/DV Contracts office for further action. The MDA/DV Contracts office will then notify selected and non-selected offerors of the evaluation decision and request formal proposals from the selected offerors. However, any notification received from MDA that indicates that the offerors WP has been recommended for award does not ultimately guarantee that the offeror will be awarded a subsequent contract.
Evaluations may take up to 6 months from receipt of WP to notice of selection or non-selection for award. If selected for award, the MDA/DV Contracts office will request a full technical volume and detailed cost proposal in a formal Request for (pricing) Proposal (RFP). Specific proposal instructions will be included in the RFP pricing package. DO NOT SUBMIT THE TECHNICAL AND COST PROPOSALS UNTIL YOU RECEIVE A REQUEST FROM THE CONTRACTING OFFICER FOR THIS INFORMATION.

ANNEX 3: ORGANIZATIONAL CONFLICT OF INTEREST (Jun 2012)
A. Purpose: The primary purpose of this clause is to aid in ensuring that:
1) The Contractor's objectivity and judgment are not biased because of its present or planned interests which relate to work under this contract;
2) The Contractor does not obtain unfair competitive advantage by virtue of its access to non-public information regarding the Government's program plans and actual or anticipated resources; and
3) The Contractor does not obtain unfair competitive advantage by virtue of its access to proprietary information belonging to others.
B. Scope: Organizational Conflict of Interest (OCI) rules, procedures and responsibilities as described in FAR Subpart 9.5 shall be applicable to this contract and any resulting subcontracts.
1) The general rules in FAR 9.505-1 through 9.505-4 and the restrictions described herein shall apply to performance or participation by the Contractor and any of its affiliates or their successors-in-interest (hereinafter collectively referred to as "Contractor") in the activities covered by this contract as prime Contractor, subcontractor, co-sponsor, joint ventures, consultant or in any similar capacity.
2) The Missile Defense Agency’s OCI policy is in ANNEX 3 of this announcement.
C. Access to and Use of Nonpublic Information: If the Contractor, in performance of this contract, obtains access to nonpublic information such as plans, policies, reports, studies, financial plans, or data which has not been released or otherwise made available to the public, the Contractor agrees that without prior written approval of the Contracting Officer, it shall not:
1) Use such information for any private purpose;
2) Release such information.
D. Access to and Protection of Proprietary Information: The Contractor agrees to exercise diligent effort to protect proprietary information from misuse or unauthorized disclosure in accordance with the provisions of FAR 9.505-4. The Contractor may be required to enter into a written non-disclosure agreement with the third party asserting proprietary restrictions.
E. Subcontracts: The Contractor shall include this clause in consulting agreements, teaming agreements, subcontracts, or other arrangements for provision of services or supplies of any tier. The terms "contract", "Contractor", and "Contracting Officer" shall be appropriately modified to preserve the Government's rights.
F. Representations and Disclosures:

1) The Contractor represents that it has disclosed to the Contracting Officer, prior to award, all facts relevant to the existence or potential existence of organizational conflicts of interest as that term is used in FAR Subpart 9.5.
To facilitate disclosure and Contracting Officer approval, the Contractor shall complete an OCI Analysis/Disclosure Form for each MDA, Ballistic Missile Defense (BMD), and BMD-related contract or subcontract (form shall be requested from the Procuring Contracting Officer).
2) The Contractor represents that if it discovers an organizational conflict of interest or potential conflict of interest after award, a prompt and full disclosure shall be made in writing to the Contracting Officer. This disclosure shall include a description of the action the Contractor has taken or proposes to take in order to avoid or mitigate such conflicts.
G. Remedies and Waiver:
1) For breach of any of the above restrictions or for non-disclosure or misrepresentation of any relevant facts required to be disclosed concerning this contract, the Government may: terminate this contract for default; disqualify the Contractor from subsequent related contractual efforts if necessary to neutralize a resulting organizational conflict of interest; and pursue such other remedies as may be permitted by law or this contract. If, however, in compliance with this clause, the Contractor discovers and promptly reports an organizational conflict of interest (or the potential thereof) subsequent to contract award, the Contracting Officer may terminate this contract for convenience if such termination is deemed to be in the best interest of the Government or take other appropriate actions.
2) The parties recognize that this clause has potential effects which will survive the performance of this contract and that it is impossible to foresee each circumstance to which it might be applied in the future. Accordingly, the Contractor may at any time seek a waiver from the Director, MDA, (via the Contracting Officer) by submitting a full written description of the requested waiver and the reasons in support thereof.
