01 (a), Page 36
The DRFP clause states in part that "For completion task orders, the fixed fee shall be prorated based on the percentage of work completed. If, at the end of each task order period of performance, the Contractor has not completed the task, the fee may be reduced to reconcile the fee entitlement." Yet FAR 16.306(a) provides for payment of a negotiated fee that is fixed at the inception of the contract.
The fixed fee does not vary with actual cost, but may be adjusted as a result of the changes in the work to be performed. Further in FAR 16.306(d)(1), the completion form requires the contractor to complete and deliver the specified end product (e.g., a final report of research accommplishing the goal or target) within the estimated cost, if possible, as a condition for payment of the entire fixed fee.
How will the percentage of work completed be determined? What is the fixed fee proration formula for work not completed?
The percentage of work completed will be determined by the execution of performance objectives within the PWS. Please refer to clause H-TEAMS-01 in the Final RFP.
2 Section L L-2.10, Page 6 Bidders’ Documents Library states: The documents will be made available for review in a Bidders’ Library located in
MDA’s Von Braun III facility, Redstone Arsenal, AL. Requests for access to the Bidders’ Documents Library shall be submitted utilizing the instructions at Attachment L-11.
Attachment L-11 Bidders Library is a collection of 248
Samples of document, memoranda, etc. There are not instructions regarding a request for access to the Bidders
Library.

Cover Letter
Cover Letter states: As you review the draft RFP you will see an opportunity to submit a request for an Organizational
Conflict of Interest (OCI) determination and a Cybersecurity
Plan for a non-binding assessment. These are due no later than June12, 2015.
Can the government extend the due date on these submissions?
Yes, offerors may still submit requests for an Organizational Conflict of Interest (OCI) determinations until 8 July 2015. The requirement for the Cybersecurity Plan has been deleted.
5 Section L L-10, Pages 17 - 18 Under the existing IDIQ, task orders were required to be re-competed after the initial two year contract period. Can offerors use the initially awarded task orders and the follow-on task orders as individual past performances?
Yes.
6 Section M M-4.0, Page 4 "The team will evaluate how the offeror identifies, evaluates, and resolves actual and potential OCIs; the adequacy of its

9 Section L L-10.2, Page 17 Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition.
Offerors shall include a “roadmap” describing all changes in the organization of the offeror and any teaming partners. As part of this explanation, show how these changes impact the relevance of any efforts identified for past performance evaluation/performance assessment. The "roadmap" should be both specifically applicable to the efforts identified and general enough to apply to efforts on which the Government receives information from other sources. This information will facilitate relevancy determination for contracts submitted for past performance. The organizational change roadmap is limited to a period of 3 years.
Typically Organizational Structure Change History is only requested for companies submitting past performance citations. Please confirm that this requirement only pertains to the Offeror and the teammates submitting past performance citations.

Microsoft Word Times New Roman 12 point font, single-spaced. Use at least 1-inch margins on the top and bottom and 1-inch side margins. Pages shall be numbered sequentially by volume. In the event the offeror creates an ambiguity, the Government may exercise its own discretion in counting pages. Special considerations will not be given for colors, pictures or unnecessary graphics. Other than the electronic media solicited, audio and video recordings, or any other electronic media (i.e., CD & tape) will not be accepted.
Please confirm that 8 point font is acceptable for use in the page header (e.g., title, volume title, solicitation number, and date) and 7 point for disclosure statement in the page footer.
The font size shall be 12 point for all documents.

The Contract Technical Lead is required to have both business and technical experience. The labor competency description reflects the educational and experience levels required to successfully perform the performance objectives in the PWS.

Will the Government provide specific hardware and software that the Offeror proposes that improves the review operational speed and accuracy in lieu of the hardware and software currently in use?

28 PWS 3.11 PO #11 g, Page 50 There is reference to an "MDA declassification tracking database”. Is that something that exists that we would need to pipe our results into, or is that what we are building?
The MDA declassification tracking database exists. Refer to the sample 216 Database Template.
29 PWS 3.11 PO #11 g, Page 50 What is the Document Declassification Support
System (DDSS)? Is that an external system we would need to interface with to publish the review results?
Or is that something we are building?
• DDSS is a Congressionally directed, unclassified system that supports the efforts of U.S. Government Executive Branch agencies in fulfilling their responsibilities under Executive Order (EO) 13526. It serves as a clearing house to facilitate unclassified notifications from one agency to another and provides the location and availability of equities encountered during declassification review.
• The DDSS interface is referenced in samples 217 DDSS Checklist and 222 How the MDA uses DDSS.

Attachment L-10 Throughout Section L, Attachment, L-10 Labor Competencies, Government Labor Competency Level Descriptions, the labor category descriptions are highly restrictive, not necessary to meet the Government’s needs and appear clearly focused on the current personnel performing the work to the exclusion of similarly highly qualified personnel sufficient to meet and exceed the SOW requirements. These labor category descriptions may be viewed as the equivalent of a de factor sole source determination in that they are so restrictive as to clearly limit competition to only certain companies.
Specifically, the senior positions are highly restrictive with regards to years of experience in the respective Performance
Work Statement (PWS) areas, and a requirement for the
Security Fundamental Professional Certification (SFPC) certifications.
What steps does the Government intend to take to remove the unfair competitive advantage created by the highly restrictive labor category descriptions for these labor categories?
The labor competency descriptions reflect the educational and experience levels required to successfully execute the performance objectives and are not more restrictive than necessary to execute the TEAMS Performance Work Statement.
31 Incentive Plan Section 3.2 In Section 3.2 (Quality Incentive Fee), the offeror states there will be a quarterly audit performed on production materials to verify documents are reviewed correctly and to tabulate any errors to justify the quality incentive fee. In the Section
3.11.b of the PWS, the offeror states that QC reviews will be conducted quarterly to ensure reviewers are operating at the correct declassification review level.
Will these quarterly audits for the incentive fee be in addition to or the same as the Level III reviews performed during production?
The quarterly audits for the incentive fee will be in addition to the
Level III review performed during production.
32 PWS 3.8 PO #8 D 7, Page 41 Section D, 7 states, “Conduct evaluation of contractors selected for award of Small Business Innovative
Research/Small Business Technology Transfer (SBIR/STTR).”
This very closely aligns with 3.1 Performance Objective #1:
International Security Program Execution, Section J, “Analyze
Small Business Innovative Research (SBIR), Small Business
Technology Transfer Program (STTR).” The same commonality is true for review of CFIUS cases.
Please clarify the delineation between the tasks in the
Acquisition System Protection and International
Security Program Execution objectives, respectively.
International Security (DIS) is responsible for coordinating with counterintelligence and general counsel to determine risk assessment involving foreign national or corporation participation.
DIS also reviews SBIR/STTR cases to determine if the work involves export-controlled information or could lead to involvement with export controlled information. Acquisition Security (Industrial
Security), as a member of the SBIR/STTR research council, provides input on SBIR topic and performs a FOCI analysis of the companies awarded a SBIR/STTR contract. Acquisition Security is responsible for FOCI. DIS serves as the single MDA POC with external government offices on CFIUS matters such as USD(AT&L) and DTSA, the MDA lead for CFIUS case processing, and develops the formal process for evaluating CFIUS cases. Acquisition Security provides
CPI, SCRM, and classified contract feedback as part of the broad
Agency response to CFIUS reviews. The PWS will be revised for clarity in the Final RFP.
33 PWS 3, Table 3.0, Pages 8 and 9
In Section 3, Table 3.0, each Performance Object is listed with locations as to where work for each respective objective will be performed.
Please quantify which sub tasks are performed at each location listed. For example, please quantify whether each task of Acquisition Systems Protection (PPP development, DD254 development, CPI identification, etc.) is conducted at DHL, COS, Falls Church, FGA, Ft. Belvoir, HSV, KAFB, and VAFB or whether only a subset of the tasks are performed at each location

Performance Objective #7: Information Security Program
Execution, Section J and their support to program protection is outlined in Attachment L-11 Bidders Library Sample 168.
However, matrix positions/support is not functionally described in any performance objective in the PWS.
Under what Performance Objective does matrix security support fall under? Will there be contractor matrix security support to MDA programs? If so, what programs will receive matrix support?
The PWS will be revised to show where matrix support is required in the Final RFP.

Attachment L-09 This table lists a total of 75 workstations across 8 sites. Does MDA anticipate utilizing the full number of 75 billets listed across the sites listed or do you anticipate shifting personnel among the geographic regions?
Attachment L-09 lists the maximum number of workstations the
Government will provide for on-site contractor personnel at each geographic location.
36 Section L L-10.7, Page 18 As stated, the Client Authorization Letters only appears to be required from commercial clients to use relevant past performance.
Please clarify whether the Client Authorization Letter is only required for commercial clients or is required for both government and commercial clients.
Yes, this is only required for commercial clients.
37 Section L L-2.10, Pages 6 & 7, Attachment L-11
The Bidders’ Documents Library has representative products and reference documents provided to assist in development of offerors’ proposals. The Government, while trying to ensure document applicability and currency, does not warrant the accuracy or compliance of the information contained in the Bidders’ Documents Library. All documents are subject to revision and change without further notice.
If information residing in the bidder’s library is outdated, the only group knowledgeable of the current procedures is the incumbent which gives them an unfair advantage. Would the Government consider revising their procedures and release all revisions to data contained within the Bidder’s Library to ensure fair competition?
The information provided in the bidder’s document library is updated and will be released with the final RFP upon request in order to level the playing field to ensure adequate competition.
38 Section L L-2.10, Pages 6 & 7 Bidders’ Library located in MDA’s Von Braun III facility, Redstone Arsenal, AL
Will the Government make this available on-line for those companies that do not have a current presence in Alabama?
The Government will make the bidders’ document library available on-site in Huntsville, AL.

The referenced sections in PO #11 do not match up with the current outline. It appears to be a typo, but as an example, Section 3.11.f (PG 52) references 3.11.1.d, 1-6 for the names of the external agencies to ship material to HSV for review. In this case, we believe the section that should be referenced is 3.11.a.4, a-f (PG
48). This also applies to the reference about
Section 3.11.1.e (PG 51).
The PWS will be revised in the Final RFP.

Can a business receive credit for more than one item, e.g., SDVO and HubZone if the % total meets or exceeds the combined total?
Yes. A small business can receive credit for every socio economic category it is qualified under.
41 Section M M-6.0, Factor F3:
Security Plan, 2nd paragraph
…the adequacy of processes for safeguarding classified materials and controlled unclassified information (to include handling storage and transmission) IAW the requirements fo the DD 254: and the soundness of its process for obtaining security clearances at time of award and throughout contract performance, including short-notice change orders.
Why are processes for safeguarding classified materials required when the DD 254 (section 11a) does not envision classified work at offeror's facilities?
Regardless of location, the contractor shall follow MDA requirements for safeguards per the DD254. Section 11.l provides input on the protection of CUI/FOUO within contractor spaces.

Declassification
Review Support, paragraph 3
…each team member who will perform reviews has one year or more of successful and progressive document review experience within the Department of Defense and basic technical knowledge of BMD related weapons systems engineering and design techical data prior to assignment to the task.
1. Is declassification experience at another USG entity, that is required to conduct declassification reviews, acceptable in lieu of explicit DoD experience?
2. How is this "basic technical knowledge of BMD related weapons systems engineering and design" defined? What metric is used to verify?
DoD experience is required for PO 11, as stated in the PWS.
Contractors must have a “basic technical knowledge of BMD related weapons systems engineering and design”. For this requirement, analysis performed in support of Performance Objective 11 is not comparable to a keyword search review.
The metrics for certified reviewers can be found in sample 220
Declass Training Plan.
43 PWS Paragraphs 3.1 - 3.11 Except for 3.9 Certification and Exam milestones and broad
3.11 declassification projections, the draft PWS does not provide sufficient metrics for Offerer to reasonably estimate
Government's level of effort (vice quality) expectation.
Without stated levels of baseline expectations specific to quantity, Offerers not currently performing similar tasks for
MDA are at a distinct disadvantage.
Will the Government consider specifying baseline or expected/projected level of support (quantity, element and location) of expected Deliverables for each Performance Objective category?

44 PWS Paragraph 3.9d SPeD (SFPC) certification access and authority/ability to obtain certification by contractors within USG and DoD external to MDA is severely limited, when available at all.
Workforce certification exam and certification goals, as written, severely limits Offerer's ability to recruit/hire prior to award outside of the current MDA work force. That combined with exam and certification milestones cited, provides a potential advantage to the incumbent and presents a distinct disadvantage to potential Offerers not currently performing the same/similar duties within MDA within the previous two-three years.
Will the Government consider revising the exam and certification milestones?

Analysis performed in support of Performance Objective 11 is not comparable to a keyword search review. Contractors must have a
“basic technical knowledge of BMD related weapons systems engineering and design”. The scope of knowledge is determined by the individual’s areas of work and years’ experience.
47 PWS Paragraph 3.11a & footnote
3.11a narrative specifies (approximates annual review projections of 13 millian items per year. Footnote at bottom of page 46 estimates between 12 and 13 million pages per year.
Are pages and items equivalent in these requirements?
Pages and items are interchangeable in the two specific examples listed.

Please specify/identify required MDA training/modules/certification requirements and periodic testing schedules.
Training requirements are listed in sample 218 Declass Training Plan.
Sample 229 Module is an example of the type of training module used for certification.

Access Programs [SAPs]) expected, particularly at contract initiation? Will the Government confirm that there are no polygraph requirements?
Security requirements are provided in attachment L-09. There are no polygraph requirements.
50 PWS Paragraph 8.2C Government Furnished Equipment (GFE) Will contractors be required to drive or otherwise operate Government owned/leased/rented motor vehicles? If yes, what associated requirements/licensing or other certifications will be required?
There is no requirement for contractors to drive or otherwise operate Government vehicles.
51 PWS Paragraph 8.3 Government Furnished Information (GFI) Will MDA provide the listed specialized training to supporting contractors?
MDA will provide specialized training for access to external agency websites and databases listed in PWS paragraph 8.3
52 PWS Paragraph 10 Option Requirements, Surge CLIN Does cited surge support refer to FTEs in addition to the staff providing support or compensated overtime for assigned staff?
PWS paragraph 10 states support may require personnel to work extended hours, to include weekends. The tasks to be performed are contained in the technical performance objectives and will be within the current contract period of performance.
53 Section L General Question As an offeror intending to bid as a prime on TEAMS
Security Programs, we added a subcontractor to our team that is performing tasks on the current MiDAESS contract under a different prime contractor. It is our understanding that the subcontractor’s current
MiDAESS prime contractor will not complete a Past
Performance Questionnaire (PPQ) for the subcontractor. Will the government allow the subcontractor to submit a PPQ directly to the
Government customer?
Yes, in accordance with Section L, para. L-10.4.
