About this file
This is a Justification for Other Than Full and Open Competition (JOFOC) for a sole-source bridge contract award.
The Department of War, Washington Headquarters Services, Acquisition Directorate intends to award a sole-source bridge contract valued at $23.6 million to Systems Planning and Analysis Inc. (SPA) to provide analytical, case management, technical, and administrative support to the Office of the Deputy Assistant Secretary of War for Industrial Policy (INDPOL). The contract will support foreign investment risk review and mitigation for the defense industrial base, specifically involving CFIUS case processing of approximately 300 cases annually. The performance period consists of a 6-month base period from June 19, 2026 to December 18, 2026 ($11,818,720.00) and one 6-month option period from December 19, 2026 to June 18, 2027 ($11,818,720.00). The contract will be firm-fixed-price with time-and-materials contract line items, funded with Fiscal Year 2026 Operation and Maintenance funds.
The sole-source award is justified under 10 U.S.C. 3204 and FAR 6.103-1 based on SPA being the only responsible source capable of providing immediate, uninterrupted services while the Government responds to a pending bid protest of task order HQ003426FE228, which was protested on June 8, 2026. SPA is the incumbent contractor with personnel already badged and onboarded; any alternative vendor would require 3-4 weeks for badging, onboarding, and security clearance processing, creating unacceptable mission delays and estimated costs exceeding $1.8 million annually. A Notice of Intent to sole source was posted on SAM.gov on June 10, 2026, closing June 12, 2026 with no competing responses. The Contracting Officer will determine fair and reasonable pricing using FAR 15.404-1 price analysis methods.

WASHINGTON, DC 20301-1155
ACQUISITIONDIRECTORATE
Th
WHS-2026- 2108
JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (JOFOC)
UNDER FEDERAL ACQUISITION REGULATION FAR SUBPART 6.103
1. AGENCY AND CONTRACTING ACTIVITY: The Department of War, Washington Headquarters Services, Acquisition Directorate (WHS/AD), Enterprise Acquisition and Sustainment Division (EASD) is the Contracting Activity, and the Office of the Deputy Assistant Secretary of War for Industrial Policy (INDPOL) is the Agency.
2. DESCRIPTION OF ACTION: This action is to award a sole-source bridge contract in the estimated amount of $23.6M to Systems Planning and Analysis Inc. (SPA) to avoid the disruption of services while the Government responds to a protest of the award of task order number HQ003426FE228. The Congressional Notification was published on June 5, 2026, and a protest pre-filing notice was submitted to the U.S. Court of Federal Claims on June 8, 2026. The Agency has issued a Stop work Order on this task order in anticipation of the bid protest.
Accordingly, a bridge contract is necessary to maintain continuity of services while this matter is resolved. The bridge contract will be a firm-fixed-price with time-and-materials contract line item numbers (CLINs), funded with Fiscal Year (FY) 2026 Operation and Maintenance (O&M) funds. The period of performance for the bridge contract will be 6-month base period and one 6-month option periods starting on June 19, 2026.
3. DESCRIPTION OF SUPPLIES/SERVICES: SPA will provide analytical, case management, technical, and administrative support to assist INDPOL in reviewing, assessing, and mitigating foreign investment risk to the defense industrial base.
Performance Periods
Performance Period Dates Amount
Base Period 06/19/2026 to 12/18/2026 $11,818,720.00 Option Period 1 12/19/2026 to 06/18/2027 $11,818,720.00 Total $23,637,440.00
4. AUTHORITY CITED: This action is authorized under provisions of 10 U.S.C. 3204, 6.103-1, “Only one responsible source and no other supplies or services will satisfy agency requirements.”
5. REASON FOR AUTHORITY CITED: SPA is the only source that can provide immediate, uninterrupted services while the Government responds to the protest regarding the award of task order number HQ003426FE228. To meet its statutory obligations and process CFIUS cases within critical deadlines, INDPOL relies on the specialized support provided by SPA. SPA processes approximately 300 CFIUS cases annually, performing essential tasks such as reviewing filings, preparing fact summaries, compiling stakeholder comments, and delivering risk-based assessments and mitigation strategies. SPA is the only vendor that is positioned to immediately provide services for this requirement without causing unacceptable delays and increased costs, estimated at over $1.8 million annually, while the Government responds to the protest. SPA is the incumbent contractor and is the only vendor with the personnel already in place to immediately support this requirement. Using any other vendor would require personnel to complete the badging, onboarding, and security process which could take 3-4 weeks and result in unacceptable mission failure.
It is critical for uninterrupted CFIUS support services to avoid a lapse in service during the recompete process. Any disruption would severely impact the timely processing of cases, resulting in an unacceptable backlog and requiring significantly more time and resources to resolve. Such a lapse would hinder INDPOL’s ability to fulfill its mission, jeopardize critical national security reviews, and delay essential decision-making processes. Therefore, awarding a bridge contract to SPA is necessary to meet INDPOL’s urgent requirements, maintain continuity of services.
6. EFFORTS TO OBTAIN COMPETITION: A Notice of Intent (NOI) to Sole Source to SPA was posted at the System for Award Management (SAM) on June 10, 2026. The posting closed on June 12, 2026, and no responses were received. In accordance with FAR 5.101(a) the award will be synopsized on SAM and a redacted JOFO will be made publicly available.
7. FAIR AND REASONABLE COST DETERMINATION: The Contracting Officer will determine that the anticipated price for this contract action is fair and reasonable by applying the techniques outlined in FAR 15.404-1, with particular emphasis on price analysis methods described in FAR 15.404-1(b)(2)(ii). Where appropriate, the Government will seek price reductions or discounts to ensure the award is made at fair and reasonable prices.
8. MARKET RESEARCH: Market research for this action has been limited to the Notice of Intent (NOI) to sole source, which was posted on SAM.gov on June 10, 2026.
WHS/AD will execute a bridge contract to ensure continuity of support for INDPOL.
Awarding a bridge contract is the most efficient and logical strategy to prevent unacceptable delays in meeting the agency’s requirements and to avoid any potential gaps in the performance of critical services for INDPOL.
9. OTHER FACTS: None
10. INTERESTED SOURCES: No other sources have expressed interest, provided feedback, or submitted challenges in writing in response to the Notice of Intent published on SAM.gov in accordance with FAR 5.201. Additionally, no bids or proposals have been received from industry regarding the Government’s intent to extend these services.
11. ACTIONS TO INCREASE COMPETITION: This requirement was originally competed through the General Services Administration (GSA) Multiple Award Schedule (MAS), providing fair opportunity to all qualified vendors in accordance with GSAR Subpart 538.7103-3(a)(2). However, a protest was filed against task order number HQ003426FE228. This bridge contract avoid any interruption to services while the government responds to the protest.
12. Is this acquisition for a non-competitive follow-on acquisition previously awarded on a non-competitive basis?
Yes. A copy of the previous justification is attached. The actions to remove any barriers to competition cited on the previous justification were were not completed
No. The original acquisition was conducted on a competitive basis.
Not Applicable. This is a new requirement.
