About this file

This is a Justification and Approval (J&A) document for a sole-source procurement by the Naval Air Systems Command (NAVAIR).

The document authorizes the issuance of a sole-source order to Honeywell International Inc., located in Tempe, Arizona, under FAR Part 12 Basic Ordering Agreement (BOA) N00019-21-G-0020. The order procures commercial supplies for the Advanced Anti-Radiation Guided Missile-Extended Range (AARGM-ER) program, specifically Inertial Measurement Units (IMUs) to support production obsolescence needs for the U.S. Navy, U.S. Air Force, Italian Ministry of Defense cooperative program requirements, and Foreign Military Sales (FMS). The supplies enable continued AARGM-ER production across all stakeholders and support future sparing requirements. The statutory authority cited is 10 U.S.C. 3204(a)(1), which permits procurement when only one responsible source can satisfy agency requirements.

The justification for sole-source procurement centers on schedule criticality and technical uniqueness. Honeywell is the Original Equipment Manufacturer and sole source of the commercial IMUs integrated into the AARGM-ER. The Government has already incurred significant qualification and integration costs through Northrop Grumman contracts. Competing the requirement would impose unacceptable delays; efforts to qualify and integrate an alternative source would require approximately 45 months and add substantial nonrecurring engineering costs, creating a production gap between Low Rate Initial Production (LRIP) 3 and LRIP 4. A synopsis was posted to sam.gov on January 5, 2026, generating one response that was deemed not capable due to form/fit/function incompatibility and the same 45-month requalification timeline. The Contracting Officer determined the anticipated costs to be fair and reasonable. NAVAIR has no current plans to compete future contracts for these supplies unless another viable source emerges.

IN REPLY REFER TO:

J&A 26-0069

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved.

This Justification and Approval (J&A) authorizes and approves the issuance of an order on a sole source basis to Honeywell International Inc. (Honeywell), Tempe, Arizona under FAR Part 12 Basic Ordering Agreement (BOA) N00019-21-G-0020. The BOA order is for commercial supplies associated with Advanced Anti-Radiation Guided Missile-Extended Range (AARGM-ER) program.

3. Description of Supplies/Services.

The BOA order will provide supplies to support the U.S. Navy (USN), U.S. Air Force (USAF), Ministry of Defense of the Italian Republic (ITA MOD) AARGM-ER Cooperative Program, and Foreign Military Sales (FMS) requirements for AARGM-ER production obsolescence support. Supplies procured under this BOA order support the Inertial Measurement Unit (IMU) life-of-type obsolescence procurement to enable continued production of the AARGM-ER for all stakeholders and will support future needed sparing of this part.

The total estimated value of the orders is as set forth in the table below.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

Full and open competition for these proposed acquisitions is not feasible. In accordance with FAR § 6.302-1(a)(2)(ii)(B), competing this requirement would result in unacceptable delays in fulfilling agency requirements. Immediate procurement of the IMU to support AARGM-ER production lots is needed to avoid negatively impacting the All-Up-Round (AUR) delivery schedule for all stakeholders.

Honeywell is the Original Equipment Manufacturer (OEM) of the commercial IMUs within the AARGM-ER. During development of the AARGM-ER, Honeywell was selected to provide the aforementioned components in support of weapon system production. Honeywell possesses the unique engineering data, technical skills, established tooling, support equipment, facilities, and requisite AARGM-ER design, fabrication and production knowledge required to perform the efforts under this Honeywell BOA. The commercial IMUs are available only from Honeywell. The Government has incurred the cost of qualification and integration of the current Honeywell commercial IMUs on the AARGM-ER via various Northrop Grumman contracts as a supplier. The aforementioned costs would be duplicative to the Government if required to procure, requalify and integrate an alternate component, estimated at . These costs are not expected to be recovered through competition. Further, competing this requirement would result in unacceptable delays in fulfilling agency requirements. Efforts to compete and stand-up a new source for this item, including requalification and integration efforts, would result in a delay of approximately 45 months causing a commensurate delay in AARGM-ER production deliveries. Based on the foregoing, Honeywell is the impacting the AARGM-ER production delivery schedule.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

A Waiver of DFARS PGI 206.302-1 was approved on 5 January 2026 by V2.4 Director, Unmanned Aviation and Strike Weapons Procurement Department, SER 244-26-003 to cover this procurement.

The Government posted a synopsis to sam.gov on 5 January 2026. One response has been received to date, from Neither of the suggested IMUs in the submission would be a form/fit/function replacement without extensive qualification efforts to determine compatibility with AARGM-ER. These efforts would add more than in NRE costs and take 45 months to complete, which would cause a gap in production between LRIP 3 and LRIP 4. The PCO responded to on 13 January 2026 notifying them that they were determined to be not capable. Any subsequent responses received will be evaluated.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies covered by the J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in paragraph 5, NAVAIR has no plans at this time to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, NAVAIR will assess whether competition for future requirements is feasible.
