Vendor shall provide Interactive Display Equipment for classroom grades Pre-K through 12th to include common areas, as well as for use in administrative office buildings.

The maximum contract value for all contracts combined for all five (5) years is $7,500,000.00. One unit is equivalent to $1.00.

At the time of award, the guaranteed minimum of $3,001.00 will be awarded on the first delivery order to each contractor receiving an award.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a

Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (DEC 2006)

(b)(1) Proposal submissions shall include one executed/signed copy of the Standard Form (SF) 1449, Blocks 17a (Company Name/Address/Phone number), 17b and 30a-c. (Page 1 of the solicitation). Offers may be submitted on letterhead stationery. Each offeror’s proposal shall be submitted as stated below and all information shall be confined to the appropriate part to facilitate independent evaluation. The overall proposal shall consist of four (4) separate and detachable parts, individually titled (see below).

(i) PART I – Page 1 of SF Form 1449 (Solicitation) and Acknowledgement of all Amendments

(ii) PART II – Technical Proposal

(iii) PART III – Past Performance

(iv) PART IV – Price Proposal

Parts I through III shall be organized into a single binder (Binder #1). The contents of Binder #1 shall contain no pricing information. Part IV (Price Proposal) shall be submitted in a separate binder (Binder #2). Binders #1 and 2 make a complete set. Submit four (4) copies of Binder #1 (one original and three copies) and two (2) copies of Binder #2 (one original and one copy). Include one (1) CD/DVD copy of proposal (Parts I thru 1V).

Each binder shall not exceed 100 sheets of paper (single or double-sided printing may be used). All pages except cover page, table of content, list of acronyms/figures and tab sheets will count towards the 100 sheets limitation.

Pages with text, logos, graphics, photo, charts etc. will apply to the above page limit. Text should be printed in a commonly used font such as Times New Roman or Arial, font size between 11-12 point, and with margins between .05 – 1.5.

(b)(2) All offers shall be received no later than 21 April 2013, 4:00 PM (Eastern Standard Time). Fax and email responses WILL NOT be accepted. Offers shall be submitted to:

(b)(4) Technical Proposal: The technical proposal shall address the offeror’s ability to provide the interactive display equipment, accessories, and related items, on a recurring basis, similar to and of comparable quality with those sample items listed in Technical Exhibit A, “Sample Equipment List (SEL)” (TE-A), as well as the specific technical specifications in Technical Exhibit B, “Technical Specifications/Salient Characteristics” (TE-B) and the Performance Work Statement (PWS). Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective proposal are not desired and may be construed as an indication of the offeror’s lack of understanding or cost consciousness. The proposal shall contain all the pertinent information necessary to permit evaluation of the proposal. The technical proposal shall contain NO PRICING information. The technical proposal shall address the technical subfactors in FAR Clause 52.212-2 as follows:

(i) Technical Approach

(A) Wide range of authorized distributors/manufacturers. Listing of authorized distributor relationships including length of relationship and any exclusive rights. For purposes of this solicitation, a “wide range” consists of a minimum of three (3) distributors/manufacturers.

(B) Wide range of available products offered. Demonstrate the ability to provide a variety of products in all categories covered by the SEL (TE-A, “Sample Equipment List (SEL)”).

Online website, virtual catalog(s), text description for equipment with photos, drawings and dimensions may be used to demonstrate the range and quality of items offered.

Offeror’s proposal shall include all terms and conditions, license agreements, and other legal provisions associated with each item listed in TE-A, “Sample Equipment List

(SEL)”.

(C) Explanation of how Interactive Display equipment offered in response to TE-A (“Sample

Equipment List (SEL)”) satisfies all the technical requirements/salient characteristics in TE-B (“Technical Specifications/Salient Characteristics”). Online website, virtual catalog(s), text description of equipment with photos, drawings and dimensions may be used to demonstrate the range and quality of items offered.

(ii) Management Approach

(A) Ability to serve a wide geographic area for delivery, unpacking and disposal of packing materials/debris. Listing of company’s geographic delivery locations of product.

Demonstrate delivery methods availability for each delivery location (See TE-C, “Delivery Addresses and Points of Contact”) in Continental United States, Puerto Rico and possibly Cuba which may be requested and coordinated by the RFQ of each delivery order.

(B) Demonstrate approach to providing installation/assembly services which includes unpacking and disposal of packing materials/debris when requested by the Government.

Locations include Continental United States, Puerto Rico and possibly Cuba which may be requested and coordinated by the RFQ of each delivery order. (See PWS, paragraph 5.). Offeror must also demonstrate approach of corrective action if Contractor fails to properly install any of the equipment delivered under this contract, (See PWS paragraph 5.5.6).

(C) Demonstrate financial support/agreement with manufacturer(s) to provide products valued no less than $3,000,000.00 per individual delivery order.

(iii) Customer Service

(A) Ability to provide a web portal for checking delivery status, warranty status, and requesting repairs under warranty. Demonstrate the ability to provide a customer portal which satisfies the requirement outlined in the PWS (paragraph 4.2.) Online website, virtual catalog(s), text description of the portal with photos, drawings and dimensions may be used to demonstrate the quality, accessibility, and usability of the customer portal offered.

(B) Warranties. The offer must show the terms of any express warranty and must clearly demonstrate how the terms fulfill the warranty requirements outlined in the PWS (paragraph 4.3.). Offeror shall provide the Government with a copy of the End User License Agreement and shall warrant that all software included in this submission is licensed originally to Buyer as the original licensee authorized to use the software.

(C) Variety of options in providing user-friendly training for all interactive display equipment. Demonstrate ability to provide a variety of training options which satisfy the training requirements outlined in the PWS (paragraph 4.1.).

(b)(6) Price Proposal: The price proposal will be evaluated to ensure price reasonableness for the products being offered to the Government, considering the specific terms and conditions, and relevant commercial practices. The Government will perform price analysis IAW FAR Part 15.404-1(b) and applicable supplements and guides to ensure a fair and reasonable price. The price factor will include an evaluation of:

(i) Pricing for SEL. Offeror must include firm fixed unit prices for all items listed in TE-A (“Sample Equipment List (SEL)”). An editable (MS Excel) copy of this spreadsheet will be included with the posting of this solicitation for offerors’ use.

(ii) Shipping and Installation Charges. Provide information regarding the calculation of shipping and installation charges separately for the following two (2) delivery locations (taken from TE-C, “Delivery Addresses and Points of Contact”):

Support approach to installation by including data such as number of employees, number of hours, number of supervisors, salaries, etc.

(iii) Any inconsistency, whether real or apparent, between proposed performance and price must be clearly explained in the price proposal. For example, if unique and innovative approaches are the basis for an apparently unbalanced/inconsistently priced proposal, the nature of these approaches and their impact on price must be completely documented.

(b)(8) Certifications and Representations: If the offeror has not completed the representation and certifications electronically through the System for Award Management (SAM), complete FAR Clause 52.212-3 Alt 1.

(b)(10) Past Performance.

(i) Offerors shall submit with the proposal a list of all current and completed contracts similar in nature to this requirement from April 2011 to proposal due date. The list shall contain the following information:

(A) Short descriptive title of project,

(B) Contract period,

(C) Total contract value,

(D) Date of award,

(E) Contracting Activity (customer) name with complete mailing address,

(F) Customer POC, name, title, mailing address, phone and e-mail address and

(G) Any comments (e.g. problems, solutions). The offeror shall provide information on problems encountered on the identified contracts and the offeror’s corrective actions.

(ii) Offerors shall ensure three (3) references complete the Past Performance Questionnaire, Attachment 1, and return to william.roberts@am.dodea.edu or fax: (770) 632-8720 no later than the closing date and time of this solicitation. This document is the only document which shall be emailed or faxed by the three (3) references.

(iii) The Government may use past performance information provided by the offeror’s references, list of contracts or other Government available sources such as the Past Performance Information Retrieval System (PPIRS) to rate the offeror. Offerors with no relevant past performance information shall provide a written statement attesting to such.

(d) Product Samples. A product sample may be requested by the Contracting Officer after receipt of offers if determined necessary for purposes of evaluation.

(g) Contract Award: The Government intends to evaluate offers and award multiple contracts without discussions.

Therefore, the initial offer should contain the offeror’s best terms from a price and technical standpoint. However;

the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(m) Communication: Formal communications such as questions and/or requests for additional information concerning this solicitation shall be submitted in writing via email, within ten (10) calendar days after date of issuance of this solicitation, to Contract Specialist at email address: william.roberts@am.dodea.edu. NO PHONE CALLS WILL BE ACCEPTED. The Government will consolidate the answers to the written questions and post the consolidated response as an amendment to the solicitation to ensure all interested contractors are informed.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a set of multiple award Indefinite Delivery Indefinite Quantity (IDIQ) bilateral contracts from this solicitation, using FAR Part 12 and 15 procedures and the Best Value-Tradeoff approach, to the responsible offerors whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The Government will not award to any offeror who receives an “unacceptable” rating in any of the factors or subfactors. The Government will not pay a price it considers to be disproportionate to the benefits associated with the proposed products/services. The Government may select for award offers in which the total proposed price is not necessarily the lowest, but whose overall proposals are deemed sufficiently more advantageous to the Government so as to justify the payment of a higher price. Conversely, the Government may select for award the offerors whose total proposed price is the lowest, when other proposals are not sufficiently more advantageous so as to justify the payment of a higher price. The Government anticipates awarding to at least three (3) contracts from this solicitation. The following factors shall be used to evaluate offers:

Evaluation Factors:

(1) Technical

(i) Technical Approach

(A) Wide range of authorized distributors/manufacturers represented. For purposes of this solicitation, a “wide range” consists of a minimum of three (3) distributors/manufacturers.

(B) Wide range of available products offered. Demonstrate the ability to provide a variety of products in all categories covered by the Sample Equipment List (SEL) in Technical Exhibit A (TE-A, “Sample Equipment List (SEL)”). Includes examination of all terms and conditions, license agreements, and other legal provisions associated with each item listed in TE-A, “Sample Equipment List (SEL)”.

(C) All Interactive Display equipment offered in response to TE-A (“Sample Equipment

List (SEL)”) satisfy all the technical requirements/salient characteristics in TE-B (“Technical Specifications/Salient Characteristics”).

(ii) Management Approach

(A) Ability to serve a wide geographic area for delivery, unpacking, assembly/installation and disposal of packing materials/debris.

(B) Approach to providing installation/assembly services (See paragraph 5 of the PWS).

Includes approach of corrective action if Contractor fails to properly install any of the equipment delivered under this contract (see PWS paragraph 5.5.6).

(C) Business/financial agreement with manufacturer(s) guaranteeing manufacture and delivery of products.

(iii) Customer Service

(A) A user-friendly web portal for checking delivery status, warranty status, and requesting repairs.

(B) Warranties that clearly exhibit all terms required in this solicitation (see PWS paragraph 4.3).

(C) Variety of options in providing user-friendly training for all interactive display equipment.

(2) Past Performance: The overall evaluation will also take into account past performance information, including past contract actions, information on problems identified on contracts and offeror’s corrective actions. The past performance evaluation will result in an assessment of the offeror’s probability of meeting the solicitation requirements. The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance in meeting past requirements. In addition to the specific contracts provided by the offeror, evaluation of past performance may also involve an examination of any information pertaining to the offeror on the Past Performance Information Retrieval System (PPIRS). One performance confidence assessment rating will be assigned for each offeror after evaluating the offeror’s recent past performance, focusing on performance that is relevant to the contract requirements. The relevancy rating will be based upon: similarity of service/support, complexity, and dollar value. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance.

(3) Price. The Government will perform price analysis IAW FAR Part 15.404-1(b) and applicable supplements and guides to ensure a fair and reasonable price. The price factor will include an evaluation of:

(i) Firm fixed unit prices for all items listed in TE-A (“Sample Equipment List (SEL)”). An editable (MS Excel) copy of this spreadsheet will be included with the posting of this solicitation for offerors’ use.

(ii) Shipping and Installation Charges. Price analysis will include an examination of shipping and installation charges for the two (2) destinations (taken from TE-C, “Delivery Addresses and Points of Contact”) listed in 52.212-1, as well as all support data such as number of employees, number of hours, number of supervisors, salaries, etc.

(iii) Proposed prices that are found to be either unreasonably high or unrealistically low in relation to the proposed work may be indicative of an inherent lack of understanding of the solicitation requirements and may result in the overall proposal being considered unacceptable.

Technical and Past Performance are equally important and when combined are more important than Price.

Within the Technical Factor, the sub factors are approximately equal.

See Addendum to 52.212-4 for how the Government will provide Fair Opportunity and award Delivery Orders subsequent to the initial minimum orders. The evaluation procedures and factors for the individual delivery orders can be found in in 52.212-4 Addendum, paragraph “u”.

(b) NOT USED.

(c) A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2013)

ALTERNATE I (APR 2011)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via http://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.

395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue Code at 26 U.S.C. 7874.

“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern—

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Subsidiary means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Veteran-owned small business concern means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned small business concern" means a small business concern—

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

(b) (1) Annual Representations and Certifications. Any changes provided by the offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications posted electronically on the SAM website.

(2) The offeror has completed the annual representations and certifications electronically via the SAM website accessed through https://www.acquisition.gov. After reviewing the SAM database information, the offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212- 3, Offeror Representations and Certifications--Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard applicable to the NAICS code referenced for this solicitation), as of the date of this offer and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ----------.
