52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (DEC 2006)

The following paragraph(s) are added or changed as indicated:

(b)(4) The Technical Description shall address the following factor:

Factor 1 – Technical Capability. The technical capability section shall be a comprehensive statement of the vendor’s understanding of the work required in the Specifications document at Attachment 1 and Technical Exhibits 1 through 3.

i. The vendor shall provide the following:

A. Detailed written narrative of the vendor’s capability to manage and perform the requirements of the solicitation, to include the vendor’s approach to fulfilling all of the technical requirements stated in the Specifications document. The narrative shall describe how the vendor’s proposed system meets or exceeds the Government’s critical system factors shown at Technical Exhibit 3.

B. The vendor shall provide the following action plans:

a. Training – Address how the vendor will provide training at all levels and throughout the life of the contract.

b. Program implementation with calendar of events/milestones – Addressing the process for implementing the system and events/milestones for full implementation by the Government’s required date.

c. Customer/IT Support – Addressing what types and how the Government customers and IT will receive support.

d. Customer Response Plan – Addressing how an acceptable level of functionality/resources will be ensured throughout the life of the contract.

C. The vendor shall provide documentation and an explanation for Government remote access to the proposed system. Details shall include:

a. Remote access to the proposed system for advance testing to ensure it meets the Government’s functional and security requirements.

b. A fully executed “Addendum to License Agreement or Terms of Use” at Attachment 2 and a copy of the license agreement for the proposed system.

c. A fully executed GPAT form at Attachment 3.

d. A fully executed Cloud Questionnaire at Attachment 4.

ii. The written narrative shall not exceed a total of 35 pages, including any graphics,photographs, brochures, pamphlets, charts, and diagrams. Page size shall be

8.5 inches x 11 inches or A4 and text font size no smaller than size 11. Number pages sequentially, when feasible. Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the quote.

Pages shall only include a narrative, graphics, photographs, brochures, pamphlets, charts, and diagrams for the purpose of depicting the technical capability and approach.

The Technical Section shall also address and include the Critical System Factors Checklist at Technical Exhibit 3, properly filled out by the vendor.

(b)(10) Factor 2 – Past Performance.

i.

The vendor shall provide at least three (3) Past Performance references. These references shall be from relevant and recent contracts, subcontracts, and/or task/delivery orders. Relevant efforts are defined as any efforts that are of similar size and scope as the solicitation. Recent efforts are defined as those performed to any extent within the last three (3) years prior to the closing date of this solicitation. These efforts shall be the same or similar in type, size and complexity as the requirements of this contract. The following information shall be included for each reference as applicable:

2. Point of Contact with knowledge of the goods and services received and the vendor’s performance:

*Please note that if a vendor does not have three (3) past performance references to submit in accordance with the above submittal requirement, the vendor shall note this information in their quote. Failure to provide this information shall remove the vendor from further consideration.

(b)(6) Factor 3 – Price. The Vendor shall insert the proposed price in the solicitation schedule for each Contract Line Item Number (CLIN) to include the unit price, amount and total amount listed in the Schedule for the base year and option periods.

(b)(11) Quote Submission: Quotes shall be submitted via electronic mail (eMail) to the Contract Specialist, Ms. Georgette Hendricksen; eMail: Georgette.Hendricksen@hq.dodea.edu .

Quotes WILL NOT be accepted by mail or hand delivery. Quotes must be received no later than the date and time specified in Block 8 of the SF 1449.

i. E-mail subject line shall include the following information: Solicitation number, vendor’s company name, and number of emails if applicable (e.g. 1 of 3).

ii. Electronic files shall be clearly labeled and compatible with Windows 10, Microsoft Office 2013 and Adobe Acrobat DC.

iii. It is the vendor’s responsibility to ensure receipt of the quote, any modifications, or revisions before the closing date and time specified in the solicitation.

iv. Notice: DoDEA HQ has a size limitation of 10MB for each eMail to a DoDEA HQ eMail addressee. Accordingly, the vendor is solely responsible for ensuring that the vendor's quote or correspondence successfully transmits to, and is received by, its intended DoDEA HQ eMail addressee. The vendor is advised to immediately contact the intended eMail addressee for acknowledgement eMail receipt of the vendor’s eMail quote and attachments (as applicable).

(c) Period for acceptability of quote: This paragraph (c) is changed to read as follows: The vendor agrees to hold the prices in its quote firm for 90 calendar days from the date specified for receipt of quote, unless another time period is specified in an amendment to the solicitation.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a purchase order resulting from this solicitation to the responsible vendor who submits the quote that receives an Acceptable technical rating for Technical Capability and Past Performance and has the lowest total evaluated price. Award shall be made in accordance with FAR 13.106-2. The following factors shall be used to evaluate quotes:

Technical Capability, Past Performance, and Price.

FACTOR 1 – TECHNICAL CAPABILITY

The Government will evaluate the vendor’s technical capability, including each element listed below, in accordance with the following ratings:

Rating Description Acceptable Quote meets the requirements of the solicitation.

Unacceptable Quote does not meet the requirements of the solicitation.

The Government will evaluate the following elements as part of Factor 1:

1) The vendor’s proposed software system and technical exhibit deliverables outlined in Attachment 1, Specifications Document.

2) The proposed software system’s training program, implementation plan, customer support, and customer response methods.

3) The critical software system factors requirements outlined in the Technical Exhibit 3 checklist.

4) Compliance with required forms – Attachments 2 through 4 (Licensing Service Agreement, GPAT, and the Cloud Questionnaire).

5) The vendor’s methodology for providing the proposed software system to the Government in advance for requested testing.

FACTOR 2 – PAST PERFORMANCE

The vendor’s past performance shall be evaluated to assess the vendor’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the vendor’s record of relevant and recent past performance information that pertains to the services outlined in the solicitation requirements. Relevant efforts are defined as any efforts that are of similar size and scope of the solicitation. Recent efforts are defined as those performed to any extent within the last three (3) years prior to the closing date of the solicitation. Past performance will be rated on an “Acceptable” or “Unacceptable” basis.

Rating Description Acceptable Based on the vendor’s performance record, the Government has a reasonable expectation that the vendor will successfully perform the required effort, or the vendor’s performance record is unknown (see note below).

Neutral No recent and relevant performance record is available or the Vendor’s performance record is so sparse that no meaningful past performance assessment rating can be reasonably assigned. The Vendor may not be evaluated favorably or unfavorably on the factor of past performance.

Unacceptable Based on the vendor’s performance record, the Government does not have a reasonable expectation that the vendor will be able to successfully perform the required effort.

The Government may consider data available in the statistical reporting module of the Past Performance Information Retrieval System (PPIRS-SR) regarding the vendor’s past performance history for the services being purchased. Information regarding past performance may also be obtained from the vendor’s quote, information obtained from questionnaires tailored to the circumstances of the acquisition, or any other sources available to the Government, to include but not limited to: Federal Awardee Performance and Integrity Information System (FAPIIS); Electronic Subcontract Reporting System (eSRS); other federal databases; references from Program Managers and Contracting Officers; past customers, Government agencies and activities and other sources deemed necessary.

NOTE: In the case of a vendor without a record of relevant past performance history, the vendor will not be evaluated favorably or unfavorably for its past performance history. The vendor shall be determined to have “Neutral” past performance. In the context of acceptability/unacceptability, a “Neutral” past performance shall be considered “Acceptable.”

FACTOR 3 – PRICE

Price will be evaluated utilizing techniques identified in FAR 13.106-2 and FAR 13.106(3)(a) to determine whether it is reasonable. This factor will be evaluated using one or more of the following price analysis techniques identified in FAR 13.106(3)(a).

1) Price analysis will be conducted on the total price to include the base period and all option periods.

2) Price evaluation will not be given an adjectival rating.

3) Price will be analyzed for errors, omissions, and mistakes, and evaluated to determine whether it is fair and reasonable.

4) All line items will be evaluated to determine if prices are unbalanced. If the analysis indicates that pricing is unbalanced, the quote may be rejected if it is determined to pose an unacceptable risk.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (OCT 2018)

ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
