52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (AUG 2018)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.
Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
ADDENDUM TO 52.212-1
SUBJECT: Request for Quote (RFQ) – Autism Observation Kits To: All Potential Offerors This RFQ is in support of DoDEA requirement for an autism spectrum disorder (ASD) direct observation instrument and related virtual professional learning for selected special educators and school psychologists systemwide. The instrument shall meet the Gold Standard based on the key elements set forth by the National Research Council Committee on Educational Interventions for Children with Autism (2001) and assist in the educational identification of ASD of students in preschool to age 21. It must include a virtual professional learning component to train users to administer the instrument and analyze results in accordance with the Statement of Work (SOW). All prospective offerors are provided an opportunity to submit quote under this request.
Only one contract is anticipated to result from this RFQ; however, the Government reserves the right to withdraw, modify, or eliminate various aspects of the requirement determined to be too costly or impractical prior to award.
1. SPECIFIC REQUIREMENTS.
This requirement will be a Firm Fixed Price (FFP) contract. Performance requirements for this contract are provided in the Statement of Work of this RFQ.
2. PERIOD OF PERFORMANCE.
The estimated period of performance for this contract is:

3. QUOTE SUBMISSION INSTRUCTIONS.
a. POINT OF CONTACT (POC): Due to the difficulties in receipt of mail through normal postal services, questions and quotes shall be sent via E-mail to the POC for this RFQ, Mr. Alim Koroma and Mr. Bradford Kelly at alim.koroma@hq.dodea.edu and bradford.kelly@hq.dodea.edu. The Offeror is responsible for ensuring receipt by the POC.
b. QUESTIONS: Questions about this requirement may be submitted to the POC via email No Later Than Novemebr 5, 2018 at 12:00PM Eastern Standard Time. Follow-up/additional questions will not be accepted after this date. Answers to Contractor submitted questions will be provided to all potential offerors via RFQ amendment.
c. QUOTE DUE DATE: Final Quote Due No Later Than: Novemebr 26, 2018 at 10:00AM Eastern Standard Time (EST).
d. ELECTRONIC SUBMISSION: Quotes shall be electronically submitted to the POC above. Your submission should include two separate parts: a Price quote and a Non- Price quote. The Non- Price quote shall be submitted in MS Word or searchable PDF format. The Price quote shall be submitted in MS Word or MS Excel 2000 or higher, but not greater than MS Word or MS Excel 2010 format. The firewall utilized by the Government contracting office does not authorize or accept zip files.
4. QUOTE CONTENT AND FORMAT INSTRUCTIONS.
The Offeror’s submission shall include two separate parts: a Non-Price quote and a Price quote.
a. ADMINISTRATIVE FORMAT INSTRUCTIONS:
(1) PAGE LIMITS: Non- price quote are limited to 15 single-sided pages or less. Pages should be numbered consecutively throughout the document and not by sections. For any sections of a quote with a defined page limit, pages exceeding the specified limit will be removed and not forwarded for evaluation. The following sections are not subject to page limits:

(2) FORMATTING: Quote content shall be no smaller than Times New Roman font 12 pitch. Exhibits, graphics, charts, captions, etc., shall be no smaller than 10 pitch.
b. FACTOR 1 PRICE: QUOTE CONTENT (No page limit) –Volume I The Offeror shall submit their quoted PRICE as a Firm-Fixed Price (FFP). A price summary sheet must accompany the quote for each individual year plus a consolidated summary sheet for all years.
(1) SUPPLEMENTAL PRICING WORKSHEET: The Quoter’s quote shall include a supplemental pricing sheet that provides a detailed breakdown of their quoted pricing. Contractor shall ensure mathematical computations are correct. All discounts offered to the quoted price shall be clearly outlined in the Quote.
(a) Quoters shall quote on all contract line items, either by price or “NSP” (Not Separately Priced). A zero dollar figure in a Quote means that the line item shall be provided at no charge to the Government. A line item price left blank will be considered nonresponsive to this request and the Quote will not be considered for award.
(b) Offerors’ Quotes shall remain valid for a minimum of 60 days from the date of submission.
(2). ADDITIONAL INFORMATION
a. ALTERNATE QUOTES: Alternate Quotes will be evaluated as a separate quote by the Government.
b. INCUMBENT: None
c. NON- PRICE QUOTE CONTENT INSTRUCTIONS The Quoter’s non- price quote shall clearly reflect the offerer’s approach to execute and comply with the performance requirements identified in the SOW. Your nonprice quote, including any supporting documentation, is to be clear and concise. The quote must fully document and substantiate a cross mapping of your price approach as it equates to the non- price quote, but pricing information is not to be included within the non-price quote.
The Offeror’s non- price Quote shall contain the following:
(1) FACTOR 2-TECHNICAL APPROACH: Volume II The Quoter shall submit a written technical approach quote which effectively demonstrates the Quoter’s clear understanding of all requirements of the Statement of Work.
(2) FACTOR 3-PAST PERFORMANCE REFERENCES: Volume III The Quoter shall submit up to 3 references of recent and relevant contracts/projects. “Recent” is defined as contracts that have been completed within the past three years or are currently being performed and “Relevant” is defined as work similar in complexity and magnitude to the work described in the SOW. The contracts may have been with Federal, State and/or City agencies or commercial customers.
(a) REFERENCE CONTENT: It is the Quoter’s responsibility to provide valid, current and verifiable references.
References must include:
Name of the Organization that will be providing the reference, Name of the POC, POC Telephone Number, POC Email address, Contract Value Contract Number, Period of Performance, and Scope of Work.
(b) POCs: The above POCs must be either Government personnel (civil service or military) or employees of private sector clients (such as public or private sector educational facilities) with whom you have provided services.
Information provided by or for POCs who work directly for your company, or indirectly (i.e. in a prime or subcontractor relationship), will NOT be considered relevant. Offerers shall ensure that contact information for designated references is accurate and up-to-date.
(c) INFORMATION FROM OTHER SOURCES: The Government may also consider information obtained through other sources, including but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Contractor Performance Assessment Rating System (CPARS), or other databases; and interviews with Program managers and Contracting Officers.
(5) ORGANIZATIONAL CONFLICT OF INTEREST (OCI) CERTIFICATION: The Quoter shall certify no conflict of interest exist with their company and this requirement. This certification shall be included in the price volume.
(6) CONTRACTOR POC: The Quoter shall include as a cover page to your non- price quote your proposed POCs. The offeror shall provide a POC authorized to hold discussions/ negotiations with the Government who has the full authority to bind the offeror to a contract. The quoter shall also provide a POC who will be responsible for reviewing any applicable performance evaluation reports rendered by the Government. This will include electronic performance reports produced via the Contractor Performance Assessment Reporting System (CPARS). This cover page is excluded from any non-price Quote page limits. Information required includes: First name, last name, title, e-mail address, phone number, Fax number, and level of authority.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO 52.212-2
1. QUOTE EVALUATION:
The Government intends to award a purchase order contract without discussions. Quoters shall provide their best, complete quote upon initial submission. The Government reserves the right to hold discussions if deemed necessary by the Contracting Officer. A Technical Evaluation Panel will evaluate all quotes based on the quote/documentation provided. The evaluations will be based on the evaluation criteria set forth below.
a. EVALUATION PROCESS: Evaluations will be conducted utilizing the Best Value Lowest Price Technically Acceptable Process in accordance with FAR Part 13.5.
2. EVALUATION CRITERIA – BEST VALUE LOWEST PRICE TECHNICALLY ACCEPTABLE
1. Basis for Award: Award of this contract will be made on a competitive best value basis, using “best value lowest price technically acceptable” basis. Evaluation will identify Offerors whose quote are technically acceptable in accordance with the RFQ and the evaluation criteria set forth below. Award will be made to the Offeror that represents the best value based on lowest price, technical acceptability, and acceptable past performance.
2. Quoters’ quote will be ranked in price order and a price analysis will be conducted. Quotes will then be evaluated for technical acceptability based on the technical factors set forth in this solicitation starting with the lowest overall price including all options. If the lowest priced offer is not acceptable the government will evaluate the next lowest priced offer and so forth and so on. All quotes may not be evaluated. After technical acceptability has been determined than Past Performance will be evaluated. If past performance is deemed not acceptable, the government will go to the next lowest offer.
Past Performance will be evaluated independently from the other non-price evaluation factors utilizing different standards.

3. Government evaluators will not assume that the offeror possesses any capability or knowledge unless it is specified in the Quote. If any of the above non- price evaluation factors receives an individual rating of
“Unacceptable”, the collective overall rating will also be “Unacceptable”. Only proposals receiving an overall rating of “Acceptable” or higher will be considered for award.
4. Evaluation Factors are as follows:
(1) Evaluation Factor 1-Price: Price will be evaluated separately from past performance and other non-price factors, and will be evaluated for fairness and reasonableness. The total evaluated price will be evaluated for fair and reasonableness in terms of:
Price Analysis will be conducted to ensure the price is fair and reasonable in accordance with FAR 13.106- 3(a)(1) or 13.106-3(a)(1).
Options: The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). As part of price evaluation, the government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the offeror's final option period prices to the quoter’s total price. Thus, the offeror's total price for the purpose of evaluation will include the base period, 1st option, and 1/2 of the 1st option. As indicated in FAR 52.217-8 the government will have the option provision to extend the performance of the contract up to an additional 6 months when the contractor is provided written notice. Providing pricing for the optional six-month extension period is required.
Technical Approach: the technical approach will be evaluated to determine whether or not the vendor’s Product and service being offered meets the minimum requirement of the Statement of Work.
(2) Evaluation Factor 2-Past Performance:
The Quoter’s past performance will be evaluated to determine the confidence the Government has in an Offeror’s ability to provide the product and services that meet the current requirement based on a demonstrated record of recent, relevant performance. References and other sources of past performance information will not be individually rated. The Government will consider the collective record of all recent and relevant past performance in assessing a rating. In the case of a Quoter, together with any proposed major subcontractors, without a record of relevant past performance or for whom information on past performance is not available, an “Unknown/Neutral” rating will be assigned to the Past Performance Factor and the Quoter will be evaluated neither favorably nor unfavorably on past performance.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.216-1 TYPE OF CONTRACT (APR 1984)
The Government contemplates award of a Firm Fixed Price (FFP) Purchase Order contract resulting from this solicitation.
52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 Days.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 Days;
provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 24 Months.
