AMENDMENT 0001

Vendor Questions and Answers Amendment 0001

1. Would we be allowed to use the Past Performance Questionnaire’s that we submitted previously this year?

Answer: The Government will accept Past Performance Part 2 Questionaires received in response to solicitation HE1254-17-R-0003 though but we cannot confirm what has been received on the offeror’s behalf. Offerors still need to complete and submit the Past Performance Part 1 attachment.

2. Regarding ATTACHMENT 2: Past Performance Part I, page 1: The Past Performance Part 1 states “Information Below To Be Completed by Vendor for a Maximum of Five References”.

a. What is the minimum number of references?

Answer: There is no minimum number of references.

b. Will you consider accepting references that were emailed directly to DoDEA by customers for recent Social Studies reviews, meaning our company would submit Part 1 and refer you to the references names and schools and for what DoDEA Social Studies review this was sent?

Answer: See the answer to Question 1 above.

The following have been modified:

NOTE: Delivery Locations and inspection/acceptance terms will be annotated by specific delivery or task orders at the time of order issuance.

Social Studies Curriculum Resources Notice to Offerors

The Department of Defense Education Activity (DoDEA) serves the dependents of military and civilian employees by providing pre-kindergarten- grade 12 instruction to approximately 72,000 students. DoDEA is divided into eight districts that administer 167 brick-and-mortar schools.

The Americas’ Southeast and Mid-Atlantic districts have 54 schools in seven states and Puerto Rico, and for administrative purposes, Cuba. Europe’s South, East, and West districts have 65 schools in England, Germany, Italy, Belgium, Netherlands, Spain, Turkey, and Bahrain. The Pacific’s West, East, and South districts have 48 schools in Korea, Japan (mainland and Okinawa), and for administrative purposes, Guam. DoDEA also operates a Virtual High School with its main office in Virginia and teaching hubs in Germany and Okinawa.

DoDEA requires 6th Grade Social Studies curricular resources for students and teachers (to include print and digital) and associated services. The Pricing Schedule (Attachment 1) outlines the complete anticipated requirement in a Contract Line Item Number (CLIN) format. The schedule shows the anticipated broad categories of requirements (i.e. student materials, teacher materials, as well as the associated services) by CLIN, Item Description (offerors are to insert specific titles as outlined in the attachment one instructions), identification of whether the item is print or digital, identification of whether the item is consumable, the specific unit of issue, and the estimated quantities over the anticipated ordering period.

From this solicitation the Government intends to award a Firm-Fixed Price Requirements (i.e. a type of contract that allows for placing orders against it) contract for the 6th Grade Social Studies course detailed herein. This solicitation anticipates that the contract will result in a five-year initial base ordering period; followed by five one-year option ordering periods for a total potential ordering period of ten years. After award, delivery orders (DO’s) will be issued for all actual requirements.

This solicitation is issued as an RFP, as the Government reserves the right to hold discussions.

The evaluation approach, however, is under FAR Subpart 13.5, and formal source selection and evaluation procedures do not apply.

Please note that some documents must be submitted by non-electronic means by the time and date set for receipt of proposals detailed in the Addendum to FAR 52.212-1, Para (III)(B)(2).

This solicitation is formatted as follows:

Section 1- the SF 1449 (cover page) and the above language on CLINs)

Section 2- Contract Clauses that will be included in the resulting contract

Section 3- Contract Documents, Exhibits, and Attachments

Section 4- Solicitation Provisions

SECTION 4B

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

ADDENDUM TO FAR 52.212-2 – EVALUATION – COMMERCIAL ITEMS (JAN 1999)

I. BASIS FOR AWARD

A. It is the Government’s express intent to award a single Requirements contract on an “all or none” best value basis based upon application of evaluation criteria listed herein.

B. The Government will apply a tiered approach to the technical evaluation, first evaluating all offers against the two pass/fail criteria detailed in Section II below, and then performing the trade-off evaluation described in paragraph III below, of all offers deemed acceptable with respect to the two past/fail criteria. The Government may determine the best value offer to be other than the lowest priced offeror or other than the highest technically rated offeror.

II. EVALUATION CRITERIA – PART I

First, the Government will evaluate proposals for technical acceptability on a pass/fail basis for two criteria:

Factor 1: Copyright; Factor 2—Digital and Print Resources. Proposals that fail to pass either of these factors will be removed from further consideration for award.

Criteria 1—Copyright: Offerors shall propose their most recently copyrighted curriculum resources, and the copyright date must be no earlier than 2012. The copyright requirement applies only to student and teacher materials (e.g., the student textbook, teacher’s editions, etc.). The copyright requirement does not apply to items included as part of the Contractor’s collection (that is, articles, assessments, pictures, problems included in a textbook or supplemental to the teacher or student text) but that were created by others prior to 2012. Materials shall be available throughout the duration of the contract, and their copyright dates shall remain current.

Criteria 2—Digital Access and Print Resources: Offeror’s teacher and student resources shall be available digitally, either through a web-based application or downloadable online. This includes student editions, teacher editions, supplementary teacher guides, student workbooks, assessment resources, etc. Additionally, offeror shall provide printed student and texts and/or workbooks (either consumable to be replenished annually and on an as needed basis, or hardcopy) and printed teacher guides.

III. EVALUATION CRITERIA – PART II

Next, the Government will evaluate proposals evaluated as technically acceptable for the following factors, applying a Best Value Tradeoff approach: Technical Capability, Past Peformance, and Price. Technical Capability (Factor 1) is more important than Past Performance (Factor 2). All non-price/-cost factors, when combined, are more important than Price (Factor 3). The Government reserves the right to eliminate from further consideration for award proposals rated lower than acceptable for technical capability.

A. FACTOR 1 – TECHNICAL

This factor is the most important non-price related factor. The Government will use a combined technical/risk rating scale to evaluate offerors’ proposed curriculum materials and proposal for an understanding of and adherence to the Statement of Work.

B. FACTOR 2 – PAST PERFORMANCE

This factor is less important than the Technical Capability factor. The evaluation of past performance will be a subjective assessment of the degree of confidence the Government has in an offeror’s ability to successfully meet contract requirements, based on a demonstrated and relevant record of performance.

The following resources will be used for both relevancy and performance confidence assessment in determining how the offeror performed in current/past contracts:

a. Current and past contract performance, under contracts of a similar size, scope, and complexity, identified by the offeror in its proposal (Attachment 2);

b. Past Performance Assessment Questionnaires (Attachment 3) received; and

c. DoDEA may also use information obtained independently through a variety of public or private sources, (i.e. Past Performance Information Retrieval System.)

C. FACTOR 3 – PRICE

1. Price proposals will be evaluated by combining all CLIN items for the total award value over the entire potential contract period. In the event a mathematical error is discovered for any CLIN, the “Unit Price” provided shall govern in reaching the total extended amount. The following factors will be used to evaluate price:

a. Completeness: The price proposal will be evaluated on the completeness of the Pricing Schedule. There should be a complete and accurate reflection, within the price proposal, of all aspects of the technical proposal.

b. Balanced Pricing: Proposed prices will also be evaluated for balanced pricing, which will include a review to ensure that the price of one or more line items is not significantly over or understated as indicated by the application of price analysis techniques. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price for one or more contract line items is significantly over- or understated as indicated by the application of price analysis techniques. A proposal may be rejected if the Contracting Officer (CO) determines that the lack of balance poses an unacceptable risk to the Government.

Note: Actual shipping costs shall be separately negotiated as a firm fixed price CLIN under individual delivery orders (DO's). Prior to DO issuance the Government will request a shipping quote from the vendor and will use discretionary techniques detailed in the FAR to conduct a price analysis in order to determine price reasonableness. This analysis may include reviewing established catalog or current market prices for similar shipping services to determine that the price is reasonable in comparison with current or recent prices for the same or similar services, adjusted to reflect changes in market conditions, economic conditions, quantities, or terms and conditions under contracts that resulted from adequate price competition.

2. Options. The Government will evaluate offerors for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offeror is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

3. Notice of Award. A written notice of award or acceptance of a proposal, mailed or otherwise furnished to the successful offeror, within the time for acceptance specified in the proposal, shall result in a binding contract without further action by either party. Before the proposal’s specified expiration time, the Government may accept a proposal (or part of a proposal), whether or not there are discussions after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.216-19 ORDER LIMITATIONS. (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $3,500.00 the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor:

(1) Any order for a single item in excess of $1,000,000.00;

(2) Any order for a combination of items in excess of $2,000,000.00; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 business days (M-F excluding federal holidays) after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(End of clause)
