DeCA will obtain past performance information directly from the commissary store(s).

(d) If your firm has submitted business references in response to a solicitation to DeCA in the last 12 months, the performance surveys received by DeCA under the previous submission may be used for the past performance evaluation.

(e) Generally, offerors submit commercial references of their best customers and anticipate a favorable rating of their past performance. However, if an offeror believes negative information may be obtained from a reference or other source that has since been corrected, you may submit a brief narrative with your submission of references or in your technical proposal under Technical Proposal, Volume II; Section 3. If negative information is obtained, the Government will provide the offeror with an opportunity to respond to general comments about adverse past performance. The Government reserves the right to consider other past performance data obtained from other sources as stated above.

4. GENERAL INSTRUCTIONS:

(a) Compliance with Instructions: All proposals received timely will be initially reviewed by the Government for completeness and compliance with the RFP’s instructions. Only those proposal(s) that sufficiently meet these requirements will be evaluated further. Any proposal(s) determined untimely will not be considered and will be eliminated from the procurement. Any proposal(s) determined to be significantly incomplete or not compliant with the RFP instructions and would require a complete re-write of the proposal, will not be considered and will be eliminated from the procurement.

The Government will consider any failure to comply with these instructions to be indicative of the kind of behavior that it can expect during contract performance and a lack of capability to perform satisfactorily. It is recommended that your firm provide its best effort with the initial proposal. All correspondence submitted to the Government shall be written and/or submitted in English.

An offeror may submit a proposal on one or more groups. One award will be determined for this geographical group. The contract award(s) will be made on an “all or none” basis for all commissary locations and line items within this geographical group.

(b) Format of Proposal: Submit your proposal package in two volumes (Volume I – Business Proposal and Volume II – Technical Proposal). Each volume should contain a table of contents.

DUE TO COVID-19 RESTRICTIONS AND LIMITED IN OFFICE PERSONNEL, MAILED IN

HARDCOPY (PAPER) VERSIONS OF THE PROPOSAL WILL NOT BE ACCEPTED. THERE ARE

TWO SUBMITTAL OPTIONS. REGARDLESS OF THE OPTION CHOSEN, PROPOSALS MUST BE

RECEIVED BY THE CLOSING DATE AND TIME OF THE SOLICITATION:

OPTION 1: DoD SAFE – Proposals may be submitted electronically through DoD SAFE via https://safe.apps.mil.

In order to submit a proposal through DoD SAFE, offerors shall request a “Drop Off Invitation” from shaneta.carey@deca.mil with a CC to sharon.weston@deca.mil no later than 2:00 PM on May 6, 2022. An offeror request for “Drop Off Invitation” received after this date and time will not be accepted nor will they be provided a “Drop Off Invitation”.

The “Drop Off Invitation” will be sent to the offeror no later than two (2) days prior to the solicitiation closing date

Department of Defense (DoD) Secure Access File Exchange (SAFE) is a web-based file transfer service that provides authenticated DoD Common Access Card (CAC) users (authenticated users) and guests (unauthenticated users) the capability to securely send and receive large files, including files that are too large to be transmitted via email. Guests can receive files from CAC users and send files to CAC users only if the CAC user has requested the files. A notification of the file transfer is sent through email.

DoD SAFE has an Authority to Operate (ATO) Accreditation (Reference the DoD Cyber Exchange website for more information about the ATO) and is approved for the exchange of files up to Impact Level 5 (IL5), which includes Controlled Unclassified Information (CUI), Personally Identifiable Information (PII), and Protected Health Information (PHI) data. Reference the DoD Cloud Connection Process Guide for more information about IL5.

DoD SAFE utilizes the latest web-browser Transport Layer Security (TLS) encryption protocols to secure files while they are in transit. When the encryption option is selected, files uploaded into SAFE are secured with Advanced Encryption Standard (AES) encryption, a Federal Information Processing Standard (FIPS) 140.2 Level 2 approved encryption method.

OPTION 2: Mailed CD-RW – Proposals may be submitted through the mail following the guidance in paragraph 5 A, Section 1 of this clause – 52.212-1 Addendum. Using this method, an electronic copy of each volume and attachments on a re-writable compact disc (CD-RW) is required. Ensure the documents on the CD will open when loaded. Label the disc with your company name, solicitation number (HDEC02-20-R-0002), and a table of contents.

The electronic copy of the CD-RW compact disc must contain Volume I (Business Proposal), Volume II (Technical Proposal) to include pictures, articles, or any documents.

While not required, if a vendor submits a proposal through both DoD SAFE and by mail (CD-RW), the DoD SAFE version will take precedence for evaluation purposes.

(c) Submission of Proposals: For mailed in CD-RWs, deliver completed response package to the address in BLOCK 9, Standard Form 1449. The lower left corner of the package must clearly identify the solicitation number (HDEC02-20-R-0002), date and time for receipt of offers, ATTENTION: CCQRR, Shaneta Carey. The proposal package must be received by no later than the date and time shown in Block 8 of the SF 1449, unless changed by amendment. No facsimile proposals will be accepted. DeCA is closely monitoring the COVID-19 situation. Due to current Department of Defense policy guidance, our mailroom hours are continuously updating. Currently, our mailroom hours are Monday through Friday from 9:00 AM – 4:00 PM EST (Fort Lee, VA). However, these hours are subject to change due to the COVID-19 situation. Delays caused by commercial means such as airlines, express carriers such as Federal Express, United Parcel Service, etc. or municipal difficulties such as blackouts, are not excusable. Ensure enough time is allowed for the mailed in CD-RW proposal to arrive on time.

(d) Contract Award: IN ACCORDANCE WITH FAR 52.212-1(g), OFFERORS ARE HEREBY ADVISED THAT

THE GOVERNMENT INTENDS TO EVALUATE OFFERS AND AWARD A CONTRACT WITHOUT

DISCUSSIONS WITH OFFERORS. Therefore, offerors should propose their best offer initially containing the best terms from a price, technical approach, and past performance standpoint. However, the Government reserves the right to conduct discussions. In accordance with FAR 15.306(d)(2), the objective of discussions is to “maximize” the Government’s ability to obtain best value, based on the requirements and the evaluation factors set forth in the solicitation. Should discussions be deemed necessary by the Contracting Officer due to proposal unacceptability or other issues that must be addressed before award, they will be conducted either orally and/or in writing, with only those offerors determined to be within the competitive range. The contracting officer may limit the number of proposals in the competitive range that will permit an efficient competition among the technically acceptable proposals. The Government may reject any or all offers if such action is in the public’s best interest; and may waive informalities and minor irregularities in offers received.

(e) Determination of Business Size: The North American Industry Classification System (NAICS) code for this acquisition is 112310 (Chicken Egg Production) and the size standard is $16.5 million dollars (average annual gross revenue of your firm and its affiliates for the last 3 fiscal years). The size standard of $16.5 million dollars represents the largest size that a business (including its subsidiaries and affiliates) may be to remain classified as a small business for this procurement action.

(f) Subcontracting Plan: A Small Business Subcontracting Plan is required according to FAR 19.702 from large business concerns and must be submitted with the initial proposal. Questions regarding your business size may be directed to your local Small Business Administration Office, contact information may be found at http://www.sba.gov/localresources/index.html. Failure to submit an acceptable plan with the initial proposal may deem the proposal non-responsive and may make the offeror ineligible for award of a contract. See Paragraph 5, Submission of Proposal Package, Business Proposal, Volume I, Item 5A, Section 3, below for submission requirements. Registration and subcontracting plan submission to the Electronic Subcontracting Reporting System (eSRS), the Government-wide electronic web-based system for small business subcontracting program reporting is a requirement for any offeror that received a contract award resulting from this solicitation. Large business awardee(s) will be required to register as contractors on eSRS database via internet at https://www.acquisition.gov.

(g) Formal Teaming Arrangements: A formal teaming arrangement is when the offeror submitting a proposal will depend on the products, capital contributions, or expertise [in whole, or in part] of another company (or companies) to successfully complete the terms of any contract resulting from this solicitation. The Government will recognize the integrity and validity of contractor team arrangements; provided, the arrangements are identified and company relationships are fully disclosed in an offer. It is entirely at the discretion of the offeror whether to propose a teaming arrangement. The Government has no preference. The prime contractor (the offeror) maintains full responsibility for contract performance, regardless of any changes to the teaming arrangement between the prime contractor and its teaming partners. Offerors who submit an offer based on such an arrangement must submit a written legal teaming arrangement with their proposal. The specific responsibilities assigned to a company must be clearly stated in the teaming arrangement. See Business Proposal, Volume I, Item 5A; Section 6 for submission requirements. For the terms and conditions of formal teaming arrangements during contract performance, see Addendum to FAR 52.212-4, paragraph (mm).

(h) Site Visit Assessment: The Government reserves the right to conduct site visit(s) of any of the offeror’s facilities or teaming partner(s)/sub-contractor’s facilities at any time during the source selection process.

5. SUBMISSION OF PROPOSAL PACKAGE:

A. BUSINESS PROPOSAL – VOLUME I (SECTIONS 1 – 9)

Section 1: General Information

This section of your firm’s proposal shall include the following:

(a) A completed Standard Form (SF) 1449. Provide your company’s Name, Mailing Address, Telephone Number, DUNS and CAGE code numbers in block 17a. Complete block 17b accordingly. Ensure that Blocks 30a, 30b, and 30c on the SF 1449 are complete and that an authorized official with authority to bind the company contractually signs the document.

(b) All amendments issued against this solicitation before the closing date shall be acknowledged by completing and signing Blocks 8, 15A, 15B, and 15C of the Standard Form 30, Amendment of Solicitation and included in this section.

(c) The following fill-in clauses must be completed and submitted in this section:

• FAR Clause 52.209-7, Information Regarding Responsibility Matters

• FAR Clause 52.212-3 ALT I, Offeror Representations and Certifications—Commercial Items with Alternate I

• DFARS Clause 252.209-7993 (DEV), Representation by Corporations Regarding an Unpaid Tax Liability or Felony Conviction under any Federal Law (Deviation 2014-O0009)

(d) In this section, provide your DUNS number, Taxpayer Identification Number (TIN), and the date you completed or updated System for Award Management (SAM) registration.

Offerors are required to register in the System for Award Management (SAM) database via the internet at https://www.sam.gov/SAM. You must have a Data Universal Numbering System (DUNS) number in order to begin the registration process. If you do not have a DUNS number, call Dun & Bradstreet at 866-705-5711 or access their website at http://fedgov.dnb.com/webform. The information in the SAM database must match the information in the IRS database and remain active throughout the source selection process and subsequently throughout the life of any resultant contract(s). If you are registered in SAM, verify that your record is active.

The prospective offeror must register and submit Annual Representations and Certifications via the Online Representations and Certifications Application (ORCA) website via the internet at https://www.beta.sam.gov/. The contractor is responsible for ensuring that its information is updated and complete.

Electronic Document Access (EDA) is a requirement for any offeror that receives a contract award resulting from this solicitation. Awardee(s) will be required to register as vendors on the EDA database at http://eda.ogden.disa.mil. Registration in EDA, SAM, and participation in Electronic Funds Transfer (EFT) are mandatory for award eligibility.

(e) The offeror shall include in this section a signed letter on company letterhead that provides the names, titles, phone numbers and e-mail addresses of all persons who are authorized to negotiate and bind the firm contractually.

These will be the only persons authorized to request changes to the Contracting Officer. The authorized negotiations letter must match the primary business point of contact and alternate business point of contact listed in the SAM database.

(f) If the offeror’s eggs have a shelf life greater than the USDA minimum, the offeror should provide the shelf life days for each product.

Section 2: Delivery Schedule

This section of your firm’s proposal shall include a signed Delivery Schedule Compliance Certification (See Attachment 4).

Review the Delivery Schedule in ‘Attachment 2’. This is the government’s preferred delivery schedule. At a minimum, compliance with the schedule as stated in the solicitation at ‘Attachment 2’ is mandatory for consideration of any proposed alternate delivery schedule. If an offeror cannot certify compliance to the delivery schedule as stated in the solicitation, the offeror’s proposed alternate delivery schedule will not be considered and the proposal may be eliminated from further consideration for contract award.

Section 3: Small Business Subcontracting Plan

In this section, include your firm’s small business subcontracting plan, if the average annual gross revenue of your firm and its affiliates for the last 3 fiscal years is greater than $16.5 million dollars (as described in paragraphs 4(e) and (f) above). See FAR Clause 52.219-9 for the required information that must be included in the plan.

Approved Small Business Subcontracting Plan – If you previously submitted a subcontracting plan for your firm’s current fiscal year for approval and have received a return copy bearing the signature of the contracting officer (DeCA or another Government Agency), your plan was approved. Commercial subcontracting plans are required annually. Submission of a new subcontracting plan for the company’s next fiscal year is required 30 days in advance of the expiration of the current plan. The approved plan will satisfy the requirements of this solicitation and a copy must be submitted with your proposal.

Acceptable Small Business Subcontracting Plan – If you previously submitted a subcontracting plan for your firm’s current fiscal year for approval and it was reviewed and you have received communication from DeCA’s Contracting Office that indicated the necessary changes prior to approval of the plan, your plan is acceptable pending the implementation of changes recommended by the Contracting Officer. The changes should be minor in nature. The acceptable plan will satisfy the requirements of this solicitation. Implementation of the recommended changes is required prior to the submission of your proposal and a copy must be submitted with your proposal.

Unapproved Small Business Subcontracting Plan – If you previously submitted a subcontracting plan for approval but did not receive a returned signed copy by a Contracting Officer, or your recommended changes failed to be implemented, or there has been no communication and/or correspondence regarding your subcontracting plan, your plan has not been approved nor accepted. It is the contractor’s responsibility to follow-up with the assigned DeCA contract specialist to determine the status of your subcontracting plan. To state that your subcontracting plan was previously submitted is not sufficient and does not satisfy the requirements of the solicitation. The offeror must either submit a new subcontracting plan or update the necessary information to bring the plan current.

The subcontracting plan must comply with the requirements of FAR Part 19.704 and DFARS Part 219.704 and contain positive and attainable goals. The subcontracting plan must contain information that clearly demonstrates the progression in the estimated goals from the last plan. Incomplete subcontracting plans will not be acceptable and your proposal may not receive further consideration for contract award.

Assistance in developing or updating a subcontracting plan may be obtained online from the Defense Contract Management Agency (DCMA) at www.dcma.mil. Under "Customer Access", click on "CMT Viewer", enter your CAGE number on the search screen to obtain your SBS contact.

In addition, your local Procurement Technical Assistance Center (PTAC) may be of assistance at www.dla.mil/db/procurem.htm. A subcontracting plan template is available on the DeCA website at https://www.commissaries.com/our-agency/business-with-deca/small- business/electronic-subcontract-reporting-system.

Failure to submit an acceptable subcontracting plan with your initial offer/proposal may deem the proposal nonresponsive and may make your offer ineligible for contract award.

Section 4: Dun & Bradstreet Report

The following document is required in this section of the proposal: Offerors shall submit a current and comprehensive report from Dun and Bradstreet Incorporated, as it relates to the firm submitting the offer and/or performing the contract. The report should provide a business summary, executive summary, credit capacity summary, special events, financial stress summary, financial stress norms, credit score summary, credit score norms, payment trends, summary of payment habits, payment analysis by industry, public filings summary, public filing detail, business background, and financial summary. The phone number for customer services at Dun and Bradstreet is (800) 234-3867 from anywhere within the United States. From outside of U.S., contact your local D&B office.

Section 5: Schedule of Supplies/Pricing Spreadsheet

The following pricing information shall be included in this section:

(1) Completed paper copy of the pricing spreadsheet, showing completed pricing information for the 12-month base period of performance and four 12-month options for the proposed group. An offeror may submit a proposal for one or more groups.

(2) If the Contracting Officer determines discussions are not necessary, contract award may be made from the initial price proposal.

If discussions are necessary, offerors within the competitive range, at their own discretion, have the opportunity to revise their proposals at any time during the response period for all rounds of discussions, to include the request for final proposal revisions.

Offerors need to consider any future or past market changes that may affect their proposed firm fixed prices that are specified as special factor(s). It is the prospective offeror's responsibility to submit any price changes or determine not to make any price changes at their own discretion to any line item(s) effecting the total estimated evaluated price for one or more geographical groups (as appropriate) that ultimately may affect the offeror's standing in the procurement. The Government is under no obligation to make or allow price changes at any time during the procurement through contract start date due to an offeror’s failure to adjust prices when provided an opportunity to do so.

Offerors are provided a final opportunity to revise prices during the Request for Final Proposal Revisions. The prices obtained in response this request are the prices that will be in effect at the contract start date. The offeror’s final pricing contained in the final proposal revision is considered the offeror’s best price to the Government. There will not be any additional adjustments or other price changes applied to the offeror’s final pricing regardless of the timeframe that has lapsed between the response to the request for final proposal revision and contract start date. The Contracting Officer has the discretion to make or allow any price adjustment as determined necessary, fair and reasonable any time during the procurement through performance start date but is under no obligation to do so.

Any price changes made after contract award will be in accordance with the terms and conditions in the contract.

(3) A re-writable compact disc (CD-RW) containing the completed Excel file that is compatible with Microsoft Excel 97-2003 of Exhibits A through BD for Groups 1-10 (Schedule of Supplies/Pricing Spreadsheet). Ensure that the documents on the CD will open when loaded. NOTE: USB Flash Drives or Memory Sticks will not be accepted. Label the disk with your company name and the solicitation number HDEC02-20-R-0002. The DoD Safe version of the spreadsheet will prevail if discrepancies arise.

Pricing Line Items o Use the Excel file that is compatible with Microsoft Excel 97-2003 to open the pricing spreadsheet at Exhibits A through BD for Groups 1-10. The spreadsheet contains descriptions of the products and annual estimated quantities required for fresh shelled eggs. Pricing must be FOB Destination for this group.

o Use Excel to enter information in all yellow highlighted fields, i.e., Contractor’s Name, Global Trade Identification Number (GTIN), Universal Product Code (UPC), UPK, Type of Packaging; Special Factor Price. The offeror shall assign and maintain one unique Universal Product Code (UPC) and one Global Trade Identification Number (GTIN) for each item within the proposed Group(s) listed in the Schedule of Supplies/Pricing Spreadsheet at Exhibits A through BD for Groups 1-10. An offeror must submit a Special Factor Price on all line items for the base period (12 months) and the four one year option periods with an estimated annual quantity within a group in order to be considered for a contract award, except Special Buy line items (for further details on special buys, see Addendum to FAR 52.212-4, Paragraph (gg)). Special factors are firm fixed prices that are added to the weekly market price as published by the Urner Barry Report to calculate a weekly adjusted unit price. The special factor reflects the offeror’s profit, overhead, distribution/transportation, and vendor stocking. The special factor must be in whole cents, not more than two places after the decimal, with a plus or minus sign in front of it. The spreadsheet must be saved in a format that is “fully compatible with Excel 97-2003”.

o An offeror must submit an overall single percentage of the special factor price submitted per geographical group that represents the average costs of fuel and transportation. A space is provided at the end of each group on the Schedule of Supplies/Pricing spreadsheet for the base and option year performance periods. This percentage of the special factor price is the only portion that will be used to calculate and evaluate any future request for price adjustment. Failure to provide the information requested may result in removal of an offer from consideration for contract award.

o An offeror may also propose an alternate item for consideration; however, failure to price all line items may result in removal from consideration for contract award. Any proposed alternate must be in accordance with the instructions for Volume II, Technical Proposal; Section 2.

o Related Information: As adequate competition is expected from this solicitation, no cost or pricing data is required; however, the Contracting Officer reserves the right to require such data if they are otherwise unable to determine the proposed price to be reasonable or realistic or to resolve any apparent unbalanced pricing.

o Vendor Stockers are required for the stores. The cost of providing vendor stockers will not be priced separately and must be included in the special factor price offered for each line item. (See additional instructions in Addendum to FAR 52.212-4, Contract Terms and Conditions – Commercial Items, Paragraph (ii) – Vendor Stocker Requirements).

Section 6: Formal Teaming Arrangements (if applicable)

This section shall contain information about the offeror’s Teaming Arrangement, if such arrangement is being utilized. If no teaming arrangement is being used the offeror must state that under this section.
