5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Description of events.

The intent of this contract modification is to execute a technical refresh for various telecommunications equipment at existing facilities, all of which are covered under an existing IRU originally and currently procured by contract HC1047-15-C-4005. The technical refresh shall effectively entail the removal of obsolete equipment, purchase of new equipment, and installation of said equipment at the targeted facilities for which the IRU fiber strands intersect. The technical refresh will transform the existing 10G CoreStream OT N to 100 Gigabyte/second (“100G”) 6500 P-OT N thereby enhancing all amplifiers covered

Page 3 of 6 Pages under the IRU. This technical refresh shall occur via a contract modification to the IRU originally conveyed under contract HC1047-15-C-4005.

(b) Justification:

(1) Proposed sole source contractor. The incumbent, AOC Connect, implemented the diverse fiber and facilities assets for the DISN Mid-Atlantic United States region of the Global Information Grid Bandwidth Expansion (GIG-BE) program. The original procurement required diverse fiber routes and construction of access laterals to integrate multiple DISN service delivery node equipment and locations. Additionally, builds and modifications were necessary to integrate other government-acquired fiber assets into one seamless, survivable and diverse government controlled network. The resulting buried1 fiber routes required alterations after contract award in order to achieve end-to-end diversity and security compliance. AOC Connect has a proven record over the past 10 years of meeting and exceeding requirements for operation and maintenance support for the provided IRU of diverse dark fiber. AOC Connect has met all of the government’s requirements (performance, security, reliability, availability, and sustainability). AOC Connect will be able to continue maintaining the network in accordance with the design criteria to which the fiber infrastructure was built, updated, operated and maintained by AOC Connect since 2004 for and 2010 for

(2) Discussion regarding cause of the sole source situation. Competition is not feasible for this technology refresh and enhancement requirement. No other contractor can upgrade fiber previously installed by the incumbent. The government competitively procured the existing IRU and invested substantial funding to provide route and facilities for diversity and survivability. The contract included an initial investment of to establish the required dark fiber IRU route. Competing this requirement would result in a substantial duplication of costs associated with the replacement of the existing IRU and reconstruction of the end-to-end infrastructure which has been built to diversity requirements.

(3) Demonstration of unique source. AOC Connect designed, built, deployed, and integrated the end-to-end diverse fiber and facilities solution for the government’s Mid-Atlantic U.S. fiber requirement. AOC Connect also has successfully met or exceeded the operation and maintenance performance requirements for the fiber assets during the last ten years. AOC Connect successfully built diverse access laterals to five government service delivery locations. AOC Connect is in the position to continue to provide maintenance and repair services at the government sites and service delivery nodes. No provider, other than the existing contractor, is capable of providing and meeting the following unique requirements without duplicative costs to the government:

1 In some very limited cases, the Government may approve aerial installations where a fully buried installation is not environmentally, technically, and/or economically feasible.

Page 4 of 6 Pages

• IRU backbone fiber pairs that are end-to-end diverse and buried

• Construction of two diverse access laterals (one buried) to each SDN

• Supply 6 fiber pairs and two conduits dedicated to government in each lateral

• Relocation and mitigation of fiber paths to comply with diversity

• Repair and maintain fiber with 2 hour response and 8 hour repair

(4) Procurement discussion. This contracting action is to expand the scope of the existing contract HC1047-15-C-4005 to include technology refreshes and enhancements of telecommunications equipment. No provider, other than the incumbent, can perform the technology enhancements and enhancements on the fiber and equipment currently housed in the incumbent’s facilities. Procuring the service from a provider other than the incumbent would require up to one year for installing and implementing fiber communications on a new network.

(5) Impact: This refresh is required to upgrade the capability of the optical transport equipment from 10G to 100G in order to support higher DODIN backbone bandwidth demands. The technology refresh will incorporate new technology that increases the maximum bandwidth capability that will allow DISA to meet increasing DODIN backbone demands. In addition, the technology refresh extends the end of life of the optical transport equipment which will reduce the IT costs in the near future. Without the refresh, the Government would need to procure, install, and maintain a new fiber network and equipment in order to continue providing timely transmission of critical DOD mission communications and data. Installing buried fiber is very costly and the technology refresh is a more economical approach to meeting the backbone bandwidth demands since the fiber is already existing and only equipment within above-ground fiber facilities needs to be replaced.

6. FEDBIZOPPS ANNOUNCEMENT: A presolicitation notice of intent to enter into this sole source modification action was posted to FedBizOpps on February 6, 2018. Additionally, the Contracting Officer will post this Justification and Approval (J&A) to FedBizOpps within 14 days of the effective date of the contract action in accordance with FAR 6.305(a)

7. DETERMINATION OF FAIR AND REASONABLE COST: The government has over ten years of history with the ongoing contract and possesses actual record data of the costs and services provided via the current sole source contract. An Independent Government Cost Estimate has been developed. The contracting officer will use this estimate, along with price comparisons currently available and analysis of cost information, to ensure the cost to the government will be fair and reasonable.

8. MARKET RESEARCH: The market research conducted in support of this action resulted in the determination that no other contractor can support this effort. AOC Connect is the only contractor uniquely positioned to meet the stated operational mission needs. AOC Connect owns or controls access to the facilities where all of the DISN equipment is located for the existing fiber IRU network. Facilities based carriers do not grant uncontrolled access to wholly-owned network infrastructure and/or support facilities to any competitors nor allow 3rd party providers to install equipment into any element of proprietary core network

Page 5 of 6 Pages infrastructure. This is standard protocol for any telecommunications provider with a facilities-based environment.

9. ANY OTHER SUPPORTING FACTS: None.

10. LISTING OF INTERESTED SOURCES: None

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION.

(a) Procurement History.

Contract Number: HC1047-04-C-4050 Contractor: AOC Connect, LLC Contract Period: Base period of one year commencing 15 April 2004 and ending 14

April 2005. Nine one-year option periods were included. Contract expired 14 April 2014 and was extended through 14 October 2014 pursuant to FAR 52.217-8

Type of Acquisition: Competitive

Contract Number: HC1047-15-C-4001 Contractor: AOC Connect, LLC Contract Period: Base period of six months commencing 15 October 2014 and ending

14 April 2015. Three one-month option periods are included.

Type of Acquisition: Sole-source

(b) The IRU was established as a result of a competitive acquisition. No contractor, other than the incumbent, can perform work on the incumbent’s network. The government has invested a significant amount of money into the current DISN structure and any effort to establish a different network would result in a substantial duplication of cost to the government that is not expected to be recovered through competition.

12. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): The purchase of the IRU and the first ten-years of maintenance were approved under the DISN Fiber Infrastructure Acquisition Plan for Fiber, dated 24 Oct 2003 and procured under contract HC1047-04-C-4050.

The Combined Acquisition Strategy / Acquisition Plan under the Mid-Atlantic U.S. Dark Fiber Operation and Maintenance dated 09 April 2015 and procured under contract HC1047-15-C- 4005 included language of the Government’s right and intent to enter into follow-on contract(s) for continued O&M support and service for the following ten-years of the IRU.
