About this file

This justification and approval document outlines a bridge contract to provide Defense Information Systems Network Mission Support Office application services and ancillary support. The bridge contract will extend the current support from February 3, 2024 through September 2, 2024 with four two-month option periods extending to May 2, 2025. The contract will be awarded sole source to incumbent contractor Synergetic Information Systems, Inc. for an estimated total value of $22 million utilizing fiscal years 2024 and 2025 operations and maintenance and Defense Working Capital funds. The sole source award is justified based on Synergetic being the only contractor able to continue providing support within the necessary timeframe without a break in service as the Defense Information Systems Agency completes market research and awards follow-on competitive task orders for long term support.

JUSTIFICATION FOR OTHER THAN FULL AND

OPEN COMPETITION (OTFAOC)

Federal Acquisition Regulation (FAR) Part 6 Justification & Approval (J&A), Supporting Procurements under FAR Part 12, and FAR Part 15

Purchase Request Number: HC108924NSSFR09 Contract Number: HC102824C0004 Task/Delivery Order Number: Not Applicable Procurement Title: Defense Information Systems Network (DISN) Mission Support Office (MSO) Application Services and Ancillary Support Estimated Value:

Statutory and Regulatory Authority: 10 U.S.C. 3204(a)(1) and FAR 6.302-1

Justification for OTFAOC Number: JA24-026 AMD 01

Upon the basis of the following justification, I, as Procuring Activity Competition Advocate (PACA) hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of FAR 6.302-1.

1. REQUIRING AGENCY AND CONTRACTING OFFICE:

Requiring Agency:

Defense Information Systems Agency (DISA)/ Transport Program Executive Office (PEO) Services (IE) 6910 Cooper Avenue Fort Meade, Maryland 20755

Contracting Activity:

DISA/Defense Information Technology Contracting Organization (DITCO)/PL8313 2300 East Drive Building 3600 Scott Air Force Base, Illinois 62225

2. NATURE/DESCRIPTION OF ACTION(S):

AMD 01: The estimated value of this J&A has increased by to . This increase results from the initial Government estimate of labor rates and hours being lower than the resulting proposal. A proposal was received from Synergetic Information Systems, Inc. (Synergetic) with a final price of negotiated, thus exceeding the initial approved estimate of . The proposal has been evaluated by the Contract Specialist and determined to be fair and reasonable by the Contracting Officer.

The total lifecycle value of the Cost Plus Fixed Fee (CPFF) with Cost Reimbursable (CR) travel bridge has been updated to consisting of in labor, in

JA24-026 - DISN MSO Application Services and Ancillary Support

Page 2 of 7 Pages other direct costs/travel and will utilize Fiscal Years 2024 and 2025 Operations and Maintenance (O&M) and Defense Working Capital Funds (DWCF).

Although a notice of intent posted to SAM.gov in December 2023 states the award would be made to Alliant Enterprise Joint Venture, LLC. (AEJV), it has come to light that AEJV was created solely for the purpose of the General Service Administration (GSA) Alliant Small Business Government Wide Acquisition Contract (GWAC). Due to the expiration of the GSA Alliant GWAC, the joint venture is no longer active and Synergetic is the only remaining member. As a result, award will be made to Synergetic.

As a result of reorganizations within DISA and DISA IE restructuring efforts, a contract strategy was developed to better allow for an integrated approach and reduction of redundant services across the directorate. This revised contract strategy has resulted in a delay of requirements generation for affected contracts/orders and their follow-on efforts. This proposed bridge contract action will extend current support for the DISN MSO Application Services and Ancillary Support requirement to allow time to complete the realignment of tasks into existing or new contracts/task orders without a loss or delay of support ensuring the continuity of mission critical DISN MSO Application Services and Ancillary Support services to DISA and the Department of Defense (DoD) community.

The current task order, GS06F0595Z/HC102818F1388, supporting the DISN Program Management Office (PMO) Application Services and Ancillary Support expires on February 2, 2024. This task order was competitively awarded as a small business set-aside under the General Service Administration’s (GSA) Alliant Small Business (SB) Government Wide Acquisition Contract (GWAC). The GSA Alliant SB GWAC contract ordering period ended February 2, 2019 and task orders may not go beyond February 2, 2024. As a result, the bridge action will be a new contract award rather than an extension of the existing task order.

The projected period of performance (PoP) for the bridge is a seven-month base period (February 3, 2024 – September 2, 2024) with four, two-month option periods (September 3, 2024 – May 2, 2025). The total estimated lifecycle value of the Cost Plus Fixed Fee (CPFF) with Cost Reimbursable (CR) travel bridge will be consisting of in labor, in other direct costs/travel and will utilize Fiscal Years 2024 and 2025 Operations and Maintenance (O&M) and Defense Working Capital Funds (DWCF).

3. DESCRIPTION OF SUPPLIES/SERVICES:

This action is for the procurement of mission critical DISN MSO Application Services and Ancillary Support to DISA IE which provides direct support into several programs and projects within the Transport Services Directorate that reflect on real time global enterprise network service capabilities to our Military Departments and other DoD agencies. The Government has a need to provide continuous oversight in the following areas: Program Management, Strategic Planning, Acquisition and Sustainment Planning and Strategy and Governance of the day-to-day operations of the DISN. Due to the breadth and depth of the requirements, no alternate contractor can develop the work force necessary to replace the current support team and achieve an initial satisfactory level of support expeditiously. The transition time required for another

Page 3 of 7 Pages contractor to provide the same level of support is 30 days. Due to the breadth and depth of the requirements, an award for a competitive requirement cannot be completed in sufficient time for an alternate contractor to develop the work force necessary to replace the current support team and achieve an initial satisfactory level of support. The Government does not anticipate a cost benefit from awarding a new competitive requirement while the recompete effort is ongoing.

4. IDENTIFICATION OF STATUTORY AUTHORITY:

Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C. 3204(a)(1) (FAR 6.302-1/DFARS 206.302-1)

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Description of events.

The current requirement was competitively awarded using the contract vehicle for Global Information Grid Service Management (GSM) Projects and Support (P&S) capabilities.

The Alliant Small Business GWAC ordering period ended on February 2, 2019, with all task orders requiring an ultimate completion date of February 2, 2024.

Efforts are currently ongoing to pursue two new competitive task orders to support DISA’s Application Services and Ancillary Support. Relevant task areas from the existing requirement will move to new task order, Transport Services Strategic Advisory Support

(TSSAS).

New Task Order: TSSAS: New requirement - provide Strategic Programming, Planning and Advisory Support services. Requirement is in development phase, market research needed to finalize the strategy. Projected award date is July 12, 2024, based on the complete/actionable package received by December 15, 2023.

Anticipated Contract Strategy: TBD Anticipated PoP: one-year base period with four, one-year options Estimated Task Order Value: ( with 25% surge of ) Funding type: O&M, DISA DWCF

The bridge will be awarded for up to 15-months which will allow adequate time for the award of TSSAS, resolve potential protests, and transition efforts to the new contractor.

(b) Justification.

(1) Minimum Government requirements. The Government requires services to provide Information Technology (IT) policy analysis and development; IT product support and costing; tracking of customer and DISN IT network projects; customer meeting support;

developing recommendations and processes in support of DISN policies and processes;

conducting analyses of Requests for Change; Enterprise Architecture (EA) acquisition planning and strategies; budget and exhibit development; quality assurance; IT issue papers and white papers; and EA business case and cost benefit analyses. Due to the breadth and depth of the requirements and the clearance required to support requirements, Page 4 of 7 Pages no alternate contractor can develop the work force necessary to replace the current support team and achieve an initial satisfactory level of support prior to the expiration of the current task order. A gap in service would be devastating to the warfighter and have worldwide ramifications as this effort ensures the cyber security of the DISN infrastructure which is used by military forces around the globe.

(2) Proposed sole source contractor. Alliant Enterprise Joint Venture, LLC (AEJV), a joint venture with Synergetic Information Systems, Inc. as the managing partner.

Synergetic, the incumbent on the existing task order, is the only source that can continue to fulfill this requirement within the necessary time frame and without risk of a substantial break in service and support to DISA and its mission partners. Synergetic is uniquely postured to support the current DISN MSO Application Services and Ancillary Support task order without a significant duplication of cost or delays in support while the follow-on is awarded and transitioned. Synergetic understands the requirements and currently possess the requisite expertise and relevant experience. The support requires meticulous and highly technical skillsets which are not readily available in the marketplace in the timeframe necessary.

(3) Discussion regarding cause of the sole source situation. Efforts are currently ongoing to pursue restructuring of contract requirements, including two new competitive task orders. DISA IE is finalizing a performance work statement mapping document to outline the acquisition strategy, which will ultimately determine the timeline for award of the new task order, currently expected to begin performance on August 1, 2024. The base period of this bridge action will allow for transition from the current contractor, with the four two-month option periods in place to account for possible delays.

(4) Impact. Failure to maintain the contractor support continuity provided by Synergetic until the previously discussed actions can be awarded and transitioned will result in a loss of continuity of services and cause detrimental effects as it will negatively impact mission-critical functionality and services to military operations. Specifically, this could result in mission failure and potentially endanger lives from lack of security for our warfighters. The current contractor provides highly specialized and critical support to DISA and DISA’s mission partners, and a gap in service would cause a decline in quality of services to DISA and its mission partners.

6. CONTRACT OPPORTUNITIES ANNOUNCEMENT/POTENTIAL SOURCES:

This bridge action will be completed as a sole source award to Synergetic . This bridge action will be synopsized and posted to SAM.gov in accordance with FAR 5.201.

7. DETERMINATION OF FAIR AND REASONABLE COST:

A price analysis will be conducted prior to contract award to ensure the prices paid represent a fair and reasonable cost to the Government in accordance with FAR 15.404-1, Proposal Analysis Techniques. The contracting officer will make a determination that the price is fair and reasonable upon completion of negotiations.

Page 5 of 7 Pages

8. MARKET RESEARCH:

Synergetic is the only contractor at this time with the requisite knowledge and technical personnel capabilities to support the requirement in the timeframe necessary for uninterrupted support. Market research is still ongoing for follow-on efforts. It is not currently feasible to award the follow-on task order prior to the expiration of the current task order.

Therefore, Synergetic is the only source that can continue providing the necessary level of support without risk of a substantial break in support.

9. ANY OTHER SUPPORTING FACTS:

None.

10. LISTING OF INTERESTED SOURCES:

The Government issued a sources sought notice in November 2022 while initiating market research for new task order, TSSAS, which will include the support being provided by current task order, GS06F0599Z/HC102818F1388. Sources sought notice #832369148, was posted to SAM.gov on November 9, 2022. Additionally, this sources sought notice was shared with both large and small business ENCORE III contractors. This sources sought notice resulted in 15 vendors submitting responses and indicated that there are small business vendors who are interested in this requirement and may be able to meet or partner to meet the capabilities required. Due to revisions to the requirement since November 2022, additional market research is required for the TSSAS task order and is currently on-going.

However, the Government’s market research shows that none of the competitors can fully transition in time for the expiration of the current task order on February 2, 2024, and selecting any other vendor to support this bridge effort would likely result in a break in service and would result in substantial duplication of costs that is not expected to be recovered through competition due to multiple transitions in a short period of time. The likely break in service would not meet the Government’s need for uninterrupted service to maintain centralized acquisition, governance, engineering and project support of the complete life cycle support for the DISN. This would result in unacceptable delays in fulfilling the Government’s requirements. Therefore, only the incumbent can meet the Government’s immediate needs of ensuring that a vendor can support the Government’s required MSO support services fully by the needed date of February 2, 2024.

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:

(a) Procurement History.
