JUSTIFICATION FOR OTHER THAN FULL AND

OPEN COMPETITION (OTFAOC)

Upon the basis of the following justification, I, as the Contracting Officer, hereby approve the use of brand name us of other than full and open competition for the proposed contractual actions, pursuant to the authority of Section 4202 of the Clinger-Cohen Act of 1996. The regulatory authorities that apply to the requirement are FAR Subpart 13.501, Brand Name Commercial Items, and FAR Part 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

1. REQUIRING AGENCY AND CONTRACTING OFFICE:

a. Requiring Agency:

2. NATURE/DESCRIPTION OF ACTION(S):

a. The nature of this action is to issue a firm fixed price (FFP) contract for Brand Name Riverbed (formerly known as OPNET) software support, in support of DISA EE4. The requirement will renew the support presently provided under the current contract HC1028-13-C- 0020, which expires on January 28, 2017. The objective of this contracting effort is to provide continual software support while ensuring DISA customers receive uninterrupted, continuous access to their applications and data. The recommendation is to solicit a quote utilizing open market procedures from Riverbed Technology, Inc., a large business and the original equipment manufacturer (OEM), or one of its authorized resellers, Federal Business Opportunities (FBO).

b. The period of performance (PoP) for this contract will be date of award through January 28, 2018 with some end of service items ending on December 18, 2017. The total estimated lifecycle value of this requirement is Fiscal Year 2017 operations and maintenance funds have been provided via Military Interdepartmental Purchase Request number DEEMZ70008. The applicable North American Industry Classification System code is 511210 – software publishers (size standard $38.5 million).

3. DESCRIPTION OF SUPPLIES/SERVICES:

a. This requirement is for Riverbed software support that will cover DISA EE4’s operations.

The M&S Division performs network modeling and analysis for DISA Network Services, Enterprise Services Directorate. Riverbed software technology and its tool suite have been applied extensively to application troubleshooting, simulation and modeling, performance analysis, optimization, and planning for Government and defense clients. The Riverbed software suite delivers specialized services to support large projects, such as the worldwide Defense Information Systems Network (DISN) with its heterogeneous, multiple layers. The key Government applications of Riverbed include implementing high performance enterprise architectures, selecting and managing information technology (IT) investments, building mission-critical infrastructures that are resilient to network outages and disasters, and designing efficient communications protocols for the war-fighter. A variety of Riverbed software tools and supporting licenses were acquired for the M&S Division, to include product support. Product support provides product upgrades, revisions, and product patches throughout the period of performance.

b. Many of these modeling tools are, by necessity, complex with their effective use dependent on having analysts trained and experienced with them, e.g., annual license renewal, for vendor support if necessary. Expert knowledge about how applications, networks, and servers operate and enable users to capture, filter, and synchronize application traces from multiple network segments are embedded in these tools.

c. The following is a description of the Riverbed software support required:

4. IDENTIFICATION OF STATUTORY AUTHORITY:

Only one responsible source and no other supplies or services will satisfy agency requirements, Section 4202 of the Clinger-Cohen Act of 1996 and FAR 6.302-1/Defense FAR Supplement 206.302-1. The items/services are peculiar to one manufacturer’s brand name. Only the OEM or their authorized resellers can satisfy the requirement. No other contractors or distributor can legally obtain access to the software or make duplicate copies, since it is protected by copyright and/or patent laws.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

a. The M&S Division of DISA has used Riverbed products for more than a decade. DISA EE4 has been continuously and successfully using Riverbed products to provide deliverables for DISA customers. The Riverbed software support renewal is for upgrades and support on already owned software licenses. Software support provides the Division with the latest software releases and telephone coverage from 8:00AM to 10:00PM Eastern Standard Time for any problems encountered with the software. The M&S Division has also invested substantially in analyst training time and development of auxiliary coding scripts, data retrieval methods, and processes to fully apply the capabilities within the Riverbed software. The Riverbed suite tools are part of the total set of software in use within the Division, and periodical surveys of commercially available modeling tools are conducted to ensure the right software is being acquired and used

Page 4 of 8 Pages for the particular modeling and analysis tasks being done. Continuing software support with existing EE4 Riverbed tools will ensure seamless usability. Failure to purchase the Riverbed software support renewal would require the purchase of new software which would require personnel to learn how to use the new software.

b. Riverbed (formerly OPNET) originally produced this software for the Government.

Riverbed software products are now sold to the commercial sector, primarily those who support Department of Defense. Riverbed allows DISA users to make suggestions for additional modifications needed to improve mission efficiency to the software, and then incorporates the modifications into future releases. The M&S Division has also invested substantially in analyst training time and development of auxiliary coding scripts, data retrieval methods, and processes to fully apply the capabilities within the Riverbed software.

c. Riverbed software is proprietary, and the software support of the Riverbed software licenses is only available from Riverbed, the OEM, and its authorized resellers. Renewing our current contract will guarantee that we receive the latest releases, ensure continued successful use of the code in our DISA project support, even as our underlying computer systems evolve.

The Riverbed software is extremely important for timely delivery of products to primary DISA business areas, including: DISN Technical Refresh, DISN Sustainment, and Enterprise Services.

If the Riverbed support is not renewed, this would impact deliverables to all these programs.

Rapid decisions in the deployment and extension of Enterprise Services and DISN depend on results from the use of these tools.

d. While the M&S Divisions continuously look for more cost efficient means to achieve their mission, the introduction of a new product would negatively impact the mission as our analysts have extensive experience and training with the current products. They also have existing models prebuilt that are used regularly to answer questions from customers that would require being rebuilt with a new product. These models are complex models, not easily duplicated with a new software product. We also have custom scripts that massage the data to be used in the tools, which would also need to be rewritten for a new product. At this time, no other software is available in the commercial marketplace that can perform the same functions.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES:

A synopsis of this action will be published on the FBO website, as required by the FAR in accordance with Subpart 5.2. A redacted J&A will be posted with the solicitation when posted to

FBO.

7. DETERMINATION OF FAIR AND REASONABLE COST:

The Contracting Officer will make a determination that the anticipated cost to the Government is fair and reasonable based on comparison of commercial list pricing, previous history, comparison of the negotiated prices, and a comparison of the Independent Government Cost Estimate. A determination will be made that the contract represents the best value to the Government and results in the lowest overall cost alternative. DITCO has concluded that placing an order through FBO represents the best value (as defined in FAR 2.101) and results in the

10. LISTING OF INTERESTED SOURCES:

A synopsis of this action will be published on the FBO website as required per the FAR 5.201.

The synopsis will identify the Government’s minimum mandatory requirements. All appropriate responses to the FBO announcement will be considered by DISA prior to proceeding with an award.

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:

a. Riverbed Technology, Inc. legally maintains ownership, copyright, and/or intellectual property software rights. The Government will continue to search the marketplace. If the Government should determine that Riverbed or its authorized resellers are no longer required, the Government will seek competition for the required functionality and discontinue renewal of that product. These actions are evident in this current requirement, as the renewal of maintenance for a quantity of two (2) MNT-PSTNFLAN STN Flow Analysis Module had been deemed to be no longer necessary to satisfy the DISA mission and therefore will not be renewed.
