J&A for CA Software Licensing and Maintenance-JA14-016

JUSTIFICATION FOR OTHER THAN FULL AND

OPEN COMPETITION (OTFAOC)

Federal Acquisition Regulation (FAR) Part 6 Justification, Supporting Procurements under FAR Part 12, FAR Subpart 13.501, and FAR Part 15

Purchase Request Number: To Be Determined (TBD) Contract Number: TBD Task/Delivery Order Number: TBD Procurement Title: CA Software Licensing and Maintenance Contracting Office: Defense Information Systems Agency (DISA), Defense Information Technology Contracting Organization (DITCO) - Scott/PL8321 Estimated Value: $111,217,837.86 Statutory Authority: 10 United States Code (U.S.C).§2304(c)(1) and FAR 6.302-1

JUSTIFICATION FOR OTFAOC

OTFAOC Number:

Upon the basis of the following justification, I, as the Senior Procurement Executive, hereby approve the use of OTFAOC of the proposed contractual action pursuant to the authority of 10 U.S.C.§2304(c)(1) and FAR 6.302-1, only one responsible source and no other supplies or services will satisfy agency requirements.

JUSTIFICATION

1. REQUIRING AGENCY AND CONTRACTING OFFICE:

Requiring Activity: DISA Enterprise Services Directorate (ESD)

REDACTED

Contracting Office: DITCO – Scott/PL8321

REDACTED

2. NATURE/DESCRIPTION OF ACTION(S):

a. The nature of this action is to procure brand name commercial-off-the-shelf (COTS) CA software for all of DISA. This acquisition will continue to provide DISA ESD with CA software licensing and maintenance/sustainment support for owned, managed, and supported data centers that support Department of Defense (DoD) mission partners. The new contract will perpetuate existing coverage under contract REDACTED, which expires on March 30, 2014. In addition, this requirement has the ability to consolidate other DISA non-ESD CA software maintenance requirements and possible DoD mainframe workload transition to DISA as a result of data center consolidation. The recommendation is to execute a sole-source firm fixed price (FFP) single award indefinite delivery, indefinite quantity (IDIQ) contract to CA Inc. for CA products as described in Attachment 1.

b. The period of performance (PoP) for the contract will consist of a base period of March 31, 2014 through March 30, 2015, and include four 1-year option periods, for a total contract life of 5 years. The total lifecycle cost for this requirement is estimated at $111,217,787. The minimum guarantee for the IDIQ is $2,500 and will be satisfied by the issuance of the first delivery order using Defense Working Capital Funds. All funding will be obligated by the issuance of delivery orders. The applicable North American Industry Classification System code is 511210, Software Publishers.

3. DESCRIPTION OF SUPPLIES/SERVICES:

a. The CA software licensing and maintenance procurement will support the perpetual licenses and maintenance of over 200 CA software products within DISA and DoD. The government will obtain the software maintenance and support as it relates to both mainframe platforms and distributed servers at all ESD data centers and will have central site management. Maintenance for these products is required in order to obtain product support and the latest versions of the software. Software support is also required in order to meet DISA’s Security Technical Implementation Guide requirements to prevent security vulnerabilities in the ESD communication architecture. DISA’s licensed CA software encompasses enterprise management, storage management, security management, life cycle management, data management, and application development. A sole-source, negotiated contract will allow DISA to obtain specific license terms that are vital to the DISA mission, such as release management factory distribution, testing, parallel processing, and continuity of operations testing.

b. The PoP and estimated lifecycle of this action is as follows:

4. IDENTIFICATION OF STATUTORY AUTHORITY: Only one responsible source and no other supplies or services will satisfy agency requirements. This acquisition is conducted under the statutory authority of 10 U.S.C§2304 (c)(1), and the regulatory authority of FAR 6.302-1.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

a. CA is the original equipment manufacturer (OEM) for CA software applications. CA owns all proprietary rights to the source code and is the only contractor that is capable of providing the required brand name CA software licenses and support. No other vendor or distributor can legally obtain access to the software; nor can they make duplicate copies, since it is protected by copyright and patent laws.

b. CA software is fully implemented and integrated into DISA’s architecture and has been for more than 20 years. The proposed acquisition is for continued brand name support in order to maintain uniformity, compatibility, and to ensure network security is not compromised.

The CA software encompasses a continuation of the previously approved effort with continued emphasis on a single DISA enterprise-wide contract at the specified logical partition level for cost efficiency. The scope of this contract does not differ from the scope of the current ESD contract, except for the added ability to consolidate other DISA workload. The software covered under the resultant contract will be for the express purpose of supporting all of DISA’s mission partners. The software licenses acquired and maintained through this follow-on effort will support all equipment augmentations and all government-automated data processing environments for the life of the contract including, but not limited to, all COTS software provided by CA under the current contract.

c. DISA ESD utilizes the CA software capabilities on all mainframe hardware and some distributed/server hardware. To replace the suite of software products currently embedded throughout ESD and its customer partner applications would be cost-prohibitive, as the cost in relation to manpower, software development, training/knowledge management, and overall impact to current and ongoing software development and platform integration plans would be exorbitant. Consequences from obtaining replacement software products from other sources would require massive software conversions resulting in duplication of costs and unnecessary cessation of support for the military services, agencies, and central design activities.

d. The estimated investment cost for CA software licensing and maintenance to date since 2000 has been approximately REDACTED. The full integration and support of CA software included an investment in testing, accreditation, training, and establishment of processes. If CA software is not procured, additional estimated costs REDACTED over REDACTED would be incurred by the government. Cost would include such items as rewriting applications to function with replacement products, procuring new software, increasing technical government manpower, and increasing training/knowledge managementefforts throughout the DISA enterprise. Additionally, rewriting the applications would result in substantial work interruptions, creating unnecessary obstacles, restraints, and losses in efficiency as the CA software supports all equipment augmentations, all government-owned software-processing environments, and has been integrated into many mission partners’ application systems. CA is the only source that can perform this effort in order to avoid substantial duplication of cost to the government that is not expected to be recovered through competition.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES:

A synopsis for this requirement will be published to FedBizOpps website as required by FAR 5.2.

7. DETERMINATION OF FAIR AND REASONABLE COST:

A determination will be made by the Contracting Officer that the order represents the best value to the government, as defined in FAR 2.101, and results in the lowest overall cost alternative (considering price, special features, and administrative costs) to meet the government's needs. The Contracting Officer will determine that the resulting contract prices will be fair and reasonable based on comparison with the prices outlined below. The Contracting Officer will also determine the pricing information valid for comparative purposes. Certified cost and price data is not required for this commercial item acquisition, in accordance with FAR 15.403-1(b)(3). The Contracting Officer will determine whether the price is fair and reasonable based on:

a. Comparison of the proposed prices to historical and existing prices paid, whether by the government or other than the government for the same or similar items.

b. Comparison with competitive published price list, published market prices of the same commodities.

c. Comparison of proposed prices with the Independent Government Cost Estimate.
