Upon the basis of the following justification, I, as the Procuring Activity Competition Advocate, hereby approve this limited source justification in accordance with FAR 8.405-6(a)(1)(i)(A).

The acquisition referenced herein is conducted under the authority of the Multiple Award Schedule Program.

JUSTIFICATION

1. REQUIRING AGENCY AND CONTRACTING OFFICE:

Requiring Activity:

DISA/Network Services (NS) 112 6910 Cooper Ave, Ft. Meade, MD 20755

Contracting Activity:

DISA/ DITCO/PL8311

2300 East Drive

2. NATURE/DESCRIPTION OF ACTION(S): An undefinitized contract action (UCA) was issued to TeraLogics, LLC on August 21, 2014, contract number GS-35F-0037V, task order HC1028-14-F-0379 for mission critical UVDS services as a result of a post-award protest. The awarded UCA is to allow for continued support of this vital program until the protest process is fully completed. The subject task order is firm-fixed price and is funded with fiscal year (FY) 14 and 15, operations and maintenance, overseas contingency funding. FY15 funds will be incrementally provided in the 1st quarter of FY15.

3. DESCRIPTION OF SUPPLIES/SERVICES: UVDS is an Intelligence, Surveillance and Reconnaissance (ISR) dissemination service providing collection of ISR data from multiple Services, Commands and Agencies and the delivery of that ISR data to support contingency operations, exploitation and situational awareness. This mission critical system is the only dissemination path for numerous real-time Airborne Intelligence, Surveillance, and Reconnaissance (AISR) FMV feeds to both tactical users and exploitation centers. The tactical FMV and data is received from over 20 different AISR source architectures and disseminated to over 25 fixed processing locations.

The subject effort provides 24x7 operations support, network site integration, cyber-security support, and portal sustainment and supports system stability to DISA's mission partners including United States Central Command (USCENTCOM), United States Special Operations Command and United States Africa Command.

Performance period for subject order includes a four-month base period (August 21, 2014 to December 20, 2014), plus a one-month option period (December 21, 2014 to January 20, 2015).

Subject option will be exercised only if resolution of the protest does not occur during the previous period.

4. IDENTIFICATION OF LIMITED SOURCE AUTHORITY AND DEMONSTRATION OF

CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Circumstances Justifying Limiting the Source. FAR 8.405-6 (a)(1)(i)(A), an urgent and compelling need exists, and following the ordering procedures would result in unacceptable delays.

(b) Description of the Justification. The subject sole source action is issued as a result of a received post award protest. HC1028-10-F-2650 was competed under request for quote 858832.

Award of HC1028-14-F-0308 was made on August 07, 2014. A GAO protest was received on August 18, 2014, and as a result, a stop-work order was issued August 19, 2014. As this UVDS system is mission critical, an immediate need to ensure continued support was recognized and the government issued a UCA for continued service.

(c) Justification:

(1) Minimum Government requirements. DISA NS depends on daily services supporting UVDS such as operational UVDS service for USCENTCOM and other ISR missions.

The task order seeks to maintain the baseline Enterprise UVDS Solution and provide 24x7 operational support. The UVDS Enterprise operational system consists of two main parts, an underlying routing architecture and a web-based application (portal). Both components together provide the DoD community with “real-time” access to standard-definition (SD) and high-definition (HD) FMV and other ISR data types.

(2) Proposed sole source contractor. TeraLogics, LLC was the developer of the original

UVDS prototype and also the awardee of HC1028-10-F-2650, under which it integrated the UVDS prototype into the Digital Video Broadcast – Return Channel Satellite (DVB-RCS) System. As such, they possess extensive experience and technical knowledge regarding UVDS and the capability to perform the required work immediately and with minimal transition.

Page 2 of 5 Pages

Minimal transition is critical in providing this urgent and compelling service that supports overseas contingency operations and ISR missions.

(3) Discussion regarding cause of the limited source situation. A sole-source action is necessary due to a protest filed in response to the award of the follow-on task order, HC1028-14- F-0308. If a bid protest had not been received, this sole source UCA would not be necessary.

(4) Demonstration of limited source. Any contractor not possessing extensive knowledge and experience with the UVDS would require time to transition to be able to fully support the system. Anything other than immediate support is found to be unacceptable by the government, and as such an urgent and compelling need exists.

(5) Procurement discussion. This is a UCA to continue the work that was being performed against the expired task order, HC1028-10-F-2650, while the protest process is fully completed A UCA is needed in order to continue service to UVDS. The period of performance created is found to be sufficient to ensure adequate time to complete the protest process.

(6) Impact. This service has been in existence since 2009 when the UVDS prototype was integrated into the operational Digital Video Broadcast – Return Channel Satellite (DVB- RCS) System. The DVB-RCS system is the primary backhaul and dissemination method for the majority of the tactical unmanned aerial video, primary real-time delivery of Geospatial Information (typically very large files) for USCENTCOM support of Operation Enduring Freedom - Afghanistan. In support of the DVB-RCS system, UVDS system provides tactical FMV for conducting ongoing operations, exploitation, and situational awareness. The video feeds produced by DVB-RCS are not only used by USCENTCOM but other agencies supporting overseas contingency operations and ISR missions.

Without these services, the UVDS network sustainment, and operations support will be crippled as follows:

a. With the loss of 24x7 operational support, 24x7 Tier II/III support for routing and portal services will be lost and could cause Combatant Commands to cancel missions due to the UVDS service being unavailable. UVDS support the dissemination of live tactical feeds as such the portal receives roughly 1000 portal visitors/day processing nearly 150 unique live videos for tactical exploitation.

b. Additional operational tactical FMV feeds will not be available for integration into

UVDS. As such, critical support for force protection, convoy over-watch, and target development feeds will not be accessible to the deployed warfighter.

c. The UVDS system will not maintain its Cyber Security accreditation. Information assurance & vulnerability assessment mitigation updates and Cyber-Command compliance is required in order to maintain operation. Without the updates provided by the referenced service, the UVDS will lose its authority to operate and will have to be turned off.

5. BEST VALUE DETERMINATION: Labor categories and rates have been established within the basic GSA contract. All rates set forth in the contract, and used on individual orders, were based on full and open competition and a price analysis was accomplished. Proposed task order

Page 3 of 5 Pages http://www.acronymfinder.com/Information-Assurance-%26-Vulnerability-Assessment-(IAVA).html http://www.acronymfinder.com/Information-Assurance-%26-Vulnerability-Assessment-(IAVA).html rates and loadings will be compared with the basic contract rates and loadings and verified as fair and reasonable.

6. MARKET RESEARCH: Market research was conducted for the protested task order within the last 12 months. The market research identified potential sources who could perform the requirements of the follow-on task order, HC1028-14-F-0308, which enabled the follow-on task order to be conducted as GSA Schedule 70 small business set-aside. However, other than TeraLogics, the potential sources identified did not have the extensive knowledge of UVDS to immediately begin performance of the services required under this UCA within the necessary timeframe.

7. ANY OTHER SUPPORTING FACTS: N/A.

8. ACTIONS THE AGENCY MAY TAKE TO REMOVE BARRIERS THAT LED TO THE

RESTRICTED CONSIDERATION:

(a) Procurement history.

(1) Previous Task Order: HC1028-10-F-2650

Status: Sole source award citing as justification FAR 8.405-6(b)(1). Order expired August 07, 2014.

(2) Previous Task Order: HC1028-14-F-0308 This effort was a follow-on of the contract HC1028-10-F-2650 and was competed as a small business set-aside acquisition. Stop-work order was issued on August 19, 2014 due to a post-award protest.

(b) Actions proposed to remove barriers to full and open competition. As this sole source action is a result of a post-award protest to a competed acquisition, no actions are necessary.

9. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): An AP was not required for this effort as it does not meet the dollar threshold.
