JUSTIFICATION & APPROVAL (J&A) FOR OTHER THAN FULL AND

OPEN COMPETITION (OTFAOC)

Justification for OTFAOC Number: JA15-132

Contract Number: HC1028-13-D-0014 Procurement Title: Communications Technical Support Services (CTSS) II Bridge Contracting Office: Defense Information Systems Agency (DISA)/Defense Information Technology Contracting Organization (DITCO) PL8312 Estimated Value: $52,938,090 Statutory Authority: Federal Acquisition Regulation (FAR) 6.302-1

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (OTFAOC)

J&A Number: JA15-132

Upon the basis of the following justification, I, as Head of Contracting Activity, hereby approve the use of OTFAOC of the proposed contractual action pursuant to the authority of 10 U.S.C. 2304(c)(1).

1. REQUIRING AGENCY AND CONTRACTING OFFICE:

Requesting Agency:

United States (US) Air Forces Central Command (USAFCENT) A6 523 Nelson Ave.

Shaw Air Force Base (AFB), South Carolina 29152

Contracting Activity:

DISA/ DITCO PL8312

2300 East Drive, Bldg. 3600 Scott AFB, Illinois 62225

2. NATURE/DESCRIPTION OF ACTION(S): The nature of this action is to extend the ordering period by six months and increase the ceiling for contract HC1028-13-D-0014. The period of performance (PoP) of the contract currently ends September 20, 2015, and needs to be extended due to a protest received on the follow-on contract (HC1028-15-D-0007). This action will extend the ordering PoP from September 21, 2015, through March 20, 2016.

The modification is also necessary to increase the ceiling as the current amount is not sufficient to cover requirements until the protest period of the follow-on contract ends. A ceiling increase of $52,938,090 will ensure coverage of current requirements is maintained during the protest period. The ceiling increase amount was determined by applying historical costs to a duration that is inclusive of anticipated protest duration and transition.

3. DESCRIPTION OF SUPPLIES/SERVICES: Continuity of services is required for support to USAFCENT. CTSS-II, an indefinite-delivery/indefinite-quantity contract, providing a wide variety of communications support to numerous locations across the U.S. Central Command (USCENTCOM) area of responsibility (AOR). It provides support to various expeditionary

Communications Technical Support Services (CTSS) II Bridge-JA15-132

Page 2 of 5 Pages communication squadron commanders, USAFCENT/A6 - Forward, and the Department of State in Pakistan.

The contract provides over mission-essential communications engineering, operations, and maintenance personnel at 14 bases in the USCENTCOM AOR and is vital to U.S. military operations in Southwest Asia. Support provided by the contract includes personnel to support operation and maintenance of: satellite communications systems, technical control facilities, telephony switch systems, video teleconferencing centers, enterprise information technology services for network control centers, and infrastructure sustainment for inside/outside cable plant systems.

The current contract ordering period expires on September 20, 2015. This effort was re-competed as a full-and-open acquisition. On September 4, 2015, the follow-on contract, HC1028-15-D-0007, was awarded. The bid protest was submitted in a timely manner to trigger an automatic suspension of performance of the follow-on contract pending resolution of the protest in accordance with FAR 33.103(f)(3). The extension of the current contract will allow for continued support of this vital program during the protest period, while retaining the ability to provide a consistent level of effort for USAFCENT without a break in service.

The estimated cost of support for this extension is $52,938,090 which includes all labor categories on task orders for the existing contract HC1028-13-D-0014 for the six month extension. This increase will support the protest period, as well as the transition period, which will begin once the protest is resolved.

4. IDENTIFICATION OF STATUTORY AUTHORITY: Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C. 2304(c)(1), FAR 6.302-1, and Defense Federal Acquisition Regulation Supplement 206.302-1.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Description of events. HC1028-13-D-0014 was re-competed under solicitation number HC1028-14-R-0006. Award of HC1028-15-D-0007 was made on September 4, 2015, and this award was protested. Thereafter, a stop-work order was issued which prevents the contractor under HC1028-15-D-0007 from performing the contract and supporting AFCENT’s requirements.

(b) Justification.

(1) Minimum Government Requirements.

AFCENT's continued and successful efforts supporting USCENTCOM’s execution of the are heavily dependent on the use of air power.

Application of air power is dependent on access to reliable communications and airfield systems. For the past eight years, Lockheed Martin Integrated Systems, Inc.

(LMIS) has been the primary provider of communication systems by providing operations and maintenance support at enduring bases in Oman, Qatar, Kuwait, and the United Arab Emirates.

Page 3 of 5 Pages

LMIS has put in place a team of specialists to provide support to AFCENT, all with sufficient experience required to execute the mission, all personnel vetted and cleared for overseas deployment, and all firms legally sponsored in the nations where bases are located. This background is critical to ensure continuity of support while the protest is pending. Due to the breadth and depth of the requirement, the clearance and support requirements, no alternate team of contractors can develop the work force, carry out the deployments, commence replacing the current support team and achieve an initial satisfactory level of support on several task orders expeditiously while the protest and stop work order are pending.

Failure to maintain the current level of support for base-wide and theater-wide communications networks will have significant and substantial detrimental effects on the combat efforts of USAFCENT forces in the USCENTCOM AOR. LMIS is the only firm capable of providing this critical operational support while the protest and stop work order are pending without creating unacceptable delays and adversely impacting the Government by reducing USAFCENT's ability to support on-going combat operations.

(2) Proposed sole source contractor. Due to the bid protest, LMIS is the only source that can fulfill this requirement without risk of a substantial break in service/support to the USAFCENT A6.

(3) A sole-source action is necessary due to a protest filed in response to the award of the follow-on contract, HC1028-15-D-0007. If a bid protest had not been received, this extension would not be necessary.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES: This modification is a bridge extension of the existing contract until the protest of the follow-on contract can be resolved.

Solicitation HC1028-14-R-0006 for the follow-on contract was posted on FEDBIZOPPS on May 2, 2014, as a full-and-open acquisition. Award was made on September 4, 2015.

7. DETERMINATION OF FAIR AND REASONABLE COST: As indicated in paragraph 2, the independent government cost estimate (IGCE) for the increase in ceiling was developed based on existing task order rates, loading, and associated cost ceilings that have been previously determined to be fair and reasonable. For individual future task orders, the contracting officer will determine whether proposed costs are fair and reasonable. This will be determined prior to award using techniques found in FAR 15.404-1 to include comparison to the IGCE and historical rates/costs.

8. MARKET RESEARCH: This is an extension to the existing contract to ensure continued support until the protest and transition period of the follow-on contract, HC1028-15-D-0007, are complete. Market research was conducted for the follow-on and identified potential sources which enabled the follow-on contract to be conducted as full and open competition.

Page 4 of 5 Pages

9. ANY OTHER SUPPORTING FACTS: There are no other facts that support the justification to bridge the contract due to protest.

10. LISTING OF INTERESTED SOURCES: As indicated in paragraph 6, were received in response to the follow-on solicitation.

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION.

(a) Current Contract: HC1028-13-D-0014

(b) Status: Expires September 20, 2015. Competitive full-and-open acquisition completed for follow-on. Award announced September 4, 2015. Stop-work order was issued on September 10, 2015, due to a bid protest.

12. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): AP NO. 06-012, for the original CTSS-II acquisition was approved on June 29, 2006. Addendum 1 to AP was approved by the SPAWAR Director for Contracts, SPAWARSYSCOM on July 06, 2006. Addendum 2 to the AP was signed by DISA’s Senior Procurement Executive on June 17, 2013.
