JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

Justification for OTFAOC Number: JA12-028

Upon the basis of the following justification, I, as Agency Competition Advocate, hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of 10 U.S.C. 2304(c)(1).

FAR 6.302-1 - Only one responsible source and no other supplies or services will satisfy agency requirements.

JUSTIFICATION

2. NATURE/DESCRIPTION OF ACTIONS:

Request approval for the use of other than full and open competition to issue a two-month extension, with two 2-month extension options to the period of performance for the Defense Commissary Agency (DeCA) Data Management Office/Enterprise Data Warehouse/Business Intelligence (DMO/EDW/BI) effort under Contract Number HC1013-06-D-2002. This contract is currently being performed by Claraview, a Division of Teradata. The extension is required to continue critical mission support as an interim solution as a result of the following actions that occurred.

Claraview’s current contract, HC1013-06-D-2002 has been extended several times to avoid disruption of services.

The contract, as awarded was valid from 1 October 2005 through 30 September 2009. In accordance with FAR 52.217-8 the contract and Task Orders 0009 and 0010 were extended for 6 months for the period 1 October 2009 through 31 March 2010. Justification for Other Than Full and Open Competition (JA) dated 3 March 2010 extended the basic contract and Task Orders (JA) 0009 and 0010 for a total of 15 months for the period 1 April 2010 through 30 June 2011. The 15-month extension included an initial 6-month extension with three (3) 3-month optional extension periods. The JA dated 14 June 2011 extended the contract and Task Orders 0009 and 0010 for an additional six (6) months as a 2-month initial extension and two (2) 2-month optional extension periods.

The total value of Task Order 0009, for Business Intelligence Technical Support Services through 31 December 2011 is REDACTED and total value of Task Order 0010, for DMO and EDW Technical Support Services through 31 December is REDACTED . No other Task Orders were active therefore; extensions to any other T.O.s were not required. The total value of the contract through 31 December 2011 is REDACTED A solicitation for the DMO/EDW/BI requirement was issued, after resolution of issues addressed by offerors, on 30 August 2010. After evaluation of proposals, evaluation notices, and final proposal revisions, a contract was awarded on 2 May 2011 to REDACTED. On 4 May 2011 REDACTED was sent a letter of debrief and on 16 May 2011

Page 2 of 4 Pages they filed a protest to General Accounting Office (GAO) against the award of the follow-on contract, REDACTED On 17 May 2011, a Stop-Work Order was issued to REDACTED while the protest was to be worked. On 24 May 2011, DITCO informed GAO that the Agency would take corrective action and requested that the protest be dismissed. GAO dismissed the protest on the basis that the Agency was taking corrective action. The period 24 May 2011 through 30 June 2011 included fact/document finding by the Agency in support of the protest, draft of another JA to extend Claraview’s current contract, and DeCA’s visit to DTICO the week of 4 July 2011. Re-evaluations began on or about 12 July 2011 and all re-evaluation documents submitted to DITCO on 3 August 2011.

Discussions with DeCA about the re-evaluations were held on19 August and written responses to the Talking Points were received from DeCA on 23 August 2011. As a result of the meeting between DITCO and DeCA, it was determined Evaluation Notices (ENs) would be required and the final ENs ready for issue on 6 September 2011.

Final Proposal Revisions (FPRs) and ENs were submitted on 14 September 2011. One additional EN was submitted to REDACTED regarding formatting on 11 October 2011. After re-evaluation of proposals was completed on 21 October 2011, the determination was made that REDACTED’s FPR provided the best value to the Government, all factors considered. Once the determination was made to make award to REDACTED all documentation supporting the award was drafted, sent for internal review, and was approved by the SSA. The contract was awarded to REDACTED on 23 November 2011 and a letter of debrief and letter terminating contract REDACTED for convenience was issued to REDACTED on the same date. REDACTED filed a protest with GAO on 28 November 2011 and GAO will have until 7 March 2012 to reach a decision pending further corrective action by the Agency.

As indicated above, the current extended period authorized under the JA dated 14 June 2011 is set to expire 31 December 2011.

As of 19 December 2011, the determination has been made to take corrective action against the award of the contract number REDACTED and the corrective action being taken will not be complete before the current contract extension expires on 31 December 2011. The contract type utilized under T.O.s 0009 and 0010 is Time and Materials which would continue during the extension period(s) being requested. As noted above, there are no other active Task Orders therefore; T.O.s 0009 and 0010 are the only ones that will be extended.

3. DESCRIPTION SUPPLIES/SERVICES:

DeCA is currently undergoing a significant transition from its legacy systems to an enterprise approach designed to substantially improve Agency processes. The DMO/EDW/BI implementation and the application of BI support services are at the center of this transition. For the past six years, the contractor, Claraview (now a Division of Teradata Corporation), has been providing all necessary personnel, supervision, management, business and data analysis, data management, Information Assurance and non-personal technical services for system life cycle support services for the DeCA DMO / EDW. Claraview conducts business studies and assessments in support of the array of DeCA programs that interface with the EDW and/or DMO. Additionally, the Business Intelligence (BI) Branch requires the expertise to support Business Objects, a Commercially available Off-The-Shelf (COTS) package that DeCA uses to query and retrieve data from various internal applications including EDW.

The period of performance for the initial 2-month extension will be for the period 1 January 2012 through 29 February 2012; the 2-month extension, option 1, if exercised will be for the period 1 March 2012 through 30 April 2012; and the 2-month extension, option 2, if exercised, will be for the period 1 May 2012 through 30 June 2012.

The periods of performance for Task Orders 0009 and 0010 under the current contract will also be extended as outlined above. During this interim period it is not the intent of the government to award new task orders against this contract. The estimated costs for the 2-month extension with two 2-month extension options provided below.

Each extension period will only be exercised if resolution of the protest does not occur during the previous extension period.

4. IDENTIFICATION OF STATUTORY AUTHORITY:

The authority provided in 10 U.S.C. 2304(c) (1) and FAR 6.302-1 - Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

The EDW, in addition to serving as DeCA’s historical repository for critical sales and financial information, is the central data hub for all of DeCA’s essential business systems. All store pricing, product sales, re-ordering, vendor invoicing and other financial data flows through the EDW to and from other business systems. If the EDW were rendered inoperable, DeCA’s business systems would cease to function correctly and DeCA’s global mission would be severely impacted and greatly harmed.

DoD has officially designated DeCA as a mission essential organization because we serve as an alternate source of supplies for the troops. Without fully qualified support, no one would be available to research and resolve missing transaction data from the point of sale to the EDW. There would be no resources to process sales data, item movement data which would impact the shelf restocking and re-ordering of products. There would be no data exchanges to industry, which is a contractual requirement with attendant cost impacts. Other DoD Agencies would be impacted as well. For example, financial data would not flow to DFAS; therefore, bills would not be paid and potential violations to the Prompt Payment Act could be created. All of these processes require intimate knowledge of the existing data structures, flows and environments. Currently, there are no Government employees performing any of these duties which would mean that all processing of data would essentially come to a halt. Further, DeCA would risk violating DoD Information Assurance requirements potentially missing to implementing required security patching and mandates.

The value of the Claraview understanding and experience in support of the highly complex technical environment that includes the EDW and associated business systems is essential to DeCA’s mission success and cannot be replaced quickly or easily. Claraview has, over the past six years, developed and executed many of the major processes now in place in support of DeCA’s enterprise systems. These include but are not limited to:

� Ensuring that the DeCA Corporate applications provide accurate, necessary management information.

� Ensuring that system changes satisfy stated requirements and are completed in a timely manner.

� Ensure that production systems are operational during required times.

� Ensuring that processes are valid and produce accurate results.

� Ensuring that the systems are compatible and function accurately with interfacing DeCA, DoD and vendor systems.

� Improving the systems to meet functional user needs.

� Providing DeCA research and development activities.

Claraview’s current team possesses the required expertise as they have and are currently performing the support of DeCA’s information systems. Any new company without the benefit of the incumbent would require a lengthy transition period of many months before they would become self-sufficient. This lengthy transition period would

Page 4 of 4 Pages most probably exceed the time from now through the end of the protest resolution and planned contract Phase-In Period that is a requirement of the newly awarded technical services contract.

Additionally, if another vendor were selected the Government would be paying for at least six (6) months of effort before DeCA would be fully supported while the new vendor is ramping up technically and assuming responsibility for the processes addressed above. This could result in payments exceeding $2 million based upon the DeCA Independent Government Cost Estimate (IGCE) for six (6) months of effort without full support. This was estimated by using the estimates contained herein for a two (2) month performance period worth approximately REDACTED plus four (4) additional months of a Period of Performance equaling approximately REDACTED for a six month total of REDACTED.

This action would extend the period of performance for Claraview’s contract HC1013-06-D-2002 and Task Orders 0009 and 0010 and will provide sufficient time to resolve the protest filed in relation to the newly awarded technical services contract, complete the corrective actions and provide support during the two months Phase-In Period as required in the new contract. If the award of the follow-on contract is sustained, it is estimated that the Stop Work Order will be lifted and basic period of performance of the contract would begin on or about 1 May 2012 while avoiding a major impact to mission accomplishment.

While other firms can meet the basic skill requirements, none can effectively begin with the requisite level of support that minimizes risk to mission failure on 1 January 2012. Only the incumbent can meet DeCA’s support requirements without significant risk until an orderly resolution of the protest to the contract award and completion of the Phase-In Period without a significant impact to the DeCA mission.
