JUSTIFICATION FOR AN EXCEPTION TO FAIR

OPPORTUNITY

Number: JA16-098 MOD 01

Upon the basis of the following justification, I, as the Procuring Competition Advocate, hereby approve this exception to fair opportunity pursuant to the authority of FAR 16.505(b)(2)(i)(B)

1. REQUIRING AGENCY AND CONTRACTING

OFFICE: Requesting Agency:

DISA Implementation and Sustainment Center (IML)31 5450 Carlisle Pike Mechanicsburg, Pennsylvania 17050

Contracting Activity:

DISA/Defense Information Technology Contracting Organization (DITCO) PL8313 2300 East Drive, Bldg. 3600 Scott Air Force Base, Illinois 62225

2 . NATURE/DESCRIPTION OF ACTION(S): The purpose of this modification is to extend the period of performance five months due to a corrective action GAO protest.

The five month extension will be awarded as a two month base, with three 1-month options. The estimated value for this five month extension is . The POP for this modification extension will be March 1, 2017 – July 31, 2017, if all options are exercised this modification extension will ensure continued support during the protest period of the follow on contract.

Original J&A: Due to protest of the competed follow-on acquisition, an extension of the current contract is required for continuity of this critical service. The nature of this action is to procure a six month firm-fixed-price (FFP) extension of the period of performance (POP) for task order HC1028-08-D-2008/0006, General Dynamics. The POP for the current task order ends August 31, 2016. The six month bridge extension will be awarded as a three month base, with three 1-

Page 2 of 5 Pages month options. The POP of the total extension will be September 01, 2016 –February 28, 2017, if all options are exercised this extension will ensure continued support during the protest period of the follow-on contract. The IT Engineering Support Services effort actively supports engineering services in the areas of information assurance engineering, systems engineering, design and integration, and network engineering design, integration, and operational support.

The contract type for this requirement will be FFP. The funding utilized for this effort will be Fiscal Year 2016 and Fiscal Year 2017 Defense Working Capital Funds, at an estimated cost of

3. DESCRIPTION OF SUPPLIES/SERVICES: Continuity of services is required for support to DISA. The contract provides support services for communications and systems engineering optimization, consolidation, and technical support. These services are required to ensure uninterrupted access to computer processing infrastructures to conduct information operations, leverage IT and provide network-centric support required for the joint command, control communications and computing warfighting capabilities. These services are essential to conducting information operations and any break in services would directly and negatively impact computer processing infrastructure for combat support functions that includes transportation, logistics, maintenance, engineering, acquisition, finance, medical and military personnel readiness. A lapse in service would negatively impact support that is provided for over 1,400 applications in 18 geographically separate facilities utilizing more than 34 mainframes and 6,100 servers. Supported applications provide command and control of warfighting forces, facilitate mobility of the warfighter through maintenance of the airlifter and tanker fleets, provides warfighter sustainment through resupply and reorder, and manages the medical environment and patient care.

The current task order expires on August 31, 2016. This effort was re-competed as a fair opportunity requirement on General Services Administration IT Schedule 70. On December 2, 2015, the Government contracting officer received a post award protest to the follow-on acquisition. The protest was submitted in a timely manner to trigger an automatic suspension of performance of the follow-on contract pending resolution of the protest in accordance with FAR 33.103(f)(3). The Government took corrective action in the protest and the corrective action is ongoing. The extension of the current contract will allow for continued support of this vital program during the protest and corrective action period, while retaining the ability to provide a consistent level of effort for DISA and its stakeholders without a break in service.

The estimated cost of support for this extension is . The cost includes all labor categories included in the current task order and travel and other direct costs for the three month based period and three 1 month option periods:

Base – September 1, 2016 – November 30, 2016, Option 1 – December 1, 2016 – December 31, 2016, Option 2 – January 1, 2017 – January 30, 2017, Option 3 – February 1, 2017 – February 28, 2017,

4. IDENTIFICATION OF THE EXCEPTION TO FAIR OPPORTUNITY:

General Dynamics has performed these required services under HC1028-08-D-2008/0006. The order was competed among ENCORE 2 contract holders utilizing best value, trade-off evaluation procedures. NETCONN (General Dynamics bought NETCONN in 2012) was determined to be

Page 3 of 5 Pages the best value of the offers that were received.

General Dynamics has the core expertise and personnel to execute the required tasks to support DISA mission until this effort is transitioned to the awardee for the follow-on effort. General Dynamics has consistently provided the correct talent/skills to accomplish DISA’s mission and the extension of three months with three 1-month options will ensure there is no degradation to the requirement during the process of the follow-on contract. This requirement provides essential services to support DISA’s mission and continuing these services is required to ensure execution of these requirements. A break in service would be detrimental to the overall accomplishment of the assigned tasks required to meet DISA’s mission.

(a) Exception to Fair Opportunity. Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

(b) Justification.

(1) Minimum Government Requirements. DISA IML and its stakeholders all depend on daily services currently rendered by incumbent contractor to provide service support in the areas of information assurance engineering, systems engineering, design and integration, and network engineering design, integration, and operational support.

Failure to support mission partner and other stakeholders will negatively impact DISA’s mission support. These services are required to ensure uninterrupted access to conduct information operations, leverage information technology and provide network-centric support required for the joint command, control communications and computing warfighting capabilities. Uninterrupted access is essential to conducting these information operations and any break in services would directly negatively impact DISA’s mission. General Dynamics has the core experience with the required systems and does not require a transition period and subsequent cost and time involved in issuing new Common Access Cards for all contractors.

(2) Proposed sole source contractor. Due to the bid protest filed by B&D Consulting, Inc., General Dynamics is the only source that can fulfill this requirement without risk of a substantial break in service/support to DISA and their stakeholders. There is at least a two week transition period that is being required for a different source since there are over 70 contractors that require new Visit Authorization Requests and new Common Access Cards.

(3) A sole-source action is necessary due to a protest filed in response to the award of the follow-on contract, HC1028-16-F-0005. If a bid protest had not been received, this extension would not be necessary.

5. COST/PRICE FAIR AND REASONABLE DETERMINATION: During source selection of solicitation number HC1028-D-2008/0006, a price evaluation was conducted in accordance with FAR 15.404. The task order prices were determined to be reasonable. The proposed prices for the bridge extension will be compared to the current task order prices as well as the independent government cost estimate and the proposed prices for the follow-on effort. The exact cost will be determined fair and reasonable at time of task order modification. Certified cost and pricing will be received. Upon completion of negotiations a certificate of current cost and pricing data will be obtained.

6. MARKET RESEARCH: This is an extension to the existing contract to ensure continued support until the protest and transition period of the follow-on contract, HC1028-16-F-0005, are complete. Market research was conducted for the follow-on contract which was conducted within the last 12 months. The market research identified potential sources which enabled the follow-on contract to be conducted as an open market small business set-aside. Although market research indicates other contractors are capable of performing the work, General Dynamics has the current contract and maintains current knowledge in the task areas of the Performance Work Statement., Contracting with another firm would require additional time to reach the current contractor’s level of knowledge and this could jeopardize the Government’s mission in providing critical IT Engineering Support Services which are essential to conducting information operations. Also, at least a two week transition period would be required for a different source since there are over 70 contractors that require new Visit Authorization Requests and new Common Access Cards. Any break in services would directly and negatively impact computer processing infrastructure for combat support functions that includes transportation, logistics, maintenance, engineering, acquisition, finance, medical and military personnel readiness.

General Dynamics is the only responsible and knowledgeable source that can provide the extension of services in the timeframe needed without a break in service.

7. ANY OTHER SUPPORTING FACTS: N/A

8. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FAIR OPPORTUNITY:

(a) Current Contract: HC1028-08-D-2008/0006

Status: Expires August 31, 2016. A competitive fair opportunity competition was completed for follow-on and was awarded on November 20, 2015. However, the post award protest was received on December 2, 2015 and the Stop-work order was issued on December 3, 2015. Once the protest is resolved, a new competitive order will be issued.

9. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): A written AP was signed July 9, 2010 for the current task order and modified on July 20, 2016 for this requested extension of services.
