About this file

This is a Justification for Other Than Full and Open Competition (OTFAOC) document for a modification to an existing Indefinite Delivery, Indefinite Quantity (IDIQ) contract.

The Defense Information Systems Agency (DISA), Infrastructure Executive, Capacity Management Branch is modifying contract HC1013-24-D-0002 with T-Mobile Secure Federal Operations (TSFO) to increase the contract ceiling for Department of Defense Information Network (DoDIN) operations and maintenance services supporting OCONUS fiber infrastructure. The modification (MOD 01), designated as J&A Number JA24-088 MOD 01, was approved July 19, 2024, and increases funding to enable future in-scope enhancements including technical refreshes, fiber relocations, and system upgrades through September 30, 2028, with a six-month extension option. The base contract period runs October 1, 2024 through September 30, 2028 under a Firm Fixed Price arrangement.

DISA justifies sole-source award under 10 U.S.C. 3204(a)(1) and FAR 6.103-1 based on TSFO's unique qualifications as the only responsible source capable of maintaining the contractor-owned, government-acquired dark fiber and commercial facilities infrastructure. TSFO has operated this network for the past twenty years and possesses an Indefeasible Right of Use (IRU) to the underlying infrastructure and facilities. The agency conducted market research and posted a combined Notice of Intent-Sources Sought on SAM.gov with no responses received. Alternative contractors would require a minimum three-year transition period, creating unacceptable service disruptions and substantial cost duplication. Pricing will be evaluated against an Independent Government Cost Estimate, historical data, and published market rates per FAR 15.404; certified cost or pricing data is not required for this commercial acquisition.

Estimated Value:

Regulatory Authority: 10 U.S.C. 3204(a)(1), FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

J&A Number: JA24-088 MOD 01

1. REQUIRING AGENCY AND CONTRACTING ACTIVITY:

Requiring Agency: Defense Information Systems Agency (DISA), Infrastructure Executive (IE), Capacity Management Branch

Contracting Activity:

DISA/Defense Information Technology Contracting Organization (DITCO)/PS8231

2. NATURE/DESCRIPTION OF ACTION(S):

Type of Action: Modification

Type of Contract: Firm Fixed Price

3. DESCRIPTION OF SUPPLIES/SERVICES:

The requirement will provide continued high operational network availability and information assurance via dedicated contractor-owned, Government acquired and operated, dark fiber and commercial facilities to support DoD users in OCONUS at a total cost of for

October 01, 2024 – September 30, 2028. A six-month extension in accordance with FAR 52.217-

8 will be included in the contract. This will allow DISA/IE to accomplish its mission of continued support for technical refreshes, fiber relocations, and system enhancement and upgrade, to include modified infrastructure O&M.

MOD 01: This modification is to increase the current ceiling of the established IDIQ contract by from to . The original justification was approved on July 19, 2024. This increase to the contract ceiling will allow the Government

JA24-088 DODIN FIBER OCONUS OPERATION AND MAINTENANCE

Page 2 of 5 Pages to execute future in-scope enhancements (i.e. technical refreshes, fiber relocations, and system enhancements/upgrades) for the remainder of the contract.

4. IDENTIFICATION OF STATUTORY AUTHORITY:

The United States Code (U.S.C.) and FAR reference permitting other than full and open competition: 10 U.S.C. 3204(a)(1), FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE

NATURE OF THE ACQUISITION REQUIRED:

1. UNIQUE QUALIFICATIONS.

T-Mobile Secure Federal Operations (TSFO) has the experience, resources, technical expertise, and security qualifications required to repair and maintain components of the infrastructure to meet the Government’s needs (performance, security, reliability, availability, and sustainability) and established Defense Information System Network

(DISN) security guidelines. TSFO built, installed, maintains, and operates the fiber, facilities and equipment essential for this fiber optic backbone and currently serves as the

DoD enterprise Optical layer maintenance provider for the DISN. TSFO is in the unique position to install the equipment required for upgrades and can continue to provide maintenance and repairs at the commercial facilities. No source, other than the existing contractor is capable of providing the services required by the Government to continue to operate and maintain the network without impacting and/or impairing the ability to accomplish missions in support of national security objectives infrastructure. Under the terms of the Indefeasible Right of Use (IRU), the infrastructure and facilities are owned by TSFO, and the Government equipment is located inside TSFO facilities. As a result, only TSFO can perform the required O&M (as it has been doing for the past twenty years).

MOD 01: The mission partner has estimated an additional in future

O&M and non-maintenance requirements for the current period. In order to maintain the service points as required by PWS, an increase to the contract ceiling is required.

2. IMPACT.

The schedule required for another contractor to design, engineer, integrate, configure, test, turn-up, certify and transition customer links, would not meet schedule required by the DoD. This contracting action is necessary to ensure Government fiber infrastructure and associated equipment are maintained and available to support the Warfighter.

6. DESCRIPTION OF THE EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY SOURCES AS POSSIBLE:

A combined Notice of Intent-Sources Sought was posted to SAM.gov requesting capable companies to submit their interest; no responses were received. As discussed above, under the terms of the IRU, TSFO is the only potential practicable source. The Contracting Officer will post this J&A to SAM.gov within 14 days of award of this contract action in accordance with

FAR 6.305(a).

Page 3 of 5 Pages

7. DETERMINATION OF FAIR AND REASONABLE COST:

The proposed rates for this action will be evaluated in accordance with FAR 15.404. Proposal pricing of the sole source provider will be compared to an Independent Government Cost

Estimate, historical data, and published market prices for the service. Certified cost or pricing data is not required for this commercial acquisition in accordance with FAR 15.403-1(b)(3).

8. MARKET RESEARCH:

Market research was based primarily on internal reviews of current fiber maintenance contracts within DISA exercised in FY23 targeting the cost of fiber per mileage and redundant operations and/or acquisition of a new fiber IRU. Although, there are other large companies that provide and install fiber cable, implementation that meets the specific requirements with a different company is estimated to take a minimum of three years. This gap would create an unacceptable break in services to the European region’s customers, in addition to the significant duplication in costs previously expended to obtain the current fiber. Additionally, sole source award pricing under similar dark fiber O&M contracts indicates comparable monthly fiber O&M pricing is expected. While pricing can vary depending on terrain and/or location, research found that average per mile rate estimates of comparable requirements were comparable to SFO.

Based on current market research, dated October 01, 2023 it has been determined that only the aforementioned OCONUS technical refreshes, fiber relocations, and system enhancement and upgrade, to include modified infrastructure O&M provided by TSFO, can fully meet the

Government’s need and is in the best interest of the agency.

9. ANY OTHER SUPPORTING FACTS:

Failure to sole source these services will result in degraded communications for the Warfighter.

If the sole source action is not approved, the Government would incur substantial duplication of costs, estimated at . Costs would not be recovered through competition. The

Government has invested in this multi-million-dollar operational network under the current and prior contract.

10. LISTING OF INTERESTED SOURCES:

TSFO

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:

Reviewing officials and the approval authority have reviewed the previous J&A, which was routed with this J&A, and determined any planned actions to remove barriers to competition listed on the previous justification were considered. To evaluate potential alternatives, the

Government conducted market research and confirmed that because the current capability is fundamentally anchored to an IRU infrastructure, transitioning to an alternative provider is not currently viable due to the substantial duplication of costs and unacceptable operational delays.

After a review of the actions taken, it is determined that a sole source environment still exists.
