Justification for Exception to Fair Opportunity for

Advanced Technology Support Program III (ATSP3) Indefinite Delivery / Indefinite Quantity (ID/IQ) Task Order Contract

I. Agency and Contracting Activity: Office of Secretary of Defense, Defense Microelectronics Activity (DMEA)/ MEEB Contracting Office Justification for an Exception to Fair Opportunity in accordance with 16.505(b)(2).

II. Nature and/or Description of the Action Being Approved:

This is a new task order under the basic IDIQ contract, H94003-04-D-0004 (Northrop Grumman), P-8A Electronic Warning Self Protection (EWSP) Obsolescence Upgrade.

III. Description of the Supplies/Services Required To Meet the Agency’s Needs (including the total estimated value, including options, if any):

The P-8A EWSP system warns and protects the flight crew and aircraft from infrared guided missiles. It is integrated with the Mission Computer and Display System (MCDS) to provide both the mission crew and pilots with missile warning indications at all times. The integrated EWSP combines infrared countermeasures (IRCM) and provisioning for future addition of a Radar Warning Capability (RWC) and Radio-Frequency Countermeasures (RFCM).

The current P-8A AAQ-24 system product baseline was established nearly a decade ago and consists of a P-8A unique processor (-1151), Ultraviolet (UV) Missile Warning Sensors (UVMWS), and a -401 Guardian Laser Tracking Assembly (GLTA) turret. The -1151 processor has become obsolete and is not supported or supportable through any existing depot without a significant dedication of resources to establish this capability.

The U.S. Air Force (USAF) and U.S. Navy (USN) are currently procuring the 2 Color Iinfrared Missile Warning Sensors (2CIRMWS) technology combined with newer processors and the GLTA (-402) turrets. The 2CIRMWS (-006) and GLTA (-402) turrets are mature, off-the-shelf products, available via USAF contracts and are depot-level supported by the USAF at Warner Robbins AFB. The USAF is developing a new processor, the Large Aircraft Infrared Counter Measures (LAIRCM) System Processor Replacement (LSPR), which addresses obsolescence issues.

The previous task, CET 13-371, H94003-04-D-0004-0262, conducted a study of the Electronic Warfare Management System (EWMS) system architecture to determine capability upgrades, develop software, and integrate the AAQ-24 LAIRCM LSPR with the ALQ-213 EWMS for use on the P-8A aircraft. The AAQ-24 Weapon Replaceable Assembly (WRA) suite was upgraded to an LSPR Processor, -402 series GLTA, and - 006 series 2CIRMWS. The upgraded AAQ-24 was integrated with the ALQ-213 and tested through Functional Qualification Test (FQT).

The purpose of this task, CET 15-507 is to complete the development and integration effort started with CET 13-

371. This task will conduct the system Design Verification Testing (DVT), aircraft Weapons System Integration Lab (SIL) verification, and portions of the P-8A aircraft integration and flight testing of the upgraded hardware and software.

The estimated cost is $4,000,000.00

IV. Identification of the Exception to Fair Opportunity (Authority Cited):

FAR 16.505(b)(2)(i)(C), The order must be issued on a sole-source basis in the interest of economy and efficiency as a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.

This task, CET 15-507 is a logical follow-on to an order already issued under the ATSP3 program (CET 13-371, H94003-04-D-0004-0262). The previous effort was posted to the DMEA Contractor Download Web Page. This page is accessible by all DMEA ATSP3 prime contractors and constitutes a fair opportunity to be considered for the effort in accordance with FAR 16.505(b)(1). The Fair Opportunity posting resulting in only one positive response, Northrop Grumman.

V. FAIR AND REASONABLE COST DETERMINATION:

"I hereby determine that the anticipated cost or price to the Government for this contract action will be fair and reasonable." Actions to insure reasonableness of the price will be accomplished using procedures and criteria contained in FAR 15.4. Cost and pricing data will be requested. Detailed documentation and justification of price reasonableness will be set forth in the Price Negotiation Memorandum.

VI. Additional Fact Supporting this Justification:

The contractor of choice is the OEM of the LAIRCM system. System expertise and proprietary data not purchased by the government resides with the contractor. Another contractor would have to develop and demonstrate an in-house expertise of the LAIRCM system, duplicate the requirements of CET 13-371, and obtain rights to LAIRCM proprietary information to propose and execute CET 15-xxx.

VII. Actions to Remove or Overcome Any Barriers that Led to this Exception to Fair Opportunity.

The original task (CET 13-371) was posted for Fair Opportunity and the current contractor (Northrop Grumman) was the only contractor of the eight ATSP3 contractors to respond.

VIII. CONTRACTING OFFICER CERTIFICATION:

"I certify that this J&A is accurate and complete to the best of my knowledge and belief."

IX. TECHNICAL or REQUIREMENTS CERTIFICATION:

I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief.
