Justification and Approval for Use of Other Than Full and Open Competition

This is a Justification and Approval (J&A) document for a sole-source contract award submitted by the Marine Corps Installations National Capital Region – Regional Contracting Office (MCINCR-RCO) at Marine Corps Base Quantico, Virginia. The requiring activity is the Marine Corps Intelligence Activity (MCIA). The action seeks approval for a sole-source award to BAE Systems Information & Electronic Systems Integration, Inc. for follow-on software support and maintenance of geospatial intelligence (GEOINT) products. The specific requirement includes thirty SOCET GXP Xtreme Analysis Bundle UE-4012-UE licenses, four SOCET GXP NGA Pro Bundle UE-4022-UE licenses, and ten TerraGo 3D GeoPDF Publisher for SOCET GXP UE-4017-UE licenses. The contract will be structured as a Firm Fixed Price (FFP) award with fixed-price Contract Line Items (CLINs) for a base period of twelve months plus three twelve-month option periods. The total estimated contract value is listed as $XXX (redacted) inclusive of all option periods, with funding provided through Operations and Maintenance (O&M) appropriations for identical quantities across all periods.

The J&A establishes that BAE Systems is the exclusive worldwide owner, developer, and distributor of the SOCET GXP software suite and maintains no contractual agreements with third parties to resell or provide the software to the U.S. Federal Government or other entities. SOCET GXP is characterized as an essential capability for the Marine Corps Intelligence Activity's imagery mission, providing advanced tools for geospatial data processing, analysis, 3D modeling, and precision map creation to support defense and intelligence operations. The document includes a comparative market analysis demonstrating that alternative solutions (Remote View by Textron Systems, CARTO, and Geogentia) lack the specialized photogrammetry, precision mensuration, and advanced sensor exploitation capabilities (LiDAR, SAR, multispectral processing) required for military-grade analysis. The contracting officer will determine fair and reasonable pricing by reviewing BAE Systems' quoted pricing against published price lists, historical pricing, and commercial market information. The justification cites 10 U.S.C. 2304(c)(1) as the statutory authority for sole-source procurement, noting that only one responsible source exists and no other supplies or services will satisfy agency requirements.

4. Statutory Authority Permitting Other Than Full and Open Competition.

This document meets the regulatory requirement at FAR 13.501(a)(ii) states, “Prepare a sole source (including brand name) justifications using the format at 6.302-2, modified to reflect that the procedures in FAR subpart 13.5 were used in accordance with 41 U.S.C. 1901 or the authority 41 U.S.C. 1903.”, using 10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying of Cite Statutory Authority.

On 16 December 2025, the Contracts Office contacted BAE Systems Information & Electronic Systems Integration, Inc. to determine whether any alternative sources existed for the SOCET GXP software bundle. Later that same day, BAE Systems provided written confirmation that they are the exclusive worldwide owner, developer, and distributor of the Geospatial Exploitation Products™ (GXP®) software suite, including all associated Upgrade Entitlement maintenance, support services, professional services, and training.

BAE Systems further affirmed that they maintain no contractual agreements with third parties to resell or provide SOCET GXP software to the U.S. Federal Government or any other entity. This verification establishes that BAE Systems is the sole source capable of meeting the Government’s requirement.

SOCET GXP is an essential geospatial intelligence capability for the Marine Corps, providing advanced tools for imagery analysis, 3D modeling, and the production of precise geospatial products that directly support mission critical operations. Its integrated tool set enables exploitation of data from multiple sources—including satellite, airborne, and other sensor platforms, making it indispensable for intelligence, surveillance, and reconnaissance (ISR), as well as operational planning and targeting. Transitioning to any alternative solution would impose significant cost and operational risk, requiring new software licenses, infrastructure modifications, and extensive retraining. Such a transition would result in reduced analytical efficiency, prolonged downtime, and delays in the delivery of actionable intelligence.

Additionally, SOCET GXP and its associated support services are proprietary to BAE Systems. The company retains full ownership of the copyrighted source code and all related legal rights. No other entity is authorized to modify, support, or distribute the software, as the source code is not available to third parties. This proprietary control further reinforces that BAE Systems is the only vendor capable of providing the required software and support.

Market research indicated that there are other solutions in the market, see the table below for the comparison of SOCET GXP solutions.

A comparative assessment of available geospatial intelligence tools demonstrates that SOCET GXP remains the only solution capable of meeting the Marine Corps’ operational and analytical requirements. SOCET GXP provides a fully integrated, end-to-end GEOINT production environment specifically engineered for defense and intelligence missions. Commercial products such as CARTO and Geogentia lack the core photogrammetry, precision mensuration, and advanced sensor data exploitation capabilities (including LiDAR, SAR, and multispectral processing) required for military grade analysis.

Even when compared to tools in a similar domain, such as RemoteView, SOCET GXP offers a more comprehensive and unified ecosystem. It supports the entire intelligence workflow—from raw data ingestion and sensor modeling to 3D reconstruction, product generation, and dissemination—within a single interoperable platform. This level of integration is essential for producing high-fidelity, time sensitive intelligence products required for mission planning, precision targeting, and maintaining operational advantage.

Transitioning to an alternative product would not be in the Government’s best interest. Any replacement would require substantial reinvestment in software, infrastructure, and training, while still failing to replicate SOCET GXP’s specialized capabilities. Such a shift would introduce operational risk, degrade analytical efficiency, and delay the delivery of critical intelligence during mission essential timelines. For these reasons, SOCET GXP remains the only viable solution capable of supporting the Marine Corps’ GEOINT mission requirements.

6. Description of Efforts Made to Solicit Offers From As Many Offerors as Practicable.

On 16 December 2025, the Contracts Office contacted BAE Systems Information & Electronic Systems Integration, Inc. to determine whether any alternative sources existed for the SOCET GXP software bundle. This outreach was conducted to confirm whether competition was practicable for this requirement.

On the same date, BAE Systems provided a written confirmation stating that they are the exclusive worldwide owner, developer, and distributor of the Geospatial Exploitation Products™ (GXP®) software suite, including all associated maintenance, support, professional services, and training. BAE Systems further affirmed that they do not maintain any contractual relationships with third parties to resell or provide SOCET GXP software to the U.S. Federal Government or any other entity.

Based on this verification, no additional offerors are available to provide the required SOCET GXP software. Therefore, competition is not practicable, and the requirement must be fulfilled on a sole source basis.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer will determine the anticipated price under this sole-source action to be fair and reasonable by reviewing the contractor’s quoted pricing against published price lists, historical pricing, and other commercially available information. If market research identifies more advantageous pricing available through commercial channels, the Contracting Officer will apply the procedures outlined in DFARS PGI 208.7403 to ensure the Government receives the best value.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph 4, MCIA has no plans at this time to compete with future contracts for this type of supplies/services covered by this document. If another potential source emerges, MCIA will assess whether competition for future requirements is feasible.
