PART 1 GENERAL

1.1 DEFINITIONS

CO: Contracting Officer or his authorized representative.

1.2 WORK COVERED BY CONTRACT DOCUMENTS

1.2.1 Project Description

The Rudee Inlet Maintenance Dredging Project will consist dredging up to approximately 189,000 cubic yards of sandy maintenance material from the Rudee Entrance Channel, Sand Trap, Entrance Channel Transition Area, North Jetty Area, South Jetty Area, and Outer Deposition Basin located in Virginia Beach, Virginia.

Approximately 75,000 cubic yards of sandy material will be dredged from the Entrance Channel and Sand Trap with placement on Resort Beach to the north of the Inlet. Approximately 15,000 cubic yards of sandy material will be dredged from the Entrance Channel Transition Area and North and South Jetty Protection Areas with placement on Resort Beach to the north of the Inlet.

Approximately 99,000 cubic yards of sandy dredged material will be dredged from the Outer Deposition Basin. 50,000 cubic yards of that will be placed South of the Inlet at Croatan Beach and the remaining 49,000 cubic yards will be placed to the north on Resort Beach. A Hydraulic Cutter-head Dredge will be used to accomplish this work. Maximum pay depth (required + allowable), will be to -14 feet Mean Lower Low Water (MLLW) in the Entrance Channel, -20 feet MLLW in the Sand Trap, -16 feet MLLW in the Entrance Channel Transition Area, -14 feet MLLW for the North and South Jetty Protection Areas, and -22 feet MLLW for the Outer Deposition Basin.

Dredging will take place in the Atlantic Ocean and it is expected that dredging conditions will be in an ocean environment. The contractor is expected to work in the vicinity of large groups of bystanders and tourists during placement operations and work at a project with high recreational traffic through the Entrance Channel. The contractor will not be allowed to use Lake Wesley as a staging and safe harbor area for plant and equipment but may use the Croatan Point Dock facilities or the Safety Area of the Federal Project. The contractor is expected to have the ability to pump sandy dredged material up to 1.25 miles.

1.2.2 Location

The work shall be located in portions in Virginia Beach, Virginia. The exact location is shown on the plans.

SECTION 01 11 00 Page 2

1.3 SPECIAL CONTRACTOR REQUIREMENTS

1.3.1 COORDINATION IN WORK AREAS

1.3.1.1 Existing Utility Location

Existing utilities must be located before doing any digging work on Facility. The Contractor shall be responsible to contact Miss Utility, obtain all necessary existing utility locations, which may be necessary to accomplish his work, and mark any utility lines in the immediate vicinity of his work. It shall be the responsibility of the Contractor to contact Miss Utilities at 1-800-552-7001 for locating commercial utilities 48 hours prior to digging operations.

1.3.1.2 Digging Permits

Contractor is responsible for obtaining all digging and/or site permits, including associated locating and marking services, in accordance with local and The Commonwealth of Virginia's requirements, at no additional cost to the Government.

The Contractor shall be responsible to obtain all necessary digging permits and pay costs associated with the permit, which may be necessary to accomplish his work.

1.4 TIME EXTENSIONS FOR UNUSUALLY SEVERE WEATHER

This provision specifies the procedure for the determination of time extensions for unusually severe weather in accordance with the Contract Clause entitled "Default: (Fixed Price Construction)". In order for the Contracting Officer to award a time extension under this clause, the following conditions must be satisfied:

a. To be applicable, the weather delay must occur at or in the immediate vicinity of the project site. The weather experienced at the project site during the contract period must be found to be unusually severe, that is, more severe than the adverse weather anticipated for the project location during any given month.

Storm severity determination shall be made by the Contracting Office or their representative.

b. The unusually severe weather must actually cause a delay to the completion of the project. The delay must be beyond the control and without the fault or negligence of the Contractor.

c. All awards or extensions for time shall be at the sole discretion of the Contracting Officer or their representative.

1.4.1 Schedule

The following schedule of monthly anticipated adverse weather delays is based on National Oceanic and Atmospheric Administration (NOAA) or similar data for the project location and will constitute the base line for monthly weather time evaluations. The Contractor's progress schedule must reflect these anticipated adverse weather delays in all weather dependent activities.

SECTION 01 11 00 Page 3

MONTHLY ANTICIPATED ADVERSE WEATHER DELAY WORK DAYS

BASED ON (5) DAY WORK WEEK

JAN FEB MAR APR MAY JUN JUL AUG SEP OCT NOV DEC

10 9 8 6 7 7 9 6 5 5 6 9

1.4.2 Records

Upon acknowledgement of the Notice to Proceed and continuing throughout the contract, the Contractor will record on the daily CQC report, the occurrence of adverse weather and resultant impact to normally scheduled work. Actual adverse weather delay days must prevent work on critical activities for 50 percent or more of the Contractor's scheduled work day.

1.4.3 Impacted Days

The number of actual adverse weather days shall include days impacted by actual adverse weather (even if adverse weather occurred in previous month), be calculated chronologically from the first to the last day in each month, and be recorded as full days. If the number of actual adverse weather delay days exceeds the number of days anticipated in the schedule of monthly anticipated adverse weather delays, above, the contracting officer will convert any qualifying delays to calendar days, giving full consideration for equivalent fair weather work days, and issue a modification in accordance with the Contract Clauses entitled "Default (Fixed Price Construction)".

1.5 SUBCONTRACTS AND WORK COORDINATION

Contract Clauses "SUBCONTRACTS", "PERMITS AND RESPONSIBILITIES", and "MATERIAL AND WORKMANSHIP" are supplemented as follows:

a. Divisions or sections of specifications are not intended to control the Contractor in dividing the work among subcontractor, or to limit work performed by any trade.

b. Contractor shall be responsible for coordination of the work of the trades, subcontractors, and materials.

c. The Government or its representative will not undertake to settle any difference between the Contractor and Contractor's subcontractors, or between subcontractors.

d. The Government reserves the right to refuse to permit employment on the work or require dismissal from the work of any subcontractor who, by reason of previous unsatisfactory work on Corps of Engineers projects, or for any other reason is considered by the Contracting Officer to be incompetent or otherwise objectionable.

SECTION 01 11 00 Page 4

1.6 CONSTRUCTION MANPOWER AND EQUIPMENT REPORT

The Contractor shall submit executed CENAO Form 987, Construction Manpower and Equipment Report daily. The report shall include manpower and equipment for the general and subcontractors. Forms are available from the Contracting Officer.

1.7 PROFIT

1.7.1 Weighted Guidelines

Weighted guidelines method of determining profit shall be used on any equitable adjustment change order or modification issued under this contract. The profit factors shall be as follows:

Factor Rate Weight Value

Degree of Risk 20 Relative difficulty of work 15 Size of Job 15 Period of performance 15 Contractor's investment 05 Assistance by Government 05 Subcontracting 25

1.7.2 Value

Based on the circumstances of each procurement action, each of the above factors shall be weighted from .03 to .12 as indicated below. The value shall be obtained by multiplying the rate by the weight. The value column when totaled indicates the fair and reasonable profit percentage under the circumstances of the particular procurement.

1.7.2.1 Degree of Risk

Where the work involves no risk or the degree of risk is very small, the weighting should be .03; as the degree of risk increases, the weighting should be increased up to a maximum of .12. Lump sum items will have, generally, a higher weighted value than the unit price items for which quantities are provided. Other things to consider: the portion of the work to be done by subcontractors, nature of work, where work is to be performed, reasonableness of negotiated costs, amount of labor included in costs, and whether the negotiation is before or after performance of work.

1.7.2.2 Relative Difficulty of Work

If the work is most difficult and complex, the weighting should be .12 and should be proportionately reduced to .03 on the simplest of jobs. This factor is tied in to some extent with the degree of risk. Some things to consider: the nature of the work, by whom it is to be done, where, and what is the time schedule.

1.7.2.3 Size of Job

All work not in excess of $100,000 shall be weighted at .12. Work

SECTION 01 11 00 Page 5 estimated between $100,000 and $5,000,000 shall be proportionately weighted from .12 to .05.

1.7.2.4 Periods of Performance

Jobs in excess of 24 months are to be weighted at .12. Jobs of lesser duration are to be proportionately weighted to a minimum of .03 for jobs not to exceed 30 days. No weight where additional time not required.

1.7.2.5 Contractor's Investment

To be weighted from .03 to .12 on the basis of below average, average, and above average. Things to consider: amount of subcontracting, mobilization payment item, Government furnished property, equipment and facilities, and expediting assistance.

1.7.2.6 Assistance by Government

To be weighted from .12 to .03 on the basis of average to above average.

Things to consider: use of Government owned property, equipment and facilities, and expediting assistance.

1.7.2.7 Subcontracting

To be weighted inversely proportional to the amount of subcontracting.

Where 80 percent or more of the work is to be subcontracted, the weighting is to be .03 and such weighting proportionately increased to .12 where all the work is performed by the Contractor's own forces.

1.3 LUMP SUM PAYMENT ITEMS

Payment items for the work of this contract for which contract lump sum payments will be made are listed in the BIDDING SCHEDULE and described below. All costs for items of work, which are not specifically mentioned to be included in a particular lump sum or unit price payment item, shall be included in the listed lump sum item most closely associated with the work involved. The lump sum price and payment made for each item listed shall constitute full compensation for furnishing all plant, labor, materials, and equipment, and performing any associated Contractor quality control, environmental protection, meeting safety requirements, tests and reports, and for performing all work required for which separate payment is not otherwise provided.

1.3.1 Payment Item No. 0001 Mobilization and Demobilization

All costs connected with the mobilization and demobilization of all of the Contractor's dredging plant and equipment as defined below will be paid for at the contract lump sum price for this item. Sixty percent of the lump sum price will be paid to the Contractor upon completion of his mobilization at the work site. The remaining forty percent will be paid to the Contractor upon completion of demobilization. In the event the Contracting Officer considers that the amount in this item, sixty percent which represents mobilization and forty percent which represents demobilization, does not bear a reasonable relation to the cost of the work in this contract, the Contracting Officer may require the Contractor to produce cost data to justify this portion of the bid. Failure to justify such price to the satisfaction of the Contracting Officer will result in payment of actual mobilization costs, as determined by the Contracting Officer, at the completion of mobilization, and actual demobilization costs, as determined by the Contracting Officer, at the completion of demobilization. The determination of the Contracting Officer is not subject to appeal.

SECTION 01 22 00 Page 2

PART 3 EXECUTION

3.1 GENERAL REQUIREMENTS

Prepare for approval a Project Schedule, as specified herein, pursuant to the Contract Clause, SCHEDULE FOR CONSTRUCTION CONTRACTS. Show in the schedule the sequence in which the Contractor proposes to perform the work and dates on which the Contractor contemplates starting and completing all schedule activities. The scheduling of the entire project, including the design (if any) and construction sequences, is required. The scheduling of construction is the responsibility of the Contractor. Contractor management personnel shall actively participate in its development.

Subcontractors and suppliers working on the project shall also contribute in developing and maintaining an accurate Project Schedule. Provide a schedule that is a forward planning as well as a project monitoring tool.

SECTION 01 32 01.00 10 Page 2

3.1.1 Approved Project Schedule

Use the approved Project Schedule to measure the progress of the work and to aid in evaluating time extensions. Make the schedule cost loaded and activity coded. The schedule will provide the basis for all progress payments. If the Contractor fails to submit any schedule within the time prescribed, the Contracting Officer may withhold approval of progress payments until the Contractor submits the required schedule.

3.1.2 Schedule Status Reports

Provide a Schedule Status Report on at least a monthly basis. If, in the opinion of the Contracting Officer, the Contractor falls behind the approved schedule, take steps necessary to improve its progress including those that may be required by the Contracting Officer, without additional cost to the Government. In this circumstance, the Contracting Officer may require the Contractor to increase the number of shifts, overtime operations, days of work, and/or the amount of construction/dredging plant, and to submit for approval any supplementary schedule or schedules as the Contracting Officer deems necessary to demonstrate how the approved rate of progress will be regained.

3.1.3 Default Terms

Failure of the Contractor to comply with the requirements of the Contracting Officer shall be grounds for a determination, by the Contracting Officer, that the Contractor is not prosecuting the work with sufficient diligence to ensure completion within the time specified in the contract. Upon making this determination, the Contracting Officer may terminate the Contractor's right to proceed with the work, or any separable part of it, in accordance with the default terms of the contract.

3.2 BASIS FOR PAYMENT AND COST LOADING

Use the schedule as the basis for determining contract earnings during each update period and therefore the amount of each progress payment. Lack of an approved schedule update, or qualified scheduling personnel, may result in the inability of the Contracting Officer to evaluate contract earned value for the purposes of payment. Failure of the Contractor to provide all required information will result in the disapproval of subsequent schedule updates. In the event schedule revisions are directed by the Contracting Officer and those revisions have not been included in subsequent revisions or updates, the Contracting Officer may hold retainage up to the maximum allowed by contract, each payment period, until such revisions to the Project Schedule have been made. Activity cost loading shall be reasonable, as determined by the Contracting Officer.

3.3 PROJECT SCHEDULE DETAILED REQUIREMENTS

The Contractor shall submit his Progress Schedule to the Contracting Officer for approval at the Pre-Construction Conference specified in SECTION ADMINISTRATIVE REQUIREMENTS. The Progress Schedule shall be submitted and certified as complete by the Contractor's Quality Control Representative in the form of a chart graphically indicating the sequence proposed to accomplish each work feature or operation. The chart shall be prepared to show the starting and completion dates of all work features on a linear horizontal time scale beginning with date of Notice to Proceed, arrival date of Contractor's plant to the job site, all activities scheduled prior to dredging, dredging start and completion dates, calendar

SECTION 01 32 01.00 10 Page 3 days to completion of all work, and contract completion date.

The Contractor shall indicate on the chart the important work activities that are critical to the timely overall completion of the project. Key dates for important features or portions of work features are milestone dates and shall be so indicated on the chart.

3.3.1 PROGRESS SCHEDULE FORMAT

Use the Critical Path Method (CPM) of network calculation to generate the Project Schedule and prepare the Project Schedule using the Precedence Diagram Method (PDM) OR prepare the Progress Schedule in the form of a Gantt Chart.

3.3.2 Level of Detail Required

Develop the Project Schedule to an appropriate level of detail. Failure to develop the Project Schedule to an appropriate level of detail, as determined by the Contracting Officer, will result in its disapproval. The Contracting Officer will consider, but is not limited to, the following characteristics and requirements to determine appropriate level of detail:

3.3.2.1 Activity Durations

Reasonable activity durations are those that allow the progress of ongoing activities to be accurately determined between update periods.

3.3.2.2 Procurement Activities

The schedule must include activities associated with the submittal, approval, procurement, fabrication and delivery of long lead materials, equipment, fabricated assemblies and supplies as applicable. Long lead procurement activities are those with an anticipated procurement sequence of over 90 calendar days. A typical procurement sequence includes the string of activities: submit, approve, procure, fabricate, and deliver.

3.3.2.3 Critical Activities

The following activities shall be listed as separate line activities on the Contractor's Project Schedule and may be submitted on a separate sheet.

This list represents a partial lists and is not considered complete:

a. Submission and approval of Accident Prevention Plan.

b. Submission and approval of all environmental submittals.

c. Submission and approval of dredge plan and auxiliary equipment.

d. Submission and approval of pre-placement beach survey.

e. Submission and approval of Quality Control Plan.

f. Coast Guard Notification of Mariner's and VADEQ & VMRC notification.

g. Submittal of current marine plant certification and recent plant inspection.

3.3.2.4 Government Activities

Show Government and other agency activities that could impact progress.

These activities include, but are not limited to:

a. Government surveys for payment

b. Required Contractor submittals for Government approval

c. Inspections required by the contract.

SECTION 01 32 01.00 10 Page 4

3.3.2.5 Definable Features of Work Coding (FOW1, FOW2, FOW3)

Assign a Definable Feature of Work Code to appropriate activities based on the definable feature of work to which the activity belongs. Definable Feature of Work is defined in Specification Section 01 45 00.00 10 QUALITY CONTROL. An activity shall not have more than one Definable Feature of Work Code. Not all activities are required to be Definable Feature of Work Coded.

3.3.3 Scheduled Project Completion and Activity Calendars

The schedule interval shall extend from NTP date to the required contract completion date. The contract completion activity (End Project) shall finish based on the required contract duration in the accepted contract proposal, as adjusted for any approved contract time extensions. The first scheduled work period shall be the day after NTP is received by the Contractor.

3.3.3.1 Project Start Date

The schedule shall start no earlier than the date on which the NTP was acknowledged. Include as the first activity in the project schedule an activity called "Start Project"( or NTP). The "Start Project" activity shall have an "ES" constraint date equal to the date that the NTP was acknowledged, and a zero day duration.

3.3.3.2 Schedule Constraints and Open Ended Logic

Constrain completion of the last activity in the schedule by the contract completion date. Schedule calculations shall result in a negative float when the calculated early finish date of the last activity is later than the contract completion date. Include as the last activity in the project schedule an activity called "End Project". The "End Project" activity shall have an "LF" constraint date equal to the contract completion date for the project, and with a zero day duration or by using the "project must finish by" date in the scheduling software. The schedule shall have no constrained dates other than those specified in the contract. The use of artificial float constraints such as "zero fee float" or "zero total float" are typically prohibited. There shall only be 2 open ended activities:

Start Project (or NTP) with no predecessor logic and End Project with no successor logic.

3.3.3.3 Early Project Completion

In the event the project schedule calculates an early completion date of the last activity prior to the contract completion date, identify those activities that it intends to accelerate and/or those activities that are scheduled in parallel to support the Contractor's "early" completion. The last activity shall have a late finish constraint equal to the contract completion date and the schedule will calculate positive float. The Government will not approve an early completion schedule with zero float on the longest path. The Government is under no obligation to accelerate activities for which it is responsible to support a proposed early contract completion.

3.3.4 Milestones

The schedule must include milestone activities for each significant project

SECTION 01 32 01.00 10 Page 5 event including but not limited to: milestone activities for confined disposal facility preparation complete; installation of pipeline complete;

dredging complete.

3.4 PROJECT SCHEDULE SUBMISSIONS

Provide the submissions as described below.

3.4.1 Project Schedule Submission

Submit the initial Project Schedule, defining the Contractor's planned operations for approval within 15 calendar days after the NTP is acknowledged. The approved Project Schedule will be used for payment purposes . Cost load the Project Schedule to balance the contract award Contract line item numbers (CLINS) shown on the Price Schedule. The initial Project Schedule must include all of the required Plan and Program preparations, submissions and approvals identified in the contract (for example, Quality Control Plan, Safety Plan, and Environmental Protection Plan)

3.4.2 Periodic Schedule Updates

Submit periodic schedule updates monthly with requests for progress payment. These submissions will assist the Contracting Officer in assessing the Contractor's progress. Update the percent complete for each activity started, based on the realistic assessment of work completed. If the Contractor fails or refuses to furnish the information and project schedule data, which in the judgment of the Contracting Officer or authorized representative is necessary for verifying the Contractor's progress, the Contractor shall be deemed not to have provided an estimate upon which progress payment may be made.

3.4.3 Standard Activity Coding Dictionary

If a CPM/PDM system is used for the Project Schedule, the activity coding structure defined in the Standard Data Exchange Format (SDEF) in ER 1-1-11, Appendix A is acceptable; A template SDEF compatible schedule backup file (sdef.prx) is available on the QCS website: http://rms.usace.army.mil/.

3.5 OWNERSHIP OF FLOAT

Float available in the schedule, at any time, shall not be considered for the exclusive use of either the Government or the Contractor.
