OPEN COMPETITION (OTFAOC)

Justification for OTFAOC Number: Not applicable at contracting officer level

Contract Number: HC1028-12-D-0021

Procurement Title: Global Information Grid (GIG) Services Management (GSM) – Operations

(GSM-O) Bridge

Estimated Value: $0 Change to the $4.6B Contract Ceiling

Statutory Authority: Federal Acquisition Regulation (FAR) 6.302-1

Upon the basis of the following justification, I, as Contracting Officer, hereby approve the use of

OTFAOC of the proposed contractual action pursuant to the authority of 10 U.S.C. 2304(c)(1).

1. REQUIRING AGENCY AND CONTRACTING OFFICE:

Requesting Agency:

Defense Information Systems Agency (DISA) /Operations Center (OC)

6910 Cooper Ave.

Fort Meade, MD 20755-7088

Contracting Activity:

DISA/Defense Information Technology Contracting Organization (DITCO) PL8313

2300 East Drive, Bldg. 3600

Scott AFB, Illinois 62225

2. NATURE/DESCRIPTION OF ACTION(S): The nature of this action is to extend the ordering period only by 6-months for contract HC1028-12-D-0021. The ordering period for the current contract ends April 1, 2020. This extension will extend the ordering period by six months. The ordering period extension will be April 2, 2020 – October 1, 2020. This extension will ensure continued support during the protest period of the follow-on contract. The GSM-O effort actively supports the Defense Information System Network (DISN) and associated networking capabilities. Funding will be provided at the task order level.

Base year: October 2, 2012 through October 1, 2015

Option Period 1: October 2, 2015 through October 1, 2017

Option Period 2: October 2, 2017 through October 1, 2019

FAR 52.217-8 Extension: October 2, 2019 through April 1, 2020 (current)

3. DESCRIPTION OF SUPPLIES/SERVICES: Continuity of services is required for support to

DISA/OC. The contract provides the support necessary to carry out the day-to-day operations and sustainment of GIG networks and related services. The core telecommunications capabilities supported by GSM-O enable the Warfighter to meet operational needs by providing worldwide telecommunications, supporting natural disaster relief, and conducting humanitarian assistance in peacetime crises, regional conflicts, and at the same time executing on-going strategic deterrence activities.

The current ordering period expires on April 1, 2020. This effort was re-competed as a full-and-open acquisition. On December 10, 2019, the follow-on contract, HC1028-20-D-0001, was awarded. The protest was submitted in a timely manner to trigger an automatic suspension of performance of the follow-on contract pending resolution of the protest in accordance with FAR

33.103(f)(3). The extension of the current contract will allow for continued support of this vital program during the protest period, while retaining the ability to provide a consistent level of effort for DISA and its stakeholders without a break in service.

An increase of the contract’s ceiling is not necessary, as the current ceiling is sufficient to maintain service until resolution of the transition period to the follow-on is accomplished.

4. IDENTIFICATION OF STATUTORY AUTHORITY: Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C. 2304(c)(1), FAR 6.302-1, and Defense Federal Acquisition Regulation Supplement 206.302-1.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Description of events. HC1028-12-D-0021 was re-competed under solicitation number

HC1028-18-R-0024. Award of HC1028-20-D-0001 was made on December 10, 2019 and this award was protested to the Government Accountability Office (GAO).

Thereafter, a stop-work order was issued. A decision is anticipated to be issued by the

GAO on April 1, 2020. As a result of the protest, an extension to the ordering period is required to continue support and facilitate a successful transition pending the resolution of the protest.

(b) Justification.

(1) Minimum Government Requirements. DISA and its stakeholders all depend on the daily support to provide operations and sustainment of GIG networks and related services. The GSM-O requirements are supported by a team of specialists that provide support to DISA and its stakeholders worldwide, to execute the mission, and necessary clearances for overseas support. Failure to support DISA and its stakeholders would be devasting to the warfighter and have worldwide ramifications. It is critical to ensure continuity of operations during the protest period and following transition period.

Due to the breadth and depth of the requirement and the clearance and support requirements, no alternate contractor can develop the work force necessary to replace the current support team and achieve an initial satisfactory level of support on several task orders expeditiously pending the resolution of the protest and while the transition period is ongoing.

(2) Proposed sole source contractor. Due to the protest filed by General Dynamics

Information Technology, Inc., Leidos (the incumbent on the existing contract) is the only source that can fulfill this requirement without risk of a substantial break in service/support to DISA and its stakeholders.

(3) A sole-source action is necessary due to a protest filed in response to the award of the follow-on contract, HC1028-20-D-0001. If a protest had not been received, this extension would not be necessary.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES: This modification is a bridge extension of the existing contract until the protest of the follow-on contract can be resolved.

Solicitation HC1028-18-R-0024 for the follow-on contract was posted on FEDBIZOPPS on

November 13, 2018 as a full and open requirement. Three proposals were received. Award was made on December 10, 2019.

7. DETERMINATION OF FAIR AND REASONABLE COST: During source selection of solicitation number HC1028-18-R-0024, a cost/price evaluation was conducted in accordance with FAR 15.404. The contract prices were determined to be reasonable. The proposed cost/prices for task orders issued during the extension will be compared to the current contract prices as well as the Independent Government Cost Estimate and the proposed prices for the follow-on effort in order to determine fair and reasonableness.

8. MARKET RESEARCH: This is an extension to the existing contract to ensure continued support until the protest and transition period of the follow-on contract, HC1028-20-D-0001, are complete. Market research was conducted for the follow-on contract on May 7, 2018. The market research identified potential sources, which enabled the follow-on contract to be conducted as an open market requirement. In addition, market research was completed within the last 12 months on the GSM-O IDIQ contract, HC1028-12-D-0021, which determined that the contractor’s pricing for continued support was fair and reasonable and the most cost effective solution for the Government.
