Close coordination and active cooperation on a continuous basis between the contractor and those representing the Contracting Officer are necessary to ensure a clean, safe and healthy working environment, and a well operated building.
(3) Performance Evaluation: Both the contractor and the Government, at the time of contract award, have agreed upon all terms and conditions as stated in the contract. During the life of the contract, contractor performance will be documented by means of the Contractor Performance Assessment Reporting System (CPARS), written inspections, minutes of meetings, GSA/customer surveys and records which will be retained as part of the official contract file.
(4) Effectiveness of Quality Control: The COR shall assess the effectiveness of the contractor's Quality Control Program through review of reports required of the contractor, service delivery information, customer interaction, and by means of GSA inspections.
Detroit, MI
(5) Service Delivery: The quality and timeliness of the contractor's performance of the scheduled program will be used to assess the overall service delivery. If the contractor's performance remains less than satisfactory or fails to adhere to the contract specifications, the Government may contract for the services and charge the contractor for all costs incurred, including administrative costs.
(6) Performance Objectives/Inspection methods and Frequencies: GSA representatives will make inspections of the service covered by this contract to ascertain the level of services being performed.
The contractor will be informed of less than satisfactory performance.
(7) Scoring System: Inspections will utilize a scoring system that assesses the operation of the contractor.
The inspections will be conducted using a rating system of yes/no (See Section J, Exhibit 4).
Inspection scores assigned by the COR or other designated inspector are not debatable or negotiable.
C13. CONTRACTOR RESPONSIBILITY:
(1) The Contractor shall assume full responsibility and liability for compliance with all applicable regulations pertaining to the health and safety of personnel during the execution of work, and shall hold the Government harmless for any action on his/her part or that of his/her employees which results in illness, injury or death.
(2) Miscellaneous Requirements:
(a) Report fires and hazardous conditions to the COR or emergency personnel.
(b) Notify the Property Manager's Office when an unauthorized or suspicious person is seen on the premises.
(c) During performance of this contract, the contractor is required to report to the COR any recommended maintenance and/or repair items that are necessary to maintain the physical integrity of the interior or exterior of the facility and to insure that it is free of missing components or defects which (1) may negatively affect the safety or intended use of the facility; (2) hinder any electrical, mechanical, plumbing or structural system from functioning in accordance with its design; or (3) otherwise degrade the aesthetic appearance of the building. The contractor must certify to the COR in writing, five (5) days after award, that all of its employees involved in the performance of this contract, have been made aware of this provision and understand how to report such discoveries.
C14. PROTECTION AND DAMAGE:
Contractor Responsibility: The Contractor shall provide all labor, materials, and equipment necessary for the protection of Government personnel, equipment, furnishings, buildings, and building accessories (such as parking lots, fences, sidewalks, grounds, etc.) from damage caused by Contractor's negligence. Equipment, furnishings, building and building accessories damaged due to work performed by the Contractor shall be repaired or replaced to their original condition by the Contractor at no additional cost to the Government. The Contractor will not use any supplies or equipment material which the COR determines would be unsuitable for the purpose. E1. FAILURE TO PERFORM:
(1) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. If the work remains deficient, the COR may have the work accomplished by other means and deduct the cost thereof from the monthly payment. When the defects in services cannot be corrected by reperformance, the Government may--
(a) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements; and
(b) Reduce the contract price to reflect the reduced value of the services performed.
(2) If the Contractor fails to promptly perform the services in conformity with the contract requirements or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may--
(a) By contract or otherwise, perform the services and charge to the Contractor any cost incurred by the
Government that is directly related to the performance of such service; or
(b) Terminate the contract for cause.
E2. FAR 52.246-4 INSPECTION OF SERVICES – FIXED PRICE (AUG 1996):
(1) Definition: "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(2) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(3) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(4) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(5) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may--

(6) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may--
(a) By contract or otherwise, perform the services and charge to the Contractor any cost incurred by the
Government that is directly related to the performance of such service; or
(b) Terminate the contract for default.
Detroit, MI
E3. ADDITIONAL REQUIREMENTS FOR INSPECTION OF SERVICES
(1) Government inspections and tests are for the sole benefit of the Government and do not—
(a) Relieve the Contractor of responsibility for providing adequate quality control measures;
(b) Relieve the contractor of responsibility for damage or loss of the material before acceptance;
(c) Constitute or imply acceptance; or
(d) Affect the continuing rights of the Government after acceptance of the completed work under paragraph (d) below.
(2) The presence or absence of a Government inspector does not relieve the contractor from any contract requirement, nor is the inspector authorized to change any term or condition of the specification without the Contracting Officer’s written authorization.
(3) The contractor shall, without charge, replace or correct work found by the Government not to conform to contract requirements, unless in the public interest the Government consents to accept the work with an appropriate adjustment in the contract price. The Contractor shall promptly segregate and remove rejected material from the premises.
(4) Unless otherwise specified in the contract, the Government shall accept, as promptly as practicable after completion and inspection, all work required by the contract or that portion of the work the contracting officer determines can be accepted separately. Acceptance shall be final and conclusive except for latent defects, fraud, or the Government’s rights under any warranty or guarantee.
(5) The government may charge to the Contractor any additional cost of inspection or test when work is not ready at the time specified by the
E4. CRITERIA FOR EVALUATIVE PERFORMANCE:
(1) At the sole election of the Government, and upon notification of the Contractor, the Contractor may be required to re-perform or perform late any or all defective work disclosed by Government inspection, including incomplete performance. Where the Government so elects, the Contractor shall be notified promptly after inspection that specified defective services must be re-performed or performed late, and completed within a reasonable time, as specified by the Government. In such cases, the Government shall re-inspect the work designated for re-performance or late performance, and the Contractor may be liable for any damages sustained by the Government including, for example, the costs associated with reinspection. All reperformance by the Contractor will not be a reimbursable cost.
(2) Re-performance, and the acceptance of re-performance (or late performance), will be determined by the CO or COR on an individual service work item basis.
(3) The Government reserves the right to have any or all of the existing deficiencies corrected by other means.
The Contractor will have the full amount of the cost for having these deficiencies corrected deducted from the monthly payment.
(4) Payment may be withheld for failure to comply with any terms and conditions of the contract.
E5. CANCELLATION CLAUSE:
This contract may be canceled unilaterally by either party under the following conditions:
Cancellation under this clause is limited to total, not partial, contract cancellation and does not apply to individual task orders.
Detroit, MI
This contract may be canceled, without cost, by either the contractor or GSA upon 90 calendar days after receipt of written notice.
Such a cancellation does not relieve the contractor for the obligation to perform work under this contract prior to the effective cancellation date, nor does it relieve GSA from the obligation to pay for such work.
Such a cancellation will not provide any settlement costs to the contractor and will not result in any action by GSA to gain performance by a surety or to obtain reprocurement costs.
E6. SUSPENSION OF WORK:
Deductions will not be taken for services not performed due to unanticipated closing of the building by the Government due to inclement weather, unanticipated holidays, failure of the Congress to appropriate funds, etc., provided the contractor's employees are compensated.
E7. DETERMINATION OF DEDUCTION AMOUNTS:
The Deduction amount or the actual cost to the Government for having the work performed by other means will be used by the Government in determining monetary reductions to contract price for nonperformance of work under this contract, or for deficiencies in the performance of work. Administrative costs are those time and material costs incurred by Government personnel to correct or respond to the unsatisfactory event. Inadequate performance is just as undesirable as nonperformance, and the cost of correcting inadequate performance may equal the cost of initial performance. Therefore, the deduction criteria in this Section shall control in all cases, as distinguished from the Contractor's estimated cost to perform the work.
E8. CONTRACT COMPLETION PLAN: Not Applicable.
E9. CONTRACT CLOSE-OUT INSPECTION: Not Applicable.

G4. EVALUATING CONTRACTOR PERFORMANCE :
The General Services Administration, Public Buildings Service, will begin using the Contractor Performance Assessment Reporting System (CPARS) modules as the secure, confidential, information management tool to facilitate the performance evaluation process. CPARS enables a comprehensive evaluation by capturing comments from both GSA and the contractor. CPARS is the overall system name; however, it is important to note the different modules within.
CPARS module: This module is used to create past performance evaluations on services procurements.
ACASS module: This is the Architect Engineer Contract Administration Support System. This is used to create past performance evaluations on A/E procurements.
Detroit, MI
CCASS module: This is the Construction Contractor Appraisal Support System. This is used to create past performance evaluations on construction procurements.
The term “CPARS” will be used throughout this document to denote the overall evaluation system (the evaluation modules of CPARS, ACASS and CCASS).
Each award requiring an evaluation must be registered in CPARS. The contractor will receive several automated emails. Within thirty days of award, the contractor will receive an e-mail that contains user account information, as well as the applicable contract number(s) and evaluation module assigned. The contractor will have one user account set up that will allow access to all three modules.
Contractors are encouraged to visit http://www.cpars.csd.disa.mil/allapps/cpartrng/webtrain/webtrain_all.htm to sign up for the free on-line Contractor Overview training when these sessions are offered. This is a 2 hour training session specifically targeted to contractor users who will provide Past Performance Evaluation comments on PBS evaluations.
