About this file
This is a Class Justification and Approval (CJ&A) document authorizing sole source contract modifications for the MQ-25 program with The Boeing Company.
The Naval Air Systems Command (NAVAIR) is approving modifications to the previously awarded Engineering and Manufacturing Development (EMD) contract (N00019-18-C-1012) with Boeing on a sole source basis. The modifications authorize continuation of MQ-25 development, fabrication, testing, verification, certification, and delivery activities, including procurement of up to two additional System Demonstration Test Articles (SDTAs), incorporation of producibility improvements, and provisions for future capability updates that cannot be accomplished through retrofitting. The authority to act under this CJ&A expires September 30, 2028. The Contracting Officer has determined the anticipated cost to be fair and reasonable. The statutory authority for this sole source award is 10 U.S.C. 3204(a)(1), based on the rationale that only Boeing can fulfill requirements without unacceptable delays. The justification cites that awarding to another source would result in delays exceeding 5.5 years, as Boeing is the sole designer, developer, and manufacturer of the MQ-25 aircraft and currently possesses the technical design package and configuration control. Substantial cost duplication would occur if another contractor were required to repeat work already completed by Boeing. A presolicitation notice was posted on SAM.gov on October 24, 2023, and no responses have been received to date. NAVAIR has no plans for future competition and will evaluate feasibility of competition only if another potential source emerges.
