The alternative form of security shall be for the same purpose and be subject to the same conditions as those applicable to the Performance Bond.

AUTHORIZED COMPENSATION

It is understood and agreed that all compensation under this ITB is specifically limited to the Contractor’s bid price accepted by the Commission, and to the specific procedure for payment established in this ITB and the Purchase Order executed pursuant to it. 5.3.2. “LARGE SIZE” defined as dolostone material between 11.0 – 13.0 inches in size.

5.4. All dolostone material is subject to review and approval by the FWC Project Manager before placement.

5.4.1. The Contractor shall provide the location of the area where the material will be sourced to allow FWC to verify the proposed material. FWC has the right to request additional information from the Contractor including, but not limited to, a copy of a current materials laboratory assay (data sheet) dated within 60 days of bid opening, which reports 1) the respective average dry bulk density of the material (lbs. per cubic foot or yard), 3) the percentage of magnesium, and 4) Mohs hardness of the proposed material. The Commission will notify the Contractor of approval of proposed materials within three (3) business days of receipt. If modifications are requested by the Commission, the Contractor must submit modifications within five (5) business days.

5.4.2. The Contractor shall provide the percentage of material ranging from the correct size specifications listed in sections 5.3.1 and 5.3.2 to the FWC Project Manager prior to deployment.

5.5. Deployment material shall be transported in containers that are clean and free of debris.

Deployment material shall be stockpiled in a manner that will minimize contact with the soil beneath the stockpile and minimize breakage.

5.6. The Contractor shall provide shallow draft deck barge(s), self-propelled or propelled by an accompanying vessel or push boat, capable of delivering and depositing deployment material on shallow oyster reefs in Apalachicola Bay. The barge and push boat shall be capable of navigating, when loaded, in waters as shallow as a depth of three (3) feet. The barge shall have the capacity to deliver loads of a minimum of 75 cubic yards per trip to the designated restoration sites. The deck barge shall be equipped with safety feature(s) required to provide safe operations. The Contractor shall provide a vessel operator possessing the capability and the licenses required to pilot the shallow draft deck barge. The operator shall be in charge of maritime operations and responsible while the barge is underway, as well as during the material loading and restoration operations. The operator shall pilot the vessel(s) between the loading area and the restoration sites.

5.7. The Contractor shall load approved deployment material onto the deck barges using the Contractor’s own equipment and personnel, transport the deployment material to the specified restoration sites, and deposit the deployment material according to the specifications contained herein. FWC staff will mark the corners of each restoration site with buoys prior to deployment.

5.8. Dolostone material will be deployed utilizing a barge excavator. The contractor is responsible for the acquisition and provision of all equipment, tools, supplies, materials, transportation, labor, and supervision to be used on this project.

5.9. FWC staff will be permitted on-site during deployment to confirm placement of material within the designated boundaries of each restoration site.

5.10. Deployment material shall be placed as follows:

5.10.1. “LOW RELIEF” defined as a height of 12.0 inches from the substrate (+/- 2.0 inches)

5.10.2. “HIGH RELIEF” defined as a height of 24.0 inches from the substrate (+/- 2.0 inches).

5.11. Deployed reef specifications will be equally portioned by the four reef types: 1) LOW

RELIEF/SMALL SIZE, 2) LOW RELIEF/LARGE SIZE, 3) HIGH RELIEF/SMALL SIZE, 4) HIGH

RELIEF/LARGE SIZE.

5.12. Each deployed reef will be square in size and approximately 1 square acre.

5.13. FWC staff may conduct on-site mapping inspection to verify the deployment according to the specifications described herein. If mapping inspections are performed, the Contractor shall remain on site during such inspection and be prepared to correct any deployment issues.

5.14. Deployment dates must be scheduled in advance and approved by the FWC Project Manager.

Deployment may occur Monday through Sunday, excluding state holidays, between 7:30 AM and 4:30 PM EST. Modifications to this delivery schedule may be made by mutual agreement of the Contractor and the FWC Project Manager.

6. GENERAL REQUIREMENTS

6.1. The Contractor shall commence and complete work without interruptions or delays.

6.2. The Contractor shall perform the work in a safe, diligent manner and will furnish and use such safety devices, methods and measures as are required to protect the Contractor and employees thereof, FWC personnel, and the general public against bodily injury and/or damage to property.

6.3. The Contractor shall remove all extraneous materials, equipment and litter associated with the project from the staging area(s) before final payment will be awarded.

6.4. The Contractor shall use every precaution necessary to prevent pollution of waterbodies by fuel, oils, chemicals, or other harmful materials. All waterways will be kept free of contractor-generated debris.

6.5. Stop Work Clause – The FWC Project Manager or his/her designated representative has the right to stop work if the work is not being completed as specified or if weather conditions become too

Ch. 287 Invitation to Bid – Revised 3.22.2023 FWC 22/23-111, Page 14 of 53 unfavorable, per the Project Manager’s assessment. Work will not be renewed until the deficiency or deficiencies are corrected or until weather conditions are deemed acceptable by the FWC Project Manager. In the event that the FWC Project Manager will not allow the deployment of material to be completed due to weather conditions, FWC will pay the Contractor only for those materials delivered to specifications.

7. INVOICING AND PAYMENT

7.1. Invoices will be submitted in arrears upon the completion of deployment at restoration sites and associated tasks.

7.2. Payment will be made for each restoration site upon completion of deployment and associated tasks.

The Contractor will provide a signed and dated invoice showing the quantity of material deployed at each site and total quantity of material deployed to the FWC Project Manager or his/her designee.

Payment will be made after all work has been verified and performed to the satisfaction of the FWC, including potential verification of deployment extent and relief completed by FWC mapping operations.

7.3. The final payment will be rendered upon completion of all project work and the Contractor furnishing to the FWC a final signed and dated invoice. The Certificate of Contract Completion (Attachment F) should be included with the final invoice submission. All paperwork shall be submitted within two (2) weeks after the work is completed.

8. AWARD

8.1. In the event that additional funds become available, the FWC reserves the right to purchase increased quantities at the unit prices bid in order to maximize the project funding. Additional job locations may also be added as determined by the Contract/Project Manager within the Apalachicola Bay region.

9. FINANCIAL CONSEQUENCES

9.1. Payment will be reduced by the amount of material not deployed on each site. For example: 3,000 cu/yd per site = 100% payment, 2,000 cu/yd = 66% payment, 1,000 cu/yd = 33% payment.

9.2. If the Contractor fails to complete restoration within time period specified in Section 4.2, then the contractor will be charged $10,000 per remaining site for incomplete work.

PURCHASE ORDER TERMS & CONDITIONS

Last Updated: March 18, 2023

Section 1. PURCHASE ORDER.

A. Composition and Priority.

The Contractor agrees to provide commodities or contractual services to the Commission within the manner and at the location specified in the Purchase Order, and any attachments to the Purchase Order. These Purchase Order Terms and Conditions, whether generic or specific, shall take precedence over any inconsistent or conflicting provision in the State of Florida, General Contract Conditions, PUR 1000. Additionally, the terms of the Purchase Order supersede the terms of any and all prior agreements with respect to this purchase.

B. Initial Term.

Unless otherwise specified, the Purchase Order begins on the date of issuance. Contractual services or commodities to be provided by the Contractor shall be completed by the date specified on the Purchase Order end date.

Section 2. PERFORMANCE.

A. Performance Standards.

The Contractor agrees to perform all tasks and provide deliverables as set forth in the Statement of Work and attachments to the Purchase Order. The Commission shall be entitled at all times, upon request, to be advised as to the status of work being done by the Contractor and of the details thereof.

Coordination shall be maintained by the Contractor with representatives of the Commission, or of other agencies involved in the project on behalf of the Commission.

B. Performance Deficiency.

If the Commission determines that the performance of the Contractor is unsatisfactory, the Commission may notify the Contractor of the deficiency to be corrected, which correction shall be made within a time frame specified by the Commission. The Contractor shall provide the Commission with a corrective action plan describing how the Contractor will address all issues of Purchase Order non‐performance, unacceptable performance, and failure to meet the minimum performance levels, deliverable deficiencies, or Purchase Order non‐compliance. If the corrective action plan is unacceptable to the Commission, the Contractor will be assessed a non‐performance retainage equivalent to ten (10) percent of the total invoice amount or as specified in the contractual documents.

The retainage will be applied to the invoice for the then‐current billing period. The retainage will be withheld until the Contractor resolves the deficiency. If the deficiency is subsequently resolved, the Contractor may invoice the Commission for the retained amount during the next billing period. If the Contractor is unable to resolve the deficiency, the funds retained will be forfeited.

C. Contractor Responsibilities.

The Contractor agrees that all Contractor employees, subcontractors, or agents performing work under the Purchase Order shall be properly trained technicians who meet or exceed any specified training qualifications. Upon request, the Contractor shall furnish a copy of technical certification or other proof of qualification.
