About this file

This is a Professional Services Agreement template between the Bridgeport Board of Education (BBOE) in Connecticut and an independent contractor for Absence Management and Staffing Services. The agreement establishes a framework for providing electronic absence management systems for all BBOE employees, including teachers, certified pupil personnel services, paraprofessionals, and non-certified staff, as well as placement of substitute teaching staff and paraprofessionals in Bridgeport public schools. The contract term is variable and to be specified upon execution, with the BBOE retaining the option to extend the initial term for consecutive periods as mutually agreed. The agreement designates Dr. Royce Avery, Acting Superintendent, as the BBOE's representative and requires the contractor to maintain availability throughout the term to perform services in a professional manner in compliance with all applicable codes, regulations, and standards of practice.

Compensation is structured as an annual not-to-exceed amount to be determined based on the contractor's proposal pricing, with progress payments made on a weekly or monthly basis upon submission of invoices detailing hours worked and services completed. Payment is due within forty-five days of BBOE approval. The BBOE retains the right to terminate the agreement at any time with fifteen days' written notice and may suspend services with five days' notice without liability. The contractor must obtain and maintain comprehensive insurance coverage including Workers' Compensation, Commercial General Liability ($1,000,000 per occurrence/$2,000,000 aggregate), Professional Liability ($5,000,000 each claim and aggregate), Cyber Liability ($1,000,000 per occurrence/$2,000,000 aggregate), Sexual Abuse/Molestation Liability ($1,000,000 per occurrence/$3,000,000 aggregate), and Umbrella coverage ($5,000,000 combined single limit), with the BBOE named as additional insured. All work product becomes the exclusive property of the BBOE, and the contractor is responsible for all indemnification obligations related to negligent or willful acts, including claims arising from abuse, molestation, harassment, or failure to supervise.
