STATEMENT OF WORK (SOW) FOR DRINK AND SNACK VENDING MACHINES FOR NAVY

EXCHANGE SERVICE COMMAND (NEXCOM) SHIPS STORE PROGRAM

1.0 DESCRIPTION

The contractor shall provide the requested drink and snack vending machines and vending machine accessories in accordance with the specifications stated herein. Prices for individual machines and accessories shall be as specific for individual zones and estimated quantities as detailed below.

2.0 SPECIFICATIONS

2.1 Drink Vending Machines

2.1.1 The government intends to buy drink vending machines for use on board naval ships. Machines will be in an industrial environment, experiencing potentially rough seas, creating excessive ship rocking. While all machines are bolted to bulkheads, machine cabinets must be strong enough to support the movement described. Machines that are being requested will be supporting naval ships of different sizes. The following machines will be required to support designed entry size differences as noted within each machine specification. In addition, all machines will be equipped with thermal overload surge protectors.

2.1.2 Smaller ships’ drink vending machines shall be the following:

required to fit a 26 inch wide hatch opening;

2.2 Snack Vending Machines

2.2.1 The government intends to buy a variety of snack vending machines for use on board naval ships.

Machines will be in an industrial environment, experiencing potentially rough seas, creating excessive ship rocking. While all machines are bolted to bulkheads, machine cabinets must be strong enough to support the movement described. Therefore, machines cabinets are to be steel constructed, traditional glass front, adjustable levelers and durable enough to resist and torque type movement due to excessive ship rocking. Machines with Plexiglas face plates without any room for minor torque flexibility may crack while underway.

2.2.2 Smaller ships’ snack vending machines shall be the following:

2.2.4 Snack Vending Machine Chiller Unit Capabilities

2.2.4.1 Some snack vending machines that meet the specifications defined above, may require the need of a chiller unit (chilled snack machines) capable of maintaining the internal temperature within a range of 55- 65 degrees.

2.2.4.2 Snack Machine, Non-Chilled. Non-Chilled Snack machines are able to vend a wide variety of items such as candy, chips, pastry, and retail items that don’t require refrigeration. Chilled Snack Machines are able to vend a variety of items such as candy, chips, pastry, and retail items that require refrigeration. Chiller units in chilled machines offers the ability to vend chocolates in warm weather and keeps snacks fresh. For both Non-Chilled and Chilled snack machines, dollar bill acceptors may be purchased with new equipment or easily added at any time, provide digital credit display, have self-diagnostics and built-in accountability meters and must be Multiple Drop bus (MDB) platform electronics.

2.2.5 Vending Machines Configurations

2.2.5.1 Large Snack Machine (Non-Chilled) 6 Wide Spiral Configurations. Shelving configuration will be either five snack, one candy (5/1) or four snack, and two candy (4/2) The five snack and one candy configuration will be: Shelf-One – 13 count spirals; Shelf-Two- 11 count spirals; Shelf-Three – 11 count spirals; Shelf-Four – 11 count spirals; Shelf-Five – 6 ea at 15 count or 6 ea at 13 count; Shelf- Six (Pastry) – 3 ea at 11 count or 3 ea at 13 count. The four snack and two candy configuration will be: Shelf-One – 9 count spirals; Shelf-Two – 11 count spirals; Shelf-Three – 11 count spirals;

Shelf-Four – 6 ea at 15 count or 6 ea at 13 count; Shelf-Five (Candy) – 6 ea at 15 count or 6 ea at 13 count; Shelf-Six (Pastry) – 3 ea at 11 count or 3 ea at 13 count. An optional 7 th shelf with 11 count spirals can be used for both these configurations.

2.2.5.2 Large Snack Machine (Chill), Minimum 6 Wide Combo Machine Spiral Configurations. Shelving configuration will be: Shelf-One – 11 count spirals; Shelf-Two – 11 count spirals; Shelf-Three – 13 count spirals; Shelf-Four – 6 at 11 count spirals or 6 at 13 count spirals; Shelf-Five – 6 at 15 count spirals or 6 at 13 count spirals; Shelf-Six – 3 at 11 count spirals or 2 at 9 count spirals.

2.2.5.3 Small to Medium, (Non-Chilled) 4 Wide Snack Machine Spiral Configurations. 2.2.5.4 Small to Medium Snack (Chill) 4 Wide Combo Machine Spiral Configurations. Shelving configuration will be: Shelf-One – 11 count spirals; Shelf-Two – 11 count spirals; Shelf-Three – 13 count spirals; Shelf- Four – 4 at 13 count spirals or 4 at 13 count spirals; Shelf-Five – 4 at 15 count spirals or 4 at 13 count spirals; Shelf-Six – 2 at 11 count spirals or 1 at 9 count spirals or 1 at 15 count spirals.

2.2.5.5 The coin mechanism configuration for the vending machines will be 2 tubes-quarters; 2 tube-dimes, and 1 tube-nickels.

2.3 Cashless Capabilities

All snack and can drink machines shall be capable of interfacing with the cashless debit card stored system currently on board navy ships. The Card Accepting Devices or Card Access Devices (CADs) currently used in vending machines to support the Navy Cash system on board Navy ships are the ITC Systems CAD and the Bezel 8 CAD. In addition, snack and can drink machines shall have data exchange (DEX) port capability for on-line monitoring of management information (MIS) and Multiple Drop (MDB) platform electronics.

2.4 Vending Machine Accessories

2.4.1 The government intends to buy a variety of vending machine accessories compatible to the above mentioned can drink and snack vending machines. The vending machines accessories include:

a) Spare Computer Boards for the Drink Vending Machines

b) Spare Computer Boards for the Snack Vending Machines

c) Spare Parts Packages for Can drink and Snack Vending Machines

2.4.2 Spare parts package for Drink Vending Machines which includes at a minimum 1 lock set with 2 keys, 1-

Vend Motor Assembly Complete, 1-Control Board with latest firmware, 1-Coinage Door Latch, 2- Selection button/Medium, 2- Selection Button/Small, 4-Selector Switch, 4-Sold Out Lamp, 6-Sold Out Switch, 1-Vend Bucket, 1- Refrigeration Unit, 1-Temperature Control, 1-Display Board.

2.4.3 Spare Parts Package for Snack Vending Machines which includes at a minimum 1-lock set with 2 keys, 2-fluorescent lamps, 1-door operate switch, 1-control board with latest firmware, 4-shelf roller, 4-shelf roller screw, 4-vend motor, 1-coin return button, 1-coin chute assembly, 1-coin return assembly, 4-vend motor, 2-drive cam/rear, 2-drive cam/front, 6-spiral lock, 20-product pusher, 1-motor, 2-ejector gum and mint, 1-transformer and 1 circuit breaker.

2.5 Training

The contractor shall provide instructional, operational functionality, and preventive maintenance training via written documentation and by video; the contractor will also provide training through onboard visits upon requests from individual ships, NEXCOM, and when contacted by the Fleet Logistic Center (FLC) Fleet Assistance Team offices. Training for deploying battle groups will be conducted by the contractor in the San Diego and Norfolk areas when requested.

2.6 Information on Equipment.

As a result of shipboard can drink and snack vending machines and accessories being in operation around the world, it is frequently difficult for ships to reach the contractor for repair and maintenance assistance. Therefore, the contractor shall provide the following minimum access:

a) Information on all equipment, specifications, brochures, replacement part prices, etc.

available via the worldwide web (web pages).

b) Video links on how to perform minor repairs.

c) Response to email/telephone requests for assistance.

d) Service capability and contractor response time.

e) Information on how to contact vendor from overseas locations.

2.7 Repair / Maintenance Services.

It is desired that the contractor offer repair and maintenance services to major worldwide port areas. However, these services shall be ordered under separate contract vehicles.

2.8 Quarterly Reports

The contractor shall submit to the Contracting Officer a quarterly report indicating all items and quantities purchased against this award. The report may be in contractor format; however, the information below shall be included in each report.

2.9 Place Of Delivery And Destination

The articles to be furnished under this contract, shall be delivered to a zone specified hereunder. The items shall be delivered and all transportation charges will be paid by the Contractor. ADDENDUM TO 52.212-1

ADDENDUM TO FAR PROVISION 52.212-1 ENTITLED “INSTRUCTIONS TO OFFERORS –

COMMERCIAL ITEMS”

The Government intends to award a Firm, Fixed-Price (FFP) IDIQ as a result of this solicitation in accordance with FAR Part 12 and FAR Subpart 13.5. Award will be made to that vendor whose quote represents the best value to the Government under the selection criteria set forth in this solicitation. The Government intends to evaluate quotes and award a contract based on initial quotes. Therefore, the vendor's initial quote should contain the vendor's best terms from a Technical, Past Performance, and Price standpoint.

The Government intends to award the contract without exchanges. The establishment of a competitive range is not anticipated. Accordingly, each vendor should submit its most favorable terms from a technical, past performance and price standpoint. However, the Government may contact any or all vendors with questions concerning their responses as permitted under FAR Part 13. The Government reserves the right to award an FFP contract to other than the lowest cost vendor; award a FFP contract without exchanges; or award a FFP contract after exchanges, whichever is in the best interest of the Government.

Vendors are hereby instructed that, regardless of any language that may be used in this solicitation, the Government is NOT conducting this procurement under FAR Part 15. This procurement is being conducted under FAR Part 13

I. GENERAL

In addition to FAR 52.212-1, “Instructions to Offerors – Commercial Items” and any other instructions contained elsewhere in this solicitation, the following information is provided. Quoters are required to submit their quotes in two separate volumes as follows:

Volume I: Non-Price Factors

Factor I - Technical Submission

Sub-factor I: Certification

Sub-factor II: Technical Approach

Quoters simply providing general statements or paraphrasing/parroting the SOW in whole or in any part shall be rated unacceptable

Volume II: Price

This volume shall include the following completed solicitation documents (to be provided in Volume II):

A complete and signed SF1449 (Solicitation/Contract/Order for Commercial items) and executed copy of Amendments, if applicable, completed by the quoter;

Page 3 of the RFQ “Schedule of Supplies/Services” completed by the quoter;

Unless completed in SAM, Representations, Certifications and Other Statements of Quoters completed by the quoter in accordance with FAR 52.204-8 and DFARS 252.204-7007 Alt. A.

The completion and submission of the above items will constitute a quote and will indicate the quoter’s unconditional assent to the terms and conditions of this RFQ and any attachments and/or exhibits hereto. The Firm- Fixed Price rates submitted in this attachment will be incorporated into the resultant contract as the ceiling unit rates and shall be utilized by the quoter in the preparation of pricing at the Task Order level.

The “Vending Machine Contract Pricing” spreadsheet provides a template for quoters to use in the preparation of their price quote. The intent is not to restrict the quoters in the manner in which they develop their pricing information, but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes. Completing this spreadsheet does not alleviate quoters from providing any additional information required by the RFQ. It is the responsibility of the quoter to ensure all formulas are accurate and correct. Quoters shall ensure the required information is provided for each year within the ordering period.

All price and price supporting information shall be contained in the price quote. No price or pricing information shall be included in any other volume including cover letters. Quoters are responsible for submitting sufficient information to enable the Government to fully evaluate their price quote.

The quote shall be valid for 180 days from solicitation closing date.

NOTE:

IMPORTANT NOTES:

Quoters shall respond to all requirements of the solicitation document. Quoters are cautioned not to alter the solicitation. Hand-carried quotes are not authorized and will not be accepted.

(1) In the event any person who is not a bona fide employee of the quoter participated in the creation, formulation, or writing of any portion of the quote, a certificate to this effect shall be included in the quote which shall be signed by an officer of the quoter. Such certificates shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the quoter, and the portion of the quote in which the person participated.

(2) In order to ensure that all questions submitted by potential quoters are answered prior to the solicitation closing date, one consolidated list of questions concerning the solicitation should be submitted via e-mail to the contracting point of contact Cody Witz at cody.s.witz.civ@us.navy.mil NO LATER THAN 03:00 PM, Eastern Standard Time (EST), on 24 January 2023. The Government reserves the right not to respond to any questions received concerning this solicitation after the questions receipt date above. Accordingly, quoters are encouraged to carefully review all solicitation requirements and submit questions to the Government early in the quote timeframe.

(3) Quotes are to be submitted via electronic mail submission to Cody Witz at cody.s.witz.civ@us.navy.mil ; in the attachments, format and quantities as identified. All electronic files and versions of quoter’s quotes shall be compatible with the current release of Adobe Acrobat and Microsoft Office Suite version 2010 (Excel).

II. QUOTE CONTENT

Volume I

Factor I: Technical Submission

Sub-factor I: Certification

Quoters shall provide a signed statement entitled “Vending Machine Requirement Certification” which certifies that the quoter’s intended products will meet requirements listed in paragraphs 2.1, 2.2, 2.3, 2.4 of the SOW.

Sub-factor II: Technical Approach

Quoters shall provide, in detail, a technical approach that demonstrates a complete understanding of and the capability to fully implement and execute all requirements of the solicitation and Statement of Work (SOW) in accordance with Sections 2.5 and 2.6 of the SOW. This volume shall also include a completed Zones Point of Contact List which is attached

Quoters shall provide the price for this requirement on the documentation noted in Section I of this addendum.

ADDENDUM TO 52.212-2

ADDENDUM TO FAR PROVISION 52.212-2 ENTITLED “EVALUATION--COMMERCIAL ITEMS”

The Government intends to award a single, Indefinite Delivery, Indefinite Quantity (IDIQ) type contract with Firm Fixed Price (FFP) provisions to the responsible quoter whose quote represents the best value after evaluation in accordance with the factors in the solicitation. The quoter’s quote shall be in the form prescribed by, and shall contain a response to each of the areas identified in solicitation provision FAR 52.212-1 entitled “Instructions to Offerors-Commercial Items” and its Addendum. The Government intends to award the contract without discussions. The establishment of a competitive range is not anticipated. Accordingly, each quoter should submit its most favorable terms from a price and technical standpoint. However, the Government reserves the right to establish a competitive range and conduct discussions if later determined by the PCO to be necessary. The Government reserves the right to award a single, Indefinite Delivery, Indefinite Quantity (IDIQ) type contract with Firm Fixed

Price (FFP) provisions to other than the lowest priced quoter; award a firm, fixed-price award without exchanges; or award a firm fixed priced after exchanges, whichever is in the best interest of the Government.

The Government will utilize FAR Part 12 and 13 processes and procedures. Award will be made to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate quotes: Technical and Price. The Non- Price Quote will be more important than the Price Quote.

Although price is not the most important evaluation factor, it has the potential to become more significant during the evaluation process. The degree of importance of price will increase with the degree of equality of the quotes in relation to the other factors on which selection is to be based. The importance of price will also increase when a vendor’s price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the quote. If, at any stage of the evaluation, all vendors are determined to have submitted equal, or virtually equal, quotes, price could become the factor in determining which vendor shall receive the award.

In order to be considered Acceptable, quoters must receive an acceptable rating for Factor I in its entirety.

Unacceptable technical rating will not be further evaluated and will not be considered for award. All quotes will be reviewed for timeliness. Timely quotes will also be reviewed for compliance to the solicitation. If the quote is not compliant with the material terms of the solicitation, it may not be evaluated and the vendor will be notified that the quote is non-responsive.

Evaluation of Factors

Factor I – Technical Submission

Sub-factor I: Certification

Quoters will be evaluated on whether the signed statement entitled “Vending Machine Requirement Certification” is signed and certified that the quoter’s intended products will meet requirements listed in paragraphs 2.1, 2.2, 2.3, 2.4 of the SOW.

Sub-factor II: Technical Approach

Quoters will be evaluated on their understanding and capability to successfully perform the requirements as demonstrated in their technical approach in accordance with Sections 2.5 and 2.6 of the SOW. The quoter’s Technical Approach will be evaluated on whether it meets the Government’s minimum requirements. The Government will evaluate Factor I on an Acceptable/Unacceptable basis using Ratings Table 1 below.

Note: A vendor that receives a rating of “Unacceptable” in the technical factor is not awardable and will not be further evaluated.

The below rating table will be used in the evaluation of the non-price Factor 1, Technical Submission:

Volume II – Price

Price quotes will be evaluated in accordance with FAR Part 12. The Government will evaluate quotes for award purposes by evaluating the total price for the requirement. The price contained in the “Schedule of Supplies/Services” shall be derived from completing the provided “Vending Machine Contract Pricing” spreadsheet.

The Quoter’s proposed price will be evaluated on the basis of price reasonableness. The evaluation may include, but is not limited to:

a. Price comparison with other Quoters

b. Comparison with Independent Government Estimate (IGE)

The Government may determine that a quote is unacceptable if the prices quoted for each year within the ordering period are significantly unbalanced.

The Government will award on the basis of price if all offers are technically equal and acceptable unless the contracting officer is aware of past performance information related to the low price quote which indicates that quote may not represent best value. In that case, the Government reserves the right to consider the past performance of other quotes, conduct a price, past performance tradeoff, and award to other than the lowest price quote.

Written Notice

A written notice of award or acceptance of a quote e-mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party.

Before the quoter’s specified expiration time, the Government may accept a quote, whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

See Addendum (Contracting Officer shall insert the significant evaluation factors, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)

Technical and past performance, when combined, are See Addendum. (Contracting Officer state, in accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, when compared to price.)

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS - COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (DEVIATION 2023-O0002) (DEC 2022) ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision - Covered telecommunications equipment or services has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service -

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except -

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Reasonable inquiry has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate -

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology -

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically -

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern -

(1) Means a small business concern -

(i) Not less than 51 percent of which is owned by one or more service - disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

Small business concern –

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

Small disadvantaged business concern, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that -

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by -

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $850,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

Subsidiary means an entity in which more than 50 percent of the entity is owned -

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern -

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

Women-owned business concern means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

Women-owned small business concern means a small business concern -

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

(b)(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications - Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ___ .
