About this file
This is a Justification for Other Than Full and Open Competition (OTFAOC) for a sole-source bridge contract award.
The Defense Information Systems Agency (DISA), J4 Integrated Logistics Support, seeks to award a six-month bridge contract to the incumbent contractor Rivertech, LLC for J6 Integrated Logistic Support (ILS) services from July 30, 2026, through January 29, 2027. The contract (HC104726C0002) covers Property Management Internal Control and Compliance; Warehouse Operations; Material Handling; Integrated Logistics Support; Hardware and Warranty Repair Support; Asset Deliveries and Relocation; and Property Custodian and Facility Support for the Pentagon. The estimated contract value is redacted. This bridge action is necessary to prevent a substantial break in service, as the follow-on competitive contract cannot be awarded before the current task order expires. The delays in competitive source selection resulted from fiscal constraints, government furlough, and the inherent complexity of the ILS contract, compounded by frequent document template revisions. Without continuation, critical J6 IT logistics support would cease, causing degradation of logistics readiness, increased system downtime, mission failure risk, and an estimated $2.3 million in duplicated costs from new vendor security processing and specialized systems training.
The justification cites 10 U.S.C. 3204(a)(1) and FAR 6.103-1 as the regulatory authority for sole-source procurement. The government will conduct ongoing market research to identify alternative sources and plans to issue a competitive follow-on solicitation as a small business set-aside on SAM.gov or GSA with pricing to be compared against current contract rates, independent government cost estimates, and follow-on proposals. Cost reasonableness was previously established during source selection of the original GSA MAS contract (GS00Q14OADS119/HC102820F0934) awarded to Rivertech, LLC, which has a period of performance from January 30, 2021, through July 29, 2026.

J&A: J6 Integrated Logistic Support (ILS) Contract
Page 2 of 4 Pages
The incumbent contractor is Rivertech, LLC. Due to the fact that the follow-on cannot be awarded and services transitioned prior to the current task order expiration, Rivertech, LLC is the only source that can fulfill this requirement without risk of a substantial break in service/support to the J4. A sole-source action is necessary to ensure continued performance until the award of a follow-on contract.
Specifically, the timely award of the follow-on contract was delayed due to a combination of fiscal constraints and a government furlough that resulted in the unavailability of key personnel. Furthermore, the inherent complexity of the Integrated Logistics Support (ILS) contract, aggravated by frequent document template revisions, directly contributed to submission delays. These cumulative delays made it impossible to complete the competitive source selection and award the new contract before the expiration of the current period of performance without causing a severe gap in service.
This six-month bridge contract is therefore not a result of a lack of planning, but a necessary, urgent action to ensure the continuity of critical operations and prevent a detrimental service gap. To mitigate the risk of a similar situation recurring, future acquisition timelines will incorporate additional buffer periods to better absorb the impact of potential unforeseen delays.
A sole-source bridge contract is the only viable course of action to prevent a complete cessation of critical J6 support services and mitigate unacceptable mission risk. The current contract's period of performance will expire before a competitive award could be made, which would create a definitive service gap with immediate and severe consequences. The detrimental effects of this service interruption would be as follows:
a. Degradation of IT Logistics for Ongoing Missions: J6 Customers and its mission partners would experience a critical loss of IT logistics support, directly degrading logistics readiness and operational capabilities for day-to-day operations.
b. Increased System Downtime and Logistics Failure: All logistics functions will cease. Key activities such as receipt, storage, distribution, disposal, and property accountability would go unaddressed, increasing the risk of system downtime and mission failure.
c. Elevated Risk of Mission Failure: The absence of seamless J6 IT logistics support would directly translate to an increased risk of mission failure for the customers and mission partners who rely on these services for their daily operations.
6. DESCRIPTION OF THE EFFORTS MADE TO ENSURE THAT OFFERS ARE
SOLICITED FROM AS MANY SOURCES AS POSSIBLE:
This bridge extension will allow continued/uninterrupted logistics and supply support services critical to J6 customers and its mission partners throughout the capital region. These critical logistics and supply services listed in Section 3 of this document will be migrated into a new
Page 3 of 4 Pages
Performance Work Statement (PWS) under the follow-on contract, which will be solicited in SAM.gov or GSA with a date yet to be determined seeking a small business set-aside award.
7. DETERMINATION OF FAIR AND REASONABLE COST:
During source selection of HC102820F0934, a cost/price evaluation was conducted in accordance with FAR 15.404. The contract prices were determined to be reasonable. The proposed cost/prices for the extension will be compared to the current contract prices as well as the Independent Government Cost Estimate and the proposed prices for the follow-on effort in order to determine fair and reasonableness.
8. MARKET RESEARCH:
In accordance with DARS PGI 5810.001-91(d)(2) Bridge Contract Actions do not require market research however; ongoing market research was conducted during the life of the order and validated every option period renewal
9. ANY OTHER SUPPORTING FACTS:
Any gap in service would directly harm the Government by degrading critical IT logistics support services for ongoing missions. Furthermore, in addition to a gap in service, the Government would incur an estimated $2.3 Million in duplicated costs, derived from the expenses of new vendor’s security processing, and the specialized systems training required for this contract.
10. LISTING OF INTERESTED SOURCES:
This action will bridge the existing contract until award of the follow-on contract can be executed. A solicitation for the follow-on contract will be issued and posted accordingly.
11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS
THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:
1. Procurement History
• Contract Number: GS00Q14OADS119/HC102820F0934
• Large/Small Business: Small Business
• Competitive Solicitation
• Procurement Method: GSA MAS
• Period of Performance: January 30, 2021, to July 29, 2026
• Contractor: Rivertech, LLC
2. The Government will conduct ongoing market research to identify new potential sources.
The specifications / PWS and requirements are being examined in order to determine if they can be revised/modified to encourage competition without sacrificing the agency's minimum need. The follow on requirement is intended to be a competitive action, and the solicitation will be posted as a small business set-aside / preference accordingly.
