Justification for Other than Full and Open Competition (JOFOC) In Accordance with Federal Acquisition (FAR) Part 6

1. Contracting activity

This Justification for Other than Full and Open Competition supports a procurement action to be conducted under the authority of FAR Part 6.302-1. The procurement action is generated by the Office of Personnel Management (OPM), Office of Procurement Operations on behalf of Human Resources Solutions (HRS), Center for Leadership Development (CLO).

2. Nature and Description of the action being approved

The Center for Leadership Development (CLO) offers residential and non-residential programs/courses for entry level to seasoned managers of Federal, state, local, and international governments at its development centers and other locations around the country. The Instructor Management Services (IMS) contract supports all of CLD's Leadership development programs by providing contract instructors, coordinators, facilitators, presenters, coaches, and other developmental program requirements. This JOFOC is required for a sole source interim contract with a ceiling value of $22M. A new Indefinite Delivery Indefinite Quantity (IDIQ) bridge contract is needed to provide continuity of services until OPM can successfully recompete the requirement. A competitive follow-on contract is expected to be solicited in December 2017, with an anticipated award date of March 2018.The IDIQ contract resulting from this JOFOC will consist of a base period for three (3) months, and include three (3) three-month optional ordering periods. The bridge contract described herein is the result of organizational growth and a higher than expected need for services during the initial ordering periods under the previous, competitively awarded Blanket Purchase Agreement (BPA) OPM2613A0007.

The current vendor, Catmedia, has been providing services through the referenced BPA which included a one-year base ordering period and four one-year optional ordering periods. Catmedia is currently in the fourth one year optional ordering period and the BPA is scheduled to expire on February 28, 2018. The estimate for this interim IDIQ contract is based on both historical estimates and an updated analysis and understanding of CLD's reorganization and organizational growth. The aforementioned organizational growth was necessitated by an increased demand for course deliveries, coaching services, and shadowing services, the addition of CLO business lines that could access services provided for on the awarded vehicle, and in consideration of critical transition and continuity related services as the agency pursued the re-competition of a longer term follow-on award.

3. Description of the supplies and services required to meet the agency's need

The contractor shall continue performance under this bridge contract's scope which involves the recruiting, training, and managing of instructors, speakers, facilitators, curriculum designers, course curriculum developers, coaches, and assessment administrators to prepare and deliver courses for CLD's Leadership for a Democratic Society (LOS) Programs, lnteragency Open Enrollment (OE), Single Agency Catalog (SAC) Programs, and Customized Single Agency Solutions (CSAS) Programs offered Government-wide. The contractor will provide expert

I professional services for the design, development, and delivery of CLD's leadership programs to ensure that activities, discussions, materials, concepts, and information are professionally and effectively presented and integrated, and support the course learning objectives.

4. Statutory Authority permitting Other than Full and Open Competition:

FAR 6.302-1 (41 U.S.C. 3304(a)(l))- Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires the use of the authority cited:

Catmedia currently has the appropriate staffing and institutional knowledge of this requirement as well as the capability to provide the seamless, broad base of instructional requirements needed by OPM's CLD to fulfill this requirement. The failure to provide consistent developmental programs would degrade the level of Leadership Development training to all Federal Agencies provided by CLD throughout the Federal workforce and would negatively impact CLD's business model of being the first choice training and educational resource for leadership training.

Catmedia developed training courses, materials, and curriculums under the existing BPA's scope of work which OPM needs to continue until the new competitive award is complete. Attempting to recompete this bridge requirement at this time and transition developed training courses, materials, and curriculum would require extensive time, effort and funding which the agency would not readily recoup through competition for such a short period of time before the longer effort is finalized and competitively awarded.

If OPM were to not award a sole source interim contract for instructional management services, it would disrupt the continuity of services of programs and be detrimental to CLD's Mission as well as agencies throughout the Federal Government. The CLO exists to deliver leadership-development opportunities to Federal employees as well as Senior Executive Service (SES) members. Although focused on this audience, the CLD also supports students from regional, state and local governments, international executives, and limited numbers of United States uniformed military personnel and private-sector employees.

This bridge approach represents a savings in cost and time as well as a reduction in overall risk to the OPM mission while a longer term award can be solicited for and appropriately awarded.

6. Efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies

OPM issued Source Sought Notice (SSN) OPM2617S0001 on 12/28/2016to identify small businesses that are capable of providing the needed services. Responses to the above SSN are currently being reviewed and will be considered in developing the requirements package and acquisition strategy associated with the referenced longer term recompete effort. A competitive award is estimated for 3Q FY2018. A notice of the proposed contracting action as represented within this justification document will be made in accordance with FAR Subpart 5.2.

7. Determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable

Rates will be negotiated and a price analysis perfonned in accordance with FAR 15.404-1 ' Proposal Analysis Techniques• to ensure a best value award is made. OPM will detennine all rates to be both fair and reasonable based upon historical rates for same and/or similar services which were competitively established at the time of prior award.

8. Description of the market research conducted and the results or statement of the reason market research was not conducted

The SSN referenced above was published on December 28, 2016, and a Pre-solicitation Conference held April 13, 2017 to determine the small business marketplace, and their ability to satisfy the requirements detailed herein. OPM has reviewed the responses to the SSN and will continue to develop an acquisition strategy supporting the recompete efforts, with an anticipated award in the third quarter of FY2018.

9. Any other facts supporting the use of other than full and open competition

10. Statement of actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made

OPM is in the process of preparing to recompete the IMS requirements as referenced within this JOFOC and anticipates executing a competitive award in the third quarter of FY2018.

Additionally, as referenced above, a SSN was publicly released and a notice of the proposed contracting action as represented within this justification document will be made in accordance with FAR Subpart 5.2.

11. A listing of sources, if any, that expressed interest in writing, an interest in the acquisition

Thirteen (13) sources submitted written responses to the SSN identified in paragraph 6 above.

The SSN was issued in support of the referenced longer term recompete efforts underway. OPM has reviewed the responses and anticipates between 6 and IO responses to the solicitation. OPM will use information obtained from the SSN to finalize the acquisition strategy which successfully supports the recompete efforts.
