About this file
This is a Justification and Approval (J&A) document for a sole-source contract award issued by the Naval Air Systems Command (NAVAIR) at Patuxent River, Maryland.
NAVAIR is awarding a sole-source contract to Advanced Acoustics Concepts (AAC), LLC, located at 3500 Sunrise Highway Building 100, Suite 210, Great River, NY 11739-1001, for support and upgrade of the Common Acoustic Simulation Environment Fidelity Implementation (CASEFI) covering Fiscal Years 2026 through 2030. The contract builds upon the existing Contract #N61340-20-C-0028. The estimated contract value is redacted in the document. The work includes software and hardware development and upgrades to CASEFI in support of Multistatic Active Coherent Enhancements (MAC-E), Multiple Input Multiple Output (MIMO) capability, new functionality for sonobuoys (AN/SSQ-101, AN/SSQ-125, and AN/SSQ-145 series), modifications to UnderSea Advantage (USA) receiver and associated processing, concurrent processing of active and passive sonobuoys, new operator machine interface designs such as High Duty Cycle (HDC), and demonstration of Advanced Processing Build (APB) concepts. The underlying requirement is to provide critical Anti-Submarine Warfare (ASW) training environments for P-8 operations and to advance Maritime Patrol and Reconnaissance Aircraft (MPRA) Post-Flight Analysis (PFA).
The justification for sole-source award under 10 U.S.C. 3204(a)(1) is based on AAC being the original equipment manufacturer with exclusive technical expertise, specialized facilities access, and proprietary technical data. NAVAIR determined that the complete Technical Data Package (TDP) is not available for competition, as AAC declined to sell the package when queried in July 2025. A sources-sought notice was posted to SAM.gov on June 12, 2025, closing June 26, 2025, with four companies responding; however, all respondents lacked access to source code and required documentation. A synopsis was posted to SAM.gov on July 24, 2025, closing August 7, 2025, with no responses received. The Contracting Officer determined the anticipated cost is fair and reasonable, and NAVAIR currently has no plans to compete future contracts for these supplies and services unless another potential source emerges.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
AAC is the Original Equipment Manufacturer (OEM) of CASEFI, and is the only company with the technical expertise, access to specialized facilities and requisite knowledge, experience, and technical data that can meet the requirements for the ASW systems; in addition, they are the sole designer, developer and manufacturer of the CASEFI which is currently being integrated and installed onboard military aircraft. Technical data required for sustainment and improvements of the system is proprietary to AAC. The Government does not have the complete Technical Data Package (TDP) that would be necessary to conduct a competition. The Government inquired with AAC if the TDP is available and for sale in July 2025; AAC declined to sell the package necessary to compete this effort.
Award to any other company other than AAC would result in significant duplication of costs equivalent, at a minimum, to the value of recent and current development/integration contracts, which totals based on historical costs/actuals. Therefore, the efforts herein cannot be performed by a source other than AAC without substantial duplication of cost to the Government which is not expected to be recovered through competition.
6. Description of Efforts Made to Solicit Offer from as Many Offerors as Practicable.
In accordance with DFARS PGI 206.302-1, NAVAIR posted a sources-sought notice to the Systems for Award Management (SAM.gov) website on 12 June 2025; this notice closed 26 June 2025. Four (4) companies responded to the notice. The respondents were The Program Office assessed the capability of these respondents and determined AAC was the only company capable of fulfilling requirements. The other respondents were incapable of fulfilling requirements due to lack of access to source code (required to make system updates) and inability to provide the necessary capabilities documentation requested in the sources-sought notice.
In accordance with FAR 5.201(b), a synopsis was posted to SAM.gov website on 24 July 2025 and closed on 7 August 2025. No responses were received. Any responses received prior to contract award will be evaluated by the Contracting Officer.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by the J&A will be fair and reasonable.
8. Actions to Remove Barriers on Future Competition.
As this is a follow-on to supplies and services previously awarded on a non-competitive basis, the prior J&A (J&A 19- 0529) was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
For the reasons set forth in paragraphs 5 and 6, NAVAIR has no plans at this time to compete future contracts for these types of supplies/services covered by this document. If another potential source emerges, NAVAIR will assess whether competition for future requirements is feasible.
