About this file

This is a Professional Services Agreement for Open-End Outside Counsel Legal Services between the City of Pittsburgh and a legal counsel for federal litigation services. The City is soliciting qualified attorneys and firms to provide legal services on an as-needed basis for various legal matters, including personal injury and property damage defense, civil rights matters, intellectual property issues, labor negotiations, discrimination complaints, criminal defense, federal and state regulatory proceedings, and tax collection services. The agreement has an initial term of two years, with the potential for two successive one-year renewal terms. The legal services will be assigned through a specific process involving a Request, Answer, and Notice-to-Proceed mechanism, with no guaranteed work volume.

The compensation structure is based on hourly rates listed in Exhibit A-2, with counsel required to provide a not-to-exceed amount for each project. The City will only be liable for the agreed-upon project amount, and invoices must be submitted monthly with detailed time entries. The agreement includes specific requirements for minority, women's, and veteran-owned business participation, and counsel must maintain specific insurance coverage, including $1 million in commercial general liability, $1 million in automobile liability, and $3 million in professional liability. The contract emphasizes strict coordination with the City's legal department, requiring prior approval for key legal actions, media statements, and significant expenses, and mandating thorough and timely reporting on project developments.
