3.2 Analytical Test Method
a. The contractor shall have, or have access to, an appropriate USP Apparatus 4 – Flow-through-call dissolution apparatus and an appropriate chewing gum machine (suitable instruments are available from Erweka Gmbh) if not available in their current laboratory.
b. The contractor shall develop a recommended single dissolution procedure that can differentiate the nicotine release profile of Comparator A and Comparator B (see Table 1) for each subcategory (moist loose snuff and snus, portioned moist snuff and snus, dry snuff, chewing tobacco, and dissolvables) of smokeless tobacco product. The analytical method used for nicotine release rate determination shall at a minimum include the following information:
i. pH of dissolution media (pH gradient may be considered as necessary)
ii. Dissolution media components (i.e. artificial saliva, artificial saliva with enzymes, pH 6.8 buffer, water, etc.)
iii. Temperature of the dissolution media
iv. Sampling times (at least 3 points in the initial release zone and at least 2 approaching steady state)
v. Determination of t∞ time point (time at which all extractable nicotine as been released)
vi. Media flow rate
c. The contractor shall adjust the dissolution conditions described in (b) above to ensure that the nicotine release profiles of Comparator A and B are significantly different determined by the similarity factor (f2 < 50). In theory, all the products included in the study should produce dissolution profiles that are significantly different and this should be the goal of the dissolution protocol development efforts.
3.3 Testing
d. The contractor shall procure the smokeless tobacco products included in Table 1. The number of individual containers (cans, pouches, packs, etc.) of each product is included in Table 1. This number indicates a minimum number of containers; additional containers may be procured at the contractor’s discretion. [Note: where a product is unavailable, alternatives shall be proposed for approval to Contracting Officer Representative (COR) prior to procurement]
e. The contractor shall measure 12 replicate portions per container and 6 to 10 containers per tobacco product designated as Comparator A or B. All tobacco products without a special designation shall require at least 30 portions, (twelve portions from a single container, the remainder from additional containers) preferably from the same lot of material (Table 1).
f. The contractor shall develop an analytical procedure for the measurement of nicotine in the dissolution medium. The analytical procedure shall be validated in accordance with ICH Q2(R). Alternatively, the contractor may propose to COR for approval to adapt an existing validated nicotine assay procedure for this application. If the procedure has been previously validated, then the contractor shall demonstrate that the precision and accuracy of the procedure are unchanged by the dissolution medium and that the LOQ is sufficient to measure early dissolution time points.
g. The contractor shall consult with the COR to determine whether all the products within the same subcategory contain sufficient differences. If the products are sufficiently different determined by the similarity factor (f2 < 50), the evaluation of the balance of the products may be completed. In the case where the contractor has determined that subsequent adjustments to the dissolution procedure are necessary to achieve differentiation, the adjustment shall be reported to the COR prior to implementing the change. At the completion of the dissolution method development of each subcategory of smokeless tobacco product, the contractor shall prepare a report describing the proposed dissolution protocol, the analytical procedure, validation reports, and the dissolution profiles of Comparators A and B. The contractor shall schedule a meeting with COR within 1 month of the conclusion of the nicotine release method development and shall prepare and submit an interim report to COR 3 months after completion of data collection for products with special designation.
h. The contractor shall determine the nicotine release profiles of each of the products in Table 1 in accordance with the parameters list in (b) above.
i. The contractor shall prepare and submit a final report 3 months after the final data collection for undesignated products (e).
3.4 Period of Performance
The Contractor shall complete these tasks within 24 months of the receipt date of contract award . The Contractor shall report to COR regarding any delays or setbacks concerning the project that may affect the anticipated completion date.
3.5 Deliverables
All reports required under this contract shall be typed (12-point font) and submitted electronically to the Contracting Officer’s Representative (COR) in Microsoft Word 2007 compatible format. All tabulated data obtained from the studies shall be submitted in Microsoft Excel format unless otherwise specified.
a. The Contractor shall provide FDA with copies of all receipts from the tobacco product purchases for verification of the location where the samples were purchased, within five days of final purchase.
b. The Contractor shall provide FDA with the lot number, bar code/UPC number, and expiration date of the tobacco product (as applicable) in a separate document, within five days of final purchase.
c. The Contractor shall provide FDA color photos of the labeling of each smokeless tobacco product purchased, and the contractor shall place on each photo, the date, time, and location of purchase (name of establishment, street address, city, state and zip code); as well as lot number bar code/UPC number and expiration date, within five days of final purchase.
d. The contractor shall provide a method development report that includes the raw data and tabulated results (means, averages, coefficient of variation and standard deviations) of analyses for Comparator A and B for each subcategory of the tobacco products. The method development report shall include descriptions of analytical test methods used; instrumental settings and developmental setting with a description of outcomes; validation data; physical observations with digital photographs of the dissolution protocol; standard operation procedures; running control charts; descriptions of any laboratory issues encountered along with their solutions; any other issues relevant to the study; and nicotine release profiles for Comparator A and B tobacco products.
e. The contractor shall provide an interim report after 12 months of the period of performance. The interim report shall include representative data, results, and chromatograms with explanations of the analysis for the products with special designation. The contractor shall provide a progress report that contains details highlighting the milestones accomplished, financial report, and proposed timeline, if modified, for the remainder for the project. If the method development is completed or anticipated to be complete within one month of the deadline for the interim report, the contractor may submit one report as the interim and method development report.
f. The contractor shall provide a final report that includes the raw data and tabulated results (means, averages, coefficient of variation and standard deviations) of all analyses of tobacco products specifically identified by FDA and for quality control samples. If the contractor modified the methods initially reported, the contractor shall provide an updated method report that includes the full descriptions of the modified analytical test methods; instrumental settings (to include all final settings and all developmental setting with a description of outcomes); validation data; physical observations with digital photographs of the dissolution protocol; standard operation procedures; running control charts; descriptions of any laboratory issues encountered along with their solutions; any other issues relevant to the study; and nicotine release profiles for all requested tobacco products. The contractor shall consider the following items for the final report:
i. Limit the number of documents provided and include representative data, results, and chromatograms with a brief explanation in the appropriate report(s) (e.g., collate chromatograms and insert them into the appropriate sections of the report instead of sending in numerous individual, unidentified data files, label chromatograms/data).
ii. Don’t leave “track changes” in the final report(s)
iii. When a report refers to an internal document, provide all documents in an appendix or in the report (e.g., if you refer to an internal method/SOP, provide the method/SOP)
iv. The validation report must be for the method used to complete the analyses
One or more jointly written manuscripts will be drafted and submitted to one or more peer-reviewed scientific journals.
g. NOTE: FDA may, at the agency’s discretion, publicly release information from this study on the nicotine release profiles in tobacco products; however, details of the analytical method used in the nicotine release will not be released publicly. The contractor should inform FDA of any concerns regarding the release of confidential commercial information prior to award.

FDA considers the sharing of FDA-funded research, including digital data, an important means to enhance its value and support future research. When the findings associated with research developed with FDA funds are published, they are required to be made readily available to the public. In addition, investigators seeking FDA funding, in whole or in part, via a contract, grant, or assistance agreement must have an FDA-approved Data Management Plan – a plan for digital data management and sharing – prior to commencing any related services or work.
3.13 Organizational Conflict of Interest
As a regulatory agency charged with protection of public health, the Food and Drug Administration (FDA) must maintain public confidence in the integrity of its decisions. The Center for Tobacco Products (CTP) oversees the implementation of the Family Smoking Prevention and Tobacco Control Act. Some of the Agency’s responsibilities under the law include setting performance standards, reviewing premarket applications for new and modified risk tobacco products, requiring new warning labels, and establishing and enforcing advertising and promotion restrictions.
The FDA has policies and procedures that safeguard against actual and apparent conflict of interest on the part of its employees. In contracting for review and evaluation of scientific data and information submitted to the agency, it is critical that the FDA be assured that there is no actual or apparent conflict of interest on the part of the individual contractor. Offers performing work under this contract must assure the protection of information and data they receive under this contract from unauthorized use or disclosure, and must avoid actions that would cause a reasonable person to question the impartiality of the contractor.
a) The purpose of this section is to ensure that the contractor and its subcontractors:
(1) Are not biased because of their financial, contractual, organizational, or other interests which relate to the work under this contract, and
(2) Do not obtain any unfair competitive advantage over other parties by virtue of their performance of this contract.
(b) Scope. The language of this section applies to performance or participation by the contractor, its parents, affiliates, divisions and subsidiaries, and successors in interest (hereinafter collectively referred to as “contractor”) in the performance of this contract as a prime contractor, subcontractor, co- sponsor, joint venture, consultant, or in any similar capacity.
(c) Definition of Conflict of Interest
Conflict of interest means that because of other activities or relationships with other persons or organizations, a person is unable or potentially unable to render impartial assistance or advice to the Government, that the person's objectivity in performing the contract is or might be otherwise impaired, or that the person has or might acquire an unfair competitive advantage (see FAR 9.501).
(d) Contractor’s Conflict of Interest Responsibilities
The individual contractor must be free of interest prior to performing under this contract. Any time prior to or during the performance of the contract the individual contractor believes that a potential or actual conflict exists, the individual should notify the contract officer and project officer. The contract officer will determine whether or not a conflict of interest exists and how to resolve or mitigate it. The contractor should not commence or continue working on the contract until directed by the contract officer.
(e) Warrant and Disclosure. The warrant and disclosure requirements apply to both the contractor and all subcontractors. The contractor warrants that, to the best of the contractor's knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, and that the contractor has disclosed all relevant information regarding any actual or potential conflict. The contractor agrees it shall make an immediate and full disclosure, in writing, to the Contracting Officer of any potential or actual organizational conflict of interest or the existence of any facts that may cause a reasonably prudent person to question the contractor's impartiality because of the appearance or existence of bias or an unfair competitive advantage. Such disclosure shall include a description of the actions the contractor has taken or proposes to take in order to avoid, neutralize, or mitigate any resulting conflict of interest.
The contractor will be performing lab analysis of tobacco products and providing that analysis to FDA to inform regulatory decision making. The contractor must thoroughly disclose any relevant information regarding financial relationships with private entities that may be affected by this regulatory decision making in its proposal prior to award. If such financial relationships exist, the contractor shall provide a statement as to whether it believes the relationships present a potential or actual conflict of interest and the basis for that determination. If the contractor has identified a potential or actual conflict of interest, a plan for mitigating the conflict of interest must be submitted prior to award.
Prior to award, contractors that disclose potential or actual conflicts of interest shall submit a mitigation of conflicts of interest plan along with their technical and business proposals.
(f) Remedies. The Contracting Officer may terminate this contract for convenience, in whole or in part, if the Contracting Officer deems such termination necessary to avoid, neutralize or mitigate an actual or apparent organizational conflict of interest. If the contractor fails to disclose facts pertaining to the existence of a potential or actual organizational conflict of interest or misrepresents relevant information to the Contracting Officer, the Government may terminate the contract for default, suspend or debar the contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.
(g) Subcontracts. The contractor shall include a clause substantially similar to this clause, including paragraphs (f) and (g), in any subcontract or consultant agreement.
(h) Prime Contractor Responsibilities. – The contractor shall identify and avoid, neutralize, or mitigate any subcontractor organizational conflict prior to award of the contract to the satisfaction of the Contracting Officer. If the subcontractor's organizational conflict cannot be avoided, neutralized, or mitigated, the contractor must obtain the written approval of the Contracting Officer prior to entering the subcontract. If the contractor becomes aware of a subcontractor's potential or actual organizational conflict of interest after contract award, the contractor agrees that the Contractor may be required to eliminate the subcontractor from its team, at the contractor's own risk. The contractor shall obtain from its subcontractors or consultants the disclosure required in FAR Part 9.507
(i) Waiver. The contractor may seek a waiver from the Head of the Contracting Activity by submitting such waiver request to the Contracting Officer, including a full written description of the requested waiver and the reasons in support thereof.
PART 4 – CONTRACT CLAUSES
52.204-13 System for Award Management Maintenance.
As prescribed in 4.1105(b), use the following clause:
System for Award Management Maintenance.
(Oct 2016)
(a) Definitions. As used in this clause—
“Electronic Funds Transfer (EFT) indicator” means a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the commercial, nonprofit, or Government entity to establish additional System for Award Management (SAM) records for identifying alternative EFT accounts (see subpart 32.11) for the same entity.
“Registered in the System for Award Management (SAM) database” means that—
(1) The Contractor has entered all mandatory information, including the unique entity identifier and the EFT indicator (if applicable), the Commercial and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14), into the SAM database;
(2) The Contractor has completed the Core, Assertions, Representations and Certifications, and Points of Contact sections of the registration in the SAM database;
(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The Contractor will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and
(4) The Government has marked the record “Active”.
“System for Award Management (SAM)” means the primary Government repository for prospective Federal awardee and Federal awardee information and the centralized Government system for certain contracting, grants, and other assistance-related processes. It includes—
(1) Data collected from prospective Federal awardees required for the conduct of business with the Government;
(2) Prospective contractor-submitted annual representations and certifications in accordance with FAR subpart 4.12; and
(3) Identification of those parties excluded from receiving Federal contracts, certain subcontracts, and certain types of Federal financial and non-financial assistance and benefits.
“Unique entity identifier” means a number or other identifier used to identify a specific commercial, nonprofit, or Government entity. See www.sam.gov for the designated entity for establishing unique entity identifiers.
(b) The Contractor is responsible for the accuracy and completeness of the data within the SAM database, and for any liability resulting from the Government’s reliance on inaccurate or incomplete data. To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis, from the date of initial registration or subsequent updates, its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.
(c)
(1)
(i) If a Contractor has legally changed its business name, doing business as name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to—
(A) Change the name in the SAM database;
(B) Comply with the requirements of subpart 42.12 of the FAR; and
(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor shall provide with the notification sufficient documentation to support the legally changed name.
(ii) If the Contractor fails to comply with the requirements of paragraph (c)(1)(i) of this clause, or fails to perform the agreement at paragraph (c)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the SAM information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the electronic funds transfer (EFT) clause of this contract.
(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the SAM record to reflect an assignee for the purpose of assignment of claims (see FAR subpart 32.8, Assignment of Claims).
