Pressure Headspace ANalyzer--PHA

Part 1 – Description

The U.S. Food and Drug Administration (FDA) has a requirement for a Pressure Headspace ANalyzer-- PHA. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested, and a separate written solicitation will not be issued.

This solicitation is a Request for Quote (RFQ) using FAR Parts 12 and 13 procedures. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2019-02. The North American Industry Classification System (NAICS) code for the proposed acquisition is 334516, Analytical Laboratory Instrument Manufacturing, small business size standard 1000 employees.

This requirement is for a Service contract for a Pressure Headspace ANalyzer--PHA

Part 3 – Description/Specifications

3.1 Background

The Division of Product Quality Research (DPQR) is requesting a Benchtop Pressure/Moisture Headspace Analyzer for rapid, non-destructive, quantitative measurement of both headspace moisture/water activity and total headspace pressure of sealed parenteral products. The operating principle of the equipment should be based on frequency modulation of a tunable diode laser.

3.2 Statement of Work/Salient Characteristics

The contractor shall provide the Government with a System that meets or exceeds the salient characteristics described below:

0001 Pressure Headspace ANalyzer--PHA:

Pricing will be firm fixed price.

• Shall allow rapid non-destructive measurement in less than 3 sec

• Shall accurately measure total pressure with the range of 0.1 -1 atm

• Shall be capable of accurately measuring partial headspace moisture pressure in the range of 0-20 torr

• Shall be compatible with both amber and molded glass vials

• Shall be compatible with both amber colored and clear vials

• Shall have a measurement accuracy and precision of less than 2%

• Shall be capable of accurately determining the moisture content of vials as small as 1 cc and as high as 2000 cc

• Shall allow moisture determination in ampoules, syringes and bottles

• Shall include one (1) control laptop required for operation of the system

• Shall include full system software, certified moisture and pressure standards and peripheral accessories required for installation and operation

• Shall provide System crating, shipping, and delivery

• Shall provide full system software and peripheral installation

• Shall provide on-site hardware and software training to a minimum of 6 FDA scientist

Performance / Specifications: The instrument shall meet the following performance / specifications:

Supply Contract for Pressure Headspace ANalyzer--PHA

(1) Description of Equipment/System: The Division of Product Quality Research (DPQR) is requesting a Benchtop Pressure/Moisture Headspace Analyzer for rapid, non-destructive, quantitative measurement of both headspace moisture/water activity and total headspace pressure of sealed parenteral products. (2) Tasks/Deliverables

• Pricing will be firm fixed price.

Item 1: Benchtop Pressure/Moisture Headspace Analyzer

Item 2: Delivery, Installation, and On-site training

The vendor will cover all costs associated with the following:

• System crating, shipping, and delivery.

• Full system software and peripheral installation.

• On-site hardware and software training for at least 6 FDA scientist.

Capabilities Statement:

Must be able to handle a Benchtop Pressure/Moisture Headspace Analyzer for rapid, non-destructive, quantitative measurement of both headspace moisture/water activity and total headspace pressure of sealed parenteral products. The operating principle of the equipment shall be based on frequency modulation of a tunable diode laser.

Delivery, Installation, Training, and Support:

The vendor shall cover all costs associated with the following:

Part 4 –Performance and Deliverables

4.1 Place of Performance and Work Hours

All applicable equipment is located at the location listed below. Normal workdays are Monday through Friday except US Federal Holidays. Work hours are typically from 8 am to 5 pm (ET). Service visits shall be coordinated with (TBD), see below.

4.2 Period of Performance

The period of performance for this contract is 12 months following the completion of installation and validation of the equipment.

After the delivery and installation/qualification of the equipment, the Government shall have 30 working days to inspect and verify that the equipment is operational and functional.

Part 5 –Contract Administration

5.1 Representative’s

The Contracting Officer’s Representative (COR) will perform inspection and acceptance of equipment and services to be provided.

For the purpose of this PART, (COR TBD) is the authorized representative of the Contracting Officer.

The COR is responsible for the following as required by this order: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluations; (4) performing technical inspections and acceptances;

and (5) assisting in the resolution of technical problems encountered during performance.

The Contracting Officer is the only person with authority to act as an agent of the Government under this order. Only the Contracting Officer has authority to: direct or negotiate any changes in the order, including modifying or extending the period of performance, changing the delivery schedule, authorizing reimbursement to the Contractor for any costs incurred during the performance of this order, or otherwise change any terms and conditions of this order.

5.2 FDA Three-Way Match Invoicing Procedures

A. The contractor shall submit all invoices to:

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:

(i) Name and address of the contractor;

(ii) Invoice date and invoice number;

(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite- Quantity Contracts or Blanket Purchase Agreements);

(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:

(a) period of performance for which costs are claimed;

(b) itemized travel costs, including origin and destination;

(c) any other supporting information necessary to clarify questionable expenditures;

(d) the contractor shall include the award item number for each description, quantity, unit of measure, unit price, and extended price supplies delivered, or services performed;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;

(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);

(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment);

(viii) Name, title, and phone number of person to notify in event of defective invoice;

(ix) Taxpayer Identification Number (TIN);

(x) banking routing transit number of the financial institution receiving payment for Electronic funds transfer

(EFT);

(xi) Name and telephone number of the FDA Contracting Officer Representative (COR) or other Program Center/Office point of contact, as referenced on the award;

(xii) For all Inspections, Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:

(a) list of all invoices submitted to date under the subject award, including the following:

(1) invoice number, amount, & date submitted

(2) corresponding payment amount & date received

(b) total amount of all payments received to date under the subject contract or order

(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;

(xiii) Any other information or documentation required by the award.

C. An electronic invoice is acceptable if submitted in Adobe Acrobat (PDF) format. All items listed in

(i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

D. (d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to

PART 8 – EVALUATION FACTORS FOR AWARD

Price

• The government will evaluate the price of each item described in PART 2 as well as the total overall price.

Technical Capability

• The Offeror will be evaluated on their ability to meet the requirements as noted in PART 3.

We will evaluate solicitations on the following criteria:

• Ability to meet technical specifications

• Ability to provide installation involving set-up, instructions, and walkthrough of basic functions, and application software.

• Ability to provide onsite training on hardware and software

• Ability to deliver system within 30 days of award

• Ability to provide system warranty and maintenance

• Overall value of system with options and installation

Award shall be made to a responsible party with the lowest priced technically acceptable offer.

52.212-3 Offeror Representations and Certifications-Commercial Items (Oct 2018)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision—

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).

Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—
