PART 1 – Description The U.S. Food & Drug Administration (FDA) requires the purchase of Nova Bioprofile Flex 2 operational parts and components. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested, and a separate written solicitation will not be issued.
This solicitation is a Request for Quote (RFQ) using FAR Parts 12 and 13 procedures. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2020-05 March 30, 2020. The North American Industry Classification System (NAICS) code for the proposed acquisition is 334516 Analytical Laboratory Instrument Manufacturing. This is a full and open competition solicitation.
This requirement is for a TF2000 Thermal Field-Flow Fractionation System.

PART 3 – Description/Specifications
3.1 Background
A Thermal field-flow fractionation (ThFFF) system is needed for the analysis and characterization of pharmaceutical macromolecules, particle dispersions, and complex excipients (polymers, etc.).The Thermal FFF system utilizes the thermal field to separate the molecules based on their thermal diffusion coefficient, and provides information on the chemical composition of pharmaceutical excipients such as drug release controlling polymers and lipids. It will support the ongoing research in multivesicular vesicles and evaluation of silicone-based drug containing implants.
3.2 Statement of Work/Salient Characteristics
The proposed instruments must be newly manufactured units, not used or refurbished, or previously used for demonstration.
This statement of work covers the purchase of the TF2000 Thermal Field-Flow Fractionation System, in addition to warranty coverage.
TF2000 Thermal Field-Flow Fractionation System Hardware and Software Requirements
· The ThFFF system should be capable of channel temperature gradients up to 10,000 K/cm (~100k across 100 um)
· The complete ThFFF system should include:
· One (1) micro-analytical HPLC pump with stainless steel piston housing, capable of flow rates from 0.02 to 4 mL/min, serving as system inlet pump, organic and aqueous compatible, RS232 (serial) connection.
· One (1) High performance cooling system, recirculating water chiller with cooling capacity >5000 Watt
· One (1) Multichannel solvent degasser
· One (1) Differential Refractive Index Detector
· One (1) Multi-angle Laser Light Scattering Detector, 50mW green laser (532 nm)
· One (1) Capillary Differential Viscometer Detector
· One (1) Automated Sample Injector capable of 1 -1000 ul injection volumes
· The system shall include an integrated or dedicated computer and monitor, with pre-installed controller software capable of monitoring and controlling of the following:
· Pump flow rates
· Channel temperatures
· Channel and pump pressures
· Simultaneous monitoring of detector signals
· The systems computer should include the necessary software to allow for data processing including: analyte concentration, determination of molecular weight, intrinsic viscosity, particle and molecular size and structure.
· The system should also include all necessary accessories to conduct basic operation, including but not limit to connectors, tubing, fittings, and tools.
Warranty Requirements
· Standard 1-year warranty coverage, including technical support must be included for all parts and labor, except for consumables, from the date of government acceptance.
· Any defective parts, instruments and components must be replaced by the contractor and must be a new equivalent of the defective piece of equipment.
Part 4 –Performance and Deliverables
4.1 Delivery, Installation, Training, and Support: 52.247-34 F.O.B. Destination The vendor is responsible for delivery of all parts, instruments and components specified above to:

The vendor is responsible for delivery and assembly of all equipment specified in Part 2. The equipment must be warranted for 12 months from date of government acceptance.
Delivery shall be no later than 90 days after contract award. Must ship as 1 lot, no back orders accepted. If for some reason this cannot be shipped as 1 lot, payment will not be made until the entire requirement has been received.
The vendor shall cover all costs associated with the following:
· Crating and shipping shall be included in this proposal to the delivery address
· Onsite Training hardware, software, and applications training shall be provided at the FDA site. All appropriate training manuals and literature shall be supplied electronically.
· Technical support shall be provided through common avenues: phone, web, fax, during standard business hour.
“IMPORTANT NOTE: Due to the ongoing COVID-19 pandemic and related measures to combat the spread of novel coronavirus which include alternative work arrangements (i.e., remote telework) and/or worksite closures, the Contractor is advised that the delivery date stated in this contract is subject to availability of Government personnel to receive and/or accept the goods or services at the Place of Performance described herein. The Contractor shall coordinate, in advance, any deliveries required under this contract, including any services deliverables, with the Contracting Officer's Representative (COR) or Contracting Officer to ensure that Government personnel are available at the Place of Performance to receive and/or accept the goods or services. Any delays as a result of non-availability of Government personnel at the Place of Performance shall be governed by FAR 52.212-4(f) “Excusable Delays” (for Commercial Items/Services) or FAR 52.249-14 “Excusable Delays” (for Non-Commercial Items/Services). The Government shall not be responsible for any costs incurred for contract deliverables for goods or services that have not been coordinated in advance with the COR or Contracting Officer pursuant to this paragraph.”
Place of Performance and Work Hours The delivery of the components and or services must occur during regular business hours (Monday-Friday) during the times of 9:00 AM – 5:00 PM, excluding holidays. Delivery should be coordinated through the Project Officer, Xiaoming Xu. Work shall be conducted Monday through Friday, excluding federal holidays.
Packing, Marking and Shipping All deliverables required under this contract shall be packaged, marked and shipped in accordance with Government specifications. At a minimum, all deliverables shall be marked with the contract number and contractor name. The contractor shall guarantee that all required materials shall be delivered in immediate usable and acceptable condition.
Inspection and Acceptance The Contracting Officer Representative (COR) will perform inspection and acceptance of equipment, installation and services to be provided. The COR - Bryan Lowry - is the authorized representative of the Contracting Officer.
4.2 Period of Performance
The base period of performance (POP) begins the date of contract award execution and continues for one year beginning on the day of formal government acceptance.
This is a standard procurement for a commercial product item. Period of performance will be the standard delivery after placement of the order, plus one (1) year warranty coverage.
PART 5 –Contract Administration
5.1 Representative’s
The COR will perform inspection and acceptance of equipment and services to be provided.
For this PART, Bryan Lowry is the authorized representative of the Contracting Officer.
The COR is responsible for the following as required by this order: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluations; (4) performing technical inspections and acceptances; and (5) assisting in the resolution of technical problems encountered during performance.
The Contracting Officer is the only person with authority to act as an agent of the Government under this order. Only the Contracting Officer has authority to: direct or negotiate any changes in the order, including modifying or extending the period of performance, changing the delivery schedule, authorizing reimbursement to the Contractor for any costs incurred during the performance of this order, or otherwise change any terms and conditions of this order.

*** Acceptable methods of delivery include: E-mail (preferred) and Standard Mail. Provide a copy marked courtesy to the COR or Technical Point of Contact (TPOC). The COR/TPOC is To Be Determined.
B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the contractor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the award item number for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);
(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment);
(viii) Name, title, and phone number of person to notify in event of defective invoice;
(ix) Taxpayer Identification Number (TIN);
(x) banking routing transit number of the financial institution receiving payment for Electronic funds transfer (EFT);
(xi) Name and telephone number of the FDA Contracting Officer Representative (COR) or other Program Center/Office point of contact, as referenced on the award;
(xii) For all Inspections, Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:
(a) list of all invoices submitted to date under the subject award, including the following:

C. An electronic invoice is acceptable if submitted in Adobe Acrobat (PDF) format. All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. 52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (Aug 2019)
(a) Definitions. As used in this provision— Covered telecommunications equipment or services, Critical technology, and Substantial or essential component have the meanings provided in clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Contractors are not prohibited from providing—
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Representation. The Offeror represents that— It [ ] will, [ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation.
(d) Disclosures. If the Offeror has responded affirmatively to the representation in paragraph (c) of this provision, the Offeror shall provide the following information as part of the offer—

(3) For services, the entity providing the covered telecommunications services (include entity name, unique entity identifier, and Commercial and Government Entity (CAGE) code, if known); and
(4) For equipment, the entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known).
(End of provision) 52.212-3 Offeror Representations and Certifications-Commercial Items (MAR 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v)) of this provision.
(a) Definitions. As used in this provision—
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
Forced or indentured child labor means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
Inverted domestic corporation, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.“Sensitive technology”—
Sensitive technology—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3)of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
Service-disabled veteran-owned small business concern—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veteransor, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service connected, as defined in 38 U.S.C. 101(16).
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
Small disadvantaged business concern, consistent with13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—
(i) One or more socially disadvantaged (as defined at13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

Subsidiary means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation
Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
Veteran-owned small business concern means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
