About this file
This solicitation requests proposals for enhancing the Farm Credit System Insurance Corporation's allowance for insurance fund loss analysis methodology. Offerors must submit two proposal volumes - a price proposal by February 2, 2024 and a technical proposal responding to factors including experience in agriculture credit, allowance for loss methodologies, and stress testing financial institutions. The Farm Credit Administration will award a labor-hours contract for tasks including reviewing the current methodology, developing enhancements, and creating project plans for a default probability model and loss given default rating system. Pricing will be on a time and materials basis with fixed hourly rates and not-to-exceed ceilings for the first two tasks. The statement of work provides contracting terms, special requirements for key personnel, and evaluation criteria awarding the technical proposal 80% of the total score.

B.1 BACKGROUND
The Farm Credit System Insurance Corporation (FCSIC or Corporation) is an independent federal government-controlled corporation whose primary purpose is to insure the timely payment of principal and interest on insured debt obligations issued on behalf of the Farm Credit System (System) banks. FCSIC’s primary asset is the Farm Credit System Insurance Fund (Insurance Fund) that it manages to protect investors in insured debt obligations. As of September 30, 2023, FCSIC had approximately $6.78 billion in its investment portfolio to cover approximately $402 billion in Systemwide debt obligations.
FCSIC prepares its financial statements on an accrual basis using generally accepted accounting principles (GAAP). To be consistent with GAAP, FCSIC must recognize an allowance for loss on its financial statements if a loss to the Insurance Fund is probable and can be reasonably estimated. A loss to the Insurance Fund occurs when a System bank defaults on an insured debt obligation and FCSIC must use the Insurance Fund to pay the obligation. (This assumes that no other System institution is willing or able to voluntarily assist the defaulting bank to avoid a payout from the Insurance Fund).
FCSIC has developed an Allowance for Insurance Fund Loss Procedure to evaluate the level of risk an insured bank poses to the Insurance Fund. FCSIC employs a risk matrix that contains general measures, financial ratios, and thresholds for assessing insurance risk. The risk matrix is divided into low-risk, medium-risk, and high-risk categories. Any System bank that breaches a medium- or high-risk threshold is closely scrutinized to determine whether a loss to the Insurance Fund is probable and can be reasonably estimated.
System bank losses could originate from investments, individual borrower loans and/or association direct notes. The probability of bank default related to any of these asset classes is generally very low. However, some associations are very large and a large association failure may cause its funding bank to default on its insured debt, exposing the Insurance Fund to losses.
This Statement of Work (SOW) consists of the following tasks:
Task 1:
Review FCSIC’s Allowance for Insurance Fund Loss Procedure, Evaluate and opine on the appropriateness of the insurance risk matrix thresholds, and
Develop enhancements to the current methodology for determining when a loss to the Insurance Fund is probable.
Task 2:
Develop a high-level project plan for creating a model that computes a probability of default for each System bank and association, and Develop a high-level project plan for building out a loss given default rating system for the banks and associations in the System.
Task 3:
Additional advice and analytical support related to FCSIC’s risk management process as requested.
The words Contractor and Offeror are used interchangeably in this SOW. As described in further detail in sections L and M below, each Offeror that submits a bid to perform the work in this SOW will need to submit two separate proposal volumes consisting of a price volume (also referred to as Price Proposal or Volume 1) and a technical volume (also referred to as Technical Proposal or Volume 2). Together, the two volumes, Price Proposal and Technical Proposal, are considered the Offeror’s Proposal.
B.2 SOW PRICING
In the delivery of the services for Task 1 and Task 2, the Contractor shall be reimbursed at the fixed hourly rates stated in Sections B.2. The rates proposed by the Contractor shall be inclusive of all costs expected to be incurred by the Contractor. The proposed rates shall include all discounts, which may apply to any line item or the proposed services as a whole. The estimated number of hours, the rate per hour, and the extended total for each category of service is to be provided in the charts below. These figures will be used in the cost and technical analysis only and will not be the basis for reimbursement of services rendered. Reimbursement of services rendered will be based on properly submitted and documented invoices of work actually performed; the total cost of the services performed under the Task 1 and Task 2 portions of the contract shall not exceed the ceiling amounts proposed by the Contractor.
For the delivery of Task 3, the Contractor shall be reimbursed at the fixed hourly rates stated in Sections B.2 for Task 3. There is no ceiling for Task 3.

Section C. Description/Specifications/Work Statement
C.1 SCOPE
FCSIC is seeking professional expertise to enhance its ability to determine whether a loss to the Insurance Fund is probable and can be reasonably estimated. The prospective contractor will review FCSIC’s existing allowance for Insurance Fund loss process and develop enhancements to its current methodology for making these determinations. The prospective contractor will also produce a high-level project plan that will guide FCSIC in developing a model that estimates a bank’s and association’s probability of default and loss given default as noted above. The prospective contractor must have knowledge of the Farm Credit System, agricultural credit and financing, allowance for loss methodologies and stress-testing experience to successfully achieve these tasks.
ADDITIONAL INFORMATION
FCSIC produces an allowance for Insurance Fund loss report on a quarterly basis to evaluate the level of risk an insured bank poses to the Insurance Fund. A Microsoft Excel model is utilized to query and assemble data from the Farm Credit Administration’s (FCA) call report, calculate key financial ratios and display information in tables. A risk matrix is produced for each insured bank and its affiliated associations and organized into the categories of capital, assets, management, earnings, liquidity, and sensitivity. Most of the ratios in the risk matrix are designed to act as “early warning” indicators of an insured bank’s deteriorating financial health. Any bank or association that breaches a medium- or high-risk threshold is further evaluated to determine the level of risk the institution poses to its insured bank (in the case of an association) or the Insurance Fund. FCSIC staff has access to FCA’s loan level database and examination reports and utilizes information from these sources to make its risk assessment of each institution.
FCSIC is seeking a professional contractor to analyze this process and provide additional support for justifying when a probable loss to the Insurance Fund can be declared.
Over time, FCSIC would like to develop a model that estimates a bank’s probability of default that accounts for deterioration in the agricultural sector and/or general economy. Such a model could potentially replace FCSIC’s current methodology for determining when a loss to the Insurance Fund is probable. The contractor will assist FCSIC staff in developing a high-level project plan that lays out the model development process over multiple years.
FCSIC must also be able to reasonably estimate an Insurance Fund loss given bank default before it can recognize an allowance on its financial statements. In the event a bank default is probable, FCSIC would need to gather the appropriate data elements from the bank to determine the extent of the loss to the Insurance Fund. If the bank default results from an association failure, FCSIC would also need to gather the appropriate data elements from the association to determine the loss on the bank’s direct note. FCSIC would like to enhance its approach for estimating loss given defaults. The contractor will develop a high-level project plan for FCSIC for building out a loss given default rating system for the banks and associations in the System.
The contractor will work with FCSIC risk management staff in developing this high-level project plan.
C.2 CONTRACTOR RESPONSIBILITIES AND REQUIREMENTS
C.2.1 Develop a report that provides analysis and recommendations for enhancing the current methodology for determining when a loss to the Insurance Fund is probable, C.2.2 Develop a high-level project plan for developing a model that computes a probability of default for each System bank, and
C.2.3 Develop a high-level project plan for building out a loss given default rating system for the banks and associations in the System.

Information about insurance assessments, resolution and receivership activities, as well as enforcement, legal, and contracting activities; and
Information prepared by FCSIC’s independent auditor, and predecessor and successor auditors, in connection with any audit of FCSIC’s financial statements and internal control over financial reporting, which has not become public information.
The Contractor agrees that it may be required to sign additional FCSIC or FCA-issued system security agreements, depending on the FCSIC resources to be used and level of access granted.
G.12.2 Except as required by law or court order, the Contractor shall not disclose or permit the disclosure of any confidential information, including this and any other engagement with FCSIC to anyone without FCSIC’s expressed written consent. FCSIC will provide the Contractor with access to electronic documentation, which may also be provided through printing of those documents, at the request of the Contractor. Access to these documents shall be under the control of FCSIC personnel. Upon termination of this contract, all information, documents, and work products in the Contractor’s possession relating to any work performed under this contract shall be returned to the COR of this project. FCSIC will review and may authorize the Contractor to retain copies of any information that the Contractor reasonably considers necessary for its confidential business records. The Contractor shall take all reasonable measures to avoid at any time any unintentional or inadvertent disclosure of any confidential information to any unauthorized person by the Contractor’s employees, agents, subcontractors, or attorneys.
G.13 RIGHT TO CONTRACT FOR OTHER SERVICES
If FCSIC elects other tasks, within the scope of this SOW, they may be awarded without competition.
G.14 SUBCONTRACTING
G.14.1 Subcontracting may be permitted under this award with written approval from FCSIC.
Use of a subcontractor does not relieve the Contractor of its responsibilities under its contract with the FCSIC.
G.14.2 If a subcontractor is used, the Contractor must provide the name(s) of all proposed subcontractors to be used foreach task, the percentage of work to be performed by each subcontractor, a brief description of the work to be performed by each subcontractor, and a copy of an executed confidentiality agreement as provided for in Section G.12. The Contractor will be required to agree that the Contractor remains liable under the terms of this agreement for all activities of subcontractors while those users have or retain access to FCSIC resources or confidential information. The Contractor agrees that subcontractors may be required to sign additional FCSIC or FCA-issued system security agreements, depending on the FCSIC resources to be used and level of access granted.
G.14.3 Use of a subcontractor constitutes the Contractor having determined the eligibility of the subcontractor under Federal procurement laws and regulations. Contractors debarred, suspended, or proposed for debarment are excluded from receiving federal contracts and contractors debarred, suspended, or proposed for debarment are also excluded from conducting business with the Federal Government as agents or representatives (e.g., subcontractors) of other contractors. Also, contractors and other entities that have an active exclusion record in SAM because they have been declared ineligible on the basis of statutory or other regulatory procedures are excluded from receiving Federal contracts, and if applicable, subcontracts, under the conditions and for the period set forth in the statute or regulation.
G.14.4 FCSIC may approve or reject proposed subcontractors in its sole discretion.
G.14.5 Contractor will require and cause its subcontractors to comply with all relevant terms of this Statement of Work and will be responsible for any failure of its subcontractors to so comply.
Contractor must monitor its subcontractors’ performance of any obligations under this Statement of Work and report to FCSIC on such performance as FCSIC may request. Contractor will remain responsible for obligations performed by subcontractors to the same extent as if such obligations were performed by Contractor, and for all other acts and omissions of its subcontractors. Contractor will be FCSIC’s sole point of contact regarding the solution, including with respect to payment. Nothing in this Statement of Work creates any contractual relationship between FCSIC and any subcontractor, or any obligation on the part of FCSIC to pay or to ensure the payment of any money due any subcontractor.
G.14.6 Proposals, quotations, or offers received from any suspended or debarred contractor/subcontractor, or any contractor/subcontractor listed on the SAM active exclusion record, shall not be evaluated for award or included in the competitive range, nor shall discussions be conducted with a listed offeror during a period of ineligibility. If the period of ineligibility expires or is terminated prior to award, the Contracting Officer may, but is not required to, consider such proposals, quotations, or offers.
G.14.7 Responses to this SOW should indicate if subcontracting is expected and in what areas.
G.15 RIGHT OF SUBSTITUTION
FCSIC reserves the right to require named laborers and/or subcontractors in an Offeror’s Proposal to perform on an awarded task. During the term of the contract, if FCSIC is not satisfied with the services provided by any employee or subcontractor of the Contractor, the Contractor will provide a substitute with equal or greater qualifications that is acceptable to FCSIC. If an acceptable employee or subcontractor cannot be provided, FCSIC reserves the right to terminate the contract. Any substitution of labor must be agreed to by the CO. Such permission will not be unreasonably withheld where a proposed candidate meets or exceeds the qualifications and experience of the original candidate. If the substitution results in a cost change, the contractor must submit the change in writing to the CO. The change must be approved by the CO before it takes effect.
G.16 CLAIM FOR RELIEF
G.16.1 FCSIC is not subject to GAO’s bid protest or award protest provisions. FCSIC is also not subject to Federal Acquisition Regulations, unless incorporated herein by reference. If there is a conflict between this SOW and a FAR clause incorporated by reference, then this contract shall prevail.
G.16.2 Any claim for relief filed by a Contractor shall be adjudicated by the Contracting Officer.
If the parties cannot reach an agreement mutually satisfactory after diligently pursuing a solution through discussions and negotiations, the Contracting Officer shall make a final decision. The Contracting Officer’s decision shall prevail unless the Contractor submits an appeal within 30 days of the Contracting Officer’s decision to the FCSIC Chief Operating Officer (COO). The decision of the COO shall be final and binding on the parties. Pending the final decision, the Contractor remains obligated to proceed diligently with the performance of the contract, in accordance with the Contracting Officer’s decision.
G.17 NO EMPLOYER-EMPLOYEE RELATIONSHIP
This contract does not create an employer-employee relationship between the Corporation and the Contractor. The Contractor will be responsible for any and all obligations arising from its status as an independent Contractor, including but not limited to, tax reporting and payment obligations. Neither the Contractor nor any of its employees will be considered as a Federal employee for any purpose, nor will it be regarded as performing a personal service or be eligible for civil service employee benefits. If subcontracting is permitted, the use of the term “Contractor” herein refers to both the Contractor and all subcontractors at all levels. Contractor must ensure that all subcontractors adhere to all the terms and conditions of this contract that have flow-down requirements.
G.18 NOTICE TO FCSIC OF DELAYS
In the event the Contractor encounters difficulty in meeting requirements of this SOW, or when the Contractor anticipates difficulty in complying with timelines and deadlines, or whenever the Contractor has knowledge that any actual or potential situation is delaying or threatening to delay the timely performance of their work, the Contractor shall immediately notify the Contracting Officer and the COR in writing, giving pertinent details; provided, however, that the data shall be informational only in character and that these provisions shall not be construed as a waiver by the Corporation of any delivery schedule or date, or of any rights or remedies provided by law or under this contract.
G.19 NO IDEMNIFICATION
FCSIC will not indemnify, waive, or disclaim any rights or obligations to the Contractor as a result of services performed under this contract.
G.20 NO UNPAID FEDERAL TAX LIABILITY
No contract award is to be made to any entity that has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability.
G.21 TERMINATION CLAUSE
G.21.1 FCSIC, in its sole discretion, may terminate performance of work under this contract in whole or, from time to time, in part if the Contracting Officer determines that a termination is in the FCSIC’s interest. The Contracting Officer shall terminate by delivering to the Contractor a Notice of Termination specifying the extent of termination and the effective date.
G.21.2 If FCSIC has cause for termination that has not been adequately and timely cured, based on the Contracting Officer’s determination, the amount of the contract shall be reduced based on the pro-rata calculation of the services not yet rendered, and service shall immediately cease with no future amounts due to the Contractor.
G.21.3 After receipt of a Notice of Termination, and except as directed by the Contracting Officer, the Contractor shall immediately proceed with the following obligations, regardless of any delay in determining or adjusting any amounts due under this clause:
(a) Stop work as specified in the notice.
(b) Place no further subcontracts or orders (referred to as subcontracts in this clause) for materials, services, or facilities, except as necessary to complete the continued portion of the contract.
(c) If applicable, terminate all subcontracts to the extent they relate to the work terminated.
