(1) Contracting Activity:

The Contracting Activity is the Air Force Materiel Command (AFMC), Air Force Life Cycle Management Center (AFLCMC), Battle Management Directorate, C2ISR Division, Distributed Common Ground System (DCGS) Contracting Division (HBGK), 11 Barksdale Street, Hanscom AFB, MA 01731-2119. The Contracting Officer is .

This is a Fair Opportunity Exception (FOE) Justification to achieve additional mission critical operational and technical support for the Distributed Ground System-Experimental (DGS-X) and Open Architecture Management Center (OAMC) programs located .

(2) Nature and/or description of the action being approved:

Contract FA8730-16-F-0041, an order under the Alliant GWAC Contract GA00Q09BGD0020, competitively awarded 19 July 2016 provides for sustainment support and the provision of subject matter experts, engineering and other contractor support for the operation of the DGS-X site. The DGS-X site provides global support for Distributed Common Ground System sites. The contract is currently in its third year of support with coverage for 24 hours a day 7 days per week (24/7) operations. The Distributed Common Ground System (DCGS) open architecture overhaul has resulted in a change and increase in the number of locations, users and overall workload. Option years 1 &2 were increased to provide expanded the coverage from 8hr/5days to 24/7 and increased the number of sites and users covered.. The nature of the work does not change. The tasks remain the same. The skill sets and experience levels necessary for the contractor to perform do not change.

The number of hours covered and the number of personnel increases. A Fair Opportunity Exception (FOE) justification was approved on 22 Aug 2017 for option years 1 and 2. Option year 3 runs 1 Aug 2019 through 31 July 2020. The task order concludes at the end of option year 4, 1 Aug 2020 - 31 July 2021

This FOE provides for a) increasing option years 3 and 4 to provide the same support as option years 1 and 2

; b) provides for the inclusion of the Extension of Services clause with pricing in the event the follow-on contract is not ready in 2021 .

The Extension of Services clause was not incorporated with priced options when option years 1 and 2 were

November 2018 FOR OFFICIAL USE ONLY Page 2 of 5 increased. The Contracting Officer has deemed it prudent to provide the Extension of Services to prevent interruption of these critical services.

(3) Description of the supplies/services required to meet the agency's needs:

The AFLCMC/HBGX Test and Open Architecture Management Center at operates, maintains, and sustains the DGS-X and OAMC site, maintaining multi-baseline architectures and allowing emulation and system support of any number of DCGS sites. DGS-X / OAMC conducts

Major customers are that require DCGS interoperability. This contract provides support services to assist the Government in conducting system baseline upgrades.

The contemplated modification, will allow CACI to continue test and open architecture support, to total 24/7 operations, performing legacy and OA operations analysis, IT sustainment, network operations, security, and engineering support for the establishment, integration, certification and accreditation, and maintenance of the AF DCGS weapon system. The contractor utilizes a tiered skill set of System Administrators to support 24/7 sustainment and open architecture operations at DGS-X / OAMC. The team includes IT security and Operations Management personnel required to integrate operations with the DCGS Operations Center (DOC).

As trouble ticket and helpdesk tasking volumes are increasing, but cannot be accurately measured or defined, the contractor utilizes industry standard help desk practices and timelines to develop staffing requirements.

(4) Identification of the exception to fair opportunity and the supporting rationale:

FAR 16.505(b)(1)(i) requires the Contracting Officer to provide each awardee under a multiple award contract, a fair opportunity to be considered for each order exceeding $3,500 unless a statutory exception applies.

The specific exception that precludes the fair opportunity process for this acquisition is FAR 16.505(b)(2)(i)

(B) where only one awardee is capable of providing the supplies and services at the level of quality required because the supplies and services are unique or highly specialized.

This set of systems and networks exists only at DGS-X. CACI Inc. Federal has been on contract with the government since 2005 and has accumulated extensive experience in the areas of AF DCGS multi-baseline architecture engineering, network troubleshooting, intelligence product testing and analysis, system installation requirements and package analysis, and security accreditation support. CACI personnel have already demonstrated and received necessary training to continue performance on AF DCGS and maintain Industry Standard Classifications. These training classes, specific to AF DCGS, would take a new contractor personnel several weeks to perform and apply the knowledge learned.

Part 1.0 of the PWS outlines the requirements that 95% of employees supporting DGS-X must have certified/ verified TOP SECRET (TS) clearance and be eligible for Sensitive Compartmented Information (SCI) access prior to the award of the contract. The remaining five percent (5%) of required personnel be eligible to receive

November 2018 FOR OFFICIAL USE ONLY Page 3 of 5 and retain a TS/SCI clearance within ninety (90) days after contract award.

A prospective contractor would be expected to provide personnel with active TS/SCI clearances. With current security clearance processing timelines in the Department of Defense, it would take any new contractor personnel who currently possessed TS/SCI clearances, several months to be reviewed, verified, and cleared to work at the DGS-X facility. The verification of security clearances would be otherwise unachievable in the time period necessary to begin work for new and/or prospective vendors within the period of time proposed.

CACI has already performed 25 months of support on the ongoing contract by providing all cleared key personnel necessary to complete the task within the time required.

The contract currently requires 24/7 support. Option years 3 and 4 as written only require 8/5 support. It is not practical for another contractor to provide the additional support. If a second contract were awarded, the second contractor would have to provide 16 hours of support for the 5 days the current contractor covers, and provide for the additional 2 days at 24 hours. Having two contractors provide the same support on different schedules would cause confusion and a lack of continuity which would be detrimental to the operation of DCGS in the field. Both contractors would also require management and support frameworks which would be redundant.

The current contract as written for option years 3&4 does not allow for some sort of work sharing arrangement. Even if another contractor only provided personnel, the current contract would not permit managing the 24/7 operation.

(5) Contracting Officer's determination that the anticipated cost to the Government will be fair and reasonable:

The contracting officer will ensure the considered costs for the effort described above will be fair and reasonable on the basis that the negotiated costs for the basic contract's services were established in accordance with adequate price competition, as set forth within the prevailing GWAC contract.

Cost and price analysis of the contractor's proposal in accordance with FAR Part 15 will be conducted to determine if these costs are fair and reasonable. Cost data will be required as part of the proposal. Labor rates will be verified by comparing actual labor hours and incorporating any premiums for night, weekend, overtime, holiday and contingency pay, by utilizing Forward Pricing Rates provided by Defense Contract Management Agency. The threshold of this acquisition is estimated to exceed the Truth in Negotiations Act threshold of $750k and will require the contractor to provide a certification of price/cost.

(6) Other facts supporting the justification:

If option years 3 and 4 are not increased to the same levels as option years 1 and 2, this support will revert to 8 hours per day, 5 days per week. The AFLCMC/HBGX Test and Open Architecture Management Center at will be forced to operate at 24/7 without the support services provided by this contract. The support will be reduced to less than 1/3 of the current support levels. The locations supported by the Center at

The planned Enterprise Service Provider (ESP) contract, once awarded, will include the requirements currently covered by this contract. As such, the ESP contract is considered to be the follow-on contract to the current DGS-X/OAMC support contract. At the time of the previous J&A (2017), it was expected that the

November 2018 FOR OFFICIAL USE ONLY Page 4 of 5 competition for the ESP contract would be completed by December 2018, with the possible need for a period of transition through July 2019 in the event that CACI, as the incumbent, was not awarded the contract. Since that time, the solicitation and award of the ESP contract has experienced delays and is currently not scheduled for award until 2QFY21.

Option Years 3&4 were not included in the justification for option years 1&2. The increase in work for option years 3&4 to match 1&2 is the result of natural growth in the support required due to the evolution of software. The evolution of software maintenance and acquisition in DoD resulted in some uncertainties.

Those uncertainties have been worked out.

The GSA Alliant GWAC, GA00Q09BGD0020, has a $50B ceiling of which approximately $20B has been expended. The IDIQ has expired. However, the period of performance for task orders continues until 30 Apr 2024. Modification of task orders is permitted. The GWAC allows for all contract types.

(7) Actions the agency may take to remove or overcome any barriers to increasing fair opportunity before any subsequent acquisition for the supplies or services:

Sustainment of all DGS-X & OAMC operations will be provided in the Enterprise Service Provider (ESP) contract currently projected to award by June 2021 by the AFMC AFLCMC/HBGK Warner Robins Contracting Division. The ESP contract is expected to have a broader scope than the work covered by this contract.

(8) Program Manager's certification that supporting data is accurate and complete:
