JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

I. CONTRACTING ACTIVITY

Contracting Organization: Air Force Life Cycle Management Center (AFLCMC), Battle Management Directorate (HB), Theater Battle Control Division (HBO), Hanscom AFB, MA 01731.

II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING PROCESSED

The Battle Control System Sustainment (BCSS) program office intends to modify the existing Battle Control System - Fixed (BCS-F) contract (F A8722- I O-C-0001 ), under the authority of this Justification and Approval (J&A) Amendment, by adding an additional four month period of Contractor Transition and by increasing the Estimated Total Contract Cost by $542K. This Amendment will ensure the activities approved in the l Apr 2016 J&A are completed and will allow for a seamless transition of support to the competitively awarded follow-on contract.

Contract Type and Structure: This is a services contract and the anticipated pricing arrangement will include extending the existing Cost Plus Fixed Fee (CPFF) Contract Line Item Number (CUN) 0043.

The total contract extension period of performance (PoP) is 4 months.

Note: These costs were based a revised program cost estimate for the residual efforts to be performed under this J&A. This revised cost estimate was provided by the HBD Financial Management staff on 14 September 2016.

Since initial fielding of BCS-F, sustainment support has been provided via Interim Contractor Support (ICS) contracts with Thales-Raytheon Systems Company LLC (TRS) (now Ratheon Command and Control Solutions, LLC), the developer for BCS-F. The ICS contract (FA8722-10-C-0001) was awarded on 29 January 2010, and subsequently modified to extend the period of performance to 31 January 2014.

The contract provides both hardware and software maintenance for the BCS-F system. Contractor

Logistics Support for hardware maintenance, integration and training was added to the contract by Modification P00028 on 30 January 2014, and established a base CLIN with a 12-month PoP and two optional CLINs for nine months of hardware sustainment. That period of performance ended 30 April 2016. A J&A for an out of scope modification was approved on I April 2016 for a 9 month extension to the 30 April CLS period of performance. The J&A included the addition oftransistion activities and a technical refresh of the system. The transition activities were added as a separate CLIN 0043. The Current period of performance ends on 31 January 2017.

The program office is seeking a PoP extension of four months from the I Apr 2016 J&A (making the total PoP for this J&A to be 31 January 2017 through 31 May 2017) to complete the transition to the new CLS contractor.

Referencing Section XI, the program office is taking several actions to facilitate competition.

ID. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE

AGENCYS' NEEDS

The Battle Control System - Fixed (BCS-F) provides North American Aerospace Defense Command (NORAD) and United States Pacific Command (USPACOM) Commanders with improved air sovereignty battle management capabilities for the four (4) U.S. Air Defense Sectors (ADS) [Eastern ADS (EADS), Western ADS (WADS), AJaska Regional Air Operations Center (AKRAOC), and Hawaii Regional Air Operations Center (HIRAOC)], the System Support Facility (SSF) at Tyndall AFB, and the Organic Integrated Test Facility (OITF) at Hill AFB. The BCS-F system integrates multiple data sources from military and Federal Aviation Administration (FAA) sources to provide continuous air space situational awareness, surveillance, and control for NORAD, USPACOM, and Homeland Defense missions. BCS-F also supports mission requirements for warning and assessment of aerospace attack, counter-drug detection, and monitoring operations.

BCS-F provides a remote air picture view from the Air Defense Sectors around the Continental United States (CONUS) through Remote Tactical Air Picture (RTAP) to the Remote Workstation (RWS). The purpose of the system is to enable expedited and efficient command decisions regarding issues of CONUS air space. The system is used in various locations around the country and is a significant component of U.S. Homeland Defense.

ln an effort to ensure seamless transition between incoming and outgoing CLS contractor, it is the Government's intent to designate at least 120 calendar days ofthis PoP as the ''transition period."

During these specified calendar days, the outgoing Original Equipment Manufacturer (OEM) (i.e., Raytheon Command and Control Solutions or RCCS) shall transfer knowledge of the below listed tasks, as they apply to the BCS-F and RTAP/RWS systems;

1. Provide program management knowledge transfer to address planning, tracking and reporting of BCS-F sustainment requirements.

2. Attend management reviews, working groups, and technical interchange meetings knowledge transfer such that the new contractor has an understanding of CLS roles, functions and responsibilities supporting these events.

3. Ensure risk management knowledge transfer such that the new contractor has awareness of current risks applicable to the BCS-F and RT AP/RWS systems.

4. Information Assurance such that knowledge can be transferred addressing security updates, identification, analysis and a general awareness of the security update database.

5. Provide program protection knowledge transfer as it applies to supply chain risk management.

6. Perform system Reliability, Maintainability, and Availability (RM&A) knowledge transfer as it applies to failure tracking and reporting.

7. Provide test support knowledge transfer to specifically address roles and responsibilities as they pertain to contractor led test events, and participation in government led test events.

8. Provide a Training and Technical Documentation knowledge transfer of processes, roles and best practices in regards to training materials, course materials, differences course conduct, and technical order development management.

9. Provide the best of practices and procedures to support government produced

AF TCTOs and related TO updates for the installation of upgrades to the BCS-F.

10. Transfer Supply Support Management knowledge as it applies to obsolescence management. Specifically address the roles, responsibilities, and inputs for the product maturity matrix as well as firmware management processes.

11. Transfer Spare Management knowledge as it applies to supply support activities, spares inventory, spares availability, management of warranty and license information and package, handling, storage, & transportation.

12. Transfer Help Desk knowledge in regards to best practices while triaging an incoming call, as well as interaction with the organic software maintainer.

13. Transfer Configuration and Data Management knowledge as the information relates to best practices with contract deliverable formats, processes, and procedures.

14. Prepare for shipment and transfer of one of the operational BCS-F system test strings from the OITF to the new contractor.

15. Transfer all R3.2.2 and beyond System Problem Reports (SPRs) as an exportable SPR Database (DB). Format required is FileMaker Pro. This database must contain all SPRs entered in the database, regardless of status (open/closed). Be prepared to provide support in explanation, interpretation and recommendations for implementation of SPR DB.

16. Transfer current Hardware Problem Report (HPR) Database. HPR DB must contain complete history of open and closed hardware reports, which occurred during the PoPs of CLS and ICS contracts. Preferred format for file transfer is Microsoft Excel. Be prepared to provide support in explanation, interpretation and recommendations for implementation of HPR DB.

17. Transfer current Help Desk Problem Report (HDPR) Database, and any related data points concerning help desk calls made against open SPRs. Help Desk call reporting must also include system restoration efforts initiated from Canadian ADS (CADS), as well as all US ADSs.

Preferred format for file is transfer is Microsoft Excel. Be prepared to provide support in explanation, interpretation and recommendations for implementation of HDPR DB.

These transition activities are requirements beyond what is stated in the current BCS-F CLS contract and account for the $542K in additional funds in the estimate.

IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

10 U.S.C. 2304 (c)(l) as implemented by FAR 6.302-1(FAR6.302- l (a)(2)(iii) (B)), only one responsible source, as this acquisition is for knowledge transfer of BCS-F where it is likely that award to any other source would result in unacceptable delays in fulfilling the agency's requirements.

The Program Office assesses that only RCSS (previously Thales Raytheon Systems or TRS) has the specialized capabilities and qualifications to deliver the required knowledge transfer and transition to the recipient of the competed CLS sustainment contract. This J&A includes activities to prevent unacceptable delays.

Unacceptable Delay

At present, the incumbent BCS-F development and CLS contractor, RCCS (previously TRS) is the only responsible contractor with the domain knowledge and technical insight into the integrated system design, configuration settings and software interfaces necessary to satisfy the Government's requirement for knowledge transfer of the operational BCS-F capabilities for the CLS effort.

The CLS portion of this contract is currently being competed. The knowledge transfer activities are crucial for indoctrinating the new contractor with the intricacies of maintaining the fielded system. The timeframe for the new contractor to learn the system without this assist would preclude competition and/or require additional time to allow the follow-on contractor to commence sustainment of the system.

This additional time is essential to ensure a smooth transition between the current contract and maintain the user's Availability Requirement of 99.98%. The anticipated CLS contract to be awarded in January 2017.

VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED

FROM AS MANY POTENTIAL SOURCES AS DEEMED PRACTICABLE

The program office has taken numerous steps in preparation for a full and open competition. The Government has successfully challenged NCCS (previously TRS) asserted data rights restriction and the source code is now available without restriction. The CLS RFP was released on 15 Aug 2016 and the new CLS Contract award is anticipated in Jan 2017. This effort is to expand the transition time between the incumbent contractor and the awardee of the CLS contract in January 2017.

VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED

COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE

The proposal for the CLS Transistion will be consistent with FAR Part 15.4. The Government will conduct thorough technical evaluations and price/cost analyses to establish the Government's position and stated objective as to fair and reasonable costs. As a sole source solicitation below $750,000, certified cost and price data will not be required. Field Pricing Support will be used as needed. Past cost history from the incumbent contractor and similar efforts will be used in determining a fair and reasonable price.

Using this information, the contracting officer will have an adequate basis for determining a fair and reasonable price.

VIII. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE RESULTS,

OR A STATEMENT OF THE REASONS MARKET RESEARCH WAS NOT CONDUCTED

No Market Research was conducted in regard to Transistion activities. The incumbent contractor (RCCSffRS) is the only entitiy capable of performing these specific transisiton activities.

IX. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND OPEN

COMPETITION

See Section XI for discussion of data rights.

XI. A STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO

REMOVE OR OVERCOME ANY BARRIERS TO COMPETITION BEFORE MAKING

SUBSEQUENT ACQUISITIONS FOR THE SUPPLIES OR SERVICES REQUIRED

There are no actions to be taken in regard to removing barriers to competition. The CLS effort is in the process of being competed. The transisiton effort, for which this J&A is written, is a risk reduction effort for that competition.

XII. CONTRACTING OFFICER'S CERTIFICATION

The contracting officer's signature on the Coordination and Approval Document evidences their determination that this document is both accurate and complete to the best of their knowledge and belief.

XIII. REQUIREMENTS PERSONNEL'S CERTIFICATION

As evidenced by their signature on the Coordination and Approval Document, the Program Manager (PM) has certified that any supporting data contained herein, which is the responsibility of the PM, is both accurate and complete.
