Ethics Issues
ORGANIZATIONAL CONFLICT OF
INTEREST (OCI)
Definition of OCI
• FAR 2.101 - Definitions
• “Organizational conflict of interest” means that because of other activities or relationships with other persons:
– a person is unable or potentially unable to render impartial assistance or advice to the Government, or
– the person’s objectivity in performing the contract work is or might be otherwise impaired, or
– a person has an unfair competitive advantage
• FAR 9.504 - Contracting Officer Responsibilities
– Contracting officers shall analyze planned acquisitions in order to
– Identify and evaluate potential OCIs as early as possible
– Avoid, neutralize, or mitigate potential conflicts before contract award
Types of OCIs
• Biased Ground Rules
– Requirements Development (FAR 9.505-2)
– When contractor assistance is necessary in developing solicitations, the contractor might often be in a position to favor its own products or capabilities.
• Impaired Objectivity
– Providing Evaluation Services (FAR 9.505-3)
– Contracts for the evaluation of offers for products or services shall not be awarded to a contractor that will evaluate its own offers for products or services or those of a competitor.
• Unequal Access to Information
– Access to Proprietary Information (FAR 9.505-4)
– When a contractor requires proprietary information from others to perform a Government contract and can use the leverage of the contract to obtain it, the contractor may gain an unfair competitive advantage unless restrictions are imposed:
» Protect information/encourage companies to provide when necessary » Are not intended to protect information furnished voluntarily or readily available form other sources (w/o restriction)
Identification of OCI
• It is the Contractor’s / offeror’s responsibility to identify any potential or actual OCIs and bring them to the Contracting
Officer’s attention
• Contracting Officer determines if an OCI requires mitigation
• Prime contractor / offeror submits OCI Mitigation Plan to
Contracting Officer (prime contractor incorporates all subcontractor OCI plans)
– Common elements:
» Non-Disclosure Agreements (NDA)
» Controlled access to sensitive information
» Establishment of an employee OCI awareness/compliance program
» Physical separation of contract employees from sensitive data
» Organizational separation and management separation
» Limitation on personnel transfers
» Training Reinforcement provisions (reporting, disclosure, consequences)

Contract Information
The information contained in this briefing is pre-decisional.
• PROS is one of many contract tools for our foreign partners
• Current contract structure: Refer to RFI posting on beta.sam.gov/
- Full and Open Competition to award a Ten year ordering period; 5 year base period ending 31 Dec 2021 with 5 one-year options; five year closeout period
- Indefinite Delivery/Indefinite Quantity Contract (IDIQ)
- Firm Fixed Price (FFP) fill fee for contractor
- FFP CLIN for task orders for studies, analysis, site surveys, installation (not to include construction), familiarization training, and technical services
- Cost Reimbursable CLIN for material (no markup or profit)
• This Performance Based Service Acquisition (PBSA),FAR 37, effort requires commercial procurement services for non-standard & difficult to support standard supply items (Supply Support), repairs (Repair Support), & Task Order support. PSC R499
• The program objectives of the PROS VI PBSA are transparency for the following: accurate and timely processing of requisitions (from cradle to grave), best value, responsive customer support, quality materiel, and effective program management
• PROS receives 27,000+ requisitions by approximately 100 FMS countries annually
• FMS countries have an ease of access to utilize PROS for their requirements once implementing a PROS line on their Letter of Offer and Acceptance (LOA)
• FMS chooses PROS because Requisitions and Task Orders against the ID/IQ are inherently streamlined which is capable of providing highly satisfied customer support services
• PROS VI is needed
– For FMS countries to increase the typical support capability and increase scope for transparency into all program objectives from cradle to grave
– To provide scope revisions to the Performance Work Statement (PWS) for commercial technology advancements
• PROS VI is needed
– To revise the relationship of PWS / Contractor Data Requirement List
(CDRL) / Data Item Description (DID) linking to invoke the minimum amount of accurate and timely data needed by the USG to provide FMS customer transparency from cradle to grave service support for all program objectives
• Important to Remember when executing a PBSA Service Contract:
– Service: Time and effort of contractor whose primary purpose is to perform identifiable tasks rather than furnishing end items
– The PWS:
» Clearly conveys the Contractor tasking to be preformed » Clearly conveys the Government’s requirements » Tasking should be as specific as possible » Should specify in clear understandable language what services are to be provided by the contractor » Use “shall”, not “will” in tasking language » “Shall” is defined in FAR Part 2 as the imperative, “Will” only conveys intent
• Typical Service Support includes
- Accurate and Timely Support
- Quality Customer Service
- Program Management Reviews and Other Meeting Support
- Report documents the status of contractor effort in providing accurate and timely support to the FMS customer. It identifies accomplishments to date and difficulties encountered, and compares the status of requisitions to customer requirements; valid SDRs processed and estimates of wrong-item SDRs prevented by research during procurement. It is used by the Government to monitor and evaluate contractor performance.
- Report shall document meeting agenda, charts and minutes;
problematic requisitions, SDRs or issues resultant of obsolescence, technical information provided/discussed, decisions and agreements.
- Status of problematic or long-lead requisitions, repairs or task orders
• Typical Service Support includes
- Documenting Adequate Price Competition
- Requires the contractor to select subcontracts / vendor purchase orders on a competitive basis to the maximum practical extent IAW
FAR 52.244-5
» To know if this has been achieved the USG needs to know the following: Number of bids requested, number of bids received and number of bids responsive. Meet the DOD definition for adequate price competition
- All of the contractor’s subcontract / vendor purchase order files are subject to Government review and statistic sampling
• Typical Service Support includes
- Require Competition as the rule
- Documenting the Competition
- Contracting by Negotiation
- Only needed when Competition as the rule is exhausted
- Significantly more time and effort as it is a source selection process and should include using competitive sourcing to the maximum extent practicable, evaluating price, quality, delivery, and technical capabilities to ensure fair and reasonable prices, and to perform adequate cost or price analysis.
» The purpose of performing cost or price analysis is to develop a negotiation position that permits the contractor and the subcontractor an opportunity to reach agreement on a fair and reasonable price.
» Where the subcontract price has been shown to be fair and reasonable, based on adequate price competition or adequate price/cost analysis, further price negotiation is not needed.
» Conversely, it is appropriate and expected that contractors negotiate with subcontractors where the proposed price has not been adequately established as fair and reasonable.
• Typical Service Support includes
- Quality Assurance Program and Plan
- Aerospace Basic Quality System AS9000
- Process Quality Records / Data Mgmt.
- Definitions / Abbreviations
- Conformance FAR / supplements / policy manuals
- Terms and Conditions
- Quality Assurance Orientation / Continual Training

- Process for Subcontractor / Vendor Qualification / Mgmt.
- Safety of Flight and Critical Safety Items / Identification
- Process of verifying shipping material, packaging, and shipping documentation (DCMA E-Tool Shipping Instruction Request (SIR 2.0))
• Typical Service Support includes
- Transparency and communication of requisition (cradle to grave)
- Research intensive to include item eligibility determinations
- Require qualifying new vendors and growing subcontract support
- OEM Traceability documentation
- Processing high volume quality control to invoice
- 30 days IAW the Prompt Payment Act and flowed down to Vendors

» SAMIS is the official record and financial system for FMS
- Process high volume SIR 2.0
- Unscheduled Delivery Plan for Items / Materials
- DD254 support for Classified Storage Items / Materials
