JUSTIFICATION AND APPROVAL (J&A) FOR OTHER THAN

FULL AND OPEN COMPETITION

I. CONTRACTING ACTIVITY

The contracting organization is the Air Force Life Cycle Management Center (AFLCMC) Intelligence, Surveillance, Reconnaissance and Special Operations Forces (JSR & SOF) Directorate, 645th Aeronautical Systems Group (645 AESG); Special Projects Contracting Branch (645 AESG/WIJK), 2530 Loop Road West, Room 144,Wright-Patterson AFB OH 45433-7106. The 645 AESG- is the single manager for the program covered by the J&A.

II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING PROCESSED

This individual J&A describes the unusual and compelling urgency for the sole source procurement of additional spares, training and delivery of four JSR aircraft and associated support for the Jordanian Armed Forces. The Kingdom of Jordan faces a myriad of nationwide threats requiring specially trained United States Central Command (USCENTCOM) forces to assist conducting Counter Terrorism (CT) missions. These four aircraft are urgently needed to eliminate a combat capability deficiency, which is likely to result in combat fatalities. This effort is a follow-on to contract FA8620-14-C-3020 that was for the procurement and modification of four Green AT-802 Aircraft, training and initial spares for USCENTCOM to deliver to the US Security Cooperation Organization in Yemen, originally directed by SAF/AQ in a Letter of Direction (LOD) from SAFI A received on 2 Dec 13.

s a resu t, a etter o uec ion om SAFI AQ was signed and received by 645 AESG on 21 May 15 re-directing the 645 AESG to continue contractual actions for the modification of four JSR fixed-wing aircraft and deliver to Jordan in lieu of Yemen in order to bolster CT efforts. Additionally, the LOD stated that this ISR initiative is a counter-terrorism priority for USCENTCOM. The final congressional approval to proceed with this requirement was received 19 Aug 15. The award of an Undefinitized Contract Action (UCA), firm-fixed-price contract, FA8620-l 5-C-4034 is anticipated to be made to L-3 Communications, Platform Integratio~3 Platform Integration Division (PID)) no-later-than 30 Sep, for an estimated- This effort is expected to require approximately 12 months to complete.

III. DESCRIPTION OF SUPPLIES/SERVICES REQUIRED TO MEET THE AGENCY'S

NEEDS

a. This J&A covers the delivery of four A T-802 aircraft that were modified on the previous contract to support the CT ISR mission. The aircraft include

In addition, this requirement includes the training of Jordanian Pilots, Mission System Operators, and Maintainers as well as spares, support equipment, tooling, and

OCONUS Field Service Support. This effort will be funded with FY15 National Defense Appropriations Act Section 2282 Global, Train and Equip funding that will expire for obligation on 30 Sep 15.

IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

10 U.S.C 2304(c) (2), as implemented by FAR 6.302-2, Unusual and Compelling Urgency

V. DEMONSTRATION THAT THE CONTRACTOR'S UNIQUE QUALIFICATIONS OR

NATURE OF THE ACQUISITION REQUIRES THE USE OF THE AUTHORITY CITED

ABOVE (APPLICABILITY OF AUTHORITY)

a. Unusual and Compelling Urgency (FAR 6.302-2.). Because of the continuing threat of terrorist activity in the area of responsibility it is crucial to provide the Jordanian forces a method to seek out and destroy the terrorist threats. Delivery of these modified aircraft will increase Jordan's capability to find, exploit, analyze and disseminate domestic and transnational terrorist threats as well as deter and eliminate regional violent extremist organizations. These modified aircraft will satisfy current capability gaps which inhibit Jordan's ability to effectively execute and support CT operations to eradicate the violent extremist organization (VEO) threat. The VEOs such as ISIL continue to threaten Jordan, the US Homeland, and other world-wide locations. Due to the increasingly high volume of insurgent activity in that region the Jordanian Armed Forces need to receive all of the aircraft by 31 Mar 16. If this capability is not delivered on time, there will be an unacceptable operational impact on USCENTCOM's counterterrorism efforts in Jordan and our warfighters lives will be put in danger.

b. Compelling urgency/unacceptable delay: An other than full and open competition award to L-3 PID by means of a sole-source UCA is the only known way to meet the immediate need for additional ISR assets in Jordan. Congressional approval to proceed with this requirement was not received until 19 Aug 15. The shortest estimated time necessary to conduct a competition would be three to four months from receipt of funding, which was not received until late Aug 15. With a required delivery date no-later -than 31 Mar 16 and a 12 month delivery schedule anticipated, the contract needs to be awarded by 30 Sep 15. Holding any type of competition would make it impossible to meet that schedule. L-3 PID is the only practicable source that can meet the urgent requirement to train and deliver the four aircraft in time to meet the aggressive delivery schedule as they are performing the current effort as described in Section II on contract FA8620-14-C-3020.

The follow-on is for the training of Jordanian Pilots, Mission System Operators and Maintainers as well as spares, support equipment, tooling and OCONUS Field Service Support. If there is any delay in award of the follow on contract L-3 PID would have to stop work on the training until a new contract was awarded. If training were delayed, it would cause unacceptable delays of delivery and ferry of the aircraft to Jordan. The aircraft would deliver after the required need date of 31 Mar 16 which would jeopardize this top ISR initiative and CT priority of CENTCOM.

VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED

FROM AS MANY POTENTIAL SOURCES AS DEEMED PRACTICABLE

The need for accelerated delivery is the overriding requirement of this effort, and that precludes the ability to perform full and open competition. Market research was performed for the preceding contract to determine the appropriate platform to meet the mission needs, and to ascertain which companies could perform this requirement.

Because of the aggressive schedule, only companies with"Federal Aviation Administration (FAA) certification process experience and mission equipment integration experience with similar aircraft were considered. Only one source had an evaluation that indicated they met all the requirements, as well as having personnel and facilities available for immediate use. Based on the aforementioned assessment, L-3 PID was selected as the only practicable source (see Section VIII). As a result of the re-direct to Jordan, the current source (L-3 PID) remains the only source to complete training and delivery of the capability originally planned under the previous effort.

VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE

a. The contracting officer will ensure the cost of this acquisition will be fair and reasonable to the Government in accordance with FAR 15.4. The program office has resources available in house and at the various Big Safari squadrons, detachments and operating locations to accomplish detailed engineering/technical analysis, and the Defense Contract Audit Agency will be requested to do an audit of the proposal.

b. A technical evaluation will be performed to determine whether the labor hours proposed are reasonable for the effort at hand and that the labor mix is appropriate. If the contractor has a forward price rate agreement, those rates will be utilized as part of the Air Force objective. If no forward pricing rate agreement exists, a forward price recommendation will be utilized as well as the use of historical pricing for comparison. Recommended rates provided by Defense Contracts Management Agency can be used to help establish fair and reasonable direct labor rates. In accordance with the Truth in Negotiations Act, the contracting officer will obtain certified cost and pricing data as required by FAR 15.403 as appropriate to ensure that the contractors' proposed costs are current, accurate and complete. These measures will ensure that the contracting officer can certify the contract costs and price arrangements as being fair and reasonable to the Government.

VIII. DESCRIPTION OF MARKET RESEARCH CONDUCTED AND THE RESULTS, OR

A STATEMENT OF THE REASONS MARKET RESEARCH WAS NOT CONDUCTED

a. The 645 AESG has extensive knowledge of the aircraft modification/surveillance industry. There have been several similar efforts awarded by the 645 AESG in support of mission requirements for the US Air Force, Homeland Security, US Special Operations Command and the National Guard Bureau. The 645 AESG consistently monitors other organizations and agencies to determine if there are additional sources available for this type of acquisition. Additionally, the 645 AESG identifies new sources for their acquisitions to ensure there are sufficient companies available to meet the ever-increasing demands of surveillance equipment and operations. Because most of the programs supported by this office fall under the auspices of national security initiatives, 1096679463C Line much of the information necessary to compete for these actions cannot be released to companies without the necessary clearances. Therefore, while publicly disclosed market research rarely occurs (such as sources sought posted on FedBizOps), a continuous effort is made to develop and maintain additional sources.

b. There is a limited pool of US contractors that have experience modifying aircraft into ISR platforms. The 645 AESG reviewed potential contractors with squadron and detachment support as well as the Aircraft OEM as Prime Contractor; and ultimately concluded L-3 PIO, in Waco TX, is the lowest risk prime contractor with the most bandwidth and resources to meet the stringent delivery timeline for this effort. L-3 PIO is currently on contract to provide the capabilities originally planned for Yemen under the preceding contract. Contractors considered were as a part of the original contracted effort.

IX. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND OPEN

COMPETITION

This acquisition is critical to US CT operations in Jordan.

X. LIST OF SOURCES, IF ANY, THAT EXPRESSED INTEREST IN THE ACQUISITION

Since this is an urgent and compelling requirement being processed in accordance with FAR 6.302- 2, no synopsis was done. Therefore, there have been no other interested sources in this specific acquisition.

XI. A STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO

REMOVE OR OVERCOME ANY BARRIERS TO COMPETITION BEFORE MAKING

SUBSEQUENT ACQUISTIONS FOR SUPPLIES OR SERVICES REQUIRED

a. The long-term solution to meet needs of the Jordanian Government will be sponsored by USCENTCOM. For the 645 AESG programs, the prime contractor is required to accomplish significant market research at the subsystem and component level, particularly as it concerns commercial equipment, as part of their developmental, modification and sustainment tasks. This promotes a more open competitive environment to industry.

b. To promote competition for future support endeavors, 645 AESG is ensuring the technical data necessary to operate and maintain the weapon system is available without restrictions. Therefore future Field Service Support efforts after initial training and operational support can be competed. Because this fully integrated aircraft will be FAA certified, the required data necessary for any Airframe & Power plant licensed mechanic to maintain the systems will be provided. Additionally, all Continuous Airworthiness Instructions will be available in the commercial Pilot Operating Handbook.
