SUPPLIES OR SERVICES AND PRICES/COSTS

This solicitation is intended to result in an award of a requirements‐type Indefinite Delivery contract as defined in FAR 16.5 for a total of five ordering periods, each lasting one (1) year. FAR 15 Contract by Negotiation will be used. All clauses/provisions in the contract are important and the contractor shall ensure that it has reviewed and understands each one. This contract has ordering periods and no options. Therefore, no mods will be issued to open up those periods. The prices of orders will be detemined by the ordering period in which they are placed.

For Contract Line Item Numbers (CLINs) 0001 1001, 2001, 3001, and 4001, the offeror shall propose quantity/price ranges up to the Best Estimated Quantity (BEQ). The proposed quantity/price ranges shall reflect either 1) a range of 1 to the BEQ, or 2) multiple quantity ranges up to the BEQ. The offeror shall ensure that the proposed quantity/price ranges are clearly marked as to the line item that such applies, e.g. CLIN 1001, 2001, 3001, etc.

Proposed ranges shall cover all quantities from 1 each to the BEQ.

The pricing arrangement for this contract will be Firm Fixed Price. Delivery orders may be placed from time to time, at any time, during each ordering period.

This is a Requirements type contract with five 12 month ordering periods. Orders will not be subject to competition. Ordering periods are being utilized in this contract as follows:

Orders may be placed from time to time during each contract period the pricing applies to the total quantity of an individual order. The total quantity of an order may consist of multiple line items (e.g.

multiple CLINs are expedient for multiple fund cites or individual shipping destinations.)

All quantities within the schedule are Best Estimated Quantities (BEQs). The BEQs in this contract are not a guarantee to the Contractor that the estimated quantities will be ordered, or that conditions affecting requirements will be stable or normal. Failure of the Government to acquire such items in amounts or quantities described in the Schedule as "estimated" will not entitle the Contractor to any equitable adjustment. BEQs do not represent a minimum or maximum quantity.

The Government anticipates that orders for Foreign Military Sales (FMS) requirements will be issued under this contract. However, no orders for FMS requirements will be issued unless a valid letter of Offer and Acceptance for the items to be ordered has been signed by the United States Government and the FMS customer's Government. Orders for FMS requirements will identify the FMS customer, applicable funding, and other appropriate information.

(a) Definitions. As used in this clause—

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than 1 each, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor--

(1) Any order for a single item in excess of 9 each;

(2) Any order for a combination of items in excess of 9 each; or

(3) A series of orders from the same ordering office within 15 days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 7 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
