NOTE: If a Justification and Approval was approved for the preceding acquisition, a copy of the approved J&A for the predecessor action must be included in the staff package for approval of the instant J&A. This applies to J&A staff packages that are submitted for review and approval at a level above the contracting officer. The predecessor J&A will be used asa reference document by the approving official.

I. Contracting Activity.
United States Air Force USAF
Contracting: AFMC OL_H PZABA
6050 Gum Lane, Bldg 1215
Hill Air Force Base, Utah 84056
Contracting Officer:
Phone DSN:
PR Number: FD2020-15-00944
II. Nature and/or description of the action being processed.
A. Upon approval to use other than full and open competitive procedures, the Air Force will issue a new follow on two (2) year firm fixed price (FFP) Indefinite Delivery Indefinite Quantity (IDIQ) services contract to repair the Upgraded Data Transfer Unit (UDTU). By inserting redesigned circuit cards and re-identifying as an RDTU which mitigates obsolescence of the UDTU for the A-10 aircraft used by the Air
Force to:
Battelle Memorial Institute
505King Ave
Columbus, OH 43201-2681
CAGE Code 79986
The new two (2) year IDIQ contract maximum dollar value is estimated at This cost is based on a technical evaluation of necessary repair services projections. (See III. A., B.) Task orders may be placed against the two (2) year IDIQ contract from the estimated award date of
C. Type J&A: Individual
III. Description of supplies/services required to meet agency needs.
A. The intent of this acquisition is to provide a new follow-on FFP, IDIQ repair services contract. Under the contemplated contract, Battelle Memorial Institute will repair
Noun: Transfer Unit, Program
NSN: 7025-01-619-5776FJ
Part No: B001012-10

Unit Repair Price:
B. Total estimated cost is: $316,050.00. This estimated value is based on ROM received from Battelle
Memorial to insert form fit function redesigned circuit cards. This action will utilize 4930 Material Support
Division Working Capital funds. Approval request is for more than one (1) fiscal year. There are no feasible actions that can be developed to promote future competition during the period of performance of this acquisition, as described in section V below.
C. Estimated dollar value and quantity by fiscal year:
IV. Statutory authority permitting Other than Full and Open Competition.
10 USC 2304 (c) (1) as implemented by FAR 6.302 Only One Responsible Source and No Other Supplies or
Services Will Satisfy Agency Requirements.
V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).
A. The above authority was selected because the requirement is for highly specialized Equipment/services.
The government estimates award to any other vendor would result in substantial duplication of cost to the government that is not expected to be recovered through competition.
B. Battelle Memorial Institute was contracted to redesign circuit cards to mitigate obsolescence issues of component parts required to repair original circuit cards. The redesigned equipment/services were procured on contract GS00Q09BGD0013 at a cost of . Redesign was accomplished and form fit function configuration flight tested, resulting in fielding approval. Final delivery of engineering data is to be delivered by 27 Oct 2015.
C. Accordingly, Battelle Memorial Institute is the only firm capable of providing the supplies and services described in Section III above without the government experiencing a substantial duplication of cost to the government that is not expected to be recovered through competition.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.
A. A UDTU reverse engineering effort was awarded to ARINC, 4141 Colonel Glenn Hwy, Dayton, OH
45431 on contract GS00Q09BGD0013 delivery order GST0810BP0059 11 Jan 2012. ARINC subcontracted with Battelle Memorial Institute for necessary expertise under this contract effort. Period of Performance was 2 years (Jan 2014). Included in this effort was the re-design of processor circuit card and power supply and delivery of level 3 data package. The re-design mitigates obsolescence issues and provide technical data to compete purchase/repair services in the future.
B. This new requirement will be synopsized in FedBizOpps, as a notice of contract action IAW FAR
5.201. If other sources express interest as a result of this synopsis or other action, they will be listed in the official contract file and will be given an opportunity to prove they have access to the necessary data and the ability to manufacture this part.
C. Other actions: None
D. Qualifying Country Sources: None
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
The following steps will be taken to ensure that the anticipated cost of this acquisition will be fair and reasonable. The Contracting officer will comply with the procedures and criteria contained in Federal
Acquisition Regulation (FAR) under Part 30 - Cost Accounting Standards, Part 31 - Contract Cost
Principles and Procedures, Subparts 15.4 - Contract Pricing; to include technical evaluations from the appropriate technical experts as well as audits and support as appropriate from relevant resources such as
DCMA and DCAA. Additional steps to ensure price reasonableness actions will be under the guidance of the Contract Pricing Reference Guides, jointly developed by the Federal Acquisition Institute and the Air
Force Institute of Technology.
The Government will obtain certified cost and pricing data IAW FAR Subpart 15.403, when required. A
Pricing Analyst will be consulted to assist in the determination of cost and pricing reasonableness. This will include an in-depth review of all costs proposed including overheads, material costs, labor costs, etc. Any costs considered to be irrelevant, unreasonable, unbalanced, or otherwise inappropriately allocated will be addressed with the Contractor directly via fact finding efforts and discussions in order to fully understand the nature of those costs. Costs wherein disagreement is found will be negotiated, mitigated, and adjusted such that the final agreement reflects fairness to all parties. The final step is to develop a Price Negotiation
Memorandum (PNM). Detailed documentation and justification of price reasonableness will be disclosed in the official PNM, to be prepared upon completion of negotiations.
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
A. As described in Section VI above, market research, in accordance with FAR Part 10, will be conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties.
B. Once the AF has received the engineering data acquired from the redesign contract, the data will be then be used to develop USAF organic capability for future repair. Development of the organic repair capability will take approximately two years to complete. The data will also be used to develop future competitive procurement of the redesigned circuit cards.
IX. Any other facts supporting the use of Other Than Full and Open Competition.
Interested sources could potentially produce the redesigned circuit cards upon receipt of the USAF owned data. However, the interested sources would then have to produce the part for “form-fit-function” testing and analysis to include flight testing. This also entails development of necessary test equipment to support this effort. Presently the only known test equipment (which was developed as a part of the reverse engineering effort) is in the custody of Battelle. Once Battelle concludes it's efforts, the associated test equipment will then pass to the USAF organic depot for repair requirements. The USAF is willing to make this data available to promote competition. It is estimated that the qualification timeline for an interested source would be approximately two years. In summary, until such time that interested sources can develop the necessary test equipment, and qualify to produce the redesigned circuit cards, Battelle will be the only known qualified source to produce and repair the redesigned circuit cards.
X. List of sources, if any, that expressed interest in the acquisition.
None
XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
Hill AFB will review requests from contractors interested in becoming a qualified source and provide available information to permit interested parties in developing the capability to produce and repair the RDTU circuit card assemblies.
