About this file
This is a Questions and Answers document for solicitation FA8227-26-R-3649, an Air Force small business set-aside for a RS/RV Centrifuge acquisition at Hill Air Force Base, Utah. The Q&A document addresses three key contractor inquiries regarding regulatory applicability and payment structures.
The document clarifies that small business prime contractors are exempt from FAR clause 52.219-9 (Small Business Subcontracting Plan), which applies only to "other than small" contractors, and consequently 52.219-16 does not apply. It confirms that FAR clause 52.233-9 (Recovered Material) has been removed from the contract and need not be considered. Most significantly, the document establishes that FAR clause 52.232-29 (Customary Freight and Installation Charges) applies to support the milestone-based payment structure for CLINs 0001-0005. The payment schedule distributes funding as follows: 20% upon receipt of order for long lead items and design activities (CLIN 0001), an additional 20% upon factory acceptance (CLIN 0002), 50% upon shipment receipt and government acceptance (CLIN 0003), and the remaining 10% upon final government acceptance of the installed asset (CLIN 0004). This financing structure is tied to commercial item contract requirements rather than invoice-after-delivery terms, with CLINs 0001-0005 established on a firm fixed price basis.

Q&A 1 - The contractor is a small business currently registered through SAM.gov and is the OEM for the solicited equipment. Based on these criteria, would 52.219-9 and 52.219-16 be applicable?
· Any small business, is exempt from 52.219-9 per FAR 52.219‑9 states it applies only to “other‑than‑small” prime contractors. 52.219-16 only applies if the -9 applies.
Q&A 2 - Given the sophistication and performance requirements of the proposed deliverable, utilizing recovered material is not recommended, is 52.233-9 a negotiable requirement?
· 52.233-9 is no longer used for this contract, it can be ignored.
Q&A 3 - Is 52.232-29 incorporated into the solicitation/potential award to support the CLINs (0001-0005) payment structure?
· Yes — FAR 52.232‑29 is required for this requirement. The detailed CLIN structure is commercial item contract financing, this award will not be invoice‑after‑delivery. CLINs 0001–0005 explicitly create financing payments tied to completion of performance milestones, please refer to FAR 52.232‑29 for further details and SAM.gov solicitation for RS/RV to review this information.
